1 a. Justification for Other Than Full and Open Competition

II. NATURE AND/OR DESCRIPTION OF THE ACTION BEING APPROVED

FRTIB is requesting IBM Service Extension Support Sterling Connect: Direct on distributed operating systems (not including iSeries).

Ill. DESCRIPTION OF THE PRODUCTS/SERVICES REQUIRED TO MEET THE AGENCY'S NEEDS

IBM® Sterling Connect:Direct® is point-to-point (peer-to-peer) file-based integration middleware meant for 24x365 unattended operation, which provides assured delivery, high- volume, and secure data exchange within and between enterprises.

This interface is responsible for all secure file transmitting of files between the mainframe and our distributed system applications and workflow processes. If we are unable to upgrade, key data transfers for Converge will be impacted and could result in FRTIB not meeting critical deadlines.

The Period of Performance (POP) will be a 12-month base period and a four month option period.

IV. AUTHORITY PERMITTING OTHER THAN FULL AND OPEN COMPETITION

The authority that permits Other Than Full and Open Competition is referenced in FAR 8.405-G(b), Items peculiar to one manufacturer. Sterling Connect Direct® is manufactured and distributed by IBM.

Check all that are applicable.

a. Only one responsible source (e.g. - vendor):

__Only one responsible source and no other products or services will satisfy FRTIB requirements.

Proprietary software and/or related services. (Same authority as above). Limited explanations are needed for these types of products and/or services.

Attachment C

__ Unusual and compelling urgency (delay in award of a contract would result in serious injury, financial or other, to the FRTIB; not to be used for failure to plan). Provide an explanation based on the below instructions:

MANY POTENTIAL OFFERORS AS DEEMED PRACTICABLE

For this effort, this justification will be posted on GSA eBuy under the Software Licenses category 511210, in accordance with FAR 8.405-6(a)(3)(i).

VI. DETERMINATION BY THE CONTRACTING OFFICER THAT THE ANTICIPATED COST TO THE

AGENCY WILL BE FAIR AND REASONABLE

The anticipated final task order price will be fair and reasonable. The basis for this determination is referenced in FAR 8.404(d). Services under Multiple Award Schedules (MAS) are set at fixed prices for specific tasks. A GSA Schedule Contracting Officer determined this pricing to be fair and reasonable before awarding the vendor’s MAS contract. Schedule contracts are negotiated to achieve the contractors' "most favored customer" pricing/discounts under similar conditions.

VII. DESCRIPTION OF MARKET RESEARCH CONDUCTED AND THE RESULTS, OR A STATEMENT
