The Government reserves the right to inspect or test any supplies or services that have been tendered for acceptance. The Government may require repair or replacement of nonconforming supplies or reperformance of nonconforming services at no increase in contract price. TFSAAFRW15CI0009 Page 5 or incomplete data. To remain registered in the SAM database after the initial registration, the Contractor is required to review and update on an annual basis from the date of initial registration or subsequent updates its information in the SAM database to ensure it is current, accurate and complete. Updating information in the SAM does not alter the terms and conditions of this contract and is not a substitute for a properly executed contractual document.

(2)

(i) If a Contractor has legally changed its business name, “doing business as” name, or division name (whichever is shown on the contract), or has transferred the assets used in performing the contract, but has not completed the necessary requirements regarding novation and change-of-name agreements in Subpart 42.12, the Contractor shall provide the responsible Contracting Officer a minimum of one business day’s written notification of its intention to:

(3) The Contractor shall not change the name or address for EFT payments or manual payments, as appropriate, in the SAM record to reflect an assignee for the purpose of assignment of claims (see FAR Subpart 32.8, Assignment of Claims). Assignees shall be separately registered in the SAM database. (i) Any such clause is unenforceable against the Government.

(ii) Neither the Government nor any Government authorized end user shall be deemed to have agreed to such clause by virtue of it appearing in the EULA, TOS, or similar legal instrument or agreement. If the EULA, TOS, or similar legal instrument or agreement is invoked through an “I agree” click box or other comparable mechanism (e.g., “click-wrap” or “browse-wrap” agreements), execution does not bind the Government or any Government authorized end user to such clause.

(iii) Any such clause is deemed to be stricken from the EULA, TOS, or similar legal instrument or agreement.

(2) Paragraph (u)(1) of this clause does not apply to indemnification by the Government that is expressly authorized by statute and specifically authorized under applicable agency regulations and procedures.

The BPA will be established with the Offeror whose proposal, conforming to the instructions included in the RFQ, is determined to be technically acceptable, pricing realistic, and is overall in the best interest of the Government, all evaluative factors considered

BPA TERMS AND CONDITIONS

1. DESCRIPTION OF A BLANKET PURCHASE AGREEMENT (BPA)

The BPA will provide for calls to be issued on a fixed-price basis. The BPA will be effective upon signature of the Contracting Officer (CO). The agreement may be discontinued unilaterally at any time by either party with 30 days written notice, and may be rewritten or revised at the option of the CO. Any such revision shall be accomplished by bilateral modification to the resulting BPA. A call becomes a binding contract when it is accepted for a specific service and amount.

2. EXTENT OF OBLIGATION

The Government is obligated under the BPA only to the extent of the authorized calls actually placed by authorized personnel and accepted by the contractor. The BPA does not obligate any funds.

3. PRICING

Prices of the resulting BPA are as specified in the Contractor's price list approved by the CO.

4. PURCHASE LIMITATION

BPA calls placed by a warranted CO from the Fiscal Service as identified below.

5. NOTICE OF INDIVIDUALS AUTHORIZED TO PLACE CALLS AND DOLLAR LIMITATIONS

The BPA holder shall not provide any products or services without receiving an awarded BPA Call signed by the CO.

6. BPA CALL ORDER PROCESS

The following is an explanation of how the services will be requested after the BPA is established. A call specifies and authorizes work to be accomplished by the Contractor to satisfy Government task requirements. All calls will be issued by a warranted CO.

A BPA Call specifies and authorizes work to be accomplished by the Contractor to satisfy Government work requirements.

The Government will issue the BPA Call request to the awarded Contractor for review and preparation of a proposal. After receipt of the proposals, the Government and the Contractor will negotiate a finalized proposal incorporating requirements, a QASP, performance standards and delivery schedule.

The Government will issue the BPA Call.

The request for BPA Call proposal will specify the technical requirements, the desired deliverable, performance standards, documentation standards, acceptance criteria, client agency benchmarks (as applicable), and performance schedule (as applicable), in sufficient detail to permit accurate evaluation of cost, work hours, and other resources (as applicable) by the Contractor in regards to the total firm fixed price.
