About this file

This is a Justification for Other Than Full and Open Competition (OTFAOC) under FAR Part 6 for a contract modification to add commercial long-distance voice services.

The requiring agency is Naval Computer and Telecommunications Station (NCTS) Guam, with the Defense Information Systems Agency (DISA) Defense Information Technology Contracting Organization (DITCO) serving as the contracting activity. The modification (Task/Delivery Order Number: TELH000001EBM P00005) adds long-distance services to the existing TELH000001EBM award, a fully managed SIP Trunking service under a Managed Network Services (MNS) framework for Virtual Private Network Services (VPNS). The proposed contractor is Teleguam Holdings LLC, the incumbent provider of the base SIP Trunking circuit and on-premises gateway. The justification cites 10 U.S.C. 3204(a)(1) and FAR 6.103-1 as the regulatory authority, asserting only one responsible source exists and no other supplies or services will satisfy agency requirements. The estimated value is redacted in the document.

The justification argues that Teleguam Holdings LLC is uniquely qualified to provide enterprise long-distance services on a per-minute billing basis with monthly invoicing, unlike competing vendors requiring prepaid minute purchases. The document contends that obtaining a duplicate MNS SIP Trunk from an alternate vendor would be economically and technologically infeasible, requiring redundant hardware installation, doubled circuit costs, and creating system routing conflicts that would void existing 24/7 monitoring service level agreements. Market research conducted between June 1 and July 16, 2026 determined no other commercial sources can integrate services with the existing Teleguam infrastructure. The justification emphasizes mission impact, stating that lack of long-distance capabilities would disrupt communications for USAF, USSF, USMC, Reserve components, and Federal agencies operating in Guam. The Contracting Officer is Darlene K. Arakaki of DISA DITCO-PAC.

Regulatory Authority: 10 U.S.C. 3204(a)(1), FAR 6.103-1, Only one responsible source and no other supplies or services will satisfy agency requirements.

J&A Number: N/A

1. REQUIRING AGENCY AND CONTRACTING ACTIVITY:

Requiring Agency: Naval Computer and Telecommunications Station NCTS) Guam Bullard Avenue Building 112, NCTS Guam, FPO, AP, 96537

Contracting Activity: Defense Information Systems Agency (DISA)/ Defense Information Technology Contracting Organization (DITCO) PS72 477 Essex Street, Building 77, Suite 135, Pearl Harbor, HI 96860-5815

2. NATURE/DESCRIPTION OF ACTION(S):

Type of Action: Modification Type of Contract: FFP

3. DESCRIPTION OF SUPPLIES/SERVICES:

The proposed modification is to add long distance services for Finegayan, Guam to the

TELH000001EBM .

At a total estimated cost this modification will enable vital long-distance capabilities at Finegayan, Guam.

Ensuring long-distance connectivity for Finegayan-based personnel and systems is critical to maintaining operational readiness and joint-force coordination across the command's Area of Responsibility (AOR).

J&A: Commercial Long Distance Voice Services for Finegayan, Guam

Page 2 of 5 Pages

The basic TELH000001EBM award is a fully managed SIP Trunking service under a Managed Network Services (MNS) framework for Virtual Private Network Services (VPNS). The Teleguam Holdings LLC is responsible for delivering the circuit and the necessary gateway/router to convert SIP to TDM.

The purpose of this modification is to add long-distance voice services to the MNS. This ensures that the managed SIP Trunking solution supports both local and long-distance outbound/inbound traffic under the same managed framework.

4. IDENTIFICATION OF STATUTORY AUTHORITY:

The United States Code (U.S.C.) and FAR reference permitting other than full and open competition: 10 U.S.C. 3204(a)(1), FAR 6.103-1, Only one responsible source and no other supplies or services will satisfy agency requirements.

5. DEMONSTRATION OF CONTRACTOR’S UNIQUE QUALIFICATIONS OR THE

NATURE OF THE ACQUISITION REQUIRED:

1. UNIQUE QUALIFICATIONS: Teleguam Holdings LLC is uniquely qualified to provide long distance services. Teleguam Holdings LLC is a telecommunications vendor on Guam capable of providing enterprise long-distance services billed on a per-minute basis with a monthly invoice of total minutes used. Other telecommunications vendors that require the pre-purchase of minutes that are deducted during use, similar to a prepaid phone card, would be a model that is unacceptable for Department of Defense (DoD) operations.

Obtaining a duplicate MNS SIP Trunk is not economically or technologically feasible.

This required long-distance service must be provisioned over the existing Comprehensive Managed Network Services (MNS) SIP Trunking circuit and on-premises gateway currently operated by Teleguam Holdings LLC. Implementing a duplicate SIP trunking circuit from an alternate vendor would require a complete, redundant hardware installation and double recurring circuit costs. Technologically, attempting to overlay a secondary carrier's voice routing on Teleguam’s managed on-premises equipment would cause severe system routing conflicts and void existing 24/7 proactive monitoring service level agreements.

2. Mission Impact: The lack of authorized long-distance capabilities will directly disrupt mission-critical communications for the United States Air Force (USAF), United States Space Force (USSF), United States Marine Corps (USMC), Reserve components, and various Federal agencies operating on the island.

Without these vital communications links, assigned personnel will be unable to conduct necessary long-distance coordination with off-island headquarters, command nodes, and strategic partners. This operational shortfall can severely degrade joint-force combat

Page 3 of 5 Pages readiness, compromise situational awareness, and restrict global reach-back capabilities across the NCTS Guam Area of Responsibility (AOR).

3. IMPACT: Failure to approve this sole-source action will strip the Finegayan and Guam installations of long-distance reach-back capabilities, causing an immediate disruption to the mission-critical communications of vital tenant commands operating under the NCTS Guam AOR.

Procuring a redundant SIP Trunk and parallel on-premises equipment from a secondary vendor to handle long-distance traffic would result in a substantial duplication of hardware and circuit costs to the Government.

6. DESCRIPTION OF THE EFFORTS MADE TO ENSURE THAT OFFERS ARE

SOLICITED FROM AS MANY SOURCES AS POSSIBLE:

In 2024, no bids were received after a two-year solicitation that included both VPNS and long distance services through the GSA Enterprise Infrastructure Solutions (EIS) contract vehicle.

The solution was to simplify the requirement and issue a competitive Inquiry/Quote/Order solicitation for only the VPNS portion. Although other proposals were received, the Teleguam Holding LLC was found to be the lowest priced technically acceptable proposal. This resulted in the TELH000001EBM award.

7. DETERMINATION OF FAIR AND REASONABLE COST:

The pricing for the overarching IQO Comprehensive Managed Network Services (MNS) infrastructure, including the SIP Trunking circuit and on-premises gateway, was previously evaluated and determined to be fair and reasonable during the initial lowest priced technically acceptable competitive source selection for the TELH000001EBM.

To validate the pricing for this long distance modification, price analysis would be conducted in accordance with FAR 15.404-1, Proposal Analysis. Specifically, the contractor's proposed long-distance per-minute rates will be compared against other published commercial price lists and established market rates. This commercial market comparison will provide the necessary comparative data to assist the Contracting Officer in executing a final determination that the anticipated cost for the long-distance services is fair and reasonable.

8. MARKET RESEARCH:

Market research was conducted to determine if other qualified sources could satisfy this requirement and whether their services could technologically integrate with the existing Managed Network Services (MNS) SIP Trunking circuit without causing an unacceptable duplication of cost.

It has been determined that only the aforementioned long distance service provided by Teleguam Holdings LLC can fully meet the Government’s need and is in the best interest of the agency.

We will continue to monitor the market and will consider full and open competition for future procurements. This market research was conducted between 01 June 2026 and 16 July 2026 and is not more than 12 months old.

9. ANY OTHER SUPPORTING FACTS: N/A

10. LISTING OF INTERESTED SOURCES: None. Market research confirmed that no other commercial sources can provide services that can integrate with the existing Teleguam Holdings LLC’s Managed Networx Services framework for Virtual Private Network Services (VPNS).

11. ACTIONS THE AGENCY MAY TAKE TO REMOVE OR OVERCOME BARRIERS

THAT LED TO THE EXCEPTION TO FULL AND OPEN COMPETITION:

1. Procurement History. Historically, long distance services were provided by MCI Communications Services Inc. (Verizon) under the CSA NXUV003562EBM with a period of performance from October 19, 2017 to May 31, 2026.

2. The existing network environment represents a critical operational challenge for Western Pacific mission readiness. When the legacy Networx contracts expired on May 31, 2026, the transition to EIS hit a severe bottleneck in OCONUS territories like Guam. Because Guam is a pivotal hub for the Indo-Pacific theater (housing vital assets like the Joint Region Marianas, Naval Computer and Telecommunications Station, Finegayan, Orote, and Andersen Air Force Base), the absence of EIS bidding proposals meant that the Navy could not procure standard, pre-competed long-distance and VPNS through the GSA's preferred vehicle. The subsequent pivot to a MNS framework was a logical attempt to bridge the gap, but its insufficiency highlights the difficulty of managing enterprise military communications in OCONUS regions without dedicated, long-term carrier commitments.

3. While full and open competition was considered, market research and technical analysis indicated that introducing alternative systems or attempting to reconfigure the current network would not be compliant and could introduce severe, unacceptable operational risks.

4. Disapproval of this sole-source contract modification could introduce immediate operational risk to NCTS Guam, directly threatening critical command and control communication capabilities across military installations in Guam.
