Rejected work and materials must be promptly removed from the site, which must always be kept in a reasonably clean and neat condition. Failure or neglect on the part of the City Representative to condemn or reject bad or inferior work or materials shall not be construed to imply an acceptance of such work or materials, if it becomes evident at any time prior to the final acceptance of the work by the City Representative. Neither shall it be construed as barring the City at any subsequent time from the recovery of damages of such a sum of money as may be needed to build anew all portions of the work in which inferior work or improper materials were used, wherever found.

15.7 Should it be considered necessary or advisable by the City at any time before final acceptance of the entire work to make examinations of work already completed, by removing or tearing out all or portions of such work, the Awardee shall, on request, promptly furnish all necessary facilities, labor, and material for that purpose. If such work is found to be defective in any material respect, due to the fault of the Awardee or his sub-Awardee, he shall defray all expenses of such examination and of satisfactory reconstruction. If, however, such work is found to meet the requirements of the Award, the cost of examination and restoration of the work shall be considered an item of extra work to be paid for in accordance with a new proposal from Awardee incorporating the Bid Response pricing.

22.1 All changes or alterations will require written approval by the City’s Representative. Special circumstances requiring changes or deviations from the specifications will be brought to the attention of the City’s Representative prior to proceeding.

22.2 All materials and components shall be NEW original manufacturers’ materials or equivalent. The Awardee shall maintain a reasonable inventory of new materials, and components to be readily available to expedite repairs. Used parts or components are not acceptable.

22.3 Awardee shall protect all existing, and newly installed work, materials, equipment, improvements, utilities, structures, buildings, fencing, pipe and underground structures, roadways, and vegetation, (including grass), at all times during the course of work performed under this Award. Awardee shall erect and maintain adequate barricades around all areas where equipment and materials are being stored and used. All grass areas, and/or private property that is damaged while work is under construction shall be restored to its original condition by Awardee. It is recommended the Awardee keep a before and after picture history of work site at no cost to the City. Any property damage caused by or due to the activities of the Awardee, Awardee’s employees, agents, or sub-Awardees during the course of this Award will be immediately restored or replaced to the satisfaction of City’s Representative prior to completion of work at Awardee’s own expense.

22.4 Awardee is responsible for locating all above and underground utility lines that may be affected by the Awardee’s performance. If these utility lines are damaged in any way, it will be the responsibility of the Awardee to have such damage repaired or replaced at Awardee’s expense.

22.5 In case of failure on the part of the Awardee to restore such property, or make good such damage or injury, the City may, upon 48 hour written notice, proceed to repair, rebuild, or otherwise restore such property as may be deemed necessary, and the cost thereof will be deducted from any monies due, or which may become due to the Awardee under this Award.

22.6 The project/work order is not complete until damages that have occurred, if any, have been repaired, and site is cleaned to the satisfaction of the City’s Representative.

22.7. During performance and until final acceptance, the Awardee shall be under an absolute obligation to protect the finished and unfinished work against any damage, loss, or injury. The Awardee shall take proper precaution to protect the finished work from loss or damage, pending completion and the final acceptance of all the work included in the entire award, provided that such precaution shall not relieve the Awardee from any and all liability and responsibility for loss or damage to the work occurring before final acceptance by the City. Such loss or damage shall be at the risk of and borne by the Awardee, whether arising from acts or omissions of the Awardee or others. In the event of any such loss or damage, the Awardee shall forthwith repair, replace, and make good the work without extension of time therefor, except as may be otherwise provided herein. The provisions of this paragraph shall not be deemed to create any new right of action in favor of third parties against the Awardee or the City.

22.8 Awardee shall, always, keep the work site free of all waste, or surplus materials, rubbish, and debris which is caused by Awardee, Awardee’s employees, sub-contractors, or agents or resulting from Awardee’s work.

22.9 Awardee shall provide drop cloths, or any other material necessary to protect floors, walls, furniture, equipment, etc., from soil, or damage.

22.10 Awardee shall be responsible for notifying the City in writing of any conditions detrimental to proper and timely completion of work, including the presence of polychlorinated biphenyls a/k/a PCBs and Asbestos. The Awardee shall not proceed with work until unsatisfactory conditions have been corrected in a manner acceptable to the Awardee and the City. Materials supplied by Awardee shall be Asbestos-free.

22.11 During progress of the work, other Awardees may be engaged in performing other work on the job site. In that event, the Awardee shall coordinate the work to be done with the work of such other Awardees in such a manner as the City’s Representative may direct.

23.

TOOLS AND EQUIPMENT REQUIREMENTS:

Awardee is required to own, and/or lease their vehicles, and all the related tools, and equipment. Service vehicles are to be clearly marked with company information.

24.

INVOICING/COMPLETION OF WORK/PAYMENT

24.1 An invoice can only reference one work order and one purchase order number. Payment for partial shipments shall not be made unless specified. Invoices which do not reference valid work order and purchase order number, or which are erroneous (incorrect bid Award prices, minimum order charges, etc.) shall be returned to the Awardee for resolution of the discrepancies. It is the sole responsibility of the Awardee to reconcile the work order and purchase order and the Awardee’s invoice and to notify the City’s Representative of any discrepancies prior to billing. The City Representative will only pay the dollar amount authorized and acceptance of work completed on the Work Order.

24.2 All work orders must be inspected by the City’s Representative before payment is made. When the work has been completed, the Awardee shall make a written request for inspection to the City’s Representative. The inspection shall occur within 5 days of such request. The work will be deemed complete if upon inspection, the City’s Representative finds no work remains to be done. If there is remaining work, upon completion the Awardee shall request re-inspection. If the work is done, the work shall be deemed completed on the date of re-inspection, which shall be the date of final acceptance. Upon completion of each work order, the Awardee shall submit the following information:

· Date and time the work was initiated and completed

· Actual hours used to perform the work (by category of personnel, where applicable)

· Invoices shall only reflect actual work hours performed onsite and rounded up to the nearest 1/10 of an hour.

· Request for final inspection and Awardee’s certification that the work has been completed

· A detailed breakdown of the materials used to complete the work

· Copies of invoices from suppliers and/or sub-Awardees for cost plus charges

· Warranty information

· All receipts for materials and/or Awarded services

· Photographic records of work performed as set forth herein

· Additional documentation as may be required by the City’s Representative.

· Awardee’s name

· Invoice number

· Purchase order number

24.3 Partial payments for a particular work order may be made at the sole discretion of the City’s Representative and work provided under a work order is at least 50% completed. The determination of 50% completion shall be as judged by the City’s Representative. Upon such request for partial payment, the Awardee shall deliver, prior to payment, to the City’s Representative a written, certified statement, in satisfactory form, indicating 50% completion and showing in detail all amounts paid and all amounts then due and unpaid by the Awardee to sub-Awardees, laborers, workmen, or to others for materials, equipment or supplies delivered at the job site during the period covered by the payment under consideration. No partial payment shall be construed to be accepted by the City Representative of any portion of the work under this Award.

24.4 The City Representative may withhold from the Awardee as much as any approved payments to Awardee as may, in the opinion of the City Representative be necessary to secure (a) just claims of any persons supplying labor or materials to the Awardee or any of Awardee’s sub-Awardees for the work then due and unpaid; (b) loss due to defective work not remedied, or (c) liability, damage, or loss due to injury to persons or damages to the work or property of other Awardees, sub-contractors, or others, caused by the act or neglect of the Awardee or of any of Awardee’s sub-Awardees. The City shall have the right, as agent for the Awardee, to apply any such amount so withheld in such manner as the City may deem proper to satisfy such claims or to secure such protection. Such application of such money shall be deemed payments for the account of the Awardee.

24.5 The City Representative shall make final payment to the Awardee on a particular work order when the City’s Representative has accepted the work as fully completed and shall pay the Awardee the entire amount so found due thereunder after deduction of all previous payments and all percentages and amounts to be kept and retained under provisions of this Award; provided, however, and it is understood and agreed that, as a precedent to receiving final payment, the Awardee shall submit to the City Representative a sworn affidavit and release, in a form acceptable to the City Representative, that all bills for labor, service, materials, and sub-Awardees have been paid and that there are no suits pending in connection with this work.

24.6 The acceptance by the Awardee, or by anyone claiming by or through Awardee, of the final payment shall operate as and shall be a release to the City and every officer and agent thereof from any and all claims and liability to the Awardee for anything done or furnished in connection with the work or project and for any act or neglect of the Awardee or of any others relating to or affecting the work. No payment, however, final, or otherwise, shall operate to release the Awardee from any obligations under this Award.

25.

MONETARY DEDUCTIONS FOR NON-COMPLIANCE

Awardee acknowledges that time is of the essence to complete the work as required under this Award with the City. Awardee agrees that all work shall be prosecuted diligently and uninterrupted at such a rate of progress as will ensure full completion thereof within the contractually required time. Should the Awardee neglect, fail, or refuse to complete the work within the time specified in each and every work order, then the Awardee shall pay to the City the daily monetary deduction(s) sum of $100.00 for each and every calendar day that the Awardee fails to complete the work within the time stipulated in each and every work order, not as a penalty but as a monetary deduction for breach of Award as set forth herein.

26.

EXTENSIONS OF TIME

26.1 Awardee shall be entitled to an extension of time for delay in completion of the work should the Awardee be obstructed or delayed in the commencement, prosecution or completion of any part of said work by any act or delay of the City, or by acts or omissions of other Awardees on the particular project, or by a riot, insurrection, war, pestilence, acts of public authorities, fire, lightning, hurricanes, earthquakes, tornadoes, floods, extremely abnormal and excessive inclement weather as indicated by the records of the local weather bureau for a five-year period preceding the date of the Award, or by strikes, or other causes, which causes of delay mentioned in this section, in the opinion of the City, are entirely beyond the expectation and control of the Awardee.

26.2 Awardee shall, however, be entitled to an extension of time for such causes only for the number of days of delay which the City may determine to be due solely to such causes and only to the extent that such occurrences actually delay the completion of the project. It is hereby understood that the determination by the City’s Representative as to the order and sequence of the work shall not in itself constitute a basis for extension of time.

26.3 Delays caused by failure of the Awardee's materialmen, manufacturers, and dealers to furnish approved working drawings, materials, fixtures, equipment, appliances, or other fittings on time or failure of subcontractors to perform their work shall not constitute a basis of extension of time.

26.4 Awardee agrees to make no claim for damages for delay in the performance of this Award occasioned by any act or omission to act of the City or any of its representatives or because of any injunction which may be brought against the City or its representatives and agrees that any such claim shall be fully compensated for by an extension of time to complete performance of the work as provided herein.

27.

LOCATIONS/SYSTEMS

27.1 On the Price Page for New Installation, Repair, and Replacement service, Bidder shall provide standard, and non-standard labor rates to perform work as requested, and approved by the City Representative. The quoted labor rates shall include all tools and equipment necessary to complete the work as required herein and also include all applicable, Federal, State, and County taxes, travel time, tolls, mileage, along with profit, and overhead, and any other expenses including, but not limited to, administrative charges.
