About this file
This is a Federal Supply Schedule (FSS) Sole Source Justification document dated March 25, 2026, for the U.S. Securities and Exchange Commission (SEC) Office of the Inspector General (OIG).
The SEC OIG requires software maintenance and cloud hosting services from Wolters Kluwer Financial Services for the TeamMate+ audit management platform. The specific services include: TeamMate+ Audit Software Perpetual Maintenance, TeamMate+ TeamCloud Hosting FedRAMP Annual Subscription Service, TeamMate+ TeamCloud Hosting FedRAMP Setup (one-time), TeamMate+ Data Exchange API Annual Subscription, and TeamMate+ Reporting Online Service API Annual Subscription. The acquisition is structured as one base year with four option years and falls below the simplified acquisition threshold. The requirement justification cites 41 U.S.C. 152(3) and GSAM/R Subpart 538.7104-3(b)(1)(ii), establishing that only one source is capable of providing these unique, highly specialized products and services.
Wolters Kluwer is the sole manufacturer of the TeamMate product suite and the only provider of required support and maintenance. The OIG Office of Audit currently operates 35 perpetual licenses used for mission-critical audit work with records retention requirements of at least ten years. The justification indicates that the OIG must migrate from on-premises servers to a FedRAMP SOC Type 2-certified cloud environment to comply with the Federal Cloud First Policy. Market research identified that Wolters Kluwer has an exclusive licensing agreement with Carahsoft Technology Corp., the reseller offering services under GSA Multiple Award Schedule Contract Number 47QSWA18D008F. The Contracting Officer has certified that Carahsoft, via this GSA MAS contract, is the only reasonably available source to meet the SEC's requirements due to the exclusive licensing agreement with the manufacturer.

SEC Internal Use Only
Federal Supply Schedule (FSS) Sole Source Justification
JUSTIFICATION LOG NUMBER: 2026-0010
REQUISITION NUMBER: 67000-26-0002
AUTHORITY: 41 U.S.C. 152(3)
DATE: March 25, 2026
Per 41 U.S.C. 152(3) and General Services Administration Manual/Regulation (GSAM/R) Subpart 538.7104-3(b)(1)(ii) Only one source is capable of providing the products, services, or solution required at the level of quality required because the products, services, or solutions are unique or highly specialized.
Requirement:
The U.S. Securities and Exchange Commission (SEC) Office of the Inspector General (OIG) has a requirement for the following services from Wolters Kluwer Financial Services:
TeamMate+ Audit Software Perpetual Maintenance TeamMate+ TeamCloud Hosting FedRAMP Annual Subscription Service TeamMate+ TeamCloud Hosting FedRAMP Setup (One-Time) TeamMate+ Data Exchange API Annual Subscription TeamMate+ Reporting Online Service API Annual Subscription
Wolters Kluwer is the sole manufacturer of the TeamMate product suite and the only company that provides support and maintenance of TeamMate Plus software required for OIG to maintain its mission critical work.
The TeamMate+ software provides project management specifically tailored to meet the needs of SEC OIG auditors and managers to effectively plan, manage, and maintain ongoing and future projects in one central area. It allows online collaboration among staff members and centrally maintains the records in a secure manner.
The OIG Office of Audit has an ongoing need for the TeamMate+ audit software, and therefore the software maintenance. The Office of Audit currently uses this proprietary software for open and existing records. OIG previously purchased the 35 perpetual licenses and invested to migrate the software from Teammate to Teammate+ using “on-prem” servers. The records must also be maintained and available for at least ten (10) years based on records management policies and procedures..
Additionally, the Office of Audit must migrate the system of record from the current TeamMate+ environment to TeamCloud in order to comply with the Federal Cloud First Policy, per CIO.gov. OIG shall continue its use of the TeamMate+ software by transitioning from licenses, support and
U.S. Securities and Exchange Commission maintenance tied to SEC-provided infrastructure technology to a Federal Risk and Authorization Management Program (FedRAMP) Service Organization Controls (SOC) Type 2-certified cloud-hosting environment. This is a secure and available solution which has been independently verified and is additionally subject to continuous monitoring. Cloud services reduce OIG's need for SEC OIT infrastructure, hardware, IT staff and contractor services and reduces OIG IT staff support and administrative requirements. The move to a FedRAMP-approved cloud provider continues the OIG investment in a system that allows it to increase its independence from the SEC’s resources while also meeting federal IT mandates and maintaining a high state of security. The Wolters Kluwer Financial Services, Inc TM+ cloud-hosting environment and solutions have been independently verified and are additionally subject to continuous monitoring. This solution will enable OIG to have access to their current files on prem files as they migrate to the cloud
Market research found that Wolters Kluwer has an exclusive licensing agreement with Carahsoft Technology Corp., to offer the required software maintenance under GSA Multiple Award Schedule (MAS) Contract Number 47QSWA18D008F. This contract is located on Wolters Kluwer’s website, according to the Market Research Report. Per RFO Subpart 12.200(a), if commercial products or commercial services that meet agency needs are available from any priority source, including the Federal Supply Schedules, the agency must consider procuring from that source. The current requirement is for one base year and four option years with an estimated value of which is below the simplified acquisition threshold of RFO Part 12.
