About this file

This document is a Justification and Approval (J&A) for other than full and open competition issued by the Naval Air Systems Command (NAVAIR) for a sole-source IDIQ contract award to Lockheed Martin Corporation (LMC) of Valley Forge, Pennsylvania.

The J&A supports a 5-year IDIQ contract (February 2025 through January 2030) for Tactical Tomahawk Weapon Control System (TTWCS) hardware and software system updates and sustainment. The scope includes classified software development, automated testing, integration of software fixes, resolving current issues in TTWCS versions, addressing software/hardware obsolescence, resolving defects, cyber security engineering, and sustainment of in-service versions. LMC was selected as the sole source contractor based on their unique knowledge and experience as the original developer of TTWCS since 1999 (contract N00019-99-C-0049). A sources sought announcement released on November 15, 2022 received one response from Towers Iraq Company Trading & General Contracting, which was deemed not capable. The J&A cites 10 U.S.C. 3204(a)(1) as the authority, noting that using another source would result in unacceptable delays due to facility setup, security accreditation, and training requirements. The period of performance for individual orders may extend through January 31, 2031.

JUSTIFICATION AND APPROVAL

FOR USE OF OTHER THAN FULL AND OPEN COMPETITION

1. Contracting Activity.

Naval Air Systems Command (NAVAIR) Headquarters

2. Description of the Action Being Approved.

Award of an Indefinite Delivery Indefinite Quantity (IDIQ) contract on a sole-source basis, to Lockheed Martin Corporation (LMC) of Valley Forge, Pennsylvania, to support Tactical Tomahawk Weapon Control System (TTWCS) hardware and software system updates and sustainment of in-service versions, as well as alignment with Tomahawk missile modernization to include new capabilities.

3. Description of Supplies/Services.

Supplies/services includes classified software development, automated test, integration of software fixes, resolve current issues in TTWCS versions, address software and hardware obsolescence, resolve defects, address cyber security engineering requirements, and the sustainment/maintenance of in-service TTWCS versions. Improvements may include modular enhancements related to the continued evolution of TTWCS capabilities; enhancements to improve software performance, suitability, reliability, and maintainability; user interface enhancements, and corrective changes to fix defects. TTWCS software integration and test events are Government led and supported by LMC as a software provider for the TTWCS computer software configuration items. The planned ordering period of this IDIQ contract is 01 February 2025 through 31 January 2030. The anticipated period of performance of individual orders issued under the IDIQ is not expected to exceed beyond 31 January 2031.

The acquisition is anticipated to be funded as set forth in the table below.

4. Statutory Authority Permitting Other Than Full and Open Competition.

10 U.S.C. 3204(a)(1), Only one responsible source and no other supplies or services will satisfy agency requirements.

5. Rationale Justifying Use of Cited Statutory Authority.

In accordance with Federal Acquisition Regulation (FAR) 6.302-1(a)(2)(ii), the additional quantity of supplies and services being procured through this follow-on contract action have been deemed to be available only from the original source because award to any other source would result in unacceptable delays in fulfilling the agency’s requirements.

As a result of a competitive procurement for the TTWCS engineering, development, and production contract in 1999, LMC was selected as the contractor on all TTWCS hardware and software design, development and system implementations under contract N00019-99-C-0049.

As the designer and developer for the initial TTWCS version and upgrades, LMC is the only contractor with the unique knowledge, experience, technical expertise, and understanding of the TTWCS design and system architecture to perform upgrades to TTWCS. Additionally, the Government would by procuring these requirements from another source. The is estimated for activities associated with setup and accreditation of classified facilities, and the time required to hire and train TTWCS software technical experts so that they can gain the knowledge unique to TTWCS software to adequately develop and integrate solutions to fleet issues. The schedule delay is based on estimates from program office subject matter experts with experience on the TTWCS program. TTWCS software now contains over Source Lines of Code (SLOC), which has evolved over of on-going development and modifications to support Fleet requirements and has resulted in current fielded Fleet TTWCS versions and configurations. Supporting fielded systems and meeting the current TTWCS deployment schedule is dependent upon utilizing the existing LMC technical team’s in-depth TTWCS design and development experience. Therefore, use of another source would result in unacceptable delays in fulfilling the agency’s requirements.

6. Description of Efforts Made to Solicit Offers from as Many Offerors as Practicable.

A sources sought announcement was released on SAM.gov on 15 November 2022. The Government received one response from Towers Iraq Company Trading & General Contracting. However, the respondent was determined not to be capable of meeting the Government’s requirements. Notification was sent to the respondent and no further communication has been received.

In accordance with FAR 5.20l(b), this requirement was synopsized on the SAM.gov website on 1 February 2023. No responses were received. No additional market research was conducted because it is not practicable, for the reasons discussed in paragraph 5 above, for any company other than LMC to provide the required supplies and services.

7. Determination of Fair and Reasonable Cost.

The Contracting Officer has determined the anticipated cost to the Government of the supplies/services covered by this J&A will be fair and reasonable.

8. Actions to Remove Barriers to Future Competition.

For the reasons set forth in paragraph 5, NAVAIR has no plans at this time to compete future contracts for the supplies and support covered by this document because all TTWCS software versions are dependent on prior versions and their development periods overlap, which requires knowledge over all versions of TTWCS software. If another potential source emerges resulting from a sources sought or market research, NAVAIR will assess whether competition for future requirements is feasible. As this is a follow-on for supplies and services previously awarded on a non-competitive basis, in accordance with DFARS PGI 206.304(a)(S-70)(i), the prior J&A was provided to the approval authority for review.

Approval of this J&A signifies the approval authority has made the determination required by DFARS PGI 206.304(a)(S-70)(ii).
