JUSTIFICATION AND APPROVAL

FOR USE OF OTHER THAN FULL AND OPEN COMPETITION

1. Contracting Activity

Naval Air Warfare Center Training Systems Division (NAWCTSD) Orlando, FL

2. Description of Action Being Approved This justification and approval authorizes on a sole source basis the issuance of a Firm-Fixed-

Price contract for classroom, simulator, and simulator training for the Navy T-44C ProLine21 (a

Navy configured King Air C-90 with ProLine 21) aircraft to CAE USA, Inc. 4908 Tampa West

Blvd, Tampa, Florida 33634- 2411 (current contractor under contract N61340-14-C-0005).The period of performance will be 01 October 2020 to 31 March 2028, if all six months of the

52.217-8 Option to Extend Services clause are utilized.

3. Description of Supplies/Services

The contractor will provide initial training for student pilots for the Chief of Naval Air Training

(CNATRA) at Corpus Christi, TX. The contractor is required to provide all labor, equipment, training devices, and other services necessary for classroom and simulator training for the Navy

T-44C ProLine21 (a Navy configured King Air C-90 with ProLine 21) aircraft. The current contract ends on 30 September 2020 and the new contract must be in place to continue training on 01 October 2020.

4. Statutory Authority Permitting Other Than Full and Open Competition

10 U.S.C. 2304(c)(1), Only one responsible source and no other supplies or services will satisfy agency requirements.

5. Rationale Justifying Use of Cited Statutory Authority In accordance with FAR 6.302-1(a)(2)(iii), classroom, trainer, and simulator training is deemed to be only available from CAE for this follow-on contract. Award to any other source would result in substantial duplication of cost to the Government unrecoverable through competition.

The current contract, N61340-14-C-0005, is a competitively awarded effort that requires CAE to provide simulators that satisfy both Navy and FAA specifications for the express purpose of delivering Navy T-44C training. As a result, CAE made a significant capital investment of approximately to acquire the simulators, of which was amortized over the

J&A Number: 20-0102 performance period of the current contract. While other sources possess simulators of similar

King Air models to the T-44C, no other sources possess a simulator that aligns to the T-44C configuration specifically. All training must occur onsite in Corpus Christi due to CNATRA pilot production requirements. Thus, another source would need to design, build, test, install and house T-44C simulators at the schoolhouse in Corpus Christi. Additionally, because the

Government plans to replace the T-44C aircraft in the next 7 years, the Government anticipates that any contractor performing these services would likely try to recover the cost of training devices during this final T-44C training services contract. As the current contract was competitively awarded and no significant changes have occurred in the simulator industry that would reduce the cost of acquiring the T-44C simulators, the government estimates that any alternate source would incur no less than a comparable capital investment to provide these services. With escalation since the current contract’s inception, it is estimated that the cost of acquiring these T-44C simulators today would be approximately . The navy has no T-44C training requirements beyond the divestiture of the T-44C aircraft in 2027. Further, absent any industry feedback indicating otherwise, although given two opportunities to provide such information as discussed in section 6 below, the government is unaware of T-44C training requirements outside of the navy, which would potentially support longer amortization of the necessary capital investment. As there is no anticipated training value past the remainder of the

T-44C aircraft’s planned fleet life of 2027, the government would not recover the amortized cost of the T-44C simulators through competition, and would likely incur an additional in increased cost due to escalation. Therefore, an alternate source would likely result in an estimated duplication of cost that would not be recovered through competition.

6. Description of Efforts Made to Solicit Offers from as Many Offerors as Practicable To comply with PGI 206.302-1, the Government conducted market research of known King Air training providers. The Government also posted a Sources Sought Notice on 06 November 2019 to the Navy Electronic Business Opportunities (NECO) portal notifying interested parties to identify their interest and capability to respond to the requirement. Responses were requested by

06 December 2019; however, no responses were received apart from CAE, the incumbent. In accordance with FAR 5.201, the PCO issued a pre-solicitation notice to Contract Opportunities via Beta.SAM.gov on 16 April 2020. The intent of the notice was to ensure full consideration is given to all potential sources. No responses were received. The lack of any response to these outreach efforts confirms the assertion that no source other than CAE will satisfy the agency requirements. The PCO will address any responses received prior to contract award.

Furthermore, a synopsis with a redacted copy of the J&A will be published through the

Government-wide point of entry (GPE) in accordance with special documentation requirements in FAR Subpart 6.305.

7. Determination of Fair and Reasonable Cost

In accordance with FAR 15.402, the Contracting Officer shall ensure that all supplies and services pursuant to this J&A are procured at a fair and reasonable price. Upon approval of this justification, the contractor will be requested to provide a detailed cost proposal identifying each individual cost element for specific Government requirements, to include validation that the amortization methodology is consistent with the known previous approach. The cognizant

Contract Specialist will utilize the information submitted to perform a thorough cost evaluation.

In addition, further information deemed necessary to perform a cost analysis would be requested.

The Contract Specialist will incorporate the advisory input of the Project Engineer, Project

Manager, Defense Contract Management Agency (DCMA), and the cognizant Defense Contract

Audit Agency (DCAA) Auditor as applicable. A Certificate of Current Cost or Pricing Data will be requested from the contractor, as required. Finally, a price analysis will be conducted for this effort.

8. Actions to Remove Barriers to Future Competition

For the reasons described in paragraph 5, NAVAIR has determined competing this requirement to be impractical and has no plans at this time to compete future contracts for the types of supplies/services covered by this document. If another potential source emerges, NAVAIR will assess whether competition for future requirements is feasible. Information concerning the entire Navy's T-44C models' training requirements is announced at the Training and Simulation

Industry Symposium, held at least once a year. Should additional training sources become available, the contracting office may elect to forego the exercising of this contract's option(s) and re-compete the requirement, if this course of action is determined to be in the Government's interest. Further, as this is end-of-life for the T-44C aircraft, the follow on replacement aircraft acquisition strategy envisions a fully competitive solution, to include the Ground Based Training requirements.
