About this file

This is a Class Justification and Approval (CJ&A) document for a sole-source contract with Industrial, Smoke and Mirrors (ISM) to refresh technology for the T-45 Training Systems at Naval Air Stations in Kingsville, Pensacola, and Meridian. The contract, valued at approximately $39M, will replace obsolete control loading systems, cockpits, and cockpit seats for T-45 Operational Flight Trainers (OFTs). Specific procurement activities include new control loading systems, cockpit hardware and wiring, cockpit seats, installation, support, testing equipment, technical documentation updates, and user/maintenance training.

The procurement is being executed under 10 U.S.C. 2304(c)(1) as ISM is the original equipment manufacturer, and replacing the systems with another contractor would require a complete redesign costing approximately $39M. The Navy conducted market research through sources sought notices and pre-solicitation notices but found no alternative sources capable of meeting the technical requirements. The contract expires on 30 September 2026, and while the Navy has no immediate plans to compete future contracts, they will assess feasibility if another potential source emerges.

4. Statutory Authority Permitting Other Than Full and Open Competition.

10 U.S.C. 2304(c)(1), Only one responsible source and no other supplies or services will satisfy agency requirements.

5. Rationale Justifying Use of Cited Statutory Authority.

ISM is the Original Equipment Manufacturer (OEM) of the existing T-45 OFT control loading systems within the suite of the aforementioned T-45 OFTs located at NAS Kingsville and NAS Pensacola. The existing ISM control loading systems in the T-45C OFTs require replacement of hardware and software in order to address hardware obsolescence.

While the control loading systems, cockpits, and cockpit seats may be available through other contractors, a change to a contractor other than ISM will require a complete redesign of the OFT to incorporate a new control loading system and require additional modifications to the Host computer and functional IOS software, thus causing a substantial duplication of costs.

The engineering cost estimate for ISM to complete the aforementioned upgrades is approximately as depicted in the funding table above. The engineering cost estimate for another contractor to deliver the upgrades is approximately $39M, in which a new contractor would be required to completely replace and develop a new hardware and software baseline as well as the technical data and drawings. Therefore, in comparison with the engineering estimate

8. Actions to Remove Barriers to Future Competition.

This is a one-time need to meet the aforementioned requirements brought on due to the desire to update the ISM obsolete control loading systems, cockpits, cockpit seats, hardware, and software to maintain current and supportable hardware that is sufficient to meet the requirements set forth by CNATRA and will minimize integration with the current 2F138E and 2F205A configuration.

For the reasons set forth in Paragraph 5, NAWCTSD has no plans at this time to compete future contracts for the types of supplies/services covered by this document. If another potential source emerges, NAWCTSD will assess whether competition for future requirements is feasible.
