About this file

This is a Statement of Work template used by the Health Policy Commission (HPC), a Massachusetts state agency within the Executive Department, to formalize contracts with selected vendors following a Request for Quotes process. The template establishes the framework for service agreements where contractors provide specified services as detailed in their RFQ responses, with the HPC maintaining oversight of work streams and deliverable formats. The contract structure incorporates the Commonwealth's Standard Contract Form and Terms and Conditions, the original RFQ, this SOW, and the contractor's response in order of precedence. Key personnel must be designated and approved by the HPC, with two-week notice required for non-emergency personnel changes, and all work must comply with Massachusetts conflict of interest laws including mandatory training requirements.

Payment is structured on an hourly rate basis with a maximum obligation amount, where rates include all materials, expenses, travel, communications, overhead, and ancillary charges billed in actual time increments. Contractors must provide written notice when reaching 50% and 75% of the maximum obligation amount and cannot proceed without HPC acknowledgment. The agreement includes comprehensive confidentiality requirements and establishes that all work products become HPC property as "works made for hire," though contractors retain rights to pre-existing intellectual property and methodologies. The template allows for standard Commonwealth billing procedures and includes provisions for contract termination with certain sections surviving termination.
