Draft Statement of Work
The U.S. Securities and Exchange Commission (SEC) requires an online service that provides full text news, public records, legal resources, and company and financial information. Information sources shall include a wide range of electronic sources and services as described below.
I. Content
The content shall include information resources in the following categories:
• Legal information, e.g., federal and state case law; federal and state legislation, statutes and administrative rules, regulations, and guidance; law reviews; legal directories; legal dictionaries; legal forms; and treatises;
• Financial content, e.g., company profiles and reports, annual reports and SEC filings, market research, and analyst reports;
• News and business content, e.g., domestic and foreign newspapers, newswires, periodicals, research reports, and public filings;
• Public records, e.g., business records, real and personal property assets, adverse filings, U.S. Postal data, U.S. Census Bureau data, voter registration records, telephone directories, county and city tax assessors’ rolls;
• PersonNet databases for 12 users.
Content available through this service shall fall into one of two categories:
• Included Content - Access to this content must be Commission-wide, with unlimited, fixed-price use. It shall include Westlaw Core, and the Analytical, Litigation, and Public Records collections. West shall provide to the Contracting Officer or Contracting Officer’s Representative, notice in advance of any credentialing/re-credentialing requirement for use of public records.
• Ancillary Content - Ancillary databases are billed on a transactional basis and therefore are excluded from the SEC’s annual firm, fixed-price contract. Access to ancillary databases shall be available to a limited number of users at the SEC’s discretion.
Before using each one of the ancillary databases, SEC staff shall be advised by a warning message appearing on the computer screen that additional charges will be incurred.
West shall provide notice to the contract point of contact of all anticipated price increases for all databases during the contract year. Third party vendor contract price increases may be passed through to eligible SEC users upon notice to the SEC – costs will not exceed the NTE funding in the CLIN during the contract year. Upon expending 80% of funding, the contractor must notify the SEC. Approval must be granted before incurring any additional costs. All costs over the NTE amount shall be compiled and presented to the SEC before the start of the next period of performance.
II. Functionality
The online service shall include the following functional features:
• West Key Number and KeyCite Systems;
• Annotated statutes and regulations;
• Direct gateway to Delaware’s Secretary of State computer system;
• Access to the service via smartphone and other personal digital assistant devices
(PDAs);
• WestSearch;
• Personalization options, e.g., the ability to choose default sources to be searched and folder sharing;
• Alert feature providing automatic updating of saved searches;
• Download, print, save, and e-mail capability for handling search results.
III. Usage Reports
The vendor shall provide the SEC with two monthly reports, delivered within 30 days of the end of the month being reported. The reports shall be in Excel format. Separate monthly reports shall be generated for fixed rate, ancillary and excluded services. Each report shall include the following information:
• The total number of active users that month, the total amount of database search time for all users, the total number of documents accessed and the total charge.
Annually a 12-month aggregated report shall be furnished to the SEC, three months prior to the contract renewal date.
• User name, database name, amount of database search time, number of documents accessed, and the total charge.
The vendor shall provide special reports as requested by the SEC throughout the period of the contract. At a minimum, the vendor shall provide the following reports semi-annually:
• Unique IDs not used within a specified period;
• All assigned ID holders;
• The top 100 most frequent users.
IV. Training, Customer Support, and Password Management
The vendor shall provide training to all Commission staff nationwide upon request. The vendor shall advise the COR, in advance, of all training (including marketing) visits to any SEC location. The vendor shall provide a variety of training options to staff nationwide, including on-site individual or group training, telephonic training, web conferences, or self paced e-learning modules.
The vendor shall provide customer support 24 hours a day, 7 days a week, 365 days a year, via a toll-free number. Customer support staff shall provide assistance with legal and business research, and with technical support.
The vendor shall provide a password management tool for the use of designated library staff to manage requests for IDs, including new IDs, ID changes, and ID cancellations.
