4. Identification of the authority:
41 U.S.C. 1901, using SAP up to $7.5M as authorized by FAR 13.500(a) and implemented by FAR 13.501(a).
5. Demonstration that the proposed contractor’s unique qualifications or the nature of the acquisition requires use of the authority cited:
Only one source:
Rationale: ESI Equipment, Inc. is the sole authorized distributor of SpaceKap products and the identified upfitter capable of fully servicing the USSS’s requirements. Using the authorized distributor to achieve a total solution for SpaceKap bed caps and upfitting services provides significant operational advantages, ensuring seamless integration, and efficiency. The proposed contractor has extensive experience in providing both SpaceKap products and upfitting services for other USSS vehicles, ensuring a high level of expertise and familiarity with the specific vehicles and upfitting needs. This familiarity minimizes the risk of issues during installation and ensures that vehicles are upfitted in a timely manner with minimal disruption. Ultimately, this approach will result in upfitted vehicles that support AHB personnel in performing their mission effectively and without unnecessary delays.
Brand Name: SpaceKap brand name required.
Rationale: The USSS/TSD/AHB requires the procurement of SpaceKap RRU Model 644 and SpaceKap RRU Model 853 bed caps due to the unique features and operational advantages they provide for this critical mission. SpaceKap bed caps are a versatile, durable, and cost-effective solution that transform full-size pickup trucks into secure, fully customizable mobile workspaces. These bed caps offer unparalleled transferability, security, and efficiency in a way that traditional bed caps cannot.
SpaceKap bed caps are constructed from fiberglass, which enhances durability by preventing rust and corrosion, making them ideal for demanding work environments. The design of the SpaceKap allows for seamless integration of specialized storage systems and other mission-essential upfitting components. This ensures that mission-critical operations are not interrupted and remain functional under the most challenging conditions.
TSD/AHB can leverage the modular design of the SpaceKap system, which allows the unit to be removed from one vehicle and reused on a different chassis, a process commonly referred to as a 're-chassis'. This capability significantly extends the lifespan of the system beyond the service life of the original vehicle. Given the 24/7/365 nature of TSD/AHB response, the vehicle chassis is often the first component that requires replacement. By reusing the SpaceKap system, the government will realize substantial cost savings compared to other systems that are permanently fixed to a vehicle and cannot be transferred to a new chassis.
Furthermore, the SpaceKap system is compatible with a range of vehicles, including Ford, Chevy, and GMC medium and heavy-duty pickup trucks. This compatibility provides flexibility, enabling the government to select the most cost-effective vehicle at the time of replacement
The unique capabilities and advantages of the SpaceKap bed caps are essential to meeting the operational requirements of this mission. Without this specific product, the mission’s effectiveness and efficiency would be significantly hindered, and the Government would incur unnecessary costs, delays, and operational inefficiencies.
Exclusive Licensing Agreement/Restrictive Rights/Authorized Reseller:
Rationale: Due to the requirement for the proposed contractor to provide brand name SpaceKap bed caps and vehicle upfitting services, ESI Equipment, Inc. was identified as the only commercially available source capable of fulfilling the Government's total requirement. This statement is supported by a signed sole source letter from SpaceKap that confirms ESI Equipment, Inc. as the sole authorized distributor of SpaceKap products.
6. Description of efforts made to ensure that offers are solicited from as many potential sources as is practicable, including whether a notice was or will be publicized as required by FAR Subpart 5.2 and, if not, which exception under FAR 5.202 applies:
In accordance with FAR 52.201, a notice of the proposed contract action of the USSS’ intent to sole source this requirement will be posted on SAM.gov, redacted as necessary. In accordance with FAR 5.301, a notice of contract award will be posted on SAM.gov. In accordance with FAR 13.501(a)(iv), a copy of the sole source justification will be provided with the solicitation
7. Determination by the contracting officer that the anticipated cost to the Government will be fair and reasonable:
Simplified Procedures for Certain Commercial items for procurements exceeding the Simplified Acquisition Threshold (SAT)
SSJ No: FY25-198 Page 3 of 4
The contracting officer determines that the anticipated price(s) will be fair and reasonable based on one or more of the price analysis techniques described below in accordance with FAR Part 13.106-3(a)(2)
Market Research;
Comparison of the proposed price with prices found reasonable on previous purchases;
Current price list;
Comparison to Independent Government estimate;
Anticipated costs for this requirement were derived from budgetary estimates received from industry, reviewing online published pricing at SpaceKap’s website, and reviewing previous acquisitions pricing determined fair and reasonable (accounting for inflation since time of award). With the budgetary estimate, online published pricing, and similar acquisition history pricing, the USSS/TSD/AHB developed an Independent Government Cost Estimate (IGCE) for the requirement. The IGCE will be the primary source for determining proposed pricing to be fair and reasonable.
8. Description of market research:
Market research was conducted from February 2025 – April 2025. Market research results indicate that general vehicle upfitting services are widely available from multiple contractors in the commercial marketplace. However, while these services are commercially available, the Government's requirement includes specific needs that can only be met by contractors authorized to procure and provide brand-name SpaceKap bed caps. SpaceKap bed caps are required for this procurement due to their unique re-chassising capabilities (features not found in similar commercial products) as well as their ability to meet strict height requirements necessary for full operational use in all intended environments. Through market research efforts, the USSS TSD has identified a single source capable of providing the required brand-name SpaceKap bed caps along with all vehicle upfitting needs outlined in the Performance Work Statement (PWS).
9. Any other facts supporting the justification:
The requirement cannot be modified to increase competition because the SpaceKap bed cap system is uniquely designed to support the Government’s need for a modular, transferable, and weather-resistant mobile workspace that integrates all mission-essential upfitting into a single unit. This design allows the entire upfitted cap to be removed and re-installed onto another vehicle chassis (a capability not offered by traditional bed caps or other commercial solutions). ESI Equipment, Inc. is the sole authorized distributor of SpaceKap products for the NCR region and the only vendor able to provide both the product and required upfitting services in a fully integrated manner. Attempting to procure the SpaceKap from one vendor and upfitting from another would extend timelines and could potentially result in compatibility issues that would compromise mission readiness.
Failure to procure from the proposed source would result in operational impacts, including delayed deployment of new upfitted vehicles, reduced ability for AHB personnel to respond quickly to operational or emergency situations, and the potential inability to meet strict height requirements critical to mission performance. Additionally, procuring a different system would eliminate the cost-saving benefit of SpaceKap’s reusability (re-chassis capability), likely resulting in increased long-term costs due to the need for full re-upfitting each time a vehicle reaches end-of-life.
10. A listing of the sources, if any that expressed, in writing, an interest in the acquisition:
None.
11. A statement of the actions, if any, the agency may take to remove or overcome any barriers to competition before any subsequent acquisition for supplies or services required:
The USSS/TSD/AHB will continue to conduct ongoing market research to identify alternative, cost-effective solutions capable of meeting program requirements. To enhance future competition, the Government intends to revise any overly restrictive technical specifications, obtain necessary data rights, or pursue other viable strategies. Additionally, the USSS has published an Acquisition Planning Forecast on the DHS Acquisition Planning Forecast System (APFS), a portal designed to inform businesses (particularly small businesses) of upcoming contract opportunities. At this time, the Government has not received any expressions of interest from vendors regarding this procurement.
12. USSS intends to post the requirement pursuant to FAR 13.501(a)(1)(iii) and FAR 13.501(a)(1)(iv).
