I. Contracting Activity.

This document constitutes justification and approval for use of other than full and open competition for the acquisition described herein, under the authority of FAR 13.501(a). This acquisition is being issued by the 502d Contracting

Squadron/JBKAA, on behalf of the 502d Civil Engineering Group (502 CEG), JBSA Lackland, TX.

II. Nature and/or description of the action being processed.

Based on the circumstances listed below, the requirement is being acquired as a new contract using other than full and open competition for a firm-fixed price requirements type contract. The proposed sole contractor is Johnson Controls

Inc., 326 West Nakoma St, San Antonio, TX 78216. This is a one-time installation requirement.

III. Description of supplies/services required to meet agency needs.

The contractor shall provide all personnel, parts, equipment, tools, materials, supervision, software, and other items and services necessary to perform installation requirements of a Metasys Energy Management and Control Systems

(EMCS) that will replace the existing Seimens controller/system. Tri-Service Research Laboratory building automation system provides critical temperature and humidity set-points needed for the facility to maintain the National

Accreditation agency for Clinical Laboratory Sciences (NAACLS), which allows the facility to continue research opportunities as required for their mission. The current system in the facility is obsolete and degraded, and can no longer be supported or upgraded. Therefore, it is essential to replace this system with one that will interface and communicate with the EMCS network already in place. Johnson Controls Inc. has demonstrated the ability to provide the required system to fulfill this need.

The total estimated value of the acquisition is $722,985.00. It will be a one-time installation service. Johnson Controls

Inc. is the manufacturer of the required EMCS and retains proprietary rights to perform the services required, therefore, the Government does not expect future availability of competition to arise.

IV. Statutory authority permitting other than full and open competition.

The statutory authority for this requirement is 10 U.S.C. 2302b, as implemented by FAR 13.501(a), Implementation of

Simplified Acquisition Procedures (41 U.S.C.1901).

V. Demonstration that the contractor's unique qualifications or nature of the acquisition requires the use of the authority cited above (applicability of authority).

Joint Base San Antonio (JBSA) currently has the Metasys EMCS platform installed. Johnson Control Inc. (JCI) retains the proprietary information and services required to perform the installation for the necessary Metasys EMCS system. The

Government requires the installation of a system that will appropriately interface with the existing platform. Therefore, JCI is the only source capable of providing the required installation service. The EMCS is critical to the mission and sustainment of Tri-Service Research Laboratory facility. Given the recent decision to standardize on Metasys EMCS across JBSA, the existing Seimens' system in the laboratory facility will no longer be supported and is now obsolete. JCI is the manufacturer of the required EMCS system and retains the proprietary information to perform all installation services required.

Other sources are not able to provide installation requirements since the Metasys EMCS system is a proprietary system.

JCI is the only source that can provide the required installation which shall include software and hardware for the

Johnson Control Metasys EMCS system and field components as these rights are proprietary to Johnson Controls Inc.

The 502d Air Base Wing believes that award to any other source would result in substantial duplication of cost to the

Government. Awarding to another source would require interfacing new controllers integrators to the Johnson

Controls Metasys Systems. Interfacing would require additional parts and components that will enable them to talk to the existing Metasys System/Network. Even with integration, another system may not interface properly and would not "talk well" with Johnson Control and some of the system communication would be lost in translation.

According the 502 CEG, an alternate source could not install the Metasys EMCS system necessary to interface with the

Accordingly, Johnson Controls Inc. is the only firm capable of providing the supplies and services described in Section III above without the U.S. Air Force experiencing degradation of the system or risk of accreditation issues if not sustained by a system that interfaces with the existing EMCS network.

VI. Description of efforts made to ensure that offers are solicited from as many potential sources as practicable.

A Notice of Intent on SAM.gov was publicized 4 May 2022 through 12 May 2022 under FA301622U0150. No response to the Notice of Intent was received by any interested contractor. Therefore, it is determined that no other responsible source showed interest nor found that could provide the required services.

VII. Determination by the Contracting Officer that the anticipated cost to the Government will be fair and reasonable.

The Contracting Officer will determine that the anticipated cost to the Government will be fair and reasonable in accordance with FAR 15.404-1. This determination will be based on a price comparison with Department of Defense and other agency pricing, price analysis, technical analysis and any other reasonable basis to ensure price reasonableness.

VIII. Description of the market research conducted and the results, or a statement of the reasons market research was not conducted.

Additional market research was not conducted. 502 CES has stated that it is necessary to install a Metasys EMCS system for the laboratory in order to ensure proper compatibility with the existing system. It is necessary to install this system to ensure interfacing. Additionally, the system is needed to sustain the laboratories NAACLS accreditation and continued performance of research.

Previous research conducted for similar systems, as conducted by 502 CONS, has concluded that JCI is the only contractor capable of providing the installation of this system. Furthermore, the Notice of Intent posted by 502 CONS resulted in no interested contractors for this action.

IX. Any other facts supporting the use of Other Than Full and Open Competition.

Not applicable.

X. List of any sources that expressed, in writing, an interest in the acquisition.

None.

XI. A statement of the actions, if any, the agency may take to remove or overcome any barriers to competition before making subsequent acquisitions for the supplies or services required.

Prior to any future acquisitions of similar nature, additional market research will be conducted to determine if any other responsible sources have entered the market, or if any other source has been provided authorization to implement services on behalf of JCI systems and software. If other sources are available, an examination regarding quality and technical capabilities will be performed to ascertain if the new sources are capable of meeting JBSA needs.

XII. Certification by the Contracting Officer.
