About this file
This sole source justification document outlines requirements for a Generic Large Aircraft Flight Control Suite and Three Channel Control Loading System to support a C-130J aircraft simulator upgrade. Industrial Smoke and Mirrors, Inc. (ISM) is the approved sole source provider due to being the original manufacturer of the existing simulator hardware and software. The acquisition includes a control loading computer, expansion modules, loaders, amplifiers, power distribution panel, actuators, position feedback system, interconnecting cables, software licenses, and maintenance support. Required meetings include a data collection session within 15 days of award, preliminary and critical design reviews within 60 and 120 days respectively, a physical configuration audit at ISM facilities, on-site system integration and tuning at Robins AFB, and an on-site acceptance test following integration. Technical data such as drawings, manuals, and unlimited rights to software are also required. The Department of the Air Force Materiel Command Air Force Sustainment Center awarded a firm fixed price purchase order of $543,357 to ISM on July 30, 2021.

ISM is the only responsible source that has been determined to be able to meet the Government's requirements without costly rework and unacceptable schedule delays.
VI. Description of efforts made to ensure that offers are solicited from as many potential sources as practicable.
This requirement will be synopsized in beta.SAM in accordance with FAR 5.201. It is anticipated that sources having an interest in subcontracting may be identified through synopsis. Any source who responds to the Government as a result of this synopsis will be identified to the prime contractor as a potential subcontracting possibility.
VII. Determination by the Contracting Officer that the anticipated cost to the Government will be fair and reasonable.
This acquisition will follow procedures of FAR 13.5, Simplified Procedures for Certain Commercial Items." The overall cost of this acquisition will be negotiated in accordance with procedures in FAR Part 12 and FAR 13.106-3(a)(2), and a statement of price reasonableness ensuring the ultimate price to the Government is fair and reasonable. Additional pricing methodologies to negotiate fair and reasonable pricing may include reviewing publicly offered catalogs, comparison to historical contractor sales, and/or analysis of limited cost and pricing information provided by the contractor. In the event that limited cost and pricing information is made available, the Government's negotiation objective will be developed using local technical analysis and direct and indirect rate factors recommended by the Defense Contract Management Agency (DCMA).
VIII. Description of the market research conducted and the results, or a statement of the reasons market research was not conducted.
Market research, in accordance with FAR Part 10, was conducted from Nov 2020- May 2021 to determine whether changes have occurred that offer potential solutions other than that provided by
ISM.
A search of the Dynamic Small Business Search (DSBS) and System for Award Management (SAM) databases was done using North American Industry Classification System (NAICS) Code (333318), Other Commercial and Service Industry Machinery Manufacturing and keywords "flight and vehicle simulators" looking for companies that could provide the required products.
A review of small businesses to include 8(a), HUBZone, Service Disabled Veteran-Owned, and Women-Owned small businesses was conducted in search of a company that could provide the C-130J upgrade equipment determined to meet the required specifications. The DSBS database search resulted in two companies, Industrial Smoke and Mirrors, Inc. (ISM) and Talon Simulations, Inc.
While Talon Simulations produces similar simulators, trainers and equipment, they do not have the knowledge of and experience with the current ISM hardware and software interface around which the custom 580th simulation environment has been developed. (See attached DSBS query)
A search of the SAM website found no previous awards to ISM.
In addition, GSA 2GIT, the NETCENT follow-on was queried and resulted in no companies identified

25 May 2018 Controlled Unclassified Information Page 6 of 7 that can provide the required supply.
ISM does not offer these products on a GSA schedule. See attached GSA query.
A separate email was sent directly to ISM to verify they are the OEM for the required products and identify any resellers. ISM confirmed they are the OEM and stated they have no resellers for the required products.
Mandatory sources such as Ability One were reviewed and no sources were identified.
Based on the results of the market research, recommend award to ISM.

IX. Any other facts supporting the use of Other Than Full and Open Competition.
None.
X. List of any sources that expressed, in writing, an interest in the acquisition.
None.
XI. A statement of the actions, if any, the agency may take to remove or overcome any barriers to competition before making subsequent acquisitions for the supplies or services required.
For the reasons stated above, it is not anticipated that future acquisitions supporting the C-130J SIL Trainer Upgrade could allow for competitive acquisition. However, the Government continuously monitors advances in technology. If changes in the marketplace reveal alternative products capable of satisfying the Government's requirements, the Government will write future descriptions suitable for full and open competition.
ISM software is open source which should allow the Government the capability to consider organically maintaining the software over the lifetime of the system.
The Government expects that technical data (manuals and drawings) will be delivered with unlimited rights which should allow the Government maximum flexibility to organically modify and maintain the system in the future.
