SECTION B

SUPPLIES OR SERVICES AND PRICES/COSTS

This RFP is for the acquisition of spares and repairs of NSNs applicable to the Joint Helmet Mounted Cuing System (JHMCS) All clauses and provisions in this RFP and resultant contract are important and the offeror shall ensure that all have been reviewed and understood and shall indicate the same by signing the front page of this RFP.

SPECIAL INSTRUCTIONS APPLICABLE TO GFP FOR REPAIR REQUIREMENTS CONTRACTS

In accordance with FAR 16.503(c) this is to advise that failure of the Government to furnish Government property items in the amounts or quantities described in the Schedule as “estimated” or “maximum” will not entitle the Contractor to any equitable adjustment in the price under the Government Property clause of the contract.

NOTE 1: This is a fixedprice indefinite delivery, requirements type contract with prospective price redetermination (IAW FAR 52.2165). All Items are solesource to Teledyne Defense Electronics, LLC

With regard to FAR 52.2165, initial proposal is to include pricing and delivery for the Basic Ordering Period only (see Note 2). Additional pricing will be added at each price redetermination point.

NOTE 2: This contract will be for a period of six years with an option for a sixmonth extension as follows:

BASIC ORDERING PERIOD: From award of contract through 36 months ORDERING PERIOD ONE: Months 3748 ORDERING PERIOD TWO: Months 4960 ORDERING PERIOD THREE: Months 6172 6MONTH OPTION: Months 7378

NOTE 3: The CLIN Structure associated with the RFP contains an X in the first position. Each order shall remove the X and replace with a firm numeral corresponding to the applicable Ordering Period year as shown below:

NOTE 4: The BEQs stated on the attached Pricing Matrix for CLINS X001X009 are applicable to the Basic Ordering Period. The contractor is requested to provide the price at the BEQ for evaluation purposes.

Range prices based upon economic price breaks are also requested. See the attached Pricing Matrix for instruction.

NOTE 5: Foreign Military Sales (FMS): Delivery orders may be placed in support of FMS requirements.

Ten to fifteen days prior to shipment of FMS, contact the DCMA/ACO Transportation Office for Shipping Address/Instructions. Evidence of Shipment of FMS Orders: The Contractor shall provide to the payment office evidence of shipment that will consist of both a DD Form 250, Material Inspection and Receiving Report, and the carrier’s receipt (e.g., the commercial bill of lading, the Government bill of lading, the USPS receipt, the USPS Pickup record, or other carrier pickup document). The Contractor need not submit a DD Form 250 if one is not otherwise required under the contract.

NOTE 6: Decentralized ordering applies. Orders may be issued by all DLA Supply Chains. All Ordering Contracting Officers will request a control number from the Primary Contracting Officer. The control number will include the ordering office/ordering PCO Name, Phone number, Email Address, Delivery order/Modification number, List of CLINs, and Total Award Dollar Amount. The Primary PCO will forward a control number via email within 2 business days after receipt.

NOTE 7: Packaging shall be in accordance with the attached AFMC Form 158 Packaging Requirements for all delivery orders excluding DLA Troop Support. Specific packaging instructions will be stated in each delivery order, to include palletizing requirements, as applicable.

NOTE 8: FOB Origin applies to all Delivery Orders unless specified otherwise. Transportation requirements will be stated in each delivery order, as applicable.

NOTE 9: SPECIAL INSTRUCTIONS APPLICABLE TO ALL DLA TROOP SUPPORT DELIVERY ORDERS:

Packaging for all DLA Troop Support delivery orders shall be in accordance with the attachment “Packaging Instructions Applicable to DLA Troop Support.” FOB Destination applies to all delivery orders issued by DLA Troop Support. Attachment “A00E01 CAUTION NOTICE C&T Electronic Invoicing (OCT 2007) DLA Troop Support) is applicable to all DLA Troop Support delivery orders.

NOTE 10: The combined quantities of grouped PRODUCTION CLINs (X001X005) identified below will be used to determine unit prices. This total quantity will determine the applicable range unit price for each individual CLIN. Combined quantities of grouped CLINS can be applied to delivery orders from multiple ordering offices provided the orders are issued within 30 days of each other and coordinated with the PPCO and Teledyne (TRI) Contracts Manager prior to award.

In addition to the normal distribution procedures, all OPCOs will email delivery orders to the TRI Contracts Manager to ensure timely receipt of delivery orders using combined quantities for unit pricing.

NOTE 11: A subcontracting plan is required and should be provided at the time of proposal submission.

NOTE 12: The attached Pricing Matrix and applicable attachments include NSN specific requirements for: Quality Inspection, Inspection/Acceptance, IUID requirements, FOB, Packaging, and Required Delivery.

Data Requirements will be delivered in accordance with the attached DD Form 1423s.

NOTE 13: Repairs shall be in accordance with the attached Performance Work Statement, Revision 3, dated 23 MAY 2023.

NOTE 14: In accordance with the attached PWS Rev. 3, dated 23 MAY 2023, TRI shall ensure a minimum of 50% of the quantities ordered under all CLINs for REPAIR are performed by the WRALC Technical Repair Center (TRC).

NOTE 15: For purposes of FAR 52.21621, the Contractor shall not be required to make any deliveries under this contract after all deliveries are complete.

NOTE 16: FAR 52.20427, Prohibition on a ByteDance Covered Application, is incorporated in its entirety into this RFP.

(a) Definitions. As used in this clause— Covered contract means any DoD contract or subcontract with a value in excess of $5 million, not including contracts for commercial products and commercial services. Covered entity means any corporation, company, limited liability company, limited partnership, business trust, business association, or other similar entity, including any subsidiary thereof, performing work on a covered contract in the People’s Republic of China, including by leasing or owning real property used in the performance of the covered contract in the People’s Republic of China.

(b) Disclosure requirement.

(1) In accordance with section 855 of the National Defense Authorization Act for Fiscal Year 2022 (Pub. L. 117–81, 10

U.S.C. 4651 note prec.), DoD may not award, extend, or exercise an option on a covered contract with a covered entity unless such covered entity submits each required disclosure of its use of workforce and facilities in the People’s Republic of China, if it employs one or more individuals who perform work in the People’s Republic of China on a covered contract.

(2) If the Contractor is a covered entity, the Contractor shall disclose for the Government’s fiscal years 2023 and 2024, the Contractor’s employment of one or more individuals who perform work in the People’s Republic of China on any covered contract. The disclosures shall include—

(i) The total number of such individuals who perform work in the People’s Republic of China on the covered contracts funded by DoD; and

(ii) A description of the physical presence, including street address or addresses in the People’s Republic of China, where work on the covered contract is performed.

(c) Subcontracts. The Contractor shall insert this clause, including this paragraph (c), without alteration other than to identify the appropriate parties, in all subcontracts that meet the definition of a covered contract.

252.225-7060 PROHIBITION ON CERTAIN PROCUREMENTS FROM THE XINJIANG UYGHUR

AUTONOMOUS REGION (JAN 2023)

(a) Definitions. As used in this clause—Forced Labor means all work or service which is exacted from any person under the menace of any penalty for its nonperformance and for which the worker does not offer themselves voluntarily.

Person means—

(1) A natural person, corporation, company, business association, partnership, society, trust, or any other nongovernmental entity, organization, or group; or

(2) Any successor, subunit, parent entity, or subsidiary of, or any entity under common ownership or control with, any entity described in paragraph (1) of this definition. XUAR means the Xinjiang Uyghur Autonomous Region of the People’s Republic of China.

(b) Prohibition. The Contractor shall not provide any products mined, produced, or manufactured wholly or in part by forced labor from XUAR or from an entity that has used labor from within or transferred from XUAR as part of any forced labor programs throughout the entire period of performance of the contract.

(c) Subcontracts. The Contractor shall insert this clause, including this paragraph (c), without alteration other than to identify the appropriate parties, in subcontracts including subcontracts for commercial products, commercially available offtheshelf items, and commercial services.
