About this file

This is a Justification and Approval (J&A) document for a sole-source contract with BAE Systems Land & Armaments for the retrofit installation of Bradley Fighting Vehicle Systems (PdM BFVS) post-production enhancements. The Defense Logistics Agency Aviation (DLA-AH) in Huntsville, Alabama is seeking a 3-year Indefinite Delivery Requirements (IDR) contract to support the Project Manager Mounted Armored Vehicle (PM MAV) Program Office. The contract will focus on enhancing Bradley vehicles with technologies like the Iron Fist active protection system, Improved Bradley Acquisition Subsystem 2.8 High-Definition Long Wave, and an Environmental Control Unit to improve survivability, lethality, and vehicle performance.

The justification for sole-source procurement is based on BAE Systems Land & Armaments being the original equipment manufacturer (OEM) with unique technical expertise, design documentation, and production capabilities for Bradley vehicles. The contract aims to retrofit A4E1 vehicles with post-production enhancements, with fielding requirements beginning in July 2026 and continuing through June 2029. BAE Systems is estimated to deliver 10-15 vehicles per month, with technical certifications required for each item added to the contract. A Sources Sought was published on March 25, 2025, which received no responses, further supporting the sole-source determination.

RICHMOND, VIRGINIA 23297-5002

CLASS JUSTIFICATION FOR OTHER THAN FULL AND OPEN COMPETITION

I. CONTRACTING ACTIVITY

This Justification and Approval to request authority for Other Than Full and Open Competition supports requirements generated for Project Manager (PM) Mounted Armored Vehicle (MAV) Program Office and other services and commands supported by Defense Logistics Agency. The contracting authority for this requirement is Defense Logistics Agency – Aviation, Huntsville, Alabama, DLA-AH. The PM MAV office and DLA-Aviation Huntsville contracting division identified the need for long-term coverage for supplies and services related to the retrofit installation of Product Manager Bradley Fighting Vehicle Systems (PdM BFVS) post-production enhancements to support PM MAV that is sole-sourced to BAE Systems Land & Armaments L.P., CAGE Code 6JQY3. The resulting end item from BAE Systems Land & Armaments will be a complete A4E1 vehicle. The contract will include material, installation, and field support. The Purchase Request Order Numbers (PRON) supporting this contracting action are forthcoming and will be initiated at the delivery order level.

II. NATURE AND/OR DESCRIPTION OF THE ACTION BEING PROCESSED

Due to the circumstances described herein, this activity requests authority to acquire services deemed sole sourced to BAE Systems Land & Armaments., using Other Than Full and Open Competition as prescribed by FAR 6.302-1, “Only One Responsible Source and No Other Supplies or Services Will Satisfy Agency Requirements.” This action will result in the award of a new firm-fixed-price, 3-year Indefinite Delivery Requirements (IDR) type contract, with a maximum value of This sole-source requirement will be negotiated with the following company:

BAE Systems Land & Armaments

CAGE: 6JQY3

Large Business

III. DESCRIPTION OF THE SUPPLIES/SERVICES REQUIRED TO MEET THE

AGENCY’S NEEDS

The Government proposes an award on a 3-year IDR contract for supplies and services related to the retrofit installation of Product Manager Bradley Fighting Vehicle Systems (PdM BFVS) post-production enhancements to support PM MAV. The resulting end item from BAE Systems Land & Armaments will be a complete A4E1 vehicle. The contract will include material, installation, and field support.

The objective of this contract is to provide enhancement of the Bradley Fighting Vehicle Systems with upgraded technologies to help mitigate against size, weight, and power-cooling shortcomings. The enhancements will also improve survivability, lethality, and mitigate against obsolescence. Therefore, the post-production enhancement retrofit that will be made as a result of this effort are a logical evolution to enhance the system and sustain the Infantry Fighting Vehicle (IFV) and the Bradley Fire Support Team (BFIST) vehicle.

The contract will be established with a second and third-year ordering period available to give the Government flexibility for future requirements within this space. Without this acquisition, the PM MAV would be unable to meet current real-world warfighter missions and would be detrimental to national security.

The major technologies for this effort are being designed and developed for the BFV in order to help mitigate the gap between current capabilities and Operational Requirements Document (ORD) requirements.

The Iron Fist (IF) is a hard kill active protection system that uses multiple sensors, computer processing, fire control technology and interceptors to identify, track, and intercept incoming attacks. The IF is designed to defeat anti-tank guided missiles, RPGs, and recoilless rifle shots increasing the survivability of the vehicle.

The Improved Bradley Acquisition Subsystem 2.8 High-Definition Long Wave (IBAS 2.8 HDLW) replaced the 2nd Generation Forward Looking Infrared (FLIR) providing increased detect, recognize, and identification ranges that are closer to the maximum range of the TOW missile. Additionally, the HDLW system will increase operational readiness and decrease FLIR sustainment costs while mitigating against obsolete components.

The Environmental Control Unit (ECU) will reduce the interior temperature in the vehicles to get closer to the MIL Standard 1472 requirement.

The Government anticipates execution of this contract with BAE Systems Land & Armaments for executing orders against the base contract that will be within the scope of this effort. The estimated contract value is . The requiring activity will utilize Procurement Appropriations (PA) funding as appropriate for this effort authorized by the 2018 Department of the Army Memo, subject: Fiscal Year 2018 Revenue Approved Exceptions to the Business Processes Associated with Military Interdepartmental Purchase Requests, paragraph 2c.

IV. STATUTORY AUTHORITY PERMITTING OTHER THAN FULL AND OPEN

COMPETITION

10 U.S.C. §3204(a)(1), as implemented by FAR 6.302-1, Only One Responsible Source and No Other Supplies or Services Will Satisfy Agency Requirements.

V. DEMONSTRATION THAT THE CONTRACTOR’S UNIQUE QUALIFICATIONS

OR NATURE OF THE ACQUISITION REQUIRES THE USE OF THE

AUTHORITY CITED ABOVE

This will be a sole source procurement based upon the authority of 10 U.S.C. §3204(a)(1), as implemented by Federal Acquisition Regulation 6.302-1. Obtaining an alternate source or sources for the proposed three years of support for these items is not feasible or cost effective.

BAE Systems Land & Armaments is the only responsible source that can meet the Government’s technical and schedule requirements for the Bradley post-production enhancement retrofit effort. Award to any other source would result in substantial duplication of cost to the Government that is not expected to be recovered through competition or unacceptable delays in fulfilling the requirement.

PdM Bradley has been funded to design, develop, integrate, and procure hardware for Bradley A4E1 vehicles. However, due to the life cycle of the Presidential Drawdown funding, PdM Bradley had to procure the hardware prior to the design, develop, and integration work was complete. Therefore, the hardware was procured with draft drawings that lead to challenges that could only be overcome by having BAE Systems Land & Armaments perform installations without duplication of costs and unacceptable delays.

A sole source acquisition to BAE Systems Land & Armaments is necessary because it is the only responsible source and no other contractor is able to satisfy PdM Bradley’s requirement without a substantial duplication of cost to the Government that is not expected to be recovered through competition and unacceptable delays in fulfilling PdM Bradley’s fielding requirements.

The justification for sole source to BAE Systems Land & Armaments for the Bradley post-production enhancement retrofit effort based on an analysis of many factors, including BAE Systems Land & Armament’s technical expertise and experience modifying Bradley vehicles, technical data availability, required testing, knowledge of integration of the enhanced technologies, and schedule requirements. BAE Systems Land & Armaments is the Original Equipment Manufacturer (OEM) of all Bradley variants (A0, A1, A2, ODS, ODS-SA, A3, and A4), and owns design documentation, process work instructions, and vehicle CAD models.

BAE Systems Land & Armaments is the only known contractor with the requisite technical knowledge, design experience, production facilities, configuration control, and overall management capability to manufacture the Bradley Family of Vehicles (FOV) without a substantial duplication of cost and unacceptable delay. BAE Systems Land & Armaments was the source for the upgrade of the Bradley vehicles that were performed through the Bradley ECP2 Research and Development (R&D) effort. Under the Bradley ECP2 R&D contract, BAE Systems Land & Armaments designed and developed the M2A4 and M7A4 vehicles and delivered 16 prototype vehicles. The R&D prototypes were used as a baseline to produce the current vehicles under the Bradley A4 Production contracts. Furthermore, BAE Systems Land & Armaments is the sole source for integration of the A4E1 technologies.

PdM Bradley estimates a duplication of costs broken out in Table 1:

Fielding requirements for FUE begin in July 2026. PdM Bradley is funded to field three Armored Brigade Combat Teams (ABCT) through June 2029. The post-production enhancement retrofits must remain in continuous production in order to accomplish PdM

Bradley’s fielding requirements through its 3rd Unit Equipped (3UE).

In order to meet PdM Bradley’s FUE, performance must begin no later than January 2026.

PdM Bradley is accepting technical risk of the installation of the technologies since testing will be performed in parallel of the installations. However, any contractor other than the OEM, would introduce significant risks that PdM Bradley is unwilling and unable to accept.

Safety confirmation is still in flux as the software to support these technologies is still in development. Currently the plan is to have the software safety confirmation to be accomplished prior to fielding the FUE in July 2026. However, since there are many technologies incorporated and due to funding restrictions there is a likelihood for schedule slippage.

Awarding to another contractor, other than BAE Systems Land & Armaments, poses an unacceptable schedule risk that can only be mitigated by having the Bradley OEM ensuring the software meets the schedule requirements prior to issuing vehicles to the units as required.

Only BAE Systems Land & Armaments as the OEM has the resources and technical ability such as the knowledge of the BFV, technical data, and work packages within the company that the USG does not have intellectual property rights. A new contractor would have to design, develop, and prove out (test) which would require additional time and cost to create. Only BAE Systems Land & Armaments is able to install and adjust if necessary, based on test results that will be revealed just prior to fielding. PdM Bradley also has a Work Directive with BAE to perform deprocessing at Fort Cavazos. The retrofits will be occurring just prior to deprocessing and in order to meet schedule, BAE Systems Land & Armaments will be required to coordinate with the deprocessing team which will be able to perform at the BAE Systems Land & Armaments Temple facility jointly with the retrofit team; allowing the deprocessing team to utilize the indoor facilities with overhead cranes at the Temple facility opposed to the outdoor conditions at Fort Cavazos. This will reduce schedule by gaining efficiencies and mitigate the risk of meeting fielding requirements.

Below is a layout of the anticipated production to fielding schedule to meet PdM Bradley’s post-production enhancement retrofit requirement.

BAE Systems Land & Armaments is capable of delivering 10-15 vehicles per month over the course of the program which will meet PdM Bradley’s cost and schedule requirements.

Awarding to any other contractor would result in PdM Bradley incurring duplicate costs and unacceptable delays.

Requirements that are presented to DLA by PM MAV will not be assigned an Acquisition Method Code (AMC) and Acquisition Method Suffix Code (AMSC). Requirements that are presented from these program offices may not have an associated Technical Data Package (TDP) or an assigned AMC/AMSC.

In addition to situations where BAE Systems Land & Armaments is the only approved source for this Performance Work Statement (PWS), there are situations when BAE Systems Land & Armaments is one of a small group of approved sources, or there is no technical data package associated with a part. In these situations, if through market research and/or customer certification, the contracting officer determines other approved sources will not participate and/or only BAE Systems Land & Armaments can provide the part/service, the intent is to use this IDR. In order to satisfy the requirements of 10 U.S.C. §3204(a)(1) in that situation, the following procedure will apply.

For requirements with a TDP that indicates a limited competitive procurement, or the item does not have a TDP, the contracting activity shall conduct market research and document the following:

o A Memorandum of Determination shall be completed. The Memorandum shall describe the following (not all-inclusive and if applicable):

Procurement history Sources sought posting and responses Responses of Requests for Information (RFI) from approved sources Requiring activity technical representative evaluation Contracting Officer determination of applicability for only one responsive and responsible source.

VI. DESCRIPTION OF EFFORTS MADE TO ENSURE THAT OFFERS ARE

SOLICITED FROM AS MANY POTENTIAL SOURCES AS DEEMED

PRACTICABLE

This requirement will be synopsized, and a solicitation shall be published on System for Award Management (SAM.gov) as required by FAR 5.201. To obtain maximum competition, the synopsis and solicitation will encourage firms that can provide the services related to the retrofit installation of PdM BFVS post-production enhancements to seek source approval to compete for future solicitations by going through the source approval process of the procuring activity.

In addition to a Synopsis and Solicitation being posted, a Sources Sought was published on March 25, 2025. No responses were received. If new services or parts are proposed to be added to the contract, an additional Sources Sought and Synopsis shall be posted.

VII. DETERMINATION BY THE CONTRACTING OFFICER THAT THE

ANTICIPATED COST TO THE GOVERNMENT WILL BE FAIR AND

REASONABLE

The Contracting Officer has determined the anticipated cost to the Government of the supplies covered by this J&A will be fair and reasonable. DLA will use appropriate cost and price analysis to evaluate proposed prices. BAE Systems Land & Armaments will be required to provide certified cost or pricing data for items acquired using FAR 15 procedures. The Government's negotiation objective will be developed using local technical analysis, negotiated direct and indirect rates, and profit using the Weighted Guidelines Method. As necessary, a fully compliant audit may be performed and DCMA/DCAA assistance will be requested. Detailed documentation and justification of price reasonableness will be disclosed in the official price negotiation memorandum, as required, to be prepared upon completion of negotiations. Bringing all BAE Systems Land & Armament’s requirements together increases DLA's leverage with the contractor. DLA believes this leverage will result in significant savings over existing disparate support strategies.

The three-year term of the contract will incentivize continued investments in reliability improvements, obsolescence management, process improvements, and more efficient depot operations over the contract period by BAE Systems Land & Armaments. Inherent in the three-year contract structure is an incentive to continue to improve reliability and drive down cost, which not only better serves the Department of Defense and other Federal Government customers, but results in better stewardship of taxpayer dollars.

This contract will be negotiated assuming decreased costs associated with improved reliability and availability through the potential three-year performance period of the contract. Based on the foregoing, the Contracting Officer shall determine that the anticipated cost to the Government, be fair and reasonable prior to contract award.

VIII. DESCRIPTION OF THE MARKET RESEARCH CONDUCTED AND THE

RESULTS, OR STATEMENT OF THE REASONS MARKET RESEARCH

WAS NOT CONDUCTED

Market research, as defined in FAR 10.001 was conducted. A review of the class population confirmed that the initial items to be solicited are all considered as sole source to BAE Systems Land & Armaments. Technical certifications either via TDP or Memorandum of Determination, as listed in Section V, will be required for every item before negotiations commence with BAE Systems Land & Armaments to add the items to a contract.

The initial Sources Sought was issued on March 25, 2025, and closed on March 28, 2025. No responses were received.

IX. ANY OTHER FACTS SUPPORTING THE USE OF OTHER THAN

FULL AND OPEN COMPETITION

As stated in the previous sections, a Sources Sought was posted on March 25, 2025. Technical certifications either via TDP or Memorandum of Determination, as listed in Section V, will be required for every item before negotiations commence with BAE Systems Land & Armaments to add the items to a contract.

X. LIST OF SOURCES, IF ANY, THAT EXPRESSED INTEREST IN THE ACQUISITION

No responses were received.

XI. A STATEMENT OF THE ACTIONS, IF ANY, THE AGENCY MAY TAKE TO

REMOVE OR OVERCOME ANY BARRIERS TO COMPETITION BEFORE

MAKING SUBSEQUENT ACQUISITIONS FOR THE SUPPLIES

Due to the complex nature of this work, there is no opportunity at this time to remove barriers to competition at the prime contractor level. The Contracting Officer will continue to synopsize items that may be added to the contract to investigate the possibility of competition.

However, parts that have previously been synopsized will not be synopsized again throughout the length of the contract. The Competition Advocate will review the requirements to verify that all requirements can be completed by BAE Systems Land & Armaments. As stated above, BAE Systems Land & Armaments, a large business, is the only known source for supporting the services related to the retrofit installation of PdM BFVS post-production enhancements in support of PM MAV.

Future requirements, other than those in the original population, will nevertheless be advertised in the SAM.gov to ensure that potential alternate sources are aware of the requirement and can identify interest in support for these items. The contract will include provisions stating that the Government reserves the right to remove any items that become competitive after award.

Firms are encouraged to seek Source Approval Request (SAR) process through the documentation and associated website to potentially become an approved source. No new sources have been approved at this time; however, this is a continuous method of identifying potential new sources of supply.

XII. CONTRACTING OFFICER’S CERTIFICATION

The contracting officer’s signature on the Coordination and Approval Document evidence that he/she has determined this document to be both accurate and complete to the best of his/her knowledge and belief.

XIII. TECHNICAL/REQUIREMENTS PERSONNEL’S CERTIFICATION

As evidenced by their signatures on the Coordination and Approval Document, the technical and/or requirements personnel have certified that any supporting data contained herein, which is their responsibility, is both accurate and complete.
