Defense Logistics Agency Justification and Approval for

Other Than Full and Open Competition

1. Contracting Activity: The Defense Logistics Agency – Warren (DLA – Warren) is the procuring activity for this action.

2. Description of Action: This procurement is for a firm fixed price contract with a basic and option quantity. The type of funds used for this effort will be Army Working Capital Fund (AWCF). The Government intends to award this action to DRS Sensors & Targeting Systems (1JNU9), 10600 Valley View St., Cypress, CA 90630.

3. Description of Supplies/Services: Noun: Sensor Gimbal GS207, NSN: 5836-01-556- 9112, P/N: 7002925-3, quantity of 25 each with 100% option. The estimated unit price is $19,789.81. The estimated base value is $4,869,745.25. The estimated total value including the option is $9,739,490.50. For this contract, the deliverables are as follows:

Acquisition Method Code (AMC): 3 - Acquire, for the second or subsequent time, directly from the actual manufacturer.

Acquisition Method Suffix Code: (AMSC): C - This part requires engineering source approval by the design control activity in order to maintain the quality of the part.

Existing unique design capability, engineering skills, and manufacturing knowledge by the qualified source(s) require acquisition of the part from the approved source(s). The approved source(s) retain data rights, manufacturing knowledge, or technical data that are not economically available to the Government, and the data or knowledge is essential to maintaining the quality of the part. An alternate source must qualify in accordance with the design control activity's procedures, as approved by the cognizant Government engineering activity. The qualification procedures must be approved by the Government

If at least two sources are approved or if data is adequate for an alternate source to qualify in accordance with the design control activity's procedures, AMCs 1 or 2 are valid.

4. Authority Cited: The statutory authority permitting other than full and open competition for this effort is 10 U.S.C. 2304(c)(1), as implemented by Federal Acquisition Regulation (FAR) 6.302-1(a)(2), “Only One Responsible Source and No Other Supplies or Services Will Satisfy Agency Requirements.”

5. Reason for Authority Cited: This DLA procurement action requires the use of the authority cited: the only approved source is DRS Sensors & Targeting Systems, Inc.

(CAGE: 1JNU9). The Technical Data Package (TDP) and its proprietary rights are not owned by the Government and as such, the data required to produce a competitive TDP are not currently available. The quantity of parts in this PRON as compared to the cost of developing a new TDP as well as an alternate contractor of the associated components, testing and tooling, does not justify the additional time and expense associated with an a full and open completion. An alternate contractor would need a detailed TDP and detailed manufacturing information that would need to be generated utilizing reverse engineering methodology through the use of considerable Government resources. The cost of such resources would not be recoverable through low volume subsequent competition. The engineering estimate for the cost of developing an alternative source includes the TDP development, reverse engineering, procuring proprietary data, product tooling, manufacturing tooling, testing and qualification and engineering/personnel resources. Considering these factors, the engineering estimate is well over $2.5-3 Million. This estimate is purely an engineering estimate based on engineering experience. Additionally, the timing to execute a new program with an alternate contractor is estimated to take approximately 2-3 years, which would render equipment unusable for that period of time, which does not effectively serve the mission requirements.

6. Efforts to Obtain Competition: Competition will not be pursued at this time, due to the timing, complexity and resources required to produce these parts. A sole-source action to this contractor is in the best interest of the Government to meet the quality needs. Based on the detailed rational provided in paragraph 5 above, the Government has no plans to obtain competition for this proposed contractual action. Subcontracting Competition: FAR clause 52.244-5, Competition in Subcontracting, will be included in the contract to assure that the prime contractor obtains as much competition as possible in its subcontracting.

7. Actions to Increase Competition: The approved source, DRS Sensors, is the sole owner of their drawings and technical data rights. The Government did not buy their proprietary rights to produce a competitive TDP and the contractor did not express interest in selling the TDP to the government when asked. DRS demonstrated the ability to establish and maintain the processing required to successfully producing a finished

Additionally, Pd.M. Bridging and TARDEC Bridge Team personnel continually monitor the marketplace for military bridging related technology in accordance with FAR 10.002 (b)(2). This market research includes Pd.M. Bridging attendance at the October 2017 Association of the United States Army (AUSA) conference, and the Ground Vehicle Systems engineering and Technology Symposium (GVSETS)/ Advanced Planning Briefings for Industry (APBI) events. Aside from these events, which afforded engineering the opportunity to engage with industry leaders, we also communicate via weekly face to face Integrated Product Teams (IPTs), telecoms, and email exchanges with Tank Automotive Research, Development, and Engineering Center (TARDEC), Program Manager (PM) Abrams, Anniston Army Depot, and Army Research Laboratories
