SOLICITATION: SPRBL1-18-R-0003
Justification and Approval For Other than Full and Open Competition
1. Contracting Activity: DLA Land at Aberdeen Attn: DSCC-ZLAB 6565 Surveillance Loop Building 6001, Room C1301 Aberdeen Proving Ground, MD 21005-1846
2. Description of Action: This Justification and Approval supports a solicitation using other than full and open competition for the acquisition of a five (5) year Firm-Fixed-Price (FFP), Indefinite Delivery Indefinite Quantity (IDIQ), contract to procure the Cable Assembly, Special Purpose, Electrical. The National Stock Number (NSN) is 5998-01-591-0420 and the Part Number (PN) is C3-416. This requirement is for the production and delivery of the Cable Assembly, in support of the AN/VAS-5A and AN/VAS-5B Driver Vision Enhancer (DVE) System, from Celltron, Inc. CAGE 62765, the Original Equipment Manufacturer (OEM) for this part.
This is a non-commercial part and Federal Acquisition Regulation (FAR) Part 15 procedures will be used for this procurement. The resultant contract will have an estimated five-year dollar value of and a maximum contract value of The guaranteed minimum amount for this contract is The Army manages this part; therefore, Army Working Capital Funds (AWCF) will be used for this effort.
3. Description of Supplies:

The Cable Assembly, Special Purpose, Electrical supports sustainment and function of the DVE end item system. The DVE is a Military Unique System which consists of a Sensor, a Pan & Tilt Assembly, Controller Module, Display Screen, Electronic Pan & Tilt, and the Cable Assembly.
The Cable Assembly will connect the Electronic Pan, Tilt Module (EPTM) and Tactical Wheeled
Vehicle platforms, which in turn connects to the Display Control Module (DCM) of the DVE system. The DVE Systems is used by personnel operating a multitude of Combat Vehicles and Tactical Wheeled Vehicle platforms.
4. Statutory Authority Permitting Other Than Full and Open Competition: 10 U.S.C.
2304(c)(1) as implemented by FAR 6.302-1, Only One Responsible Source and No Other Supplies or Services Will Satisfy Agency Requirements.
5. Reason for Authority Cited: The only known and approved source with the comprehensive knowledge and expertise to produce the required part for this action is Celltron Inc. CAGE 62765, OEM, located at 1110 W 7th St, Galena, Kansas, 66739-1379. The Cable Assembly was previously procured on contract W15P7T-09-D-M402 and W15P7T-09-D-M403 however; both awardees procured the Cable Assembly from Celltron Inc.
The Acquisition Method Reason Code is 3P meaning acquire for the second or subsequent time directly from the actual manufacturer and the rights to use the data needed to purchase this part from additional source(s) are not owned by the Government and cannot be purchased, developed, or otherwise obtained. It is uneconomical to reverse engineer these parts.
The Government only possesses an overall performance specification. Celltron Inc. designed and developed this part and the Government does not possess the detailed technical documentation that describes the required form, fit, and function characteristics of this DVE subcomponent.
The Government does not own the technical data nor the technical data rights to solicit this part from sources other than Celltron Inc. The DVE System is expected to remain in the field a minimum of another 20 years. Due to the 20-year life of the system, the high field density, and the variety of platforms and vehicle installation kits, the only way to maintain the DVE in operational condition is to maintain standardized parts to ensure effective operation of the DVE and enable interchangeability of maintenance support.
6. Efforts to Obtain Competition: In an effort to ensure that offers are solicited from as many potential sources as is practicable, this action was publicized as required by FAR Subpart 5.2 to Federal Business Opportunity (FBO). A synopsis was posted to FBO on 7 November 2017 while a Sources Sought Announcement was posted on 12 October 2017. Market Research was conducted, details of which are in the market research section of this document. This effort identified Celltron Inc. as the sole manufacturer for the Cable Assembly and a subcontractor to the previous efforts to procure the part as a subcomponent of the DVE System.
7. Determination by the Contracting Officer: The Contracting Officer anticipates that the cost to the Government for this requirement will be fair and reasonable based on price analysis, comparison of proposed prices with an Independent Government Estimate, and an audit by the
Defense Contract Management Agency. Certified cost or pricing data will be obtained in accordance with FAR 15.403.
8. Market Research: Market Research was conducted by the CECOM Engineer and DLA Land at Aberdeen. The Engineer published a Sources Sought Announcement (SSA) to FBO on 16 November 2016 to find sources for the DVE spare parts (Solicitation# 6093-1). In January 2017, BAE responded to the Government’s request stating they had no desire to propose for this action and that Celltron Inc. was the manufacturer of this part. Moog Inc also responded to this sources sought announcement stating they are able to provide this part. Further research revealed that Moog, who manufactures components of the DVE, would have to acquire this Cable Assembly from Celltron, the OEM.
The Contracting Officer and Engineer contacted , the Program Manager of DRS, the other contractor who was previously awarded a contract to supply this part. Verification was obtained that DRS purchased the Cable Assembly from Celltron Inc., the sole manufacturer. The research revealed that under the previous contracts Celltron Inc. was the manufacturer of the Cable Assembly for BAE & DRS. Based on this market research, the Government’s technical experts determined that only Celltron Inc.’s part could meet the Government’s requirements.
The Contract Specialist conducted internet searches in WebFLIS, Army i2Log, Federal Procurement Data System, ILS Mart and historical acquisition history. A SSA was posted to FBO on 12 October 2017 with responses due by 18 October 2017. No responses were received to this SSA. This part was previously purchased as a component of the EPTM kit on contracts W15P7T-09-D-M402 and W15P7T-09-D-M403.
9. Other Facts supporting the use of other than full and open competition:
Acquisition Data Availability: The Government possesses the overall performance specification for the DVE system, but not the detailed technical data that describes all required form, fit, and function characteristics. Celltron Inc. is the current source manufacturing this part, and possesses all engineering data related to the Cable Assembly and how the component fits DVE components. CECOM ILSC contacted Celltron about acquiring the TDP and was informed they are not interested in selling.
Procurement history: The Cable Assembly was previously procured as a subcomponent of the DVE System on a multiple award contract in five year, Indefinite Delivery/Indefinite Quantity (IDIQ) type contracts to BAE and DRS:
W15P7T-09-D-M402 awarded 22 May 2009 to 21 May 2014 DRS Systems, INC.
5 Sylvan Way Ste 305
Parsippany, NJ 07054-3818
W15P7T-09-D-M403 awarded 22 May 2009 to 21 May 2014 BAE Systems Information and Electronic Systems 6500 Tracor Lane Austin, TX 78725-2151
Suncontracting Competition: The Government will seek to maximize subcontracting competition with the inclusion of terms and conditions requiring large business concerns to submit a small business subcontracting plan for acquisitions meeting the $700,000 threshold.
10. Interested Sources: The previous distributors of the Cable Assembly are no longer interested in supplying this part. Celltron Inc. is the OEM for the part and is the only supplier interested in providing this part.
11. Actions to Increase Competition and Overcome Barriers: The Government will continue to conduct market research to ascertain if changes occur in the marketplace that would enable future actions for this item to be obtained through competition. The solicitation was published on the Federal Business Opportunities (FBO) website. The market research identified distributors, however they were not interested in placing an offer for this part. Pursuant to Justification and Approval for other than full and open compition in the previous procurement of the DVE System, all actions to increase competition and overcome barriers identified in the previous J&A have been met.
