About this file

This document is a Standard Form 30 (SF-30) Amendment of Solicitation/Modification of Contract for the Metals Tailored Logistics Support Program (TLSP) Solicitation Number SPE8E4-25-R-0001. The amendment (Number 0002) extends the solicitation closing date to August 4, 2025, at 3:00 PM, and incorporates multiple clarifications and responses to vendor questions regarding the solicitation.

Key changes include detailed guidance on proposal submission requirements, pricing expectations, and contract performance details. The amendment provides clarifications on pricing for the Price Evaluation List (PEL) of 122 items, specifying that prices will be firm-fixed for the first three months of the base and option periods. The solicitation remains an unrestricted competition with up to one award reserved for a small business, covering metals products across various federal supply classes, with a total estimated aggregate value of $500 million to $750 million over a potential ten-year contract period.

AMENDMENT 0002 INCLUDES THE FOLLOWING:

1. Extension to the closing date.

2. Questions submitted by interested parties and the Government responses.

3. Changes incorporated into the Solicitation.

In accordance with CAUTION NOTICE (#20) located on Page 15 of Attachment A of the Solicitation, the following clarifications to interested party questions are hereby incorporated:

1. Question: (Ordering Data Fields) In the “Attachment 1 – Price Evaluation List (PEL)” spreadsheet, is the “Item Description” (column B) the sole source of ordering information, or should we also include additional data elements (e.g., form, surface finish, testing requirements, packaging)?

Response: The pre-formatted Price Evaluation List is the only acceptable method of returning Business Proposal prices for the Price Evaluation List of items or alternates. Offered unit prices shall be submitted as one fixed price to include the acquisition cost and other costs. Offerors should not add, revise, or remove any information in the “Item Description” column of the PEL Spreadsheet.

2. Question: (Ordering Data Fields) Are National Stock Numbers (NSNs) available for these line items, or should we propose our own internal identifiers?

Response: PEL items are not represented by NSNs. DLA does not require, and has not requested, any internal identifier to your firm for PEL items to be submitted with your proposal submission. The pre-formatted Price Evaluation List is the only acceptable method of returning Business Proposal prices for the Price Evaluation List of items or alternates.

3. Question: (Specification Revision Control) We assume that all offerings must conform to the latest revision of each referenced military or ASTM specification. Please confirm.

Response: Within the Special Instructions for the Submission of Proposal Information in Attachment A, Letter D.

Instructions to Offerors—Price Proposal (Volume II), Paragraph 1, Price Evaluation List – General Information, Letter

j. (Page 97) states, “Offered unit prices shall be priced to the most recent standard revision available.”

4. Question: (Specification Revision Control) If a specification is revised during contract performance, must the contractor re-certify future deliveries to the new revision, or may we continue shipping to the revision in effect at the time of award?

Response: If the specification of a PEL item is revised during contract performance, the TLS awardee(s) shall notify the Contracting Officer. The KO will review the specification change to determine whether it constitutes a cardinal change, if so, it may be considered a new item. Changes in specifications will be handled on a case-by-case basis.

Within the Statement of Work (SOW) in Attachment A, Paragraph 4, Price Evaluation List (PEL), Letter a. (Page 40) states, “If an item on the PEL is superseded during the contract term, the TLS Contractor shall advise the Contracting Officer. If there is no change to the part’s form, fit, function, configuration, application, and physical nature and is therefore an exact item of replacement, PEL pricing will remain applicable. If there is a change such that it is not an exact item replacement, the TLS Contractor shall include complete information from the manufacturer concerning the replacement item as it relates to the form, fit, and function, configuration, application, and physical nature of the superseded item. The Contracting Officer will make the determination whether the superseded item represents a “new” item. If the determination by the Contracting Officer is that the superseded item is NOT an exact item of replacement, PEL pricing will not be applicable.”

5. Question: (Completeness of PEL Descriptions) Some PEL entries (e.g., Item #88: “Bar, Round; NiCuAl, UNS N05500; 6″ DIA × 120″; QQ-N-286, Form 2, Hot Finished”) omit critical ordering details listed in QQ-N-286G Section 6.2 (surface finish, inspection options, tolerance footnotes, forging sketch requirements, packaging, etc.).

Response: Offered unit prices must be based on material certified to the requirements of the material specification and otherwise meets the PEL description. For optional requirements cited in any specification, please refer to the response provided to question 7. Offered unit prices shall be submitted as one fixed price to include the acquisition cost and other costs.

6. Question: (Completeness of PEL Descriptions) Should we augment each line item with the full set of Section 6.2 ordering data, or will DLA Troop Support supply a consolidated “ordering guide” or master specification sheet?

Response: The pre-formatted Price Evaluation List (PEL) is the only acceptable method of returning Business Proposal prices for the Price Evaluation List of items or alternates. The pre-formatted PEL shall not be augmented. DLA will not be supplying a consolidated ordering guide or master specification sheet.

7. Question: (Non-Destructive and Mechanical Testing) For alloys that reference optional ultrasonic or liquid penetrant inspection (QQ-N-286G §§3.7.1.2, 3.7.2), should we assume “no” unless explicitly called out, or must we quote NDT services for every bar and forging item?

Response: For alloys with specifications that reference optional inspection or testing, vendors should assume those inspections or tests are not required unless explicitly called out in the PEL.

8. Question: (Non-Destructive and Mechanical Testing) Similarly, should we include mechanical test specimens (e.g., slow-strain-rate tensile, heat-treat validation) in our base proposal, or price those on a per-order basis?

Response: The cost of all required testing in accordance with the PEL description and/or the specification shall be

PAGE 3 OF 5 PAGES

SPE8E425R0001 - 0002

included in the offered PEL pricing.

9. Question: Will a past performance account be considered for evaluation if the account is an offeror's subcontract with a commercial entity under a prime contract with DLA?

Response: Within the Special Instructions for the Submission of Proposal Information in Attachment A, Paragraph C.

Instructions to Offerors – Non Price Proposal (Volume I) (page 81) states, “The information below is required at the Offeror’s individual level (not at a corporate level, but for the actual entity that will actively participate in the performance of this contract). Offerors that are proposing a joint venture, partnership, or teaming approach to perform the contract requirements should fully cite each participating facility to be used, should provide substantiation of the relationship, describe the functions that will be performed by each member or facility, and provide the required past performance information for each participating entity. The most relevant past performance data is the information directly related to the primary offering entity.” In addition, FACTOR I – PAST PERFORMANCE— CONFIDENCE ASSESSMENT (Page 81) states, “The contracts/accounts submitted may have supported either government or commercial customers”; and “If the contracts/accounts submitted were performed by a subsidiary, subcontractor, or other affiliate (see FAR 2.101), the Offeror must clearly demonstrate that the subsidiary, subcontractor, or affiliate will perform major or critical aspects of the resultant contract in order for the submitted contract/account to be considered. If the contracts/accounts submitted were performed by a predecessor company, the Offeror must clearly demonstrate the relationship between itself and the predecessor and why the predecessor’s past performance should be considered in its own past performance evaluation. This requirement applies to contracts as distinguished from delivery orders under a basic contract award.”

10. Question: The scope of work for the current Metals TLSP, SPE8E4-21-R-0001, includes large scale fabrication projects for USACE (stoplogs, mitre gates, etc.). To date, USACE has placed orders totaling ~$78 million dollars (before DLA’s cost recovery fee is factored) for fabricated projects under the current TLSP contract. The districts that have ordered these fabrications are missing from the customer list included within the new solicitation (notably, USACE Little Rock District, USACE Tulsa District, USACE Sacramento District). Are fabrication projects, particularly those noted for USACE, going to be within scope on the next iteration of the Metals TLSP contract?

Response: Within the Statement of Work (SOW) in Attachment A, Paragraph 1, Scope and Ordering Activities, Letter a.

(Page 36) states, “Ordering offices may include, but are not limited to…”; and, “During the term of this contract and for any subsequent option periods thereof, DLA Troop Support reserves the right to add ordering activities or delete ordering activities within the designated regions, at no cost to the Government.” Also, within the Statement of Work (SOW) in Attachment A, Paragraph 3, Items Covered, Letter a. (Page 37) states, “Note, this list may not be all-inclusive, and the TLS Contractor may be required to furnish other metals products and metals, including items in FSCs not listed above, which may include non-standard, non-NSN items.”

11. Question: Solicitation # SPE8E4-25-R-0001 states that the resulting contract will include a base ordering period of two (2) years and four (4) two-year option periods that are exercised unilaterally by the Contracting Officer. As a 10-year term is a long commitment without being able to establish an anticipated investment return, will the government consider adjusting back-end option periods to a bilateral arrangement?

Response: No.

12. Question: As the solicitation calls for competition on every delivery order, and local SBA set-aside BPAs are increasingly utilized, we feel that this program will need a continuous flow of new customers to drive revenue to support essential operational costs incurred by the participating awardees. What marketing initiatives are in place for the resulting contract to drive new business?

Response: Within the Statement of Work (SOW) in Attachment A, Paragraph 9, Customer Support, Letter d. Marketing/ Expansion (Page 44) states, “The TLS Contractors shall partner with DLA Troop Support to market the Metals TLS Program to all eligible customers. The TLS Contractor may develop, publish, and, subject to the approval of the Contracting Officer, distribute appropriate publications and/or marketing materials to inform eligible installations about the operations of the Metals TLS Program. The materials may cover the types of products supplied under the program and the customer service offered by the TLS Contractor, and a toll-free telephone number and dedicated email that may be used by eligible customers for any questions regarding the program. The TLS Contractor may be required to attend DLA Troop Support sponsored industry/customer conferences. The TLS Contractor may provide email notification, to all customers, of any new Metals products and/or discounted products that are currently available for purchase. All marketing related emails shall be forwarded to the designated DLA Troop Support Tailored Vendor Logistics Specialist(s) as well. All marketing, marketing visits, and industry/customer conferences are at no cost to the Government. The expansion of the contract beyond that of the currently participating activities will depend greatly upon the successful management and marketing of the contract by the awardee(s). Any marketing efforts shall not, at any time, include the marketing of items that the Contracting Officer has previously determined to be out of scope. Any item that the Contracting Officer has not previously determined to be within scope shall not be guaranteed, or implied as guaranteed, to be supportable through the Metals contract.”

13. Question: What is the expected DLA surcharge/cost recovery fee percentage? As BPAs & open purchases are direct competition to the program, additional costs will drive procurement direction/decisions from the end-user. On larger requests, an additional 5%+ on top of our sell values may drive business away.

Response: The cost recovery rate is applicable regardless of dollar value. The prices offered shall not include the cost recovery rate.

14. Question: Do customers have visibility to the supplier awarded on each delivery order? On requirements where cost is secondary to quality, can the end-user dictate who/where their material comes from? Under the current contract bidding structure, price and lead time drive the award decision. Once performance metrics are established & tracked, will they be formally factored into award decisions to reward higher performing suppliers? As past performance prequalifies vendors before cost is considered on broader TLSP contract award decisions, we feel it’d be beneficial to apply similar value on individual delivery order awards under the TLSP agreement. This incentive-based factor will

PAGE 4 OF 5 PAGES

SPE8E425R0001 - 0002

promote better quality and yield fewer costly issues post-delivery.

Response: Yes, customers have visibility to the supplier awarded on any resultant delivery order. While the end user may have a requirement for an item peculiar to one manufacturer (e.g., a particular brand-name, product, or a feature of a product that is peculiar to one manufacturer) the end user will not dictate the awarded TLS Contractor to DLA Troop Support. Each Request for Quote (RFQ) will clearly state the basis for award. Price and delivery are common factors that will be used; however other factors may be included as well, such as past performance. While Past Performance is a Factor in the decision to award a TLSP Contract, past performance will not be used to “prequalify” offerors.

15. Question: Will multi-line RFQs all be awarded as one package, or might they be split amongst multiple suppliers?

Response: Each Request for Quote (RFQ) will clearly state the basis for award.

16. Question: Is CMMC Level 2 required for this RFQ?

Response: CMMC is not required at this time. If that changes in the future, Contractors will be required to comply at no additional cost to the Government.

17. Question: Is this RFQ Commercial Products, COTS? If it is commercial do we have to adhere to audits by a third party?

Response: All items are commercial products as defined in FAR 2.101, including modified commercial products (commercial items requiring minor modification to fit military applications), that may be identified by manufacturers’ commercial item descriptions, part numbers, or by a technical specification or drawing. All items are to conform to the manufacturer’s commercial specifications. Not all items to be supplied are COTS items. The Government has the right to inspect and test supplies called for by the contract, to the extent practicable, at all places and times, including the place of manufacture, both before and after acceptance. DLA does not anticipate any audits by third parties during the course of contract performance, however, it is possible in accordance with any terms and conditions, and regulations, of any resultant contract that a third-party audit may take place. For example, see paragraph 1 of C08 Tailored Logistics Support Purchasing Reviews (FEB 2017) on Page 130 of Attachment A.

18. Question: Date the contract will be awarded and start?

Response: DLA is unable to provide this information at this time.

19. Question: PEL pricing will be fixed for the first 3 months of the 2 year contract starting when?

Response: PEL pricing will be fixed for the first three months of the two-year base contract after any implementation period (which could be up to 60 days), if needed, after award.

Page 6 of Attachment A, Paragraph 5. Continuation of Blocks 19-22: Schedule of Supplies/Services: Paragraph C.

Pricing, Paragraph 2 Base Period and Option Period Prices: is hereby revised to add the following:

Base Period and Option Period Prices: Prices supplied for exact items or acceptable alternate common items on the Price Evaluation List of 122 items will be used for evaluation purposes, and if determined fair and reasonable, will be awarded as firm-fixed ceiling prices. The fixed prices will constitute a Not to exceed CEILING PRICE for the first THREE MONTHS of the BASE PERIOD* (two-year term) and the first THREE MONTHS of each OPTION TERM (four (4) two-year terms) on any resultant contract for the Metals Tailored Logistics Support Program (TLSP). There is no established ceiling price for non-PEL items. After the expiration of the PEL firm-fixed ceiling prices, all delivery orders will continue to be competed amongst the contract holders (if multiple awards are issued) and be evaluated in accordance with the evaluation criteria specified in each individual Request for Quotation (RFQ), with no ceiling applicable. If it is determined that one of the exceptions in 16.505(b)(2)(i) applies to an order, DLA Troop Support may direct the award to one contractor.

*PEL pricing for the first THREE MONTHS of the BASE PERIOD will take effect after the implementation period.

20. Question: How does DLA handle mill price increases, surcharge increases, fuel increases, freight increases, and tariffs?

Response: All resultant delivery orders will be awarded as firm-fixed price and the resultant awardees should consider that business risk when submitting a quotation in response to any Request for Quotation.

21. Question: On DPAS rated orders, how much time do we have to supply material from the time we receive RFQ to the time material is due to customer?

Response: Time of delivery will be specified at the time of each individual RFQ.

22. Question: Are any meetings scheduled before the award to meet the new suppliers, or a kick-off meeting for the awardees to meet the new suppliers?

Response: There will be no pre-award meetings. Post award conferences will be conducted with each successful awardee to discuss all contract terms and conditions, provisions, restrictions, standard and unique requirements, key personnel, metrics, and all concerns. A complete understanding by all parties will help to ensure a successful contract start up. The post award conference will be held as soon as practicable after contract award.

The following changes are hereby incorporated into the Solicitation:

Page 5 of Attachment A, Continuation of Blocks from SF 1449, Paragraph 2. Block 9, Notes is hereby revised to add the following:

• All initial proposals sent to the Contracting Officer by email shall include proposal attachments as direct attachments to the email. No links, dropboxes, or shared folders (i.e. google drive) are permitted. Any initial proposal sent via email to the KO containing links, dropboxes, or shared folders will result in the proposal being considered technically unacceptable and rejected as unacceptable for award.
