Market research, including a Sources Sought Notice posted May 2, 2025, identified only Torrent Photonics as an interested vendor. Documentation shows Torrent Photonics acquired Graflex through a novation agreement dated November 5, 2021. The solicitation includes DLAD Procurement Note L04 permitting alternate offers and encouraging potential sources to contact DLA's Source Approval Monitor. Fair and reasonable pricing will be established through price analysis comparing proposed prices to historical data and potentially certified cost or pricing data where required.

1. The Defense Logistics Agency, DLA Land and Maritime, is the contracting activity.
2. The action being approved is the acquisition of supplies on other than a full and open competition basis.

In addition to those items specified in Section B of this solicitation, the scope of this contract includes other items for which CAGE(s) 9TZ70 and 1DBZ2 are the approved sources and are used for the following highest priority weapons systems: Fighting Vehicle Systems, Bradley (BFVS). Items within the scope may be added to the contract at a later date in accordance with the terms of this contract. Items within the scope of this solicitation will be added via bilateral modification in accordance with DLAD Procurement Note L27-Addition/Deletion of Items.

4. The statutory authority permitting other than full and open competition is 10 U.S.C. 3204(a)(1) as implemented by FAR 6.302-1.
5. The Government requires spare parts that are form, fit, and functionally interchangeable with those currently used on the supported end item or weapon system. The acquisition is restricted to the following source(s) of supply, which are the only source(s) known to have the capability of furnishing the required supplies and the only source(s) currently approved by the design control activity.

The use of the authority at 10 U.S.C. 3204(a)(1) is based on:
AMC 3. Acquire, for the second or subsequent time, directly from the manufacturer.
The following AMSC descriptions are available in DFARS PGI 217.7506 Part 2.

Commercial item descriptions, commercial vendor catalog or price lists or commercial manuals assigned a technical manual number apply. If one source is available, AMCs 3, 4, or 5 are valid. If at least two sources are available, AMCs 1 or 2 are valid (When one or a limited number of sources are available, then a J&A is required. When an item is coded with AMSC “Z” and is listed on an interchange catalog or appears on a commercial cross reference list, this constitutes full and open competition and a J&A is not necessary).
On 6/27/2025, the Product Specialist of record certified the accuracy of the approved source(s) and applicable AMC/AMSC codes. A copy of the certification is attached.
6. The following efforts are being taken to ensure that offers are solicited from as many sources as practicable:

7. I hereby determine that the anticipated cost to the Government will be fair and reasonable.
A price analysis will be conducted based on a comparison of proposed prices received in response to the solicitation and/or a comparison of proposed prices to historical prices paid. Certified cost or pricing data, when required by FAR 15.403-4, and data other than certified cost or pricing data, will be requested and obtained as necessary to establish a fair and reasonable price, and a cost analysis may be performed on the data submitted.

During market research, Torrent Photonics, LLC (9TZ70) communicated they were the manufacturer for all three NSN’s. Before this LTC project started, Graflex (1DBZ2) was listed in the product master as the approved source for all NSN’s. Torrent Photonics provided a novation agreement, dated 11/5/2021, where Salvo Technologies (55JW2) purchased Graflex. Torrent Photonics is the parent company of Salvo Techologies. A product specialist referral was submitted. After Engineering Support Activity approval, the approved source for all NSN’s was changed to Torrent Photonics
(9TZ70).
