CAUTION NOTICE - CONTRACTOR CODE OF BUSINESS ETHICS (FEB 2012) DLA TROOP SUPPORT

FAR Part 3.1002(a) requires all government contractors to conduct themselves with the highest degree of integrity and honesty. Contractors should have a written code of business ethics and conduct within thirty days of award. To promote compliance with such code of business ethics and conduct, contractors should have an employee business ethics and compliance training program that facilitates timely discovery and disclosure of improper conduct in connection with government contracts and ensures corrective measures are promptly instituted and carried out. A contractor may be suspended and/or debarred for knowing failure by a principal to timely disclose to the government, in connection with the award, performance, or closeout of a government contract performed by the contractor or a subcontract awarded there under, credible evidence of a violation of federal criminal law involving fraud, conflict of interest, bribery, or gratuity violations found in title 18 of the United States Code or a violation of the False Claims Act. (31 U.S.C. 3729-3733)

If this solicitation or contract includes FAR clause 52.203-13

- CONTRACTOR CODE OF BUSINESS ETHICS AND CONDUCT; the contractor shall comply with the terms of the clause and have a written code of business ethics and conduct; exercise due diligence to prevent and detect criminal conduct; promote ethical conduct and a commitment to compliance with the law within their organization; and timely report any violations of federal criminal law involving fraud, conflict of interest, bribery or gratuity violations found in title 18 of the United States Code or any violations of the False Claims Act. (31 U.S.C. 3729-3733) When FAR 52.203-13 is included in the contract, contractors must provide a copy of its written code of business ethics and conduct to the contracting officer upon request by the contracting officer.

CAUTION NOTICE – PATIENT PROTECTION AND AFFORDABLE HEALTH CARE ACT:

Please note that the Patient Protection and Affordable Health Care Act ("the Act"), 124 Stat. 119, imposes duties upon employers concerning the provision of health care to their employees. Health insurance costs, including any costs associated with compliance with changes in the applicable law, are the sole responsibility of the offeror. Offerors are advised that their proposals should include any costs associated with the implementation of the Act. Any changes in health coverage costs and/or costs associated with compliance, occurring after award of a contract pursuant to this solicitation will not form the basis for an equitable adjustment of the contract price.

CAUTION NOTICE – E-VERIFY:

Pursuant to FAR clause 52.222-54 vendors are required to enroll in the E-Verify program within thirty days after the date of a contract award and comply with all terms of the clause. In addition, vendors are required to provide evidence of their enrollment in the E-verify program to the contracting officer within 30 days after the date of a contract award.

PAGE 9 OF 103 PAGESCONTINUATION SHEET REFERENCE NO. OF DOCUMENT BEING CONTINUED:

CAUTION NOTICE: OFFER EVALUATION

This acquisition will utilize Best Value Source Selection procedures. This Solicitation requires the submission of a Technical Proposal consisting of Product Demonstration Models (PDM) and Past Performance information as part of the offer. For award evaluation purposes Technical merit is significantly more important in the award evaluation process than price. The Technical proposal will be evaluated to determine compliance with all characteristics listed for evaluation in the solicitation. Failure to furnish this information by the time specified in the solicitation may be cause for rejection of offers if not otherwise acceptable under the provisions for considering late offers.

Offerors are required to submit one PDM for each item listed under “INSTRUCTIONS FOR SUBMITTING PRODUCT DEMONSTRATION MODEL (PDM) (1)(a)” for a total of TWO (2) PDM(s) and past performance information from the period one year prior to the solicitation closing date. Offerors submitting offers on multiple lots shall submit ONE set of PDMs only. PDMs must be submitted for every intended place of performance, including all proposed subcontractors. FAILURE TO SUBMIT A PDM WITH THE OFFEROR’S PROPOSAL AT THE TIME AND DATE OF THE INITIAL CLOSING OF THE SOLICITATION WILL CAUSE THE OFFEROR’S ENTIRE PROPOSAL TO BE

REJECTED.

Prices will be evaluated based on the Annual Estimated Quantity (AEQ) listed in Schedule of Supplies Section of this solicitation. The base and option year AEQ will be combined to arrive at a total evaluated price.

The Government intends to evaluate proposals and award a contract without discussions with offerors. Therefore, the offeror’s initial proposal should contain the offeror’s best terms from a cost or price and technical standpoint. The Government reserves the right to conduct discussions if the Contracting Officer later determines them to be necessary.

This solicitation contains two separate and distinct lots that will result in two separate awards. For the purposes of efficiency, these lots are being solicited in one solicitation rather than issuing separate solicitations for each lot. Each lot contains identical estimated minimum quantities and maximum dollar values. A total of two separate contracts will be awarded based on the evaluation criteria contained in the addendums of this solicitation. The intent is to make two separate awards (to two different sources). However, the Government reserves the right to award two lots to one source if it is in the Government’s best interest.

To ensure that multiple sources are available, and to ensure the continuous availability of reliable sources of supply, the Government reserves the right to exclude, under the authority of FAR 6.202(a)(4), an awardee on one lot from being eligible for award on another lot for which they have been determined to be the best value. Orders will be issued under each separate contract in accordance with the terms and conditions of the contract and without notice to, or consideration of, any other contractor, or consideration of the terms and conditions of any other contract. The fair opportunity provisions of FAR 16.505(b) will not be applicable to orders under the resulting contracts.

The contract will contain a one (1) year Base Term and Two (2), One (1) Year Option Terms. Failure to offer on all Terms will result in reject of the offeror’s entire proposal. When submitting an offer on a particular lot, prices must be submitted for all items contained in that lot. A single award will be made on all quantities in a lot. Separate awards will not be made for individual items in a lot.

PAGE 10 OF 103 PAGESCONTINUATION SHEET REFERENCE NO. OF DOCUMENT BEING CONTINUED:

CAUTION:

This solicitation contains two separate and distinct lots that will result in two separate awards. For the purposes of efficiency, these lots are being solicited in one solicitation rather than issuing separate solicitations for each lot. Each lot contains minimums, annual estimated and maximum quantities. A total of two separate contracts will be awarded based on the valuation criteria contained in the addendums of this solicitation. The intent is to make two separate awards (to two different sources). However, the Government reserves the right to award two lots to one source if it is in the Government’s best interest. Businesses should submit a price proposal for both Lots along with one technical Proposal which shall consist of Product Demonstration Models (PDMS) and Past Performance Information.

CAUTION NOTICE: PAST PERFORMANCE INFORMATION RETRIEVAL SYSTEM - STATISCAL REPORTING (PPIRS-SR)

It is imperative that vendors validate their performance data in PPIRS-SR. Vendors must register at the PPIRS website https://www.ppirs.gov for access to view their past performance scores and negative delivery and quality records affecting the scores. The PPIRS-SR User's Manual provides information concerning vendor scoring, negative & positive performance data utilized to calculate vendor scores, and the process in which to challenge discrepant performance data. The PPIRS-SR User’s Manual may be found at http://www.ppirs.gov/ppirsfiles/pdf/PPIRSSR_UserMan.pdf Questions concerning PPIRS-SR may be directed to the PPIRS Customer Support Desk at (207) 438-1690.

[X] TWO-PHASE TECHNICAL/PRICE EVALUATION (AUG 2007) DLA

TROOP SUPPORT

Notwithstanding the following:

[ ] FAR provision 52.212-1, Instructions to Offerors--Commercial Items, paragraph (g), Contract Award, or any addendum--

OR

[ X ] DLA Troop Support provision 52.215-9P20, Source Evaluation and Selection Procedures, paragraph (b)(1), Technical Evaluation--

In the event that eight or more proposals are received in response to this solicitation, the Contracting Officer may conduct a two-phase evaluation. During the first phase of this process, all offerors' Product Demonstration Models (PDMs) and proposed prices will be evaluated in order to determine which offers are least likely to be candidates for further consideration. Those offerors who have submitted PDMs and/or prices that are not competitive when compared with PDM ratings and prices proposed by other offerors will be excluded from further consideration. Offerors eliminated at this stage will be promptly notified that their offer has been eliminated from competition and no proposal revision will be considered. The remaining offers will then be evaluated for the remaining technical evaluation factors. After the completion of this review, the Contracting Officer will determine whether to establish a competitive range and enter into negotiations, or to award without discussions.

(End of Provision)
