PERFORMANCE WORK STATEMENT

1. INTRODUCTION

This requirement is for the preventive maintenance, inspection, and repair services of the Material Handling Equipment (MHE) located at DLA Disposition Services Kaiserslautern.

1.1. SCOPE OF WORK

The contractor shall provide non-personal services to perform preventive maintenance, inspection, and repair services as required and directed via issuance of task order/call orders by the Contracting Officer for all equipment listed in Attachment 01, located at DLA Disposition Services Kaiserslautern, Germany.

The contractor shall furnish all personal protective equipment, labor, supervision, transportation, equipment, materials, supplies, tools, and all items and services necessary to perform timely and effective preventive maintenance and repairs when required.

All preventive maintenance, inspection, and repair services shall be made with the best commercial practices in accordance with the Original Equipment Manufacturer (OEM) manual of each equipment listed in Attachment 01.

The contractor shall be paid for the actual services provided; however, al l repairs will require estimates to be provided to the COR for determination of whether the repair is mi nor, major, or uneconomical, and to ensure funding is available. The contractor shall not perform any unscheduled maintenance or repairs without prior consent of the COR. The contractor will be held financially responsible for any/all maintenance/repairs conducted without preapproval.

1.2 ACRONYMS/DEFINITIONS

CLIN - Contract Line Item Number

COR - Contracting Officer’s Representative

Contract Line Item Number (CLIN) - The numerical number assigned to a controlled account

Contract Officer (CO) - The CO at the procuring activity is the individual with the authority to enter into, administer, and /or terminate contracts and make related determinations and findings.

Contracting Officer Representative (COR) - The individual designated in writing by the Contracting Officer to act as the Contracting Officer’s authorized representative. The COR is responsible for monitoring the contractor’s performance to assure compliance with technical requirements of the contract.

Material Handling Equipment (MHE) – Equipment used in the daily handling of Government equipment/material, to include forklifts, front-end loaders, cranes, warehouse tractor, EZ GO scooter and sweeper.

1.3 PREVENTIVE MAINTENANCE (PM) -The routine checking of hardware that is performed by a field engineer/mechanic/technician/electrician on a specific scheduled basis. PMs include visual and operational inspection of all operational components and any repair of adjustment necessary to ensure operational Ml-I E. This includes, but is not limited to; lubrication of forklifts and cranes, battery maintenance, brake repair, check and fill if necessary, proper levels of brake fluid, engine oil; lubricants and grease, check hydraulic lines, fittings and fluid levels; check radiator, cap, core, gasket and hoses for leakage; change antifreeze on annual basis, ensure MHE is kept in safe operation and meets all US and German guidelines.

On-Site -Job performed at DLA Disposition Services Sites Kaiserslautern under this contract.

Off-Site - Job performed at Contractor furnished facilities located off DLA Disposition Sites.

Remedial Service - A repair service call that is required due to a malfunction of the equipment.

Repair -To accomplish the operations that are authorized to restore a vehicle to serviceable condition.

Small MHE - Piece of equipment rated below 10,000 pounds of maximum lift capacity as per Military standards. (Example: cover pallet jacks, pallet trippers, electric warehouse forklift, etc.)

Large MHE - Piece of equipment rated at or above 10,000 pounds of maximum lift capacity as per military standards. (Example: Front-end loaders and forklifts) Shredding equipment is also considered part of this category.

1.4 RECURRING PREVENTIVE MAINTENANCE (PM) SERVICES – CLINS x001, x002 and x003

The contractor shall perform quarterly and/or bi-annual PM services as described for all equipment listed in Attachment 01. These services shall include the travel cost to and from the work site(s).

The service shall include, but not limited to, the following:

Inspection of all machine parts for deterioration, cracks, excessive wear, misalignment, loose joints, bearing play, signs of malfunctions, improper adjustment, defective threads on tires, leaks or other defects that may affect serviceability of MHE.

Provision and replacement of worn and unserviceable minor parts e.g. spark plugs, glow plugs, V-belts, lights fuses, relays, switches, filters.

Provision and replacement of oil, grease/lubricants, fluids, anti-freeze, oil filters, air filters, fuel filters and fittings per OEM maintenance specifications.

Checking of batteries for correct acid level (fill with distilled water if necessary).

All excessive oil, dirt, lube. greases and other foreign matter shall be removed during the cleaning and lubrication process. All fluids shall be kept at a level or refilled in accordance with manufacturer specification of the equipment.

Remove and dispose of any worn out parts, waste oils, lubricants, filters, grease, acid, and cleaning materials in accordance with (IAW) with German disposal regulations of hazardous waste and without additional charge.

Inspection /Repair of the entire electrical system including but not limited to checking connections and wiring for looseness, chaffing, corrosion and oxidation, tighten connections, clean and replace wiring as necessary. Checking the brushes, relays, fuses and switches for excessive wear. Repairing or replacing of parts as necessary without additional charge.

Inspection/Repair of the hydraulic system including but not limited to checking all hoses, pumps, gauges and cylinders for leaks, corrosion or deteriorations, cleaning and replacing all valves as necessary.

Checking ignitions, cleaning and replacing spark plugs. Demounting and cleaning of carburetor, cleaning nozzles and fuel injector.

Inspection/Repair of the gas system(s) to include but not limited to replacing worn out V-belts, exchanging distributor cap, and exchanging gas filters.

All other malfunctions which are noticed during the PM services/inspections and which require repair shall also be included when discovered or when noticed.

List of malfunctions which were noticed during the performance of the maintenance services/inspections and which require repair but are not a safety or health issue and do not require immediate repair service(s).

The contractor shall be capable of repairing/replacing on the spot minor parts including, but not limited to such items as lights, fuses, belts, relays, and switches, to avoid unnecessary delays in returning equipment to service.

The contractor shall coordinate with the manufacturer's representative on repairs of equipment and components under warranty at no additional charge to the Government. All repairs will be done in accordance with OEM standards.

1.5 ANNUAL SAFETY INSPECTION – CLIN x004 and x005:

The contractor shall perform annual safety inspection to all equipment listed in Attachment 01.

Inspection shall include, but not limited to, checking parts for deterioration, cracks, excessive wear, misalignment, loose joints, bearing play, signs of malfunctions, improper adjustment, defective threads on tires, leaks or other defects that may affect serviceability of the equipment. This service shall include the travel cost to and from the work site(s).

Safety lnspection(s) shall be provided in accordance with US and German safety standards (UVV). The safety inspection may be performed during the quarterly maintenance services. The quarter in which the yearly safety inspection is performed shall be at the discretion of the contractor.

Ref: VGB 12a/20 German Safety Reg. and OSH/Reg 1910-176/A FOSH Reg. 127.66.

Equipment which requires the safety inspection is defined on Attachment 01.

1.6 REMEDIAL SERVICE – CLINs x006

Remedial service is for the repair of mechanical parts that have failed or are anticipated to fail due to damage or wear, which exceed the scope of the preventive, but require necessary action due to safety and/or health of the MHE operator, and/or major damage to the equipment maintenance services, and to prevent unnecessary downtime of the equipment. All remedial services require written approval from the CO or COR. If approved, repairs are authorized to include up to an amount of $1,000.00 per part , and the total repair cost shall not exceed $2,500.00, including round-trip fee, labor, and parts. The amount in US$ is based on conversion rate in effect for the contract period involved.

The conversion rate may be obtained from the COR. If the part exceed $1,000/each or the total repair cost exceeds $2,500.00, the repair will be ordered and paid separately, and may or may not be billed against this contract (to be determined by the COR/CO).

Remedial service include, but are not limited to:

a.Transmissions (standard and automatic), engines, starters, alternators, and air.
b.Tire repair/replacement and balancing (when required). When tires are required to be replaced,

only manufacturer-approved rated tires shall be used.

c.Replace batteries and terminals.
d.Engine analysis/diagnosis for potential problems beyond PM diagnosis.
e.Brake repairs, including but not limited to replacing brake pads, rotors, drums, etc.
f.Drive train maintenance and repairs.
g.Electrical system maintenance and repairs including plasma repair.
h.Coolant system maintenance and repairs.
1.Air conditioning maintenance, service and repair.
j.Exhaust system maintenance and repairs.
k.Replacement of windshield wiper blades.
I.Suspension system maintenance.
m.Replacement of unsafe windshields, windows and other glass.
n.Replacement of head light assembly bulbs and covers.
o.All specialized equipment parts as required; e.g., shear blades, circuit cards, shredder blades, scale

parts, pumps, hydraulics, etc.

This services shall be issued by call order and billed under CLINs x006, x007 and x008 to cover labor for repair, parts and materials, and trip fee to Kaiserslautem, respectively (Reference Price Schedule). Parts and materials shall be billed under CLIN x007. CLIN x008, Trip Fee, refers to the round-trip, inclusive of all travel costs, with one charge applicable if a repair need is known or can be diagnosed and repaired in a single visit; or multiple charges if the parties agree that a separate repair visit is necessary after an initial diagnosis visit . The cost of parts and materials (x007) will be reimbursed as required . The contractor shall coordinate with the Manufacturer's representative on repairs of equipment and components under warranty at no additional charge to the government.

M INOR REPAIRS: Service calls, required to repair or replace unserviceable components, assemblies, sub assemblies and electrical components, will be performed on-site to minimize equipment downtime. Minor repairs will have a maximum of two (2) workday repair criteria. If the repair will take longer than two (2) workdays, the contractor will be required to provide the COR a written justification for the delay and an estimated date of completion.

MAJOR REPAI RS: Major component repairs such as engine overhaul, power train repair, etc., will require the Contractor to perform a technical inspection and provide a report with the name of the major component, cause of component breakdown, cost to repair and estimated time for repair prior to proceeding with the repair. The contractor will submit a cost estimate as soon as possible but not later than five (5) working days after request to the COR to determine if repair is economically feasible on a particular piece of equipment. Prior to proceeding with any such repair, the COR shall approve or disapprove such repair. Actual cost of repairs shall not exceed the cost estimate by five (5) percent. The contractor must submit written justification for any repair price exceeding five percent. The contractor must receive written approval from the COR prior to proceeding with the repairs.

If determined during a Remedial Service call that it is not cost effective to repair a particular piece of equipment, the COR or KO may request the contractor to perform an inspection to determine the equipment's overall condition and serviceability. This inspection will include but is not limited to: a thorough inspection of the equipment such as engine transmission, other major components, controls, mast, cables, chains, hoses, electrical, air, and hydraulic systems to determined disposition of the equipment. The Contractor shall include an estimated cost for labor and materials required to return the equipment to an operating condition. The contractor shall complete this cost estimated to include labor, parts and materials, and trip fee within five (5) working days after the service call date. A DLA Form 1730 will be furnished by the Government.

If determined that repair is cost effective the COR shall request an authorization under the applicable task order by the CO constituting written approval to the contractor for such repair, prior to proceeding with any such repair. The contractor must request approval from the COR to proceed with repairs, providing written justification for any repair exceeding their original estimate for repairs.

The contractor will perform after-repair quality inspections on the equipment that receive maintenance or repairs on safety items or systems (brakes, steering, seatbelts, etc.). The contractor will provide the COR with a copy of the quality inspection report and completed work order upon completion of the maintenance or repair action. Prior to departing the performance location, the contractor will demonstrate to the COR maintenance/repair action has been accomplished and that the equipment is operational.

1.7 PARTS AND MATERIALS – CLIN x007

Unless otherwise advised by the Government, the contractor shall furnish replacement and repair parts. Parts and materials used by the contractor in performance of this contract shall be new and conform to the OEM or re manufacturer's specifications unless approved in by the COR. Rebuilt assemblies may only be used with prior approval of the COR when it is a standard industry practice and the rebuilt assembly or subassembly carries the same manufacturer's or re-manufacturer 's warranty as a new assembly or subassembly. Any part removed is Government property and shall be returned upon request of the COR unless the replacement part is predicated upon an exchange basis with the part being replaced. The contractor shall provide, at no additional cost to the Government, all repair parts and supplies necessary for the PM services for the equipment listed in Attachment 01.

All OEM recommended replacement parts and materials may be examined when requested by the COR prior to installation. The COR shall approve all parts and materials that are substituted for OEM replacement parts by the contractor prior to installation. No rebuilt parts may be used without prior approval of the COR.

The contractor shall be reimbursed by the Government for the parts/supplies at the contractor's net price as stated in the invoice from the respective supplier. A copy of the invoice for the parts/supplies shall be submitted to the Contracting Officer or Contracting Officer's Representative for payment verification. Invoices for repair services where parts pricing is separate from labor hours will be documented by a list citing the Original Equipment Manufacturer (OEM) part number or authorized substituted item to include nomenclature, quantity used, and price.

Parts or components damaged by the contractor shall be repaired or replaced at the expense of the contractor to the satisfaction of the Contracting Officer or Contracting Officer's Representative.

All worn out or deteriorated parts recommended for replacement may be physically examined when requested by the COR prior to actual replacement. All worn out or deteriorated parts will be returned to the COR unless an acceptable monetary credit is provided to the Government by the contractor .

Services required to affect repairs or replace unserviceable components, will have a maximum 3 workday (72 hours) repair timeframe after the equipment is turned over to the contractor. If the repair/replacement will take longer than 3 workdays, the contractor shall provide the COR a written justification for the delay and an estimated date of completion.

The contractor and COR will discuss, telephonically, in-person or via email, the failure/damage prior to the contractor's arrival in order to determine if parts are needed to be ordered by the Government or provided by the contractor. Once the COR notifies the contractor parts have arrived, the task order will be modified to reflect that the contractor has 48 hours to be on site to effect repairs.

Any deficiencies discovered by the contractor that will result in either operator safety concerns or potential damage to MHE will be taken out of service. Such action will require the contractor to immediately notify the COR for disposition instruction.

The contractor will adhere to all provisions of the manufacturer's warranty during the specified operational period unless determined to be uneconomical by the contractor and concurred with by the COR.

1.8 OTHER TASKS

For each maintenance service and safety inspection accomplished under this contract, the contractor shall submit to the COR a detailed report not later than 2 workdays after completion of the service/inspection. The report shall include:

Type of service provided (1st, 2nd, 3rd, 4th quarter, or 1st, 2nd bi-annual maintenance, or annual safety inspection).

What type of equipment was serviced including DLA number of equipment as identified in Attachment 01, List of Equipment.

List of other malfunction s which were noticed during the performance of the maintenance services/inspections and which require repair but are not a safety or health issue and do not require immediate repair service(s).

1.9 The contractor shall keep the COR informed of any changes in safety regulations and requirements pertaining to small and heavy MHE equipment and recommend compliance fixes.

2.0 ADDITIONAL REQUI REMENTS & INFORMATION

2.1 REPORT TO COR: The contractor shall report personally its arrival and departure to the COR or designated inspector every time maintenance, inspection, and or repair services will be performed on-site.

ADJUSTMENTS IN MHE DENSITY: The Government shall have the right to make increases or decreases to the equipment quantity as new and/or replacement equipment is received or equipment is deleted from the schedule, and to substitute new or different equipment which replaces existing equipment identified in this contract. A modification will be issued by the CO to reflect the changes to the contract.

NOT TO EXCEED (NTE) AMOUNTS WITHIN THE BID SCHEDU LE:

An amount of funding set aside for the payment of parts or services that is NTE the ceiling price (total amount) will be established on the task order. A NTE value may be adjusted upwards or downwards depending upon the number of repair parts purchased. The contractor is NTE this price unless notified by the CO in writing that the ceiling price has been increased and has specified in the notice a revised ceiling price for performance under this contract/CLIN. The Government shall not be obligated to pay the contractor any amount in excess of the ceiling price in the order, and the contractor shall not be obligated to continue performance if to do so would exceed the ceiling price set forth in the schedule unless and until the CO has notified the contractor in writing that the ceiling price has been increased and shall have specified in the notice a revised ceiling that shall constitute the ceiling price for performance under this contract. The NTE amount only applies to the cost of parts, though all other CLIN amounts funded are not to be exceeded until an order modification adds funds as necessary during the life of the order..

2.2 MHE AVAILABILITY AND RELEASE: The Government shall make available to the contractor, equipment for preventive maintenance or repairs in accordance with the provisions for the schedule. The contractor upon receipt of any Government equipment shall assume the risk of and shall be responsible for any loss or damage thereto. Any equipment described herein to be removed from DLA Disposition sites shall have the prior approval of the CO or COR. The Contractor shall sign for receipt of any Government equipment moved from the Government installation. The necessary form, DRMS Form 1367, will be furnished by the Government.

2.3 GOVERNMENT FURNISHED FACILITIES: Workspace will be provided to perm it the contractor to do on site PM services and necessary repairs within the DLA Disposition sites. Existing utilities will be furnished without charge to the contractor during normal Government working days per paragraph I .7.I 9, HOURS OF OPERATIONS, or other scheduled times that have prior approval of the COR. The contractor shall assume the risk of and shall be responsible for any loss or damage thereto as a result of contractor performance. Welding in open areas shall not be performed without prior approval of the Military Installation's Fire Department in writing.

2.4 CONTRACTOR FURNISHED FACILITIES: The contractor shall perform all repairs, which are not feasible on-site in his/her facilities/shop. The contractor shall furnish materials, labor and transportation for all equipment that is repaired in contractor's facilities. The contractor shall assume the risk of and shall be responsible for any loss or damage thereto as a result of contractor performance.

2.5 MANUFACTURER'S WARRANTY EQUIPMENT REPAIRS: New equipment received by the Government under manufacturer's warranty will not be repaired without the prior approval of the COR. The COR may request the contractor to inspect the equipment to determine if the provisions of the manufacturer's warranty are applicable. The contractor shall coordinate with the manufacturer on behalf of the Government for repairs that are covered under the manufacturer's warranty. Repairs will only be accomplished, at no cost to the Government, if approved by the manufacturer and the COR.

2.6 CONTRACTOR CALLBACK: When the COR, within 30 workdays of maintenance or repair, determines the applicable equipment does not operate properly, the COR will notify the contractor to discuss, telephonically or via email, the nature of the inoperability. Unless it is determined that the inoperability is due to a problem other than initial service, returning to the performance location to resolve the issue shall be considered a callback and the service and associated travel costs shall be at the contractor's expense. Response time for callback service shall be a maximum of 48 hours from the time the COR notifies the contractor of the problem If the inoperability is determined due to a problem other than the initial service, the contractor's return to the location will be considered a new remedial service call subject to applicable on-call CLINs and PWs terms.

3.0 PASSES FOR ENTRY INTO MILITARY PREMISES

3.1 All contractor personnel are required to have appropriate current and valid working permits and training for the job s they will perform. Contractor personnel that are required to work on installation must acquire authorization for entry and must use this authorization only for the purpose of performing under this contract.

(a) Not later than five (5) calendar days after award of the contract and prior to commencement of any work, the contractor shall furnish to the Contracting Officer's Representative (COR), in writing and in triplicate, a list of the personnel employed in the performance of the work under this contract, with the following information:

( 1) Three completed copies of AE Form 604-1B-R (Personnel Data Worksheet (Personaldatenanfrage-Arbeitsblatt).

(2) Two passport-size photographs.

(3) A Polizeiliches Fuehrungszeugnis (Good Conduct Certificate (GCC)), except for individuals who have U.S. identification (ID) cards.

(4) Copies of the following identification and perm its are required as follows:

i.German citizens: a clear copy of their Ausweis (German ID card) or passport showing their picture and full name.
ii.Citizens of European Union (EU)-member countries other than Germany: a clear copy of their Aufenthaltsgenehmigung (residence permit).

iii. Non-U.S.-ID cardholders and other citizens of non-EU-member countries: a clear copy of their Arbeitserlaubnis (German work permit) and country ID card or passport showing their picture, full name, country of issue, and nationality.

iv. U.S.-ID cardholders: a clear copy of the front of their ID card. U.S.-ID cardholders do not need an Aufenthaltsgenehmigung or Arbeitserlaubnis.

(5) Other information as specified by the Contracting Officer.

3.2 Not later than five (5) calendar days after award of the contract and prior to commencement of any work, the contractor shall furnish to the Contracting Officer's Representative (COR), in writing and in triplicate, a list of private and commercial vehicles, including those belonging to subcontractors, that will be used during contract performance. This list shall include the following information:

(1) Vehicle make, model and year of manufacture.

(2)Vehicle-identification number.
(3)License-plate number.
(4)Name and driver's-license number of each vehicle operator.

3.3 The contractor will establish procedures to control and account for passes and to ensure that they are immediately retrieved and returned when their employees no longer need them (for example, when an employee transfers or is no longer employed by the contractor). These procedures will include the actions required by applicable base regulations for lost and stolen passes. Copies of applicable base regulations shall be obtained from the COR after contract award. The contractor shall inform employees that they are subject to search when entering and leaving U.S. installations.

3.4 Citizens from the following designated countries (passport holders) are not authorized access to US military installations: Afghanistan, Algeria, Burma, Cambodia, Cuba, I ran, Iraq, Laos, Libya, Mongol ia, North Korea, Peoples Republic of China (including Tibet), Syria, Yemen and the former Yugoslavia (Serbia, Montenegro and Bosnia Herzegovina).

3.5 The issuance and surrender of passes shall be accomplished in accordance with procedures established by each individual community Commander.

3.6 CONTRACTING OFFICER 'S REPRESENTATIVE (COR):

The CORs for this project will be appointed by the DLA Disposition Services CO prior to commencement of performance. The COR is responsible for monitoring contractor performance, providing technical interpretation of the requirements of the contract and acts under the authority of the CO. In no event, however , shall any understanding or agreement, modification, change order, or other matter deviating from the terms of the subject contract between the contractor any person other than the CO be effective or binding upon the Government, unless formalized by proper contractual documents executed by the CO prior to completion of this contract. The COR will not interfere with the contractor's rights and ability to properly perform contract requirements.

On all matters concerning changes to contract terms, the contractor shall contact the CO. When, in the opinion of the contractor, the COR requests effort outside the existing scope of the contract, the contractor shall promptly notify the CO in writing. The contractor shall take no action unless and until the CO advises the contractor to proceed and points out the requirement in the contract or the CO issues a contract modification to the contractor.

3.7 ACCEPTANCE/CORRECTION OF WORK: All work performed under this contract shall be subject to the acceptance of the COR. If performance is found to be unsatisfactory and not in accordance with the requirements of this contract, the contractor shall begin correcting unsatisfactory work as soon as possible but not later than the first three (3) hours of the following regularly scheduled Government workday, or as otherwise scheduled as approved by the COR. Correction of work shall be performed at the expense of the contractor in accordance with Federal Acquisition Regulation (FAR) 52.212-4.

3.8 PERIOD OF PERFORMANCE: The period of performance of the contract is for a period of 12-month, after date of contract award, plus three 12-month option periods, subject to unilateral exercise by the Government..

3.9 ACCEPTABLE PERFORMANCE LEVELS (APLS):

Acceptable performance levels (APLs) are the minimum performance levels of specific requirements that the contractor must achieve or risks having the Government consider performance unsatisfactory, resulting in monetary consideration from the contractor. Specification of an acceptable performance level below 100% does not allow the contractor to knowingly provide defective service, but sometimes occurs unintentionally. As long as the performance does not fall below the specified acceptable level, the Government will not deduct for poor performance. However, the contractor shall be required to correct the defective service at no additional cost to the Government. All work required by the contract is subject to surveillance whether or not specifically identified.

3.10 Performance incentives for the contractor shall include, but are not necessarily limited to, favorable impact on option exercise decisions, future awards of the same requirement, and future awards of similar requirements by DLA Disposition Services as well as other Government and non-Government entities that may review performance of this contract.

3.11 Reduction for failed APL: if valid failure to meet an APL is identified prior to payment and a fee is applicable per the APL matrix it shall be taken against that particular task order. If the failure is identified after payment and a fee is warranted, it may be applied against an open task order line item.

CONTRACT MANAGER /ALTERNATE CONTRACT MANAGER:

The contractor shall assign a contract manager and an alternate contract manager to the contract. The contractor shall provide their names, telephone numbers and email addresses to the COR. The contract manager or designated alternate must be available during DLA Disposition Services Kaiserslautern hours of operation and return any calls made by the COR within one hour of the COR's call. Therefore, the contractor must provide the COR with a means to leave a message with the contract manager or their designated alternate requesting a return call.

The contract manager and alternate contract manager are not required to be situated at DLA Disposition Services Kaiserslautern facility. The contract manager and alternate contract manager are the contractor employees who interact with the CO regarding contractual matters. The contract manager and the alternate contract manager shall have full authority to act for the firm on all contract matters relating to the operation of this contract; e.g., all contract arrangements and required coordination. The contractor agrees that notice by the US Government to the designated contract manager or alternate contract manager shall constitute notice to the contractor and agrees to be bound by any commitments or representations made by the employees so designated.

The contract manager and alternate contract manager must be able to understand English language and be able to speak the English language with sufficient structural accuracy and vocabulary to participate effectively in conversations on practical and professional levels. They must be able to proficiently read and draft official correspondence and reports in the English language.

4.0 ACCEPTANCE, INVOICING AND PAYMENT:

The contractor may bill monthly after performance is complete for the month, using the iRapt/WAWF payment clause and related instructions included in the clause section of the contract.

4.3 INDEMNIFICATION: The Contractor shall indemnify the Government for any damages or costs it incurs due to the contractor's breach of any term or provision of this contract; or for any negligent or willful act or omission of the Contractor, its employees or subcontractors in the performance of this contract. The Contractor additionally agrees to hold the Government harmless and indemnify it for any and all costs, including those that arise from violation of any law or regulation. The Government will assume no liability for any damage to the property of the Contractor, to the property of any person, or public property or for personal injuries, illness, disabilities or death to the Contractor, Contractor's employees, and any other person subject to the contractor's control.

4.4 CELL PHONES/PAGERS/PERSONAL COM PUTERS: With permission of the COR and consistent with Government security requirements, the contractor is permitted to have contractor-owned computers, pagers or cell phones on-site. The Government will not provide telephones, computers and associated connectivity.

4.5 SAFETY REQUIREMENTS:

Hazardous Waste Disposal: Any waste oils, lubricants, filters, grease, acid, and cleaning materials related to the performance of the contract shall be removed and disposed free of charge by the contractor , in accordance with German Disposal Regulations for Hazardous Waste.

The contractor shall comply with all safety and fire regulations. The contractor shall take proper safety and health precautions to protect the work, the workers, the public, the property of others, and the environment. The contractor is responsible for identifying and complying with all safety requirements as prescribed in the German Accident Prevention Regulations of the Trade Unions and the German Insurance companies (Unfallverhuetungsvorschriften des Hauptverbandes der gewerblichen Berufsgenossenschaft – VBG). The contractor is responsible for providing and ensuring that his agents, employees, or subcontractors perform the work in a safe manner, including wearing the appropriate clothing/personal protective equipment for the work to be performed. The contractor shall ensure that all personnel involved in performance under this contract are trained in the area of spill response, fire prevention and general first aid procedures. The COR may stop work at any time if unsafe conditions exist.

4.6 SPILL RESPONSIBILITY:

The contractor is responsible for the clean-up of any and all spills or leaks during the performance of this contract in accordance with standard operating procedures (SOP) established by the host installation. DLA Disposition Services will provide the necessary materials used to clean and contain level 0 spills or leaks, not exceed 5 liters, identified by the contractor during performance. The contractor agrees to clean up such spills or leaks in a manner that complies with applicable Host installation and host country environmental and Safety laws and regulations, US Federal Laws and regulations applicable to the Host installation, in-country, and local laws and regulations. The contractor agrees to hold the Government harmless and reimburse it of any costs, expense or liability that the Government may incur as a result of spills, leaks or releases caused by actions or omissions of the contractor, its agents, employees, or subcontractors. The contractor is responsible for removal and disposal of all hazardous special waste generated during clean-up.

4.6.1 The contractor is responsible for reporting any spills/leaks in accordance with host nation or local law or regulation. The contractor is responsible for reporting to the COR and CO all spills/leaks of special (or hazardous) wastes, regardless of quantity within. Spills/leaks shall be reported by telephone to the COR immediately following the incident and shall be followed with a written report to the CO no later than 7 calendar days after the telephonic report. When reporting a spill/leak the following information shall be furnished:

(1) Item spilled/leaked;

(2) Quantity spilled/leaked;

(3) Exact date, time, and location of spill/leak;

(4) Initial actions taken and time actions were taken;

(5) Anticipated cleanup and disposal procedures.

(6) Persons contacted or present at the time of the spill/leaks.

Upon completion of the spill/leak cleanup and disposal of the spill/leak residue, the contractor shall submit a summary report of the spill/leak to the COR and CO no later than 7 calendar days after the telephonic report. The report shall include cleanup and disposal procedures taken, outside assistance required (if any), personal injury involved, and the names and telephone numbers of all national, regional or local officials contacted.

4.7 HOURS OF OPERATION:

All services performed under this contract shall be performed during regular working hours:

Monday through Thursday, 0730 - 1600 hours and Friday 0730-1430 hours. Services will not be performed on local, national and American holidays except with prior COR approval/contractor concurrence.

The US holidays are:

4.9 SCHEDULING: After award, at the beginning of each performance period the Government will issue a single task order to cover the entire 12-month period. All dates for the quarterly/bi-annual preventive maintenance and annual safety inspection shall be coordinated and scheduled by mutual agreement between the COR and the Contractor upon award of the contract. The bi-annual maintenance service shall be coordinated and scheduled in March/April and September/October time frame of each contract period. The annual Safety Inspection shall be provided during the last quarterly preventive maintenance. The scheduled services shall be completed on each piece of equipment in Attachment 01no later than 2 weeks after date of first call order.

5.0 CONTRACT MINIMU/MAXIMUM

This is a firm-fixed price indefinite quantity contract. The minimum for the base period and each of the period options shall be 5 % of the estimated value of the period. The maximum for the base and each of the priced options shall be 200 % of the estimated value of the period.
