Amendment 0001

Page | 2

The purpose of this amendment is to answer questions from potential offerors, and incorporate other revisions, as follows:

1) The front page has the words “NEW TEXT” over the unrestricted box. Was that simply an error when using the check box form? Or are you anticipating changing language there?

Answer: That was an internal systems issue, the procurement is unrestricted with no change being made to that area.

2) The due date says 12am? Does that mean 12pm (noon) on the 16th? Or due on the 15th by midnight?

Answer: Similar issue, procurement system is new this year with various technical difficulties. Offers are hereby designated as being due 2:00 pm, local (Eastern) time, on 16 Sep 2011.

3) I don’t actually see a due date for questions on the solicitation, did I miss it?

Answer: The due date for questions of 19 Aug 2011 was as per the FBO posting of the solicitation on 29 Jul 2011.

4) As an FYI, on page 19, section 1.16.2, there is reference to a link of approved DOD logistics companies. However, when we attempt to access this link via the internet, it appears to fail. Is the web address correct?

Answer: The web address is hereby corrected to the following, which will be included in any award resulting from this action: https://mustang.eta.sddc.army.mil/ccp/jsp/ApprovedCarrierList.jsp

5) Can you publicly disclose the price of the existing contract? If so, please do so.

Answer: The information available through FOIA will be summarized here, though current policy is that unit prices cannot be released. The estimated value of the current contract is approximately $11 million, the total period is 4.5 years with similar volumes to this solicitation. Note this is for informational purposes only and the Government can provide no assurances as to its applicability given that the past contract was priced over 5 years ago and does not have identical terms to the current action, with also the contractor’s own factors being involved.

6) This question regards potential incumbent info such as name, value of contract, time of contract (duration)? Also, is there a phase in process?

Answer: The current contractor is Global Investment Recovery of Tampa, FL. The estimated value and duration of the contract is as per #5 above. There is no scheduled phase-in process in the actual terms of the proposed contract but we are attempting to award the new contract to allow for informal start-up prior to the 19 Jan 2012 conclusion of the current contract. We can’t guarantee that the lead-time will be possible, however.

Page | 3

7) Do the three documents End-Use Certificate, Letter of Authorization, and Report of Discrepancy all need to be filled out and included in the Bid?

Answer: The Letter of Authorization and Report of Discrepancy are to be utilized during performance only. We were going to handle the End-Use Certificate only with the winning firm; however, this has recently changed to preclude awarding without ensuring this will be approved for the awardee.

Therefore, a complete End-Use Certificate as per its detailed instructions is required within the Technical Proposal, with the 1.5 Operations Strategy and Design Plan portion of the technical proposal on page 45 of the solicitation.

8) Is the contractor fiscally responsible to handle complete and proper disposition of CRT monitors and television sets?

Answer: Yes

9) Is it possible that the volumes of CRT monitors and TVs could increase substantially if DLA deems them no longer suitable for reutilization, transfer, donation, or sales?

Answer: Yes, though it is not considered likely since a different outlet for CRT monitors and TV’s is used.

10) Is the contractor operationally and fiscally responsible for disposition of beryllium containing material?

Answer: Yes

11) Can the DLA provide how many locations there are? The RFP only has regions.

Answer: There are 85 current locations, though others are possible under the contract.

12) Can the DLA provide the actual locations where the pickups/trailers will be staged/picked up? This is needed to price out the transportation cost.

Answer: Specific locations are available at http://www.dispositionservices.dla.mil/drmo/drmo-locations.shtml.

13) For the 9.5 million lbs of “Destruction other than circuit boards - Can the DLA please provide a commodity breakout? (i.e. monitors, laptops, CPU’s, keyboards, etc)

Answer: An accurate breakout of items is not available and with the highly variable nature of military turn in of excess items and quantities, historical information would not likely correlate with future turn-ins.

14. Who is the incumbent, and what is the pricing/rebates the DLA is paying/receiving?

Answer: See Questions 5 and 6 above.

Page | 4

15. Under Section 1.16.2 it states “The contractor shall provide information and documentation to his transportation agent, authorizing the transporter to pick up the material. It is required that the Contractor utilize a DoD approved carrier. A list of approved carriers can be found at (http://www.sddc.army.mil/public/Doing+Business+with+SDDC/ <http://www.sddc.army.mil/public/Doing+Business+with+SDDC/> )” This web site it not valid. Can you confirm with DLA the correct web site, as we need to verify our carries are on the list?

Answer: See Question 4 above.

16. Does the carrier need any certifications other than DoD approved?

Answer: No, though applicable criteria are met for their DoD approval.

17. What is the anticipated award date?

Answer: We are attempting to award in time to begin performance on 20 Jan 2012.

18. With this type of contract any disposal of any material can be considered a sub-contract service, when in actuality, it is a downstream vendor relationship which can be considered as sub-contracted.

Our main concern was in the wording under the haz waste disposal section, and asking for subcontractors for it. Companies generally do not sub-contract disposal, which brings us some worry when developing a sub-contracting plan for something we technically do not sub-contract for. Another example, we may use 100 freight carriers for your material. Since it is a vendor relationship, I now need principal information and contacts for every single carrier I intend to use? If the motivation really leans toward downstream accountability, I think the solicitation needs to amended to be as such. Sub-contracting for processing is simple. Company A pays company B to demanufacture. Any disposition, or logistical work should not be subject to subcontracting or subcontract planning, no?

Answer: DLA Disposition Services is required to be able to track, cradle to grave, all waste products.

Whether it is through vendors or sub-contractors the Government has an obligation to ensure it can responsibly answer how and where it’s wastes are ultimately disposed of. The solicitation is not being changed in this area.

19. How can we provide a report indicating the material pick up date when we need to supply it just after shredding of the boards, maybe upon completion of shipment?

Answer: For shredded circuit boards, the contractor will be required to accumulate a full shipment (commercial truck load) and coordinate removal with the governments Precious Metal Recovery Program (PRMP) Manager. The PRMP PM will then initiate removal though the Government TMO (Transportation Management Office). To clarify the timing of the report, the first sentence in 1.28.7 of the PWS will be changed to the following in any award resulting from this solicitation: “Contract must provide a report upon completion of shredding all circuit cards/boards on the task order, and subsequent transporter removal of the processed material.”

20. Does the statement “This database shall be accessible via computer by the Government” mean you want a web portal? Or that you just want an excel document sent you electronically? This is in the production database section.

Page | 5

Answer: Electronic copies in Excel will suffice. There is no need for an electronic portal for Government access

21. Can DLA provide a listing of DLA Service Site Locations (addresses) throughout the United States from which the contractor may receive material?

Answer: See Question 12 above.

22. Can DLA provide the following historical data:

- Amount (weight and unit count, if available) of DEMIL material demanufactured/demilitarized under this program in the last 3 years.

Answer: FY08 - 5M lbs; FY09 – 4.4M lbs; FY10 – 3.7M lbs. Note the same caveat as Question 13 above applies to all such questions. What is available will be shared for informational purposes but the Government provides no assurances as to the relevancy of the information for this action.

- Additionally, can DLA provide an amount (weight) by DEMIL product type?

Answer: No, this is not available.

- Amount (weight and unit count, if available) of non-DEMIL material demanufactured under this program in the last 3 years.

Answer: FY08 – 11.5M lbs; FY09 – 16.1M lbs; FY10 – 13.7M lbs, with the same caveats as above.

- Additionally, can DLA provide an amount (weight) by non-DEMIL product type?

Answer: No, this is not available.

- Amount (weight and unit count, if available) of material by type (DEMIL and non-DEMIL) generated for demanufacturing/demilitarization per state and/or per DLA Distribution Service Site for the last 3 years.

Answer: No, this is not available.

- Amount (weight and unit count, if available) of material by type (DEMIL and non-DEMIL) generated for demanufacturing/demilitarization by region/zone for the last 3 years.

Answer: The approximate total of Demil and non-Demil by region/zone is:

FY08 EAST 9.2M lbs; Mid America 4.2M lbs; West 2.9M lbs; PAC 317K lbs FY09 EAST 7.5M lbs; Mid America 9.3M lbs; West 3.4M lbs; PAC 179K lbs FY10 EAST 7.7M lbs; Mid America 6.2M lbs; West 3.3M lbs; PAC 189K lbs

Page | 6

- Average weight of trailers sent to the contractor for destruction/demilitarization for the last 3 years.

Answer: FY08 46K lbs; FY09 42K lbs; FY10 – 40K lbs

- Amount of Hazardous Material (weight and unit count, if available) generated under the program in the last 3 years.

Answer: No, this is not available.

- Additionally, what types of hazardous materials have been generated under the program and what are the corresponding weights and, if available, unit counts, over the last 3 years?

Answer: Mercury, Lead, Beryllium, to name a few. However, any hazardous material normally associated with electronics is possible, and accurate historical details of weights and constituents are not available.

- Amount of material and number of occurrences of radioactive and/or biohazard material encountered by the recycler under the program in the last 3 years.

Answer: We cannot identify quantity or frequency but can confirm that some radioactive material has been shipped. We cannot confirm Biohazards.

- Additionally, what types of radioactive and/or biohazard material have been encountered under the program in the last 3 years?

Answer: Americium 241, Krypton- 85, Thorium- 232, Radium-226, note the same above caveats on past historical information is applicable.

- Amount of material and number of occurrences of AEDA material that have been encountered under the program in the last 3 years.

Answer: We cannot identify quantity or frequency but can confirm that some AEDA material has been shipped.

- Pricing information for the recycling of DEMIL and non-DEMIL material for the last 3 years.

Answer: See Questions 5 and 6 above.

23. Can material be re-directed from one region/zone to a different region/zone for recycling?

Additionally, can non-DEMIL material be transported from one facility to another facility for demanufacturing?

Answer: The contractor can process the property from any Disposition Services location at any Disposition Service contractor approved facility authorized for the type of property involved, demil (single site) or non-demil. When a task order is issued for non-demil property, the property has to be transported to one facility and processed at that facility. No further movement of the property after

Page | 7 reaching the facility is allowed unless the contractor provided DEMIL shipment will be required to be directed from one region to another in the sense of a non-demil facility redirecting to another non-demil facility for the contractor’s reasons, e.g. capacity or equipment problems. As for this possible redirecting, it can be authorized by the Government Program Management office on a case by case basis provided adequate justification is presented, with the redirected shipment (for the contractor’s reasons) accomplished at no additional charges or processing time extensions under the contract.

24. Page 21 of the solicitation indicates an e-Stewards certification is required for the recycler awarded the contract. Page 44 indicates that recyclers should provide information on certifications such as e- Stewards or the R2 certification. Can DLA clarify whether or not only R2 recyclers are eligible for the contract?

Answer: R2 and e-Stewards certifications are eligible but are not required at this time. They can be used to augment a firm’s technical proposal as appropriate. PWS Paragraph 1.20.1 will have the following change incorporated into any award resulting from this action: “…and the e-Stewards or R2 certification programs (if the contractor is an e-Stewards or R2 certified firm)”.

25. For the sale of commodities by DLA, what is the timeline after the initial 30 days? Do the commodities during the 30 day time frame need to be inside a physical facility?

Answer: DLA Disposition Services requires 30 days to sell the Ferrous and Non Ferrous scrap after completion of the task order. Once property is adequately reduced to scrap material, storage requires that the scrap material be segregated from non Government property so as to prevent the comingling with other property as well as easily identifiable as Government scrap. If the material is not removed by the authorized Government sales agent within 30 calendar days, the contractor is to notify the Program Manager for appropriate action. Demil processed items must remain inside a physical facility, non-Demil is not necessarily required to be held inside but must comply with its other contract terms.

26. If material does not sell in the 30 day timeframe, would the contracted recycler have the opportunity to buy the material from the US Government?

Answer: Not through this proposed contract. But there is no prohibition on the contractor separately pursuing actions through the sales program. Sales of this material are conducted by the DLA Disposition Services sales contractor Government Liquidation under the scrap sales contract. Information on scrap sales can be found on the Disposition Services web-site at http://www.dispositionservices.dla.mil/sales/typesale.shtml. All interested should note, however, that there are no assurances that sales efforts will be successful, so this contract should cover all costs associated with meeting contract terms on a stand-alone basis. Also, it is possible that policy in this area could shift during the life of the contract to where there could be future restrictions impacting processors of material also being eligible to pursue sales of the material.

- Is it possible for the US Government and the contracted recycler to enter into a purchase agreement for the commodities prior to the material being received at the recycling facility? If so, would the recycler be allowed to run DoD material through the shredding equipment with non-DoD material?

Answer: No, but see Question 26 above for considerations on the separate sales program.

Page | 8

27. Would the contracted recycler have the opportunity to purchase material at the beginning or prior to the 30 day timeframe? If so, would this material be available at a discount?

Answer: No, but see Question 26 above for considerations on the separate sales program.

- Additionally, if the contractor knows they can purchase the material in advance would the contractor be able to shred material at a different size (other than the 3/4 inch) provided the material can not be used for its original purpose?

Answer: No.

28. Can the DLA expand on the appropriate timeframes for the following:

- Turn around time for the COTR to observe the destruction of all DEMIL material.

Answer: The COTR will be located on-site 100% of the time so normally there should be no turn-around time. The COTR will be available to observe the DEMIL process and provide certification upon completion.

- Timeframe in which a certificate of treatment must be provided for the final disposal of all hazardous material.

Answer: Within 30 calendar days of the disposal requirements of PWS Para. 1.36.4.

29. Are transportation contractors also expected to have certain security clearance levels?

Answer: No

30. What are some commercially accepted methods for determining radioactivity of an item?

Answer: Any NRC approved radiation detection devices used in accordance with the operating manual providing the RADIACS are in proper working order and calibrations are current. Devices must be used by personnel qualified to do so.

31. Regarding a Radiation Program: if a proposed contractor has an un-authorized waste procedure for any items that they do not accept, will this suffice for covering the possible accidental receipt of radioactive or AEDA material from DLA?

Answer: The contractor should submit their procedures for dealing with possible receipt of radioactive items with their technical proposal, as appropriate).

32. Would ISO 14001 and OHSAS 18001 manuals suffice for an Environmental and Safety Compliance Plan?

Page | 9

Answer: No, technical proposal content should be specific to the requirements of this action, though it can be augmented with appropriate exhibits as necessary. See the coverage later in this amendment for additional technical proposal considerations.

33. Can the DLA expand on the International laws the contract must comply with under the contract?

Does this include laws not recognized by the US Government such as the Basel Convention?

Answer: Disposition Services cannot expand on the international laws that would apply as that would depend on the contractor’s procedures in meeting the contract terms and conditions. If a contractor will never do anything on an international basis such as export material they retain title to, no international laws would apply.

34. The link to the listing of DLA Approved Carriers/Transporters it no longer valid. Can DLA provide an updated website link?

Answer: See Question 4 above.

36. Can you provide the zip code to each site?

Answer: See Question 12 above.

37. Can you please explain how you would like us to complete Option I thru IV for the BID SCHEDULE?

Answer: Complete Bid Schedules as per pages 10-12 of the solicitation are to be submitted in Excel, Word, or an annotated PDF excerpt as the contractor sees fit.

38. Can we provide alternative Option for unit price and total?

Answer: No, only the current units of issue and other requirements of the Bid Schedule will be accepted due to the Government’s internal systems that must be used for this action.

39. Do you required asset inventory (i.e. record serial number of the unit, manufacture, model, etc) for DEMIL equipment?

Answer: An inventory will be provided for all DEMIL property and must be verified by both the COTR as well as the Contractor. A record of the serial number, manufacturer, model etc will not normally be required.

39. Do you require capturing the serial number of each hard drive for destruction?

Answer: Only if a classified hard drive is found.

40. Can you define “minimal” CRT monitors and television (section 1.5 Property Eligibility)?

Answer: DLA disposition Services currently uses an alternate disposal method for CRTs and TVs. It is not the intent of the Government to use this service contract for the disposal of subject commodities.

There will be occasional shipments that include CRT Monitors/TVs which would have been shipped

Page | 10 unintentionally to the DEMAN Contractor location. This is not expected to exceed .5% (one-half of one percent) of the material by weight, but we cannot guarantee this percentage won’t be exceeded.

41. Do we need to determine a “fixed” price for freight? Or a freight fee for each site in the given state? For example, one freight fee for all shipments coming from Northeast (consists of MI, IN, OH, Kentucky, Virginia, PA, NY, NJ, etc)?

Answer: It is a fixed price for freight for all loads in the designated zone, i.e. all sites in the Northeast Zone will be subject to that same fixed charge.

42. Can you clarify what is DEMIL and non-DEMIL? Provide examples too? We just want to ensure we are of the same understanding.

Answer: All Government property is assigned a Demilitarization Code. All property assigned a code of C,D,E,F, G, or P is considered DEMIL required. All other property, DEMIL Code A, B or Q shall be treated as sensitive. DEMIL required items will be identified as Significant Military Equipment as defined in the US Munitions List. “Sensitive” is not DEMIL required including processing at the single demil site.

43. Can we utilize a Calgary and Vancouver recycling facility for shipments from Montana, Wyoming, Oregon, Washington, and Idaho to help save on freight costs?

Answer: No.

44. Is the candidate required to be eStewards to participate in this solicitation? Or just be Responsible Recycling (R2) certified?

Answer: See Question 24 above.

45. Will this solicitation be awarded to one candidate to cover each region? Or will you possibly award the business to multiple candidates by region?

Answer: There will be only one contract award since all Demil property must be processed at a single facility, though non-Demil property can be processed at the contractor’s other suitable facilities, if applicable.

46. Are all the processed circuit boards and the resulting shredded materials required to go to a precious metals program smelter assigned by the Government contractor?

Answer: Yes

47. In this solicitation, are you only requiring the recycling company to destroy and process the equipment to the commodity level? Then, the Government Sales Contractor will sell the commodity?

Answer: The contractor will be required to reduce to scrap or no longer identifiable as the original item, segregate into Ferrous, Non-ferrous, Precious metals (circuit boards/cards removed from electronics and other).

Page | 11

48. The FedBizOpps announcement says the proposal is due Sep 16, 2011 at 11:59pm. The SF 1449 says Sep 16, 2011 at 12:00am. Question: what is the correct time and date?

Answer: See Question #2 above.

49. Can you estimate how many of the staged 40 ft. minimum trailers have to be placed at the start of the contract?

Answer: It is not anticipated that more than 25 trailers would need to be placed at the outset of the contract, since most removal activity is through the regional trailer transportations CLINs. The estimated quantity for the staged trailers includes the replacement of the trailers at a given site as needed, so even a single trailer regularly turned over at a site represents a substantial portion of the estimate. Note, however, that all activity under this proposed contract is subject to the uncertain nature of military turn-ins so we cannot guarantee that past trailer activity will correlate with any contract resulting from this action.

50. Please let us know if there is a potential for a site visit at Scott Air Force Base (or any other installation)?

Answer: Site visits aren't practical for this requirement since at any given time it is not known if electronic scrap intended for the contract would be on-hand and/or if it would be representative of what is typically experienced on the contract. Therefore we are not authorizing site visits as part of the proposal process under this action.

51. How is the material packaged? Typically, on pallets or loose in open top containers?

Answer: Typically items will be loose in tri-wall boxes and/or palletized, though some shipments may arrive on flatbeds or even communication trailers in their entirety. The contractor loading CLIN, however, has not been highly utilized, though we can’t guarantee it won’t be utilized more under any contract resulting from this action.

52. If circuit boards are not sent separately, does the Government expected the contractor to remove the circuit boards from all equipment provided under this contract and process them in accordance with

1.21 of the performance work statement?

Answer:

53. If the Government requires the contractor to remove circuit boards from all equipment provided under the contract, what CLIN applies for billing purposes for the weight of the circuit boards?

Answer:

In addition to the above, please note the following revisions which are hereby incorporated into the solicitation:

Page | 12

- The total Technical Proposal page count, that is the total pages submitted under 1.3, 1.4, 1.5 and 1.6 beginning on page 44 of the solicitation, must not exceed 60 pages (not including separate certifications or reports from regulatory authorities, or other similar supporting documents that are not prepared by the contractor as part of the specific technical proposal for this action, but may be pertinent exhibits submitted in support of the technical proposal). “Pages” for purposes of the technical proposal page limit are defined as single sided, 8.5 x 11 printed paper size, with a font size of at least “10” in Microsoft Word or equivalent.

- The Past Performance Proposal page count, that is the total pages submitted under 1.7 on page 46 of the solicitation, must not exceed 10 pages using the same application of what constitutes “Pages” as per the above technical proposal restrictions. Also, contract or project references are limited to a maximum of five (5) examples that the contractor believes are the most comparable and relevant to this action, including current email and phone numbers for each reference project’s point of contact.

Exhibits or similar supporting documents, i.e. key personnel resumes, that are not prepared by the contractor as part of their specific past performance proposal, are not considered within this page count limit.

- Any/all use of “Distribution Services” or “Disribution Services” in the PWS will be corrected to “Disposition Services” in any award resulting from this action.

- Paragraph 1.21.2 of the PWS on page 21 of the solicitation will be revised as follows in any award that results from this action:

1.21.2 The contractor shall shred the circuit cards/boards obtained throughout the task order to meet demilitarization and/or destruction requirements. Circuit cards/boards must be shredded to ¾ of an inch or smaller to prevent components from being used for their originally intended purpose. Note that all circuit boards, circuit cards, or circuit assemblies are to be removed from all property to the maximum extent practicable, regardless of the end item demil code, segregated and processed separately with the residue added to the stand alone circuit boards/cards/assemblies processed to precious metals recovery. For any items where the contractor determines removal of the circuit board, card or assembly is not practical, they are to maintain a supporting audit trail, including photographic evidence, which will be subject to periodic inspection/audit by the Government as determined necessary. Circuit board, cards and assemblies that are removed will be assigned to the shredded circuit board CLIN for payment purposes, including adding this line item to the order if not already present. All other remaining material will be assigned to the other than circuit board CLIN.

- The following paragraph will be added to the PWS as 1.42 in any award that results from this action:

1.42 TASK ORDER WEIGHT ADJUSTMENTS

All task order weights are estimated amounts. The contractor can expect that the task order weights will be required to be adjusted upward or downward as removals take place and the actual pounds being removed are measured. Therefore, the Government has the unilateral right to increase the task order weight in those instances where the Government has underestimated the amount of weight that is required to be removed so the contractor can continue performance. The Government has the unilateral right to decrease the task order weight in those instances where the Government has

Page | 13 overestimated the amount of weight that is required to be removed. In instances of decreasing weight, these decreases are not subject to FAR 52.212-4, termination for convenience coverage.

No other changes authorized.
