(b) Prohibition. The prohibition and exceptions contained in the FAR clause of this solicitation entitled “Limitation on Payments to Influence Certain Federal Transactions” (52.203-12) are hereby incorporated by reference it his provision.

FAR 52.209-5 Certification Regarding Responsibility Matters

(a)(1) The Offeror certifies, to the best of its knowledge and belief, that –

(i) The Offeror and/or any of its Principals –

(A) Are [_] are not [_] presently debarred, suspended, proposed for debarment, or declared ineligible for the award of contracts by any Federal agency;

(B) Have [_] have not [_], within a three-year period preceding this offer, been convicted of or had a civil judgment rendered against them for: commission of fraud or a criminal offense in connection with obtaining, attempting to obtain, or performing a public (Federal, State, or local) contract or subcontract; violation of Federal or State antitrust statutes relating to the submission of offers; or commission of embezzlement, theft, forgery, bribery, falsification or destruction of records, making false statements, tax evasion, violating Federal criminal tax laws, or receiving stolen property (if offeror checks “have”, the offeror shall also see 52.209-7, if included in this solicitation); and

RFQ SP3300-17-Q-5014 Page 6 of 53

(C) Are [_] are not [_] presently indicted for, or otherwise criminally or civilly charged by a governmental entity with, commission of any of the offenses enumerated in paragraph (a)(1)(i)(B) of this provision; and

(D) Have [_], have not [_], within a three-year period preceding this offer, been notified of any delinquent Federal taxes in an amount that exceeds $3,500 for which the liability remains unsatisfied.

(1) Federal taxes are considered delinquent if both of the following criteria apply:

(i) The tax liability is finally determined. The liability is finally determined if it has been assessed. A liability is not finally determined if there is a pending administrative or judicial challenge. In the case of a judicial challenge to the liability, the liability is not finally determined until all judicial appeal rights have been exhausted.

(ii) The taxpayer is delinquent in making payment. A taxpayer is delinquent if the taxpayer has failed to pay the tax liability when full payment was due and required. A taxpayer is not delinquent in cases where enforced collection action is precluded.

(2) Examples.

(i) The taxpayer has received a statutory notice of deficiency, under I.R.C. §6212, which entitles the taxpayer to seek Tax Court review of a proposed tax deficiency. This is not a delinquent tax because it is not a final tax liability. Should the taxpayer seek Tax Court review, this will not be a final tax liability until the taxpayer has exercised all judicial appeal rights.

(ii) The IRS has filed a notice of Federal tax lien with respect to an assessed tax liability, and the taxpayer has been issued a notice under I.R.C. §6320 entitling the taxpayer to request a hearing with the IRS Office of Appeals contesting the lien filing, and to further appeal to the Tax Court if the IRS determines to sustain the lien filing. In the course of the hearing, the taxpayer is entitled to contest the underlying tax liability because the taxpayer has had no prior opportunity to contest the liability. This is not a delinquent tax because it is not a final tax liability. Should the taxpayer seek tax court review, this will not be a final tax liability until the taxpayer has exercised all judicial appeal rights.

(iii) The taxpayer has entered into an installment agreement pursuant to I.R.C.

§6159. The taxpayer is making timely payments and is in full compliance with the agreement terms. The taxpayer is not delinquent because the taxpayer is not currently required to make full payment.

RFQ SP3300-17-Q-5014 Page 7 of 53

(iv) The taxpayer has filed for bankruptcy protection. The taxpayer is not delinquent because enforced collection action is stayed under 11 U.S.C. 362 (the Bankruptcy Code).

(ii) The Offeror has [[_] has not [_], within a three-year period preceding this offer, had one or more contracts terminated for default by any Federal agency.

(2) “Principal,” for the purposes of this certification, means an officer; director;

owner; partner; or a person having primary management or supervisory responsibilities within a business entity (e.g., general manager; plant manager;

head of a division or business segment; and similar positions).

This Certification Concerns a Matter Within the Jurisdiction of an Agency of the United States and the Making of a False, Fictitious, or Fraudulent Certification May Render the Maker Subject to Prosecution Under Section 1001, Title 18, United States Code.

(b) The Offeror shall provide immediate written notice to the Contracting Officer if, at any time prior to contract award, the Offeror learns that its certification was erroneous when submitted or has become erroneous by reason of changed circumstances.

(c) A certification that any of the items in paragraph (a) of this provision exists will not necessarily result in withholding of an award under this solicitation. However, the certification will be considered in connection with a determination of the Offeror’s responsibility. Failure of the Offeror to furnish a certification or provide such additional information as requested by the Contracting Officer may render the Offeror nonresponsible.

(d) Nothing contained in the foregoing shall be construed to require establishment of a system of records in order to render, in good faith, the certification required by paragraph (a) of this provision. The knowledge and information of an Offeror is not required to exceed that which is normally possessed by a prudent person in the ordinary course of business dealings.

(e) The certification in paragraph (a) of this provision is a material representation of fact upon which reliance was placed when making award. If it is later determined that the Offeror knowingly rendered an erroneous certification, in addition to other remedies available to the Government, the Contracting Officer may terminate the contract resulting from this solicitation for default.

SUBCONTRACTING PLAN (REQUIRED FROM LARGE BUSINESS ONLY)

A subcontracting plan shall be required upon notification and prior to contract award when the apparently successful offeror is “other than small”. (Reference:

FAR 19.708(b) and DFARS 219.708(b)(1)(A).)

The submission of a subcontracting plan is required within three business days following notification by the Contracting Officer or Acquisition Specialist and should address the broadest possible scope of small business participation. The apparent successful offeror (large business only) shall demonstrate its understanding and commitment to the utilization of small business concerns by addressing the following information in their subcontracting plan:

PROPOSED SUBCONTRACTING EFFORTS

The subcontracting plan is a submittal requirement under the solicitation and will be a factor in determining contractor responsibility. The solicitation contains FAR clause 52.219-9, Small Business Subcontracting Plan, Alternate II, (Deviation 2016-O0009) (AUG 2016). The solicitation also contains DFARS clause 252.219- 7003, Small Business Subcontracting Plan (DoD Contracts)-Basic (MAR 2016).

Deviation 2016-O0009 (AUG 2016) applies. In order to be determined responsible, the Subcontracting Plan described and required by FAR 52.219-9 (all 11 elements) must be submitted within the time specified by the Contracting Officer and shall demonstrate a commitment to providing subcontracting opportunities to small business. The plan shall be included and made a part of the contract award document.

A sample Subcontracting Plan format is attached to the solicitation and should be used for this purpose to the maximum extent possible. The sample Plan format requires the submission of subcontracting goals based on a percentage of total subcontract value and as a percentage of total contract value.

RFQ SP3300-17-Q-5014 Page 13 of 53

The Contracting Officer's assessment of appropriate subcontracting goals for this acquisition, expressed as a percent of total subcontract value, are as follows:

Small Disadvantaged Business Concerns

5.0%

Women Owned Small Business Concerns

5.0%

HUB Zone Small Business Concerns 3.0% Service-Disabled Veteran-Owned Small Business Concerns / Veteran- Owned Small Business Concerns

3.0%

Small Business (DLA Enterprise Goal)

32.0%

The goals included in the offeror’s Subcontracting Plan may be higher or lower than the goals stated above, depending upon the offeror’s independent assessment. However, the offeror is encouraged to propose goals that are greater than those recommended above.

All proposed goals shall be reasonably attainable, consideration given to the type and scope of work to be performed by small business subcontractors. The offeror is advised that a subcontracting proposal will not be rejected solely because the submitted Plan does not meet the recommended goals. If the offeror cannot meet some or all of the goals specified, or subcontracting opportunities for small business are very limited for the described acquisition, complete rationale/justification shall be provided on the last page of the subcontracting plan sample format. Use of the sample plan format attached to the solicitation is strongly recommended. Failure to use this format may be cause to reject the Subcontracting Plan as unacceptable. In no case will “zero” goals be accepted without explanation.

The range of supplies and services, as well as the functions and strengths of proposed subcontractors should also be stated and described in the subcontracting plan or in a short narrative. Roles and responsibilities between the prime and subcontractors should be clear, i.e., who is contributing what supplies and services to contract performance.

Cage codes shall be provided for the offeror and for each proposed small business subcontractor (reference page 4, sample format). The representations and certifications in the System for Award Management (SAM) will be used to determine whether a potential subcontractor is small or large or has other socioeconomic designations. If there is no SAM record for a proposed subcontractor, that company will be evaluated as a large business concern. The NAICS code/size standard for this requirement is stated elsewhere in the solicitation and should be considered in making any business size determinations for all subcontractors.

RFQ SP3300-17-Q-5014 Page 14 of 53

Failure to submit a plan, which shows a good faith effort to use Small Business, Small Disadvantaged Business, Woman-Owned, HUBZone, or Service-Disabled Veteran-Owned Small Business concerns may be cause for rejection of the plan, and will also be a factor in determining contractor responsibility. This is a Contracting Officer’s sole judgement and determination.

18. FAR 13.106-2 – Evaluation of Quotations or Offers

The Government intends to award one contract resulting from this solicitation to the responsible Offeror whose offer conforms to the solicitation using the Lowest Price Technically Acceptable (LPTA) source selection procedure. Technical tradeoffs will not be made and no additional credit will be given for exceeding acceptability. Award will be made to the acceptable Offeror with the lowest evaluated price which is deemed responsible in accordance with FAR Part 9, and which has submitted a quote conforming to the solicitation requirements. The requirements include all stated terms, conditions, completion of representations and certifications, and all other requirements of this solicitation. The Government intends to award without discussions; therefore, the initial offer should contain the Offeror’s best terms from a cost and technical standpoint. However, the Government reserves the right to conduct discussions if determined necessary by the Contracting Officer.

Quotes shall be evaluated for Acceptability or Unacceptability only and shall not be rated. Award will be based on the total overall lowest price quoted for the Base Year and Two (2) Option Years which meets or exceeds the acceptability standards for the following non-price factors: Factor 1 – Technical Capability and Factor 2 – Past Performance. Any Offeror who has submitted a technically acceptable quote and who has been found to have an acceptable past performance will then have its quote evaluated for lowest price.

Factor 1, Technical Capability:

The following criteria shall be used to establish technical capability: Compliance with Solicitation Requirements – This standard is based upon the offeror’s ability to comply with all requirements of the solicitation, including submittal of an offer for all contract line items (CLINS) in the Schedule of Supplies/Services;

completion of certifications and representations located at FAR 52.212-3; formal acknowledgement of any amendments issued against this solicitation; and submittal of past performance information for use in determining contractor responsibility.

The Government will evaluate the Offeror’s Technical Capability to determine acceptability of the Offeror’s quote. Technical acceptability will be evaluated on an Acceptable/Unacceptable basis.

A. To be technically acceptable, the Offeror’s quote must comply with the requirements of law, regulation, and all conditions set forth in this solicitation.

RFQ SP3300-17-Q-5014 Page 16 of 53

B. To be technically acceptable, the Offeror must be an established provider of 1) Maintenance Services for Rail Guided Portal Cranes and 2) Crane Rental Support Services to include a crane operator.

C. To be technically acceptable, the Offeror must clearly demonstrate a thorough understanding of the Crane Maintenance Services required by the Statement of Work.

D. To be technically acceptable, the Offeror must clearly demonstrate their ability to perform the Crane Maintenance Services required by the Statement of Work.

Failure to provide a complete, detailed, realistic, and reasonable quote may reflect a lack of understanding of the requirements and may result in a determination that the Offeror’s quote is unacceptable. The Government does not assume a duty to search for clarification data to cure problems or inconsistencies with an Offeror’s quote.

Factor 2, Past Performance Record:

The following criteria shall be used to establish acceptable past performance:

Submittal by the offeror of past performance information from three (3) sources that clearly indicate they have satisfactorily performed Scheduled Preventive Maintenance and Unscheduled Remedial Maintenance of rail guided portal cranes, and have provided Crane Rental Support Services, to include a crane operator, commercially or for the Government within the past three (3) years.

This past performance information shall include the following:

a. Contractor Name

b. Name of the customer/agency

c. Contract/Purchase Order Number

d. Customer Point of Contact (provide name, telephone number, and email address)

e. Length of contract/period of performance (dates)

f. Dollar Amount of Contract (initial price and final price)

g. Description of rail guided portal crane(s) for which maintenance was provided (must include sufficient detail such as portal crane manufacturer/brand name, model number, and crane capacity to demonstrate the scope and complexity of the maintenance provided)

h. A narrative synopsis that describes the specific nature of the work; similarities with the proposed work; and the relevant experience gained.

The Government will evaluate the Offeror’s Past Performance Record to determine acceptability of the Offeror’s quote. Past Performance will be evaluated on an Acceptable/Unacceptable basis.

RFQ SP3300-17-Q-5014 Page 17 of 53

The Government may utilize the Federal Past Performance Information Retrieval System (PPIRS), the Contractor Performance Assessment Reporting System (CPARS), data submitted by the Offeror as part of the Past Performance Quote, and any other information available to determine the quality and relevance of the Offeror’s past performance.

Each quote will be evaluated to the extent to which the Offeror has demonstrated an ability and willingness to perform:

1) A quality service (i.e. the conformance to contract requirements, specifications, and standards of good workmanship);

2) Timeliness of the contract with regard to completion of contract, milestones, delivery schedules and administrative requirements (e.g., effort that contributes to or affects the schedule variance);

3) Acceptable cost control with regard to the Offeror’s effectiveness in forecasting, managing, and controlling contract cost;

4) Good business relationships with regard to the timeliness, completeness and quality of problem identification and resolution, Offeror’s history of reasonable and cooperative behavior, customer satisfaction, timely award and management of subcontracts, and whether the contractor met their small/small disadvantaged and women owned business participation goals; and

5) Management of personnel with regard to demonstration of a commitment to the management of personnel with regard to the Offeror’s performance in selecting, retaining, supporting, and replacing when necessary, personnel.

Price: If an Offeror’s quote has been determined acceptable for the non-price factors listed above, the Government will then evaluate the quote for the lowest price. The total overall lowest price quoted between offers that are determined to be technically acceptable will be the determining factor in the selection of a quote for award.

Options – The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the base year. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).

Although the Government intends to award a contract as a result of this solicitation, the Government reserves the right to reject any and all quotes received and not award any item or items from this solicitation.

SUBCONTRACTING PLAN EVALUATION

In addition to the evaluation of any non-price factors, the apparent LPTA offeror (other than small) will be required to submit a subcontracting plan that will be evaluated on an “acceptable / unacceptable basis” The subcontracting plan is a submittal requirement for this solicitation and will be a factor in determining

RFQ SP3300-17-Q-5014 Page 18 of 53 overall contractor responsibility. In general, a plan will be deemed acceptable if

(i) it includes a response to all eleven (11) elements of FAR 52.219-9, (ii) the plan demonstrates a reasonable commitment to small business participation (including socioeconomic categories), and, (iii) subcontractor participation (whether supplies or services) is clearly stated and outlined in the subcontracting proposal. For this purpose, negotiation of the subcontracting plan may be required. Failure to submit a plan that includes a response to all eleven (11) elements or fails to show a good faith effort to use Small Business, Small Disadvantaged Business, Woman-Owned, Hubzone, and Service-Disabled or Veteran-Owned small business entities, may result in an unacceptable evaluation and may render the apparent LPTA offeror ineligible for an award.
