STATEMENT OF WORK

FOR

LEASE OF ONE (1) – 6 to 9 PASSENGER VAN or SIMILAR & LEASE OF ONE (1) 6

PASSENGER TRUCK FOR 730 AMS DET 2

at PAYA LEBAR SINGAPORE.

1. DESCRIPTION OF SERVICES/GENERAL INFORMATION. The contractor shall provide all equipment, tools, materials, and associated labor necessary to provide vehicle leases. The contractor shall perform services required in this Statement of Work (SOW) in accordance with the terms and conditions under the associated contract.

1.1. LEASE VEHICLE. The contractor shall lease one (1) 6 to 9 passenger van or similar/equivalent vehicle and one (1) 6 passenger truck to the 730th Air Mobility Squadron Detachment 2 at Paya Lebar, Singapore. See Appendix 1 for the vehicle specifications. The leased vehicle shall be registered in compliance with the Singapore law by attaching Singapore vehicle number plate. The title of the vehicle remains with the Lessor. The Leaser shall receive the vehicle to the place specified in the contract. The performance period starts on the day specified in the contract. The Leaser will deliver the vehicle to the same place it was picked up after the completion of the lease period.

1.2. REGISTRATION.

Singapore vehicle registration at the local state and insurance coverage are required.

a. Compulsory Third Party Personal Injury Insurance (CTP).

b. The Contractor shall provide lease vehicle with insurance at minimum.

c. Excess (deductible) of Comprehensive Car Insurance should be with a $1,000.00 SGP.

d. Above 22 years old for the driver.

1.3. CONDITION OF LEASED VEHICLE. The vehicle furnished under this contract shall be good quality and in safe operating condition, and shall comply with the Singaporean Law applicable to the vehicle. Both the exterior and the interior of the vehicle must be free of excessive soil, rust, and damage. If the vehicle does not meet the vehicle manufacturer’s standards and does not meet the criteria listed above, the United States Government may reject the vehicle promptly after receipt. If the Contracting Officer determines that any vehicle furnished is not in compliance with this contract, the Contracting Officer shall promptly inform the Contractor in writing. If the Contractor fails to replace the vehicle or correct the defects as required by the Contracting Officer, the Government may --

(a) By contract or otherwise, correct the defect or arrange for the lease of a similar vehicle and shall charge or set off against the Contractor any excess costs occasioned thereby; or

(b) Terminate the contract under para (m) Termination for Cause of this contract.

1.4. SAFETY. Each vehicle must meet all host nation safety requirements and have, as a minimum, the following safety features: seat belts, rear view mirrors, windshield wipers, parking brake, horn and serviceable lights (interior and exterior). The vehicle will also have driver and passenger airbag, when available from the manufacturer. All safety items must meet the vehicle manufacturer’s standards.

1.5. HEATING AND AIR CONDITIONING. Heating and air conditioning must be in vehicle and comply with the vehicle manufacturer’s standards.

1.6. TIRES. Tires must be new or in exceptional condition. The tire type shall be in accordance to the vehicle’s manufacturer specifications/recommendations. A full size spare tire must be in all the vehicles and be in exceptional condition. If a spare tire is used, a replacement tire shall be issued to the vehicle within 24 hours.

1.7. GENERAL ITEMS. Windshield screens and floor mats shall be provided for all vehicles.

Each vehicle shall have a lug wrench and jack. In addition, each vehicle shall have road safety kit (reflectors, road flares, etc.) and fire extinguisher in accordance with local safety laws. All general items must meet the manufacturer’s standards. The vehicles should be 4x2 wheel drive.

The vehicles should have fixed tie down points in the cargo area. The vehicles should come equipped with a backup camera or alarm.

2. SERVICES. The following services shall be provided by the Contractor:

2.1. MAINTENANCE. The contractor shall perform both scheduled and unscheduled maintenance. The contractor shall provide all parts, labor, and expertise necessary to complete required maintenance tasks. Parts include those items that must be replaced due to fair wear and tear such as windshield wipers, tires, headlamps, filters, fluids (i.e. motor oil, antifreeze), and lubricants. Fair wear and tear is defined as damages that occurs during normal use or due to the aging of the vehicle that can be based on the age and mileage of the vehicle; examples of fair wear and tear are minor dents, scratches, fading seats, tire wear, brake wear, clutch wear and other incidental damages except flat tire.

2.2. VEHICLE REPLACEMENT. The contractor shall replace vehicles after five (5) years of use or 100,000 KM or whichever occurs first. Vehicles in exceptional condition are waiver able at the written discretion of the Contracting Officer.

2.2.1. REPLACEMENTS. Replacements shall be provided for all vehicles that are out of commission. If no replacement vehicle is provided, consideration should be given to asking the contractor for compensation for noncompliance. The contractor shall deliver the new vehicle early enough to be in- processed and available on the date and time specified by the Contracting Officer or designated representative and allow for out-processing time of the outgoing vehicle. This overlapping period will not exceed three (3) days. The contractor shall notify the Contracting Officer if the Government fails to turn in the old vehicle on the agreed upon date and time.

2.2.2. LOANER VEHICLES. The contractor shall provide a loaner vehicle any time a primary vehicle is unavailable for more than 24 hours. The 24 hours starts from the time the contractor is notified that the primary vehicle went down and rent is still being incurred. The loaner shall be of equal or greater to the primary vehicle. The condition of the loaner shall be the same as the primary vehicle and thus will meet the same criteria outlined in 1.4, Vehicle Safety. In addition, if no loaner of equal or greater vehicle type is provided within 24 hours, the daily lease rate of the primary vehicle shall be deducted from the monthly invoice for every day the Government is without a vehicle. Primary vehicles not returned within 30 days will be replaced, at the Contracting Officer’s approval, with another vehicle of equal or greater vehicle type at the same price initially offered until the requested vehicle type is delivered.

2.2.3. VEHICLE TOW/ RECOVERY SERVICE. The Government shall not incur any charges for towing due to vehicle failure. Upon proper notification, the contractor shall recover disabled vehicles. Disabled vehicles are vehicles unsafe and/or unserviceable to the point it cannot be driven without causing harm to the driver or the local area. This service should be available 24 hours a day. If the recovery service is not available 24 hours a day, alternatives must be negotiated and agreed to by the contract representatives.

2.2.4 POINTS OF CONTACT. The contractor will provide points of contact within his company to interface with the contract representative on issues concerning leased vehicles.

Names, business address, phone numbers, and hours of operation are the minimum information requirements. Arrangements for contacting the contractor's points of contact after normal business hours should also be made.

2.2.5. CONTRACT MANAGER. The contractor shall provide a Contract Manager who shall be responsible for the performance of the work. The name of this person, and an alternate(s) who shall act for the contractor when the manager is absent, shall be designated in writing to the Contracting Officer. The Contract Manager or alternate shall have full authority to act for the contractor on all contract matters relating to daily operation of this contract.

3. DAMAGE AND ACCIDENT. The Government reserves the right to repair any damages on the leased vehicle caused by negligence or fault of the Government at no cost to the Contractor at repair facilities and towing services authorized by the Contractor.

The Contractor shall provide the Government with a list of authorized repair facilities prior to the lease period. In addition, the Government may request to add additional repair facilities within close proximity to the delivery address for approval to the Contractor. The Government will only select repair facilities authorized by the Contractor to make the repairs. The Contractor agrees to accept the repairs completed by authorized repair facilities and agrees to release any demand or claim from the Government on all repairs made when the leased vehicle is returned to the Contractor, upon expiration of the contract.

In case of an accident, where the cost of repair is less than the cost of replacing the vehicle and requires the repair of the leased vehicle, the Government representative shall notify the Contractor and Contracting Officer of the accident.

In case of an accident where the cost of repair is greater than the cost of replacing the damaged vehicle, the Government may terminate the contract for the convenience of the

Government. Compensation for the value of the damaged vehicle will be paid to the Contractor for the purchase price of the vehicle less the depreciated value during the lapsed contract period.

3.1. The Government shall be responsible for loss of or damage to leased vehicles (except for normal wear and tear; and loss or damage caused by the negligence of the contractor, its agents, or employees) and property of third persons, or the injury or death of third persons, if the Government is liable for such loss, damage, injury, or death under the Federal Tort Claims Act (28 U.S.C. 2671-2680).

3.2. In case of accident or damage, cost of the liability will be determined by mutual agreement with both parties.

4. LIABILITIES. The contractor shall be liable for, and shall indemnify and hold harmless the Government against, all actions or claims for loss of or damage to property or the injury or death of persons, resulting from the fault, negligence, or wrongful act or omission of the contractor, its agents, or employees.

5. REMEDIES. The Contracting Officer shall follow FAR 52.212-4, Contract Terms and Conditions – Commercial Items, for contractor’s failure to perform satisfactory services or failure to correct non-conforming services.

6. GOVERNMENT FURNISHED PROPERTY AND SERVICES.

OPERATOR CARE. The Government operator will be responsible for operator care (e.g., checking and replenishing fluids, tire pressure, lights, etc.). If any discrepancies are found, the contractor is responsible for correcting the problems.

3. The Government expects to drive this vehicle approximately 10,000 km a year.
