Statement of Work (SOW) for

Self-Assembled Monolayers on Mesoporous Supports (SAMMS®)

1.0 INTRODUCTION

1.0.1 The Naval Surface Warfare Center Philadelphia Division (NSWCPD) is a Department of Defense entity responsible for research and development, test and evaluation, engineering and fleet support organization for the Navy’s ships, submarines, military watercraft and unmanned vehicles. This requirement is for NSWCPD Code 416, which is responsible for submarine life support systems including but not limited to CO2 removal and oxygen generation systems for Submarines. Code 416 has been tasked by the Columbia Program Office (PMS 397) to acquire and deliver an Advanced Carbon Dioxide Removal Unit (ACRU) to replace legacy CO2 Scrubbers for future Submarines.

1.0.2 This contract is for non-personal services. It does not create employment rights with the U.S. Government whether actual, inherent, or implied.

1.0.3 Government / Contractor Relationship

a). The services to be delivered under this Contract are non-personal services and the parties recognize and agree that no employer-employee relationship exists or will exist under the Contract between the Government and the Contractor's personnel. Therefore, it is in the best interest of the Government to provide both parties a full understanding of their respective obligations.

b). The Contractor employees shall identify themselves as Contractor personnel by introducing themselves or being introduced as Contractor personnel and displaying distinguishable badges or other visible identification for meetings with Government personnel. In addition, Contractor personnel shall appropriately identify themselves as Contractor employees in telephone conversations and in formal and informal written correspondence.

c). Contractor personnel under this Contract shall not engage in any of the inherently Governmental functions listed at FAR Subpart 7.5 or DFARS Subpart 207.5.

d). Employee Relationship:

1) The services to be performed under this Contract do not require the

Contractor or its personnel to exercise personal judgment and discretion on behalf of the Government. Rather the Contractor's personnel will act and exercise personal judgment and discretion on behalf of the Contractor.

2) Rules, regulations, directives, and requirements that are issued by the U. S. Navy and NSWCPD under its responsibility for good order, administration, and security are applicable to all personnel who enter a Government installation or who travel on Government

SAMMS SOW 10 April 2020 Page 2 transportation. This is not to be construed or interpreted to establish any degree of Government control that is inconsistent with a non-personal services contract.

e). Inapplicability of Employee Benefits: This Contract does not create an employer-employee relationship. Accordingly, entitlements and benefits applicable to such relationships do not apply.

f). Notice. It is the Contractor's, as well as the Government's, responsibility to monitor Contract activities and notify the Contracting Officer if the Contractor believes that the intent of this Section has been or may be violated.

1) The Contractor shall notify the Contracting Officer in writing via letter or email within three (3) calendar days from the date of any incident that the Contractor considers to constitute a violation of this Section. The notice should include the date, nature, and circumstances of the conduct; the name, function, and activity of each Government employee or Contractor official or employee involved or knowledgeable about such conduct; identify any documents or substance of any oral communication involved in the conduct; and the Contractor's estimated date when, absent a response, cost, schedule or performance will be impacted.

2) The Contracting Officer will, within five (5) calendar days after receipt of notice, respond to the notice in writing. In responding, the Contracting Officer will either:

(i) Confirm the conduct is in violation and when necessary direct the mode of further performance,

(ii) Countermand any communication regarded as a violation,

(iii) Deny that the conduct constitutes a violation and when necessary direct the mode of further performance, or

(iv) In the event the notice is inadequate to make a decision, advise the Contractor what additional information is required, and establish the date by which it should be furnished by the Contractor.

1.1 BACKGROUND

The Life Support Systems Branch (code 416) of the Naval Surface Warfare Center, Philadelphia Division (NSWCPD), are the In-Service Engineering Agents (ISEAs) for Submarine Life Support Equipment. Code 416 is responsible for acquiring and qualifying the Advanced Carbon Dioxide Removal Unit (ACRU). The ACRU has been selected as the baseline CO2 Removal system for the future Columbia class submarine. In an effort to mitigate risk, two qualification units were purchased. One unit will be installed on a SSGN and the other operated in code 416’s test site to gather experience and reliability data. The ACRU uses a granular sorbent to remove CO2 from the atmosphere, the sorbent is called Self-Assembled Monolayers on Mesoporous Supports (SAMMS). Each ACRU unit required 515 pounds of SAMMS to meet the performance specification. The purpose

SAMMS SOW 10 April 2020 Page 3 of this contract is to acquire the necessary quantities of SAMMS for Columbia Class hull 1 and 2, the OPALT ACRU, and the lab ACRU.

1.2 SCOPE OF WORK

The Contractor shall be responsible for the procurement of Davisil® silica gel substrate, W.R. Grace & Company part number 5139892, Davisil® Grade 636, pore size 60 Angstrom, 35 to 60 mesh.

The Contractor shall process the Davisil® into SAMMS. 1 kilogram of Davisil® yields approximately 2.7 pounds of SAMMS® when processed.

Government Options (CLIN 0002-0009). At the Government’s option, the Contractor shall produce and provide up to six orders of 515 pounds of SAMMS®. Each order of 515 pounds of SAMMS® DBSG-051 and associated COAs shall be shipped to the address listed in paragraph 2.0.

2.0 APPLICABLE DOCUMENTS

2.1 Performance Specification for Steward Advanced Materials’ CO2

Adsorbent DBSG-051 for the ACRU System.

This document was developed by the contractor and has been reviewed/approved by NSWCPD ISEAs. The Contractor shall request the document from Benjamin Letter via email benjamin.letter@navy.mil.

The Contractor shall reference and utilize the latest version available when performing tasks within this SOW.

3.0. REQUIREMENTS

3.1 SHIPPING

3.1.1 15 pounds of SAMMS® sorbent material shall be delivered within 150 days of contract award (CLIN 0001). When Government options are exercised (CLINs 0002 – 0009), the full amount of SAMMS® sorbent material shall be delivered within 150 days of execution of option.

Delivery of the all SAMMS®, CLINs 0001 - 0009, shall be sent to:

3.1.2 The Contractor shall package and ship the SAMMS® material and send to the address listed in paragraph 3.1.1 or as directed by the Government.

The Contractor shall confirm the shipping address with the Government via email to TBD no later than five business days prior to each shipment.

The Contractor shall notify the Government via email to TBD when the SAMMS® has been shipped and provide the tracking information.

3.1.3 Each batch of SAMMS® shall be individually double bagged. The inner bag should be vacuum-sealed and the outer bag should be charger with a nitrogen blanket. The outer bag shall also be labeled with the part number, lot number, and weight. SAMMS® shall be safely and securely packaged to avoid damage to SAMMS® material. Shipment may be separated into multiple shipping pallets for convenience.

3.4 Manufacturing Phase-Out or Discontinuation of Production, Diminishing Sources, and Obsolete Materials or Components

3.4.1 The contractor shall notify the contracting officer immediately upon determining the unavailability of obsolete materials or components. The contractor may recommend a solution to include the impact on the contract price and delivery. The contractor shall not initiate any item redesign or incur any additional costs without the express, written authorization of the contracting officer.

4.0 DATA REQUIREMENTS

4.1 Certificates of Analysis (CDRL A001)

4.1.1 The Contractor shall provide Certificates of Analysis (COAs) for each batch of SAMMS® manufactured. A hard copy of the COAs shall be included in each shipment of SAMMS® and an electronic copy shall be provided to the Government via email to TBD. COAs shall include the following information at a minimum:

4.1.1.1 Lot number

4.1.1.2 Manufacture date

4.1.1.3 Quantity (lbs.)

4.1.1.4 CO2 adsorption capacity (weight %)

4.1.1.5 CO2 adsorption rate (min-1)

4.1.1.6 Bulk density (g/cc)

4.1.1.7 Volatility (weight %)

4.1.1.8 Volume percentage of particle size > 996µm

4.1.1.9 Volume percentage of particle size < 249µm

5.0 SECURITY REQUIREMENTS

N/A this is not a service contract.

6.0 PLACE OF PERFORMANCE

6.1 The contractor’s only place of performance will be at their facility in Chattanooga, TN.

7.0 TRAVEL

7.1 This contract does not require the contractor to travel.

8.0 GOVERNMENT FURNISHED PROPERTY

There will be no Government Furnished Property for this contract. The Contractor shall acquire any material needed to fulfil each CLIN.

11.0 COUNTERFEIT MATERIAL PREVENTION

11.1 Non-Electronic Materials

11.2.1 Department of the Navy contractors (and their subcontractors at all tiers) who obtain critical or high risk materiel shall implement a risk mitigation process as follows:

11.2.1.1 If the materiel is currently in production or currently available, solicitations shall require the materiel to be obtained only from authorized suppliers

11.2.1.2 If the materiel is not in production or currently available from authorized suppliers, solicitations shall require the materiel to be obtained from suppliers that meet appropriate counterfeit avoidance criteria

11.2.1.3 Require the contractor to notify the contracting officer when critical or high risk materiel cannot be obtained from an authorized supplier

11.2.1.4 Require the contractor to take mitigating actions to authenticate the materiel if purchased from an unauthorized supplier

11.2.1.5 Require the contractor to report instances of counterfeit and suspect counterfeit materiel to the contracting officer and the GIDEP as soon as the contractor becomes aware of the issue
