Amendment No. 03

Question #1: Section L. 10(d), cited in the answer to question 56, states that personnel policies (which include the compensation plan) only have to be submitted if the offeror does not have prior USAID contracting experience. If we understand that clause correctly, it does not seem to pose a blanket requirement on all offerors for submission of personnel policies with their cost proposals.

The original response to question #56 as stated in Amendment No. 2, seems to imply that personnel policies (and, therefore, the compensation plan) are required of all offerors.

Hence question Q#56, is restated as follows:

a. Is the “total compensation plan” referenced in this regulation required of all offerors for the IQC proposal or anticipated only for the task orders?

b. Given all the parameters faced by USAID contractors in different countries, what kind of details would USAID want to see in a “total compensation plan”?

c. If a “total compensation plan” is required of all offerors as part of the submission, should it be in the technical proposal or in the cost proposal, and how is it to be evaluated?

d. Are all offerors required to submit a copy of their personnel policies?

Answer #1: Offerors are required to submit a copy of their personnel policies with salary/wage information, etc. as part of their cost proposal only if they do not have prior USAID contracting experience.

Section L.10(d) (on P.92 of the RFP) addresses this issue: “If the offeror does not have prior

USAID contracting experience, submit a copy of its personnel policies, especially regarding salary and wage scales, fringe benefits, merit increases, promotions, leave, differentials, travel and per diem regulations, etc.”

Question #2: As a small business, we are committed to building a consortium that is inclusive, draws from the strengths of all member organizations, and is responsive to the requirements of each task order. Therefore, if we do not designate any “major subcontractors” as defined by the RFP, may we instead substitute five selected relevant

Past Performance Reference (PPR’s) from across our consortium members, in addition to the five from the prime contractor, for a total of ten PPRs?

Answer #2: As stated in Q&A #47 of Amendment 2, past performance references are only to be provided for the prime contractor and major subcontractors.

SOL-OAA-11-000011 Page 3 of 4

As long as the consortium members would not be considered to be a major subcontractor as defined in Section L. 9 of the RFP (page 85), then the answer is no, they will not be included in the past performance evaluation.

Question #3: Under the previous RoL IQC and under other USAID IQCs, small business award holders have successfully implemented projects well in excess of $1.0 million in value. Because this IQC will have the added advantage of competition among at least two small business awardees and in keeping with the goal of USAID and the federal

Government to maximize small business participation whenever and wherever possible, would USAID consider raising the small business-only task order threshold from $1.0 million to $2.5 million?

Answer #3: Per Q&A #54 of Amendment 2, the small business threshold is $1,000,000 for this

IQC.

Question #4: With respect to USAID’s response to Question 38, please provide further guidance concerning the requirement that subcontracting goals in the offerors’ subcontracting plans should be expressed not only in percentages, but also in dollar values, given that this is an IQC and the total dollar value of task orders awarded to each IQC holder is unknown at the procurement stage.

Answer # 4: Subcontracting goals should be based on the overall ceiling of the IQC. It is up to each offeror to anticipate the % and corresponding $ values, as stated in Attachment J.5 of the

RFP.

Question #5: Amendment 02 to the Rule of Law IQC changed Section K.7 of the

Representations and Certifications.

Regarding this modification: if in the earlier version of the Section K with the ORCA clause marked "(i) paragraph (d) applies":

[Clause copied from Section K.3:

(2) If the clause at 52.204-7 is not included in this solicitation, and the offeror is currently registered in CCR, and has completed the ORCA electronically, the offeror may choose to use paragraph (d) of this provision instead of completing the corresponding individual representations and certifications in the solicitation. The offeror shall indicate which option applies by checking one of the following boxes:

[ ] (i) Paragraph (d) applies.

SOL-OAA-11-000011 Page 4 of 4

[ ] (ii) Paragraph (d) does not apply and the offeror has completed the individual representations and certifications in the solicitation.]

Would it then be necessary for our partners/subcontractors to re-submit a corrected representations and certifications with the new section K.7, since if the above clause (para.

d) applies, the contractors / subcontractor has to only complete Section K 2, K 3 and sign

Section K. This is because any clause after K.3 would apply only if the contractor / subcontractor marks the clause indicating that Para. (d) does not apply (and the offeror has completed the individual representations and certifications in this solicitation).

The question has arisen because all our partners / subcontractors teaming with us had already sent the earlier version of the Section K. We sent a revised Section K with the clause from Amendment 02 inserted; however, some of them may not be able to re-submit the revised Section K. The Prime Contractor (being us) will have the revised Section K in its entirety, but not all of our partners/subcontractors may have them.

Answer #5: Offerors and their subcontractors must either have their Reps and Certs in ORCA or resubmit the information contained in Section K. 7 52-519-1 Small Business Representation (Jan

2011), as included in Amendment #2 with their proposals.
