1. DESCRIPTION/STATEMENT OF WORK

The objective of this contract is to purchase locally sourced native forb and grass seed to be used in restoration work after it is grown out as a seed increase for two years and up to three years if required (species-dependent). All seed will come from government furnished seed source collected in the Central Oregon area, which contains priority landscapes under the Wildfire Crisis Strategy on the Deschutes National Forest and the Crooked River National Grassland. One award will be made for this contract.

Delivery shall occur within 120 days of harvest for each production year of seed produced, delivered, and accepted. Work is estimated to begin at time of award.

Seed production and increase has been occurring in Central Oregon for at least 20 years. Locally collected and grown seed is provided to timber sales, road construction and decommissioning activities, recreation sites and administrative sites, and more, for erosion control and weed prevention. This seed source best matches the genetics of local populations, per Forest Service policy on restoration (FSM 2070).

2. SPECIFICATIONS

The Central Oregon units require locally sourced government furnished Eriogonum umbellatum, Phacelia hastata, Deschampsia cespitosa, and Elymus glaucus seed for seed increase. The FS requires high quality seed that is uncontaminated by invasive annual grass seed and other weed seeds. All seed received shall be tested for purity and noxious weeds by the contractor prior to purchase.

All seed shall be grown by the contractor in tenth-acre plots for forbs and one-acre plots for grasses using locally sourced (to Central Oregon) government furnished seed. Location of contractor and plots must be similar conditions to the requesting Forest conditions (such as similar climate, precipitation, daylight/nighttime hours, etc.) and maintain enough capacity to accommodate the workload and lifespan of this contract and future modifications to continue these plots if needed.

Work is estimated to begin at time of award for all species, weather dependent, through 120 days after final harvest or 12/31/2028.

3. PROJECT LOCATION AND DESCRIPTION

The project location is referred to in this contract as Central Oregon, which includes the Deschutes and Ochoco National Forests and the Crooked River National Grassland. Seed is collected from these units and is contracted out to be increased and returned to the units, providing locally sourced genetically appropriate stock for the landscape. This locally collected and grown seed is provided to timber sales, road construction and decommissioning activities, recreation sites and administrative sites, plus other activies, for erosion control and weed prevention. This seed source best matches the genetics of local populations, per Forest Service policy on restoration (FSM 2070). Seed production and increase has been occurring in Central Oregon for at least 20 years.

6. INSPECTION AND ACCEPTANCE

(a) The Contracting Officer's Representative (COR) will inspect and accept the supplies and/or services to be provided under this contract.

(b) Inspection and acceptance will be performed at: Contractor’s field site and the Bend Seed Extractory in Bend, OR where the seed will be sent after harvest.

7. FAR 52.246-4 INSPECTION OF SERVICES--FIXED-PRICE (AUG 1996)

(a) Definition. “Services,” as used in this clause, includes services performed, workmanship, and material furnished or utilized in the performance of services.

(b) The Contractor shall provide and maintain an inspection system acceptable to the Government covering the services under this contract. Complete records of all inspection work performed by the Contractor shall be maintained and made available to the Government during contract performance and for as long afterwards as the contract requires.

(c) The Government has the right to inspect and test all services called for by the contract, to the extent practicable at all times and places during the term of the contract. The Government shall perform inspections and tests in a manner that will not unduly delay the work.

(d) If the Government performs inspections or tests on the premises of the Contractor or a subcontractor, the Contractor shall furnish, and shall require subcontractors to furnish, at no increase in contract price, all reasonable facilities and assistance for the safe and convenient performance of these duties.

(e) If any of the services do not conform with contract requirements, the Government may require the Contractor to perform the services again in conformity with contract requirements, at no increase in contract amount. When the defects in services cannot be corrected by reperformance, the Government may—

(1) Require the Contractor to take necessary action to ensure that future performance conforms to contract requirements; and

(2) Reduce the contract price to reflect the reduced value of the services performed.

(f) If the Contractor fails to promptly perform the services again or to take the necessary action to ensure future performance in conformity with contract requirements, the Government may—

(1) By contract or otherwise, perform the services and charge to the Contractor any cost incurred by the Government that is directly related to the performance of such service; or

(2) Terminate the contract for default.

8. CONTRACTOR INSPECTION PROCEDURES

General Instructions

1) The contractor shall provide planting records, photos, and/or seedling inspection and seed crop records at the request of the COR. Species shall be planted at full capacity. Full capacity is defined as including unplanted spaces between plants to provide sufficient space for healthy growth of plants.

Invasive species will be controlled and prevented by the vendor.

2) The Contractor shall submit legible inspection forms. Illegible and incomplete forms shall be returned to the Contractor for correction and re-submission.

3) In the event the Contractor falsifies inspection results, as determined by the Contracting Officer, the

Government may declare the Contractor to be in default of the contract. Additionally, the Government may refer such falsifications to the US Attorney’s Office for possible prosecution pursuant to 18 U.S.C.

1001 (Falsification of Government Documents) or 18 U.S.C. 287 (Fraud).

9. GOVERNMENT INSPECTION PROCEDURES – COMPLIANCE INSPECTION

The COR, or a designated Government Techinical Monitor (GTM), may inspect plantings and grow outs with at least a two-week notice period.

Delivery of the resultant pounds of grass seed in 50-pound increments and forb seed in one-pound increments according to the above-described table as produced over the course of the three years is required. 12. PAYMENT AND EXCESS SEED

Vendor will provide the Government with a timetable for sowing, growing, harvesting, cleaning and providing test results and delivery of seed.

(a) Payments

(1) Upon receipt of satisfactory Certified State Laboratory seed test results (fall of each year), the Government will pay the Contractor 100% of the production year contract price for the pounds of seed produced and accepted.

(2) For orders involving field preparation and sowing the Government will pay the Contractor 100% of the field preparation and sowing contract price upon the Government's receipt and acceptance of:

a) The technical approach to growing the specific species,

b) Field preparation, and

c) Sowing

(3) The Contractor shall provide planting records and seedling inspection and seed crop inspection reports at the request of the COR. The Contractor will arrange for original seed test results to be mailed to the Contracting Officer's Representative (COR) by the seed lab. Payment shall not be made until reports and test results are received by the Government.

(4) The Contractor shall notify the Government prior to removing a field from production. Failure to notify the Government may affect future awards for Call orders under this contract as well as follow on contracts. Removing a field prior to completing a call order does not remove the obligation to produce the seed within the performance period of the contract. Should stand failure occur as a result of contractor negligence or failure to perform the Government may terminate for cause. Should stand failure occur, and the Contractor can show that the failure was due to circumstances beyond their control the Government shall consider and accept one of the following:

a) The acreage shall be replanted, if seed is available.

b) A substitution will be provided, if available, and acceptable to the Government.

c) The call order shall be terminated, if no seed nor suitable substitution is available. A modification to the call will be executed for any of the circumstances described in a), b) or c) above.

(5) Should the Contractor fail to produce seed of contract quality, the Government may refuse to accept the seed and refuse payment of the balance due on the contract. The Contractor may recondition the seed to achieve contract quality, or a fair market price for the seed as-is (e.g., PLS weighted by contract price) may be negotiated within 60 days of receipt of the contract seed test results.

(b) Government Rights to Seed Produced and Excess Seed

(1) The Government retains the right of first refusal for any additional amount of seed produced.

Price will remain the same as offered for additional amounts within 25% of the original quantity ordered. A price will be negotiated for any additional quantities that exceed 25%.

The government shall notify the Contractor within two weeks following the date of receipt of contract seed test results to exercise its option to purchase excess seed. The Contractor may have salvage rights to any seed that is excess to the Government's needs.

(2) If the Government decides to purchase excess seed over $2,500, an order will be submitted to the Contractor at the contract or negotiated price.

(3) The Contractor may continue producing seed from the contract planting beyond the termination of the contract at their option, and the Government will have the opportunity to negotiate, in a timely manner, a new contract for such production or the Government will release the field to the Contractor.

15. AGAR 452.204-70 MODIFICATION FOR CONTRACT CLOSEOUT (DEVIATION

JUNE 2024)

Upon contract closeout for contracts utilizing anything other than cost reimbursement:

(a) If unliquidated funds in the amount of $1000 or less remain on the contract, the Contracting Officer (CO) shall issue a unilateral modification for deobligation. The contractor will receive a copy of the modification but will not be required to provide a signature. The CO shall immediately proceed with contract closeout upon completion of the period of performance, receipt and acceptance of supplies or services, and final payment.

(b) Upon contract closeout for contracts utilizing SAP: if unliquidated funds of more than $1000 remain on the contract, the CO shall issue a bilateral modification for deobligation. The contractor will receive a copy of the modification and will be required to provide a signature.

(The CO may also request a “Contractor Release of Claims” be completed by the contractor, although not required for contracts and orders using SAP.) If the bilateral modification and/or Release of Claims are not returned to the CO within 60 days, the CO shall release the modification as unilateral and proceed with contract closeout upon completion of the period of performance, receipt and acceptance of supplies or services, and final payment.

(c) Upon contract closeout for contracts utilizing anything other than cost reimbursement, if https://www.acquisition.gov/browse/index/far https://www.acquisition.gov/agar https://www.dm.usda.gov/procurement/policy/FARClassDeviations.htm unliquidated funds of more than $1000 remain on the contract, the CO shall issue a bilateral modification for deobligation. 16. FAR 52.219-6 NOTICE OF TOTAL SMALL BUSINESS SET-ASIDE (NOV 2020)

(a) Definition. Small business concern, as used in this clause—

(1) Means a concern, including its affiliates, that is independently owned and operated, not dominant in the field of operation in which it is bidding on Government contracts, and qualified as a small business under the size standards in this solicitation.

(2) Affiliates, as used in paragraph (a)(1) of this clause, means business concerns, one of whom directly or indirectly controls or has the power to control the others, or a third party or parties control or have the power to control the others. In determining whether affiliation exists, consideration is given to all appropriate factors including common ownership, common management, and contractual relationships. SBA determines affiliation based on the factors set forth at 13 CFR 121.103.

(b) Applicability. This clause applies only to-

(1) Contracts that have been totally set aside for small business concerns; and (2) Orders set aside for small business concerns under multiple-award contracts as described in 8.405-5 and 16.505(b)(2)(i)(F).

(c) General.

(1) Offers are solicited only from small business concerns. Offers received from concerns that are not small business concerns shall be considered nonresponsive and will be rejected.

(2) Any award resulting from this solicitation will be made to a small business concern.

17. FAR 52.212-5 CONTRACT TERMS AND CONDITIONS REQUIRED TO IMPLEMENT

STATUTES OR EXECUTIVE ORDERS—COMMERCIAL PRODUCTS AND COMMERCIAL

SERVICES (MAY 2024)

(a) The Contractor shall comply with the following Federal Acquisition Regulation (FAR) clauses, which are incorporated in this contract by reference, to implement provisions of law or Executive orders applicable to acquisitions of commercial products and commercial services:

(d) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, as defined in FAR 2.101, on the date of award of this contract, and does not contain the clause at 52.215-2, Audit and Records-Negotiation.

(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor’s directly pertinent records involving transactions related to this contract.

(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR subpart 4.7, Contractor Records Retention, of the other clauses of this contract.
