PEFORMANCE WORK STATEMENT (PWS)
Title: SPECTRUM EXPLOITATION FOR EMISSIONS CONTROL (SEEC)
1.0 SCOPE OF WORK:
This PWS describes the requirements for the contractor, Mercury Systems, Inc., to support at-sea demonstration of SEEC current capabilities, solicit input from end-users on improvements, and allow prioritization of additional features/capability upgrades.
2.0 SPECIFIC TASKS:
2.1 The Contractor shall:
2.1.1 Support at-sea demonstration onboard Military Sealift Command (MSC) vessel – Five days underway period
2.1.2 Software Change - Graphical User Interface (GUI) enhance, on/off switch to control audible warnings sounds
2.1.3 Provide at-sea test plan – Prior to Final Planning Conference (FPC), provide daily underway test plan to support fives day of approximately 8 hours of daily testing to demonstrate SEECs ability to detect own vessel RF emissions.
2.1.4 Install SEEC prior to underway period – Week prior to getting underway, set-up, conduct operational testing and train vessels crew, along with, MSC/NWDC assessors on SEECs operational capabilities
2.1.5 Provide technical and training support while underway – Assist vessels crew and NWDC assessors to proficiently operate SEEC, and to ensure SEEC is functioning properly while in port and underway
2.1.6 Provide a test report of SEEC systems at-sea performance. Test report shall include summary of events during the underway demonstration, which will include results, feedback, anomalies concerns and action items.
3.0 DELIVERABLES:
3.1 The contractor shall provide the following deliverables:
3.1.1 Provide a written test plan for at-sea demonstration of SEEC
3.1.2 Participate in monthly SEEC Planning Conference – Initial, Main, Future, Final Planning Conference;
Execution, Post-Execution and Assessment Report Brief
3.1.3 Provide a written report describing summary of events, feedback, anomalies, and action items upon conclusion of SEECs at-sea performance, Assessment Report and Assessment Brief
4.0 PERFORMANCE LOCATION: Naval Station Norfolk, Va.
5.0 PERFORMANCE PERIOD: 14 December 2022 to 01 March 2023
6.0 REQUIRED STANDARD OF WORKMANSHIP/PERFORMANCE STANDARDS
6.1 The contract shall abide by the following performance standards:
6.1.1 This is a performance-based contract in accordance with FAR Subpart 37.6. The PWS, as supplemented by this contract, provides specific requirements to accomplish the work. The Contractor shall be evaluated on its ability to provide quality deliverables in an efficient manner.
6.1.2 In an effort to minimize the contract administration burden, simplified methods of surveillance techniques shall be used by the Government to evaluate contractor performance. The primary methods of surveillance are Customer Input / Feedback. Customer feedback may be obtained either from the results of the formal customer satisfaction surveys or from random customer complaints.

Contract Deliverables
Contractor provides deliverables on time and accurately as required by the contract according to section 3 of the
PWS.
95% of the deliverables must be completed on time and accurately.
Technical POC Tracking / Customer Complaints
1% of the contract dollar value shall be deducted from the total firm fixed-price for every one (1) business day late, up to a maximum of 15% of the total contract value. Notwithstanding the foregoing, the Contractor may be terminated for default if final deliverables are not provided by the due date.
*Note: Reports are not counted as late when, on a case by case basis if the Technical POC approves a later report submission.
*Note: When feasible, the contractor will be required to re-perform failed service immediately at no additional cost to the Government; however the non-conforming performance is still documented.
*Excusable Delays: Disincentives may be disregarded in the event an excusable non-performance occurs.
Excusable non performances include inability to perform services due to circumstances beyond the control of the contractor. For example: Act of God or of the public enemy, acts of the Government in either its sovereign or contractual capacity, acts of another Contractor in the performance of a contract with the Government, fires, floods, epidemics, quarantine restrictions, strikes, unusually severe weather, base closure, code red, utility outage, or vandalism.
7.0 CONTRACT TYPE
7.1 The contract type is the following:
7.1.1 This will be a Firm-Fixed Price Research and Development contract.
8.0 ADDITIONAL INFORMATION
8.1 SHIP BASE ACCESS.
8.1.1 BASE ACCESS for Contractors without a CAC – MSC Security Awareness Memorandum 05-18 provides detailed interim guidance on gaining access onto CNRMA base installations. SECNAV 5512/1 DON ID Card Base Access Pass shall be used by the sponsor when requesting base access for visitors/vendors. Base access requirements may change and the interim guidance may change without notice, therefore MSC Security Awareness Memorandum 05-18 or superseded version shall be followed.
8.1.2 It shall take 7-10 business days (or more) to completely process base access paperwork and the sponsor must meet the individual(s) at Pass & ID to retrieve passes.
8.1.3 Regarding MSC Security Awareness Memorandum 05-18, paragraph 7 Same Day Access, the sponsor must accompany the contractor to the Pass Office with the SECNAV 5512/1 DON ID Card Base Access Pass. Contractors will not be vetted without their sponsor.
8.1.4 Government personnel and contractors with CAC require only a JPAS visit request as they all presently hold CACs.
8.1.5 Military Sealift Command ship access: Government agencies and Industry that have access to JPAS shall have their security Manager/Officer/FSO submit a JPAS visit request on their behalf to Military Sealift Command (SMO CODE: 404426). Ensure the Point of Contact (POC) on the JPAS visit request is listed as the name of the ship being visited.
8.1.6 If there is no JPAS access: A command/company letterhead document shall be submitted to: MSC Security Department MSC_NRFK_N0211@navy.mil

8.2 CONTRACTOR IDENTIFICATION.
8.2.1 Contractor employees must be clearly identifiable while on Government property by wearing appropriate badges.
8.2.2 Contractor personnel and their subcontractors must identify themselves as Contractors or subcontractors during meetings, telephone conversations, in electronic messages, or correspondence related to this Contract.
8.2.3 Contractor-occupied facilities (on Department of the Navy or other Government installations) such as offices, separate rooms, or cubicles must be clearly identified with Contractor supplied signs, name plates or other identification, showing that these are work areas for Contractor or subcontractor personnel.
8.3. AUTHORIZED CHANGES ONLY BY THE CONTRACTING OFFICER
8.3.1 No modification statement, or conduct of Government personnel who visit the Contractor’s facilities or in any other manner communicates with Contractor personnel during the performance of this Contract shall constitute a change under the Changes clause of this Contract.
8.3.2 The Contractor shall not comply with any order, direction or request of Government personnel unless it is issued in writing and signed by the Contracting Officer, or is pursuant to specific authority otherwise included as a part of this Contract.
8.3.3 The Contracting Officer is the only person authorized to approve changes in any of the requirements of this Contract and notwithstanding provisions contained elsewhere in this Contract, said authority remains solely the Contracting Officer’s. In the event the Contractor effects any change at the direction of any person other than the Contracting Officer, the change will be considered to have been made without authority and no adjustment will be made in the Contract price to cover any increase incurred as a result thereof.
8.4 LICENSES, PERMITS, AND PRECAUTIONS
8.4.1 The Contractor shall, at the Contractor’s expense, be responsible for obtaining any necessary licenses and permits, and for complying with any applicable laws, codes, and regulations, in connection with the performance of work. Further, the Contractor is responsible to ensure that proper safety and health precautions are taken to protect the work, the workers, the public, and the property of others.
8.5 INVOICE REQUIREMENTS.
8.5.1 The Contractor shall utilize Wide Area Workflow (WAWF) when submitting invoices.
8.6 CONTRACTOR PERFORMANCE APPRAISAL REPORTING SYSTEM (CPARS)
8.6.1 Past performance information may be collected and maintained under this contract using the
Department of Defense CPARS. CPARS is a web-enabled application that collects and manages the Contractor’s performance information on a given contract during a specific period of time.
Additional information is available at http://www.cpars.navy.mil/.
8.6.2 The Contractor will receive notification via email when a CPARS has been completed and is available for review and comment on any element of the proposed rating before the rating becomes final. Within 30 days after contract award, the Contractor shall provide the name, title, e-mail address and telephone number of the company’s individual or individuals who will have the responsibility of reviewing and approving any CPARS developed under the contract to the Contracting Officer. If during the life of this contract, the company individual(s) are replaced, the substituted individual’s information will be provided to the Contracting Officer within 30 days of the replacement.

252.232-7006 WIDE AREA WORKFLOW PAYMENT INSTRUCTIONS (DEC 2018)
(a) Definitions. As used in this clause—
“Department of Defense Activity Address Code (DoDAAC)” is a six position code that uniquely identifies a unit, activity, or organization.
“Document type” means the type of payment request or receiving report available for creation in Wide Area WorkFlow (WAWF).
“Local processing office (LPO)” is the office responsible for payment certification when payment certification is done external to the entitlement system.
“Payment request” and “receiving report” are defined in the clause at 252.232-7003, Electronic Submission of Payment Requests and Receiving Reports.
(b) Electronic invoicing. The WAWF system provides the method to electronically process vendor payment requests and receiving reports, as authorized by Defense Federal Acquisition Regulation Supplement (DFARS) 252.232- 7003, Electronic Submission of Payment Requests and Receiving Reports.
(c) WAWF access. To access WAWF, the Contractor shall—
(1) Have a designated electronic business point of contact in the System for Award Management at https://www.sam.gov; and
(2) Be registered to use WAWF at https://wawf.eb.mil/ following the step-by-step procedures for self-registration available at this web site.
(d) WAWF training. The Contractor should follow the training instructions of the WAWF Web-Based Training Course and use the Practice Training Site before submitting payment requests through WAWF. Both can be accessed by selecting the “Web Based Training” link on the WAWF home page at https://wawf.eb.mil/.
(e) WAWF methods of document submission. Document submissions may be via web entry, Electronic Data Interchange, or File Transfer Protocol.
(f) WAWF payment instructions. The Contractor shall use the following information when submitting payment requests and receiving reports in WAWF for this contract or task or delivery order:
(1) Document type. The Contractor shall submit payment requests using the following document type(s):
(i) For cost-type line items, including labor-hour or time-and-materials, submit a cost voucher.
(ii) For fixed price line items—
(A) That require shipment of a deliverable, submit the invoice and receiving report specified by the Contracting Officer.

MSC SPECIFIC WIDE AREA WORKFLOW (WAWF) INSTRUCTIONS (AUG 2012)
The information contained in this instruction is supplemental to DFARS 252.232-7006.
The information contained in the table in DFARS 252.232-7006 is for WAWF purposes only. Information included in DFARS 252.232-7006 and this WAWF instruction apply only to WAWF Invoicing and WAWF Receiving Reports. Contradictory information elsewhere in this contract, e.g. Ship to DoDAAC, shall be followed per the terms and conditions of the contract.
When entering the invoice into WAWF, the Contractor shall fill in the DoDAAC fields or DoDAAC extensions exactly as shown in the table in DFARS 252.232-7006. Fields that should not be filled in when entering the invoice into WAWF will be indicated with the direction, “Leave Blank.”
In some situations the WAWF system will pre-populate the “Pay DoDAAC,” “Admin By DoDAAC” and “Issue By DoDAAC.” The Contractor shall verify that those DoDAACs automatically entered by the WAWF system match the information in the table in DFARS 252.232-7006. If these DoDAACs do not match, then the Contractor shall correct the field(s).
If Receiving Reports are required, ensure that the “Inspection” and “Acceptance” defaults of “destination” for both fields are not changed in the WAWF online interface.
The CLINs on the WAWF invoice shall be entered exactly as set forth in the contract document including CLIN number (e.g. 0001), Quantity (may be adjusted for actual quantity or dollar value delivered and invoiced), and Unit Price (e.g. $1.00). The dollar amounts on each CLIN or SubCLIN on the WAWF invoice shall reflect final performance values, but in no instance can the dollar amount for each CLIN or SubCLIN exceed what is specified in the contract document. The Contractor shall bill to the lowest level, e.g., the SubCLIN level. The Quantity and Unit of Measure fields must be filled out exactly as indicated in the CLINs and SubCLINs to reduce the possibility of the invoice being delayed or rejected during processing.
Before closing out of an invoice session in WAWF, but after submitting the document or documents, the Contractor will be given the option to send additional email notifications by clicking on the “Send More Email Notifications” link that appears on the page. The Contractor shall click on this link and add the Technical Point of Contact’s (TPOC) or Contracting Officer’s Representative’s (COR) email address in the first email address block and add any other additional email addresses desired in the following blocks. This additional notification to the Government is important to ensure the acceptor/receiver is aware that the invoice documents have been submitted into the WAWF system.

52.204-24 REPRESENTATION REGARDING CERTAIN TELECOMMUNICATIONS AND VIDEO
SURVEILLANCE SERVICES OR EQUIPMENT (NOV 2021)
The Offeror shall not complete the representation at paragraph (d)(1) of this provision if the Offeror has represented that it "does not provide covered telecommunications equipment or services as a part of its offered products or services to the Government in the performance of any contract, subcontract, or other contractual instrument" in paragraph (c)(1) in the provision at 52.204-26, Covered Telecommunications Equipment or Services-- Representation, or in paragraph (v)(2)(i) of the provision at 52.212-3, Offeror Representations and Certifications- Commercial Products and Commercial Services. The Offeror shall not complete the representation in paragraph (d)(2) of this provision if the Offeror has represented that it "does not use covered telecommunications equipment or services, or any equipment, system, or service that uses covered telecommunications equipment or services" in paragraph (c)(2) of the provision at 52.204-26, or in paragraph (v)(2)(ii) of the provision at 52.212-3.
(a) Definitions. As used in this provision-
Backhaul, covered telecommunications equipment or services, critical technology, interconnection arrangements, reasonable inquiry, roaming, and substantial or essential component have the meanings provided in the clause 52.204-25, Prohibition on Contracting for Certain Telecommunications and Video Surveillance Services or Equipment.
(b) Prohibition.
(1) Section 889(a)(1)(A) of the John S. McCain National Defense Authorization Act for Fiscal Year 2019 (Pub. L.
115-232) prohibits the head of an executive agency on or after August 13, 2019, from procuring or obtaining, or extending or renewing a contract to procure or obtain, any equipment, system, or service that uses covered telecommunications equipment or services as a substantial or essential component of any system, or as critical technology as part of any system. Nothing in the prohibition shall be construed to--
(i) Prohibit the head of an executive agency from procuring with an entity to provide a service that connects to the facilities of a third-party, such as backhaul, roaming, or interconnection arrangements; or
(ii) Cover telecommunications equipment that cannot route or redirect user data traffic or cannot permit visibility into any user data or packets that such equipment transmits or otherwise handles.
(2) Section 889(a)(1)(B) of the John S. McCain National Defense Authorization Act for Fiscal Year 2019 (Pub. L.
115-232) prohibits the head of an executive agency on or after August 13, 2020, from entering into a contract or extending or renewing a contract with an entity that uses any equipment, system, or service that uses covered telecommunications equipment or services as a substantial or essential component of any system, or as critical technology as part of any system. This prohibition applies to the use of covered telecommunications equipment or services, regardless of whether that use is in performance of work under a Federal contract. Nothing in the prohibition shall be construed to--
(i) Prohibit the head of an executive agency from procuring with an entity to provide a service that connects to the facilities of a third-party, such as backhaul, roaming, or interconnection arrangements; or
(ii) Cover telecommunications equipment that cannot route or redirect user data traffic or cannot permit visibility into any user data or packets that such equipment transmits or otherwise handles.
(c) Procedures. The Offeror shall review the list of excluded parties in the System for Award Management (SAM) (https://www.sam.gov) for entities excluded from receiving federal awards for "covered telecommunications equipment or services."
(d) Representations. The Offeror represents that--

(A) The entity that produced the covered telecommunications equipment (include entity name, unique entity identifier, CAGE code, and whether the entity was the original equipment manufacturer (OEM) or a distributor, if known);
(B) A description of all covered telecommunications equipment offered (include brand; model number, such as OEM number, manufacturer part number, or wholesaler number; and item description, as applicable); and
(C) Explanation of the proposed use of covered telecommunications equipment and any factors relevant to determining if such use would be permissible under the prohibition in paragraph (b)(1) of this provision.
(ii) For covered services--
(A) If the service is related to item maintenance: A description of all covered telecommunications services offered (include on the item being maintained: Brand; model number, such as OEM number, manufacturer part number, or wholesaler number; and item description, as applicable); or
(B) If not associated with maintenance, the Product Service Code (PSC) of the service being provided; and explanation of the proposed use of covered telecommunications services and any factors relevant to determining if such use would be permissible under the prohibition in paragraph (b)(1) of this provision.
(2) Disclosure for the representation in paragraph (d)(2) of this provision. If the Offeror has responded "does" in the representation in paragraph (d)(2) of this provision, the Offeror shall provide the following information as part of the offer:
(i) For covered equipment--

52.223-22 PUBLIC DISCLOSURE OF GREENHOUSE GAS EMISSIONS AND REDUCTION GOALS--
REPRESENTATION (DEC 2016)
(a) This representation shall be completed if the Offeror received $7.5 million or more in Federal contract awards in the prior Federal fiscal year. The representation is optional if the Offeror received less than $7.5 million in Federal contract awards in the prior Federal fiscal year.

The Offeror is not required to complete the representation in this provision if the Offeror has represented in the provision at 252.204-7016, Covered Defense Telecommunications Equipment or Services--Representation, that it “does not provide covered defense telecommunications equipment or services as a part of its offered products or services to the Government in the performance of any contract, subcontract, or other contractual instrument.”

Covered defense telecommunications equipment or services, covered mission, critical technology, and substantial or essential component, as used in this provision, have the meanings given in the 252.204-7018 clause, Prohibition on the Acquisition of Covered Defense Telecommunications Equipment or Services, of this solicitation.
(b) Prohibition. Section 1656 of the National Defense Authorization Act for Fiscal Year 2018 (Pub.
