B.1. NEGOTIATION AUTHORITY

The issuance of individual task orders under this Basic Ordering Agreement (BOA) will be made under the authority of 10 USC 2304 (a). No individual order against the BOA shall exceed $37,000.00.

B.2 DESCRIPTION OF AGREEMENT

This BOA between _TBD_ is entered into to provide services to Edwards AFB in the following:

2.1 This agreement is offered for The Contractor to provide all management, personnel, equipment, supplies, transportation, tools, materials, supervision, and other items and non-personal services necessary to perform the service intervals required to maintain the annual maintenance requirements as defined in the Performance Work Statement (PWS), see BOA Attachment-1 . This requirement would be acquired via a BOA for a period of FIVE

(5) years and is subject to Davis Bacon Act Wage. Determinations. Extent of services are described in the PWS.

2.2 General terms and conditions are included throughout the agreement and made a part hereof.

2.4 The parties agree that failure to reach agreement on price for any order issued before its price is established is a dispute under the disputes clause of this BOA.

2.5 Services will be ordered via individual task order(s) against this BOA. The Government and the Contractor will agree on a current unit price. Each year a updated price list will be submitted by the contractor for review a approval by the Government. The updated price list should be in the format in the table below for out year CLINs. See PWS Appendix 2 for Price List Template.

Description/Specifications/Statement of Work

C.1.DURATION: The period in which task orders may be placed against this BOA may not exceed five (5) years from the date of execution unless otherwise canceled in writing by the Contracting Officer.

Regardless of the expiration date, the Contractor is responsible for performing all work required under each task order to include all modifications under each task order.

C.2.MODIFICATION: This Basic Ordering Agreement may be modified only under its terms and conditions or by mutual agreement of the parties. Modifications will be issued on a Standard Form 30.

C.3.REVIEW: This BOA shall be reviewed, as a minimum, at least annually before the anniversary of its effective date, and revised to conform to all requirements of statues, Executive orders, or the Federal Acquisition Regulations (FAR) and this Supplement. Any change shall be effective only through written modification to this Agreement and not by individual orders issued hereunder. Modifications to this Agreement shall have no retroactive effect on orders previously issued.

C.4.CANCELLATION/TERMINATION: This BOA may be modified or may be canceled in its entirety at no cost by either party upon thirty (30) days written notice to the other party except that this BOA may be canceled by the Government at any time if the parties fail to agree upon any deletion, amendment or addition to this BOA which is required by statute, Executive Order, the FAR and/or this Supplement. The parties agree that the cancellation shall have no effect on any order not completed by the effective date of the cancellation /termination. The Contractor shall proceed diligently and complete such orders under the terms and conditions of this Agreement.

C.5.E-TENT OF OBLIGATION: The Government is obligated only to the extent of authorized task orders actually placed against this BOA and shall not be liable in any manner in the event no task orders are placed.

The amount of funds obligated and made available for payment will be stated in each order.

C.6.PRICE: The Contractor will be paid the consideration identified in each order. The consideration shall constitute complete payment for all service and materials furnished and accepted pursuant to the task order. The Contractor hereby warrants that the prices to the US Government shall be based on the Not to Exceed set forth in the Price List. This BOA will be in place for five (5) years.

C.7.Task Orders: A task order shall be issued to the Contractor by the authorized ordering office. The Contractor shall initiate and perform work as specified in the task order(s).

The task order at the minimum shall include :

1. Basic Ordering Agreement and task order Number

2. Identification of the requirement and the technical details governing execution of work,

3. CLINs to be ordered with supporting information, to include quantity.

4. Total price of the order(s).

5. Appropriation and funding data

6. The period of performance

Requirements This BOA is to Service for Preventative, Remedial and Repair Maintenance on twenty-eight (28) John Deere Gators with the potential for additional quantities in the future.

E.1-The services provided under this BOA shall be inspected and acceptance in the manner and in accordance with the schedule specified by the Contracting Officer or in the specific task order.

F1. PLACE OF PERFORMANCE: All work performed under this agreement shall be performed in its entirety at Edwards AFB. Specific location of work will be detailed within each order.

G.2 LIMITATION: Orders placed against this BOA will not exceed the ceiling amount of $287,000.00 FIVE (5) years.

G.3.INSPECTION: An inspection of any and all services received under this agreement will be conducted prior to acceptance and in accordance with section E of this agreement.

G.4 INVOICES: For Task Orders Contractor shall submit their invoices through per DFARS 252.232-7006, Wide Area Workflow (WAWF) Payment Instructions in accordance with procedures specified in this section of this agreement. Payment shall be made by electronic funds transfer.

WIDE AREA WORKFLOW PAYMENT INSTRUCTIONS (DEC 2018)

(a) As used in this clause- Definitions.

"Department of Defense Activity Address Code (DoDAAC)" is a six position code that uniquely identifies a unit, activity, or organization.

"Document type" means the type of payment request or receiving report available for creation in Wide Area WorkFlow (WAWF).

"Local processing office (LPO)" is the office responsible for payment certification when payment certification is done external to the entitlement system.

"Payment request" and "receiving report" are defined in the clause at 252.232-7003, Electronic Submission of Payment Requests and Receiving Reports.

(b) The WAWF system provides the method to electronically process vendor payment requests and receiving reports, as Electronic invoicing.

(c) To access WAWF, the Contractor shall- WAWF access.

(d) The Contractor should follow the training instructions of the WAWF Web-Based Training Course and use the Practice WAWF training.

(e) Document submissions may be via web entry, Electronic Data Interchange, or File Transfer WAWF methods of document submission.

(d) Comptroller General Examination of Record. If the solicitation includes the provision 52.222-18, Certification Regarding Knowledge of Child Labor for Listed End Products, or the equivalent at 52.212-3(i), the Contractor agrees to cooperate fully with authorized officials of the contracting agency, the Department of the Treasury, or the Department of Justice by providing reasonable access to records, documents, persons, or premises upon reasonable request by the authorized officials.

(c) Violations. The Government may impose remedies set forth in paragraph (d) for the following violations:

(1) The Contractor has submitted a false certification regarding knowledge of the use of forced or indentured child labor for listed end products.

(2) The Contractor has failed to cooperate, if required, in accordance with paragraph (b) of this clause, with an investigation of the use of forced or indentured child labor by an Inspector General, Attorney General, or the Secretary of the Treasury.

(3) The Contractor uses forced or indentured child labor in its mining, production, or manufacturing processes.

(4) The Contractor has furnished under the contract end products or components that have been mined, produced, or manufactured wholly or in part by forced or indentured child labor. (The Government will not pursue remedies at paragraph (d)(2) or paragraph (d)(3) of this clause unless sufficient evidence indicates that the Contractor knew of the violation.)

(d) Remedies.

(1) The Contracting Officer may terminate the contract.

(2) The suspending official may suspend the Contractor in accordance with procedures in FAR Subpart 9.4.

CONTRACT DEFINITIZATION (DEC 2012)

(a) A BOA (insert specific type of contract action) is contemplated. The Contractor agrees to begin promptly negotiating with the Contracting Officer the terms of a definitive contract that will include (1) all clauses required by the Federal Acquisition Regulation (FAR) on the date of execution of the undefinitized contract action, (2) all clauses required by law on the date of execution of the definitive contract action, and (3) any other mutually agreeable clauses, terms, and conditions. (a) An ombudsman has been appointed to hear and facilitate the resolution of concerns from offerors, potential offerors, and others for this acquisition. (a) The contractor shall obtain base identification and vehicle passes, if required, for all contractor personnel who make frequent visits to or perform work on the Air Force installation(s) cited in the contract. Contractor personnel are required to wear or prominently display installation identification badges or contractor-furnished, contractor identification badges while visiting or performing work on the installation.

(b) The contractor shall submit a written request on company letterhead to the contracting officer listing the following: contract number, location of work site, start and stop dates, and names of employees and subcontractor employees needing access to the base. The letter will also specify the individual(s) authorized to sign for a request for base identification credentials or vehicle passes. The contracting officer will endorse the request and forward it to the issuing base pass and registration office or Security Forces for processing. When reporting to the registration office, the authorized contractor individual(s) should provide a valid driver s license, current vehicle registration, and valid vehicle insurance certificate, to obtain a vehicle pass.

(c) During performance of the contract, the contractor shall be responsible for obtaining required identification for newly assigned personnel and for prompt return of credentials and vehicle passes for any employee who no longer requires access to the work site.

(d) When work under this contract requires unescorted entry to controlled or restricted areas, the contractor shall comply with AFI 31-101, Integrated Defense, and AFI 31-501, Personnel Security Program Management.

(e) Upon completion or termination of the contract or expiration of the identification passes, the prime contractor shall ensure that all base identification passes issued to employees and subcontractor employees are returned to the issuing office.

(f) Failure to comply with these requirements may result in withholding of final payment.
