16.5 – Indefinite-Delivery Contracts.
B.3 MINIMUM/MAXIMUM OBLIGATIONS
B.3.1 Minimum Obligation
Minimum Obligation - Upon execution of the Base Contract, the Government will order the supplies and services of the Known Requirements under B.4.2 in the amount of $TBD at award. This amount represents the “minimum obligation of the Government.”
NOTE: The number of tests identified in Section B.4.2 represents the total number of known tests to be conducted during the Base Period (Contract Year 1) and not the guaranteed minimum obligation of each contract awarded as a result of this RFP. The guaranteed minimum number of tests to be ordered for each awarded contract will depend upon the number of contracts awarded and the proposed lowest price for the known test by the offeror.
Each awarded contract will include a guaranteed minimum obligation amount for the Kick-Off Meeting.
B.3.2 Maximum Obligation
Maximum Obligation – The Contractor shall be obligated to provide services and support up to the total not-to-exceed amounts specified in Sections B.4.2 through B.4.8. The overall contract ceiling amount is $TBD at award. The ceiling amount may be increased upon execution of a bilateral modification.
Note: The Contracting Officer is the only individual who can legally commit or obligate the Government to the expenditure of public funds. No cost chargeable to the proposed contract can be incurred before receipt of a fully executed contract or specific written authorization from the Contracting Officer.
B.4 CONTRACT PRICES
B.4.1 Contract Prices
This Contract includes three “Periods”: The “Base Period” which is the first 24 months of the contract term (composed of Contract Year 1 and Contract Year 2), an Option Period which, if exercised, begins at the end of the Base Period and continues for an additional 36 months (composed of Contract Year 3, 4, and 5), and an Option to Extend Services which, if exercised, begins at the end of the Option Period and continues for up to six (6) months (composed of Contract Year 5.5).
Testing services are priced by Contract Year. The price in effect at the time a test is ordered shall apply to that test regardless of when the test is conducted and finished. Test prices shall apply for payment purposes and shall include all charges, including, if applicable, charges for storage and disposal. Under no circumstances, nor at any time, will storage or disposal costs be permitted as a separate cost item. Storage costs for work described in the Statement of Work, Section C.5, if any, must be included in the test prices set forth in Section B.
Upon delivery and acceptance of supplies and services described in Section C, Statement of Work (SOW) and each awarded Delivery Order, the Government will pay to the Contractor the fixed prices set forth in Sections B.4.2 through B.4.8 - Price Schedules, and will reimburse the Contractor at actual cost for the cost reimbursement Contract Line Item Number (CLIN)s identified in Section B.4.2 through B.4.8.
Except for the Known Requirements (i.e., guaranteed minimum order quantity), identified in Section B.4.2, the Government is not under any obligation to order any additional services under this Contract. The Government reserves the right, at its option, to increase the quantities of testing services provided under this Contract up to the “Total Not-To-Exceed” amount specified for each contract period.

Contract Line Item Numbers (CLINs) (1007, 2007, 3007, 4007, 5007, and 6007) are cost reimbursement CLINs for Delivery Orders. At Delivery Order issuance, NHTSA will provide the Contractor with an estimate for the CPTI (if applicable), or the Contractor will provide the
Government with an estimate. The Delivery Order will identify the test item product identification (i.e., make and model of motor vehicle equipment), delivery requirements, quantities ordered, and estimated cost (See Section H.8, Test Items/Models). Reimbursement for CPTI will be based on the actual cost paid by the Contractor (CLINs 1007, 2007, 3007, 4007, 5007, and 6007) to the motor vehicle equipment manufacturer/dealer for the test items (including any associated tax, if not otherwise exempted, and shipping and handling costs as applicable) along with the firm fixed price service charge (CLINs 1006, 2006, 3006, 4006, 5006, and 6006). The Contractor’s invoice for the cost reimbursement CLINs shall include copies of the actual vendor invoices.
The CPTI identified by the Government may be subject to change provided that (1) the cost for the test item does not exceed the funds available for procuring the CPTI and that (2) the Contractor has not begun fulfilling the order. Under these circumstances, the Contracting Officer may direct the Contractor to stop any acquisition of CPTI until the changed specifications are provided.
The Delivery Order will include a not-to-exceed amount for the cost reimbursement CLIN. If the estimated costs for CPTI will exceed the not-to-exceed amount identified in the Delivery Order, the Contractor shall notify the Contracting Officer and the COR prior to incurring said costs. The Contractor shall not proceed with the purchase until given approval by the Contracting Officer. Please note that the Government will reimburse the Contractor for actual costs incurred for the cost reimbursement CLIN in accordance with FAR Part 31.

C.3 BACKGROUND
The National Highway Traffic Safety Administration (NHTSA) is an operating administration of the United States Department of Transportation (DOT), and its mission is to save lives, prevent injuries, and reduce economic costs associated with motor vehicle crashes. As part of its mission to reduce fatalities and injuries caused by motor vehicle crashes, NHTSA promulgates Federal Motor Vehicle Safety Standards (FMVSS). Manufacturers of motor vehicles and items of motor vehicle equipment are required to certify that each product they sell in the United States meets the requirements of all applicable safety standards. NHTSA’s Office of Vehicle Safety Compliance (OVSC) is charged with determining whether manufacturers meet the applicable safety standards. This contract effort will enable the agency to meet its mission by assuring that motor vehicles meet the requirements of FMVSS No. 106, Brake Hoses.
FMVSS No. 106 establishes minimum performance requirements for brake hose assemblies, fittings, and hoses for use in motor vehicles. The purpose of FMVSS No. 106 is to reduce deaths and injuries occurring because of brake system failures from pressure or vacuum loss due to hose or hose assembly failure. The requirements for compliance testing of brake hoses include testing such components to the load test requirements of FMVSS No. 106 as specified in TP-106-04.
The purpose of this contract is to acquire services associated with the acquisition, inspection, compliance testing, and compliance test reporting of brake hoses, brake hose assemblies, and brake hose end fittings to assist the Government in its enforcement efforts for FMVSS No. 106.

The Contractor shall place the order for each CPTI in accordance with the timeframe specified in Section F.4, Performance Milestones and Deliverables, after receipt of a Delivery Order.
The Contractor shall complete all transactions required to purchase the CPTI, including but not limited to:
• Identifying a manufacturer/vendor, or verifying that NHTSA’s suggested manufacturer/vendor has parts available;
• Placing the purchase order for the CPTI;
• Providing the manufacturer/vendor with special order/instructions as needed;
• Inspecting the CPTI when received and resolving deficiencies or any identified issues with the supplier (deficiencies may include damage in transit, missing info/parts, etc.); and
• Paying the manufacturer/vendor for the test items ordered once any deficiencies have been resolved.
The Contractor shall notify the COR of all purchase orders placed and purchased test items received in accordance with the timeframes specified in Section F.4. The Contractor shall retain all documents for each CPTI until disposition instructions are provided by the COR.
The CPTI identified in the delivery order is subject to change by the NHTSA COR provided that (1) the cost for the test item does not exceed the funds available for procuring the CPTI and that (2) the Contractor has not begun fulfilling the order.
The cost of obtaining the CPTI charged to the government will equal the actual cost paid by the Contractor to the manufacturer/vendor for the test items (plus any associated shipping and handling costs, as applicable) along with the firm-fixed price service charge identified in the price schedule.
The procurement of multiple test items from a single manufacturer, of the same model, shall incur a single service charge. The Contractor’s invoice shall include copies of the test items manufacturer/vendor’s invoice(s).
Title to CPTI will vest with the government.
C.6.4 Receiving and Inspecting Test Items
The Contractor shall verify that the CPTI and GFTI delivered were not damaged in transit or show evidence of mishandling during shipment (e.g., test items were properly secured for shipping; test items are the correct type and quantity ordered; and, if the test items were not shipped completely assembled, the shipment is complete, containing all required bolt-on components, hardware, etc.).
The Contractor shall document any discrepancy or damage identified, e.g., incorrect/incomplete items, and notify the Government. The parties will determine the appropriate steps to replace CPTI and GFTI damaged in transit.
In the event of discrepancies or damage related to the CPTI and GFTI received, the Contractor shall ensure that the manufacturer/vendor resolves any issues. The Contractor shall return items to the manufacturer/vendor, if required, and shall ensure that the manufacturer/vendor provides correct replacement items in return to the Contractor.
C.6.5 Storage/Disposition of Government Furnished Test Items (GFTI) and Contractor Purchased Test Items (CPTI)
All CPTI and GFTI shall be stored and disposed at no additional cost to the Government. The Contractor shall store all CPTI and GFTI until receipt of disposition instructions from the Government. Typically, disposition instructions will be provided by the COR via e-mail after all testing, inspection, and acceptance of the final test report has been completed.
Tests items which have "passed" compliance requirements and any unused test items, shall be disposed of at no additional cost to the Government after all testing, inspection, and reporting is completed and accepted unless the Contracting Officer and COR direct the Contractor to retain the used or unused items. Disposition instructions will be provided by the COR after all testing, inspection, and acceptance of the Final Test Report has been completed for passed items.
Any GFTI or CPTI involved in a compliance test failure shall be tagged and identified by each specimen’s test phase, test date, detailed reason for the failure, etc., and retained by the Contractor pending the receipt of disposition instructions from the COR. Disposition instructions will be provided by the COR after a period of 2 years for failed items. If the 2-year period runs past the expiration date of the contract, the Contractor shall ship the failed items to a location as instructed by the COR.
Test items which have “failed” compliance requirements, and any unused test items identical to test items which have “failed” compliance requirements, shall be stored by the Contractor for at least 2 years after the test failure at no additional cost to the Government unless directed by the Contracting Officer’s Technical Representative (COR) to do otherwise. Storage of test samples for this period shall be at no additional cost to the Government.
The final determination of "passed" or "failed" shall be made by the COR upon acceptance of the Final Test Report. Therefore, no test items shall be destroyed or disposed of until authorized by the
COR.
Upon direction by the COR and in preparation for disposal, the Contractor shall render the test items unusable in a motor vehicle, at no additional cost to the Government.
C.6.6 Security of Test Items and Data
The Contractor shall provide security measures to protect GFTI or CPTI during the entire testing and storage periods. Theft or damage not due to testing and acts of vandalism must be reported to the COR immediately after discovery. The Contractor may be held responsible for the repair or replacement of any GFTI or CPTI that is damaged or missing.
C.6.7 Testing
C.6.7.1 Enforcement Tests
There are four types of brake hoses/brake hose assemblies subject to FMVSS No. 106: hydraulic, air, vacuum, and plastic air tubing. Brake hose fittings are also subject to FMVSS No. 106.
NHTSA may either order a set of tests or may order individual tests as specified in Section B of this contract.
Depending on the CLIN ordered, the number of test items procured to complete the work will vary as explained in TP-106-10. For any CLIN, the COR has the option to direct the Contractor to order fewer samples than specified in the applicable TP. In that case, the COR will provide instructions to the Contractor about how many test items to use to complete each individual test. For example, a hydraulic brake hose test would cover all requirement of S5.3.11 through S5.3.13 and would typically require twenty-two (22) test items.
C.6.7.2 Concise Enforcement Tests
The CLINS for the Concise Compliance Test (1003, 2003, 3003, 4003, 5003 and 6003), require eleven (11) test items for the completion of the test sequence. The Concise Compliance Test would use the samples to test to the following standards:
- S5.2.1 - Labeling
- S5.3.1 - Constriction
- S5.3.2 - Expansion and Burst (4 samples)
- S5.3.3 - Whip Resistance (4 samples)
- S5.3.4 – Tensile Strength (2 samples)
- S5.3.6 – Water Absorption and Tensile Strength (2 samples)
In addition to CLINS specifying a complete test sequence for each of the four (4) types of brake hoses/brake hose assemblies, C.6.9 specifies a specific test sequence that can be ordered for up to six
(6) hydraulic brake hose assemblies.
Testing for each type of brake hose assembly is detailed in FMVSS No. 106 and summarized below:
