ACKNOWLEDGMENT OF AMENDMENTS: The quoter acknowledges receipt of amendments to the Solicitation numbered and dated as follows:

AMENDMENT NUMBER DATE

INSTRUCTIONS TO QUOTERS

ACQUISITION OF COMMERCIAL ITEMS: This Request for Quote (RFQ) solicitation is issued under the authority of FAR Part 12 Acquisition of Commercial Items and FAR Part 13 Simplified

Acquisition Procedures. FAR Part 15 will not be used. The procedures in Part 12 used in conjunction with

Part 13 allow the Government to procure services resembling those in the commercial marketplace and streamline the procurement process. From this RFQ, the Government intends to award a firm-fixed-price contract where the contractor provides a price that is not subject to any adjustment on the basis of the contractor’s cost experience in performing the contract. (Note: The terms “offeror” and “quoter” are both used in this Solicitation. For the purposes of this Solicitation, these terms are interchangeable; there is no difference in meaning between the two.) The Government, in its sole discretion, may award a contract from the quotes received in response to this Solicitation, issue a new Solicitation, or cancel this

Solicitation without reissue.

VOSB SET-ASIDE: This requirement has been set aside for Veteran-Owned Small Businesses

(VOSBs), under the Veterans First Contracting Program (VFCP), pursuant to VAAR 819.7001 –

819.7009.

Eligibility and program requirements are set forth as follows:

VAAR 819.7003 Eligibility.

(b) At the time of submission of offers/quotes, and prior to award of any contracts, the offeror must represent to the contracting officer that it is a –

(1) VOSB . . . eligible under this subpart;

(2) Small business concern under the North American Industry Classification System (NAICS) code assigned to the acquisition [set forth in Block 10 of Page 1]; and

(3) VOSB . . . listed as verified in VIP database at: https://www.vetbiz.va.gov/.

LIMITATIONS ON SUBCONTRACTING: This Solicitation contains VAAR 852.219-77 VA

NOTICE OF LIMITATIONS ON SUBCONTRACTING – CERTIFICATE OF COMPLIANCE FOR

SERVICES AND CONSTRUCTION in Section C, which states:

(a) Pursuant to 38 U.S.C. 8127(k)(2), the offeror certifies that—

(1) If awarded a contract (see FAR 2.101 definition), it will comply with the limitations on subcontracting requirement as provided in the solicitation and the resultant contract, as follows:

https://www.vetbiz.va.gov/

(i) [X] Services. In the case of a contract for services (except construction), the contractor will not pay more than 50% of the amount paid by the government to it to firms that are not VIP-listed

SDVOSBs as set forth in 852.219-10 or VOSBs as set forth in 852.219-11. Any work that a similarly situated VIP-listed subcontractor further subcontracts will count towards the 50% subcontract amount that cannot be exceeded. Other direct costs may be excluded to the extent they are not the principal purpose of the acquisition and small business concerns do not provide the service as set forth in 13 CFR 125.6.

(2) The offeror acknowledges that this certification concerns a matter within the jurisdiction of an

Agency of the United States. The offeror further acknowledges that this certification is subject to

Title 18, United States Code, Section 1001, and, as such, a false, fictitious, or fraudulent certification may render the offeror subject to criminal, civil, or administrative penalties, including prosecution.

(3) If VA determines that an SDVOSB/VOSB awarded a contract pursuant to 38 U.S.C. 8127 did not act in good faith, such SDVOSB/VOSB shall be subject to any or all of the following:

(i) Referral to the VA Suspension and Debarment Committee;

(ii) A fine under section 16(g)(1) of the Small Business Act (15 U.S.C. 645(g)(1)); and

(iii) Prosecution for violating section 1001 of title 18.

(Emphasis added.)

Note: This limitation on subcontracting is applicable regardless of the proposed contract’s value.

18 U.S.C. § 1001(a) states: Except as otherwise provided in this section, whoever, in any matter with the jurisdiction of the executive, legislative, or judicial branch of the Government of the United States, knowingly and willfully—

(1) falsifies, conceals, or covers up by any trick, scheme, or device a material fact;

(2) makes any materially false, fictitious, or fraudulent statement or representation; or

(3) makes or uses any false writing or document knowing the same to contain any materially false, fictitious, or fraudulent statement or entry;

shall be fined [not more than $250,000 per individual and/or $500,000 per organization, per 18

U.S.C. § 3571] under this title, imprisoned not more than 5 years . . . or both.

(Emphasis added.)

Any business that represents itself as a VOSB and fails to completely follow these requirements is subject to investigation and possible prosecution:

VAAR 852.219-77 VA NOTICE OF LIMITATIONS ON SUBCONTRACTING –

CERTIFICATE OF COMPLIANCE FOR SERVICES AND CONSTRUCTION

The certification it requires is found at the end of the clause:

Certification:

I further certify that I am authorized to execute this certification on behalf of [insert name of offeror

Printed Name of Signee: _________________________________

Printed Title of Signee: ________________________________

By way of example, this certification may be submitted as follows:

Printed Name of Signee: John Doe

Printed Title of Signee: President, ABC Corporation

Signature: Digitally Signed /John Doe/

Date: December 8, 2021

Company Name and Address: ABC Corporation

e. The next requirement is a representation found in Section E, FAR 52.204-24(d):

52.204-24 REPRESENTATION REGARDING CERTAIN

TELECOMMUNICATIONS AND VIDEO SURVEILLANCE SERVICES OR

EQUIPMENT

The first paragraph of FAR 52.204-24 states:

The Offeror shall not complete the representation at paragraph (d)(1) of this provision if the Offeror has represented that it ‘‘does not provide covered telecommunications equipment or services as a part of its offered products or services to the Government in the performance of any contract, subcontract, or other contractual instrument’’ in paragraph

(c)(1) in the provision at 52.204–26, Covered Telecommunications Equipment or

Services—Representation, or in paragraph (v)(2)(i) of the provision at 52.212–3, Offeror

Representations and Certifications–Commercial Items. The Offeror shall not complete the representation in paragraph (d)(2) of this provision if the Offeror has represented that it

‘‘does not use covered telecommunications equipment or services, or any equipment, system, or service that uses covered telecommunications equipment or services’’ in paragraph (c)(2) of the provision at 52.204–26, or in paragraph (v)(2)(ii) of the provision at 52.212–3.

What this paragraph means is that you do not complete the representations set forth in subparagraph

52.204-24(d) if your company has already made those representations with its SAM registration. You can check your company’s SAM registration via SAM.gov | Entity Information. Under your company’s entity information page, there will be a menu on the left side where you can check the current Representations and Certifications made with your SAM registration:

Under that list of Reps and Certs, you should find the representation made for FAR 52.204–26, as referenced in the first paragraph of FAR 52.204-24, above. Click on the hyperlink for 52.204-26, and it will provide the representation made for your company. Here is an example:

In this case, the quote does not require the FAR 52.204-24(d) representations be completed. Instead, the quote should reference the company’s SAM registration and the representations already made under FAR

52.204-26.

f. The final requirement is also found under Section E, FAR 52.212-3:

52.212-3 OFFEROR REPRESENTATIONS AND CERTIFICATIONS—

COMMERCIAL ITEMS

The first paragraph on FAR 52.212-3 states:

The Offeror shall complete only paragraph (b) of this provision if the Offeror has completed the annual representations and certification electronically in the System for

Award Management (SAM) accessed through https://www.sam.gov. If the Offeror has not completed the annual representations and certifications electronically, the Offeror shall complete only paragraphs (c) through (v) of this provision.

Current SAM registration is a requirement for contract award; this requirement cannot be waived.

Accordingly, assuming that your company’s SAM registration is current, you will reference FAR 52.212-

3(b), which states:

(b)(1) Annual Representations and Certifications. Any changes provided by the Offeror in paragraph (b)(2) of this provision do not automatically change the representations and certifications in SAM.

(2) The offeror has completed the annual representations and certifications electronically in SAM accessed through http://www.sam.gov. After reviewing SAM information, the

Offeror verifies by submission of this offer that the representations and certifications currently posted electronically at FAR 52.212–3, Offeror Representations and

Certifications—Commercial Items, have been entered or updated in the last 12 months, are current, accurate, complete, and applicable to this solicitation (including the business size https://www.sam.gov/ http://www.sam.gov/ standard(s) applicable to the NAICS code(s) referenced for this solicitation), at the time this offer is submitted and are incorporated in this offer by reference (see FAR 4.1201), except for paragraphs _______________.

In other words, if no representations and certifications made for your company’s annual SAM registration have changed, you do not need to submit anything more for this paragraph. If, however, a representation or certification needs to be updated, you need to update it here, as well as in SAM.

In summary, section (5) Representations & Certifications requires the following:

(1) a statement certifying that the quoter fully understands and will comply with all requirements under Section B.3, Paragraph E Subcontracting Limitations Reporting if awarded the proposed contract;

(2) a copy of your company’s current VIP profile showing a VOSB verification;

(3) a copy of your company’s small business representations under FAR 52.219-1 that includes the

NAICS code for this acquisition, or in the alternative, you must provide a statement representing in good faith that your company meets the small business size standard corresponding to the

NAICS code identified in this Solicitation, pursuant to FAR 19.301-1;

(4) a completed VAAR 852.219-77 certification;

(5) a statement that the representation made for FAR 52.204-26 of your company’s SAM registration is current, and therefore no FAR 52.204-24 representation is required; and

(6) a statement that the representations and certifications made for your company’s SAM registration are current, unless there is a representation or certification that needs to be updated

B.3 PERFORMANCE WORK STATEMENT

Room Service Program Consulting Services for the Hines VA Hospital

A. Contract Overview. The purpose of this Contract is to provide consulting services for the planning and implementation of a Room Service Program in accordance with Nutrition and Food Services directives and guidance at the Hines VA Hospital, 5000 South 5th Avenue, Hines, Illinois 60141-

3030 (“Hines”).

1. Room Service Program: The Hines Room Service Program (“RSP”) will provide dine-on-demand services to Veterans in accordance with industry best practices that are applicable to the

Department of Veterans Affairs (“VA”). Under the RSP, the Veteran will be able to place an order for fresh food from a menu of options, consistent with their medical condition and treatment regimen, and be served at a time of their choice within a service window of 6:00 a.m. to 6:00 p.m., or other times to be determined. Implementation of the RSP is expected to improve Veteran satisfaction with food services and their overall hospital experience, improve clinical outcomes due to improved food intake, reduce food costs and waste, and improve VA employee morale.

2. Nutrition and Food Services: Hines Nutrition and Food Services (“NFS”) provides comprehensive, innovative, evidence-based nutrition and food services to Veterans. The goal of

NFS is to improve the overall health and well-being of the Veterans served while enhancing their experience at Hines with appetizing, nutritious food.

3. Contract Deliverables: All deliverables under this Contract shall become and remain the property of Hines. The Contractor shall have no right, title, or interest in any of the deliverables.

B. Background. Hines provides both inpatient and outpatient care to Veterans across a broad spectrum of specialties, including without limitation: primary care; behavioral health; blind and low vision rehabilitation; cardiology; geriatrics; oncology; oral surgery; orthopedics; palliative/hospice care;

physical therapy; podiatry; and spinal cord injury/disorders. Hines has 487 beds with an average occupancy of 322 Veterans. The nutritional requirements for these Veterans must account for varying medical conditions, including diabetes, dysphagia, food allergies, and provider-ordered dietary requirements or restrictions.

Currently, Hines provides inpatient meal service bedside and to a few dining rooms. Trayline service is conducted in the main kitchen and one satellite kitchen. Food production is cook-serve from one main kitchen located in Building 200, which provides food service to Veterans in Buildings 200, 113, 128, and 228. Additionally, food from the main kitchen is transported in hotel pans via insulated

Cambro carts to the satellite kitchen located in Building 217, where it is plated and served to Veterans in Buildings 217 and 221. Hines serves approximately 360,000 inpatient meals per year, not including meals and snacks that support bulk nourishment, outpatient areas, and medical resident programs.

Nutrition and food service communication uses Room Service Connect, a module of the Hospitality

Suite from Computrition. In addition, Hines may add Computrition’s Tray In Motion Elite.

Computrition’s system uses HL7 to interface with the VA’s Computerized Patient Record System

(“CPRS”), a component of the Veterans Integrated System Technology Architecture (“VistA”), in order to update patient records with diet information and ensure that each patient’s dietary needs are met. Hines anticipates retaining the Computrition system during its transition from VistA to Cerner.

C. Room Service Program Committee. At the outset of performance under this Contract, a Room Service

Program Committee (“RSP Committee”) shall be established. The RSP Committee will be composed of NFS staff appointed by the NFS Chief and the COR. The Contractor shall designate employees who will serve as the primary points of contact for the RSP Committee. The RSP Committee shall be the primary interface between Hines and the Contractor for planning and implementation of the RSP.

The RSP Committee shall be consulted during all phases of planning and implementation of the RSP for its input and concurrence.

D. Room Service Program Phases. Planning and implementation of the RSP shall occur in four phases, with the actions and deliverables for each phase specified below.

1. Phase 1: RSP Plan Development: The purpose of Phase 1 is to develop a specific, actionable plan to implement the Hines RSP. The Contractor shall make an initial site visit to gather the necessary information for formulation of the RSP Plan.

The RSP Plan shall include a detailed timeline that will enable a fully operational RSP within twelve (12) months from Contract award and include discrete, objective, measurable intermediate objectives and ultimate goals. The Contractor shall deliver the finalized RSP Plan within one (1) month of Contract award, subject to acceptance by the RSP Committee, in its sole discretion. The RSP Plan shall include, at a minimum, the following:

ii. Patient populations included in the program;

iii. Enhanced dining alternatives for those patients not eligible for RSP dining, including without limitation, the long-term care residents located in Building 217;
