AGENCY BACKGROUND

The Executive Office for United States Attorneys (EOUSA) was created on April 6, 1953, by AG Order No. 8-53 to provide for close liaison between the Department of Justice (DOJ) in Washington, D.C., and the 94 United States Attorney’s offices (USAOs) located throughout the 50 states, the District of Columbia, Guam, the Northern Mariana Islands, Puerto Rico, and the U. S. Virgin Islands. The USAOs operate in the 94 judicial districts and work in over 250 separate facilities.

INTRODUCTION

The EOUSA is issuing this Request for Quote (RFQ) to solicit small businesses for the purpose of entering into a Blanket Purchase Agreement (BPA) as a brand name, Zoll or equivalent. The BPA is awarded with one base year and four option years. The Government anticipates the issuance of individual Calls/Task Orders against the BPA and these Orders issued against the BPA will originate from the USAOs.

FAR 13 BLANKET PURCHASE AGREEMENT

This solicitation is in accordance with FAR 13.303 Blanket Purchase Agreements (BPAs).

DESCRIPTION OF SERVICES

The contractor shall provide a full-service annual leasing contract to support the operation of an Automatic External Defibrillator (AED) Management Program to all 94 USAO’s which encompasses 250 buildings located throughout the 50 states, the District of Columbia, Guam, the Northern Mariana Islands, Puerto Rico, and the U. S. Virgin Islands. EOUSA requires a vendor that can adapt to the unique requirements of a federal agency in mission, authorities, and needs to maintain information security in order to successfully support EOUSA under the direction of the Deputy Assistant Director, Emergency Management Staff.

STATEMENT OF WORK

The contractor shall provide the following requirements to provide full-service support for the operation of an Automatic External Defibrillator (AED) Management Program.

• Automatic External Defibrillator (AED) with a full color user display, one-piece CPR-D pad electrodes and one set of lithium batteries (user replaceable) all with minimum of a five-year warranty. The AEDs shall include an AED cabinet, AED location “V” sign, AED prep kit (which includes nitrile gloves, barrier mask in hard case, trauma scissors, razor, wet wipe, dry wipe), and soft pack carry case or bag.

• Full program implementation support, complete device with equipment setup, and ongoing regulatory support.

• AED standard medical direction including device prescription for all AEDs.

• Establish a method to track each AED’s location, manufacturer, model number, serial number, battery expiration date, pad expiration date, readiness checks, and trained responders and their attributes in compliance with EOUSA operational and information security requirements. This may require the approval of vendor systems or storage of information on EOUSA-approved networks only.

• Send monthly AED system check reminders to designated points of contact in all USAO locations to assist in assuring that AED equipment and supplies are present in each cabinet and that each AED is functioning correctly. Provide a specific monthly equipment inspection check-off sheet that will be kept in every AED cabinet to document all equipment is working and accounted for.

• All AED and AED-related equipment installation instructions to each USAO location that adheres to all ADA height requirements. The vendor will work with each USAO location for the shipping and receiving of all AEDs and AED-related equipment. The vendor will work with all USAO locations to provide guidance on how to send equipment back for maintenance and or replacement of AEDs and AED related equipment.

• After receiving approval from EOUSA to release a USAO facility’s address information for each AED, the vendor will register that AED with the appropriate local fire, rescue, emergency medical service, or health regulation authority and 911 call center (if different) having jurisdiction to ensure “Good Samaritan Law” compliance.

• After an AED has been used for an emergency/resuscitation attempt, a vendor company official will go to the USAO location to collect the AED to conduct a post-event data/medical review. The medical reviewer will review all post-event elements contained in the AED and generate a written summary of the data, evaluation of the use, and recommendations (if any) to improve clinical outcomes in future AED uses to the Deputy Assistant Director, Emergency Management Staff. The vendor will provide a loaner AED to utilize while the medical review is being conducted to ensure no interruption to AED coverage. Once the post-event review has been completed, vendor will return the AED to the USAO location and place in back in service for deployment.

• EOUSA access to a vendor-managed functional database that tracks, monitors, and displays AED locations on Google map identifiable by state/building/floor/location number. Database must track AED serial numbers, pads, equipment items, expiration dates of accessories, battery life cycle, and service dates. Data base must be always accessible to client.

PERIOD OF PERFORMANCE

The period of performance will be one base year and four one-year options. The total project period is anticipated to be a maximum of 60 months if the Option Years are exercised.

Exercising Options

The EOUSA reserves the sole right to exercise option(s). Option periods are contingent upon 1) continued requirement of services; 2) successful performance by Contractor; and 3) availability of appropriated funds by the Congress.

PLACE OF PERFORMANCE

The contractor will provide services to the 94 USAOs throughout the continental United States, Alaska, Hawaii, Guam and the Northern Mariana Islands, Puerto Rico, and the U.S. Virgin Islands, see Attachment 1.

TYPE OF AWARD

Firm Fixed Price - Blanket Purchase Agreement (BPA)

BPA CEILING

The total value of this BPA may not exceed $6,000,000.00.

PACKAGING, PACKING AND MARKETIMNG (MAR 2003)

Material shall be packaged, packed, and marked for shipment in such a manner that will insure acceptance by common carriers and safe delivery at destination.

Packages shall be clearly identified on the outer wrapping with the contract number and BPA calls/task orders number, if applicable.

FUNDING

The BPA obligates no funding. Funding will be provided on each individual Calls/Task Orders issued under the BPA. Each Call/Task Order will be issued with a not-to exceed (NTE) funding. If the contractor exceeds the NTE amount, it will be at the contractor’s own risk.

CONTRACT ADMINISTRATION

Contracting Officer (CO)

Written communication shall refer to the contract number and shall be emailed to bryant.gilbertson@usdoj.gov or mailed to the above address. Any action taken by the Contractor outside the terms and conditions of this task order shall be deemed to have been for the Contractor's convenience and therefore shall not obligate the Government to pay the Contractor for those efforts.

Authority to Obligate the Government

The CO is the only individual who can legally commit or obligate the Government to the expenditure of public funds. No cost chargeable to the contract or task orders can be incurred before receipt of a fully executed contract or task order or specific authorization from the CO.

CONTRACTING OFFICER'S REPRESENTATIVE (COR)

JAR 2852.201-70 Contracting Officer's Representative (COR)- (EOUSA modified, March 2014)

TBD is hereby designated to act as Contracting Officer's Representative (COR) under this contract.

The COR is responsible, as applicable, for: receiving all deliverables, inspecting, and accepting the supplies or services provided hereunder in accordance with the terms and conditions of this contract; providing direction to the contractor which clarifies the contract effort, fills in details or otherwise serves to accomplish the contractual Scope of Work; evaluating performance; and certifying all invoices/vouchers for acceptance of the supplies or services furnished for payment. The COR does not have the authority to alter the contractor's obligations under the contract, and/or modify any of the expressed terms, conditions, specifications, or cost of the agreement. If, as a result of technical discussions, it is desirable to alter/change contractual obligations or the Scope of Work, the Contracting Officer shall issue such changes.

INVOICE INSTRUCTIONS PER FAR§ 52.212-4(g)

All invoices shall be submitted via email to the designated USAO.

Prompt Payment Act - In accordance with the Federal Prompt Payment Act, the U.S. Attorneys' Office is authorized 30 days from the date on which a complete, correct in voice is received to make payment.

Invoices shall be submitted with the following information:

ORDERING PROCEDURES

The contractor shall provide the services described in the SOW after issuance of a Call/Task Order that is executed in writing by an authorized EOUSA CO. Costs not attributed to a specific Call/Task Order will not be allowed without prior written consent of an authorized CO. All BPA call/task orders issued under this contract shall confirm to the provisions of the contract clause, “Ordering,” FAR 52.216-18 and “Order Limitations,” FAR 52.216-19.

The following offices are authorized to place orders under this BPA:

1. Department of Justice United States Attorney's Offices (USAOs)- See Attachment 1 for a list of USAOs' and branch USAO offices.

2. Department of Justice Executive Office for the United States Attorney's Offices (EOUSA) Acquisitions Staff.

Any materials and services provided under this BPA shall be ordered by issuance of a call/task order by the individual or activities designated in Attachment I. Orders may be fulfilled at any time during the time of this BPA.

Electronic Signatures (May 2019)

(a) The Department of Justice is committed to doing business in the most efficient and effective way possible, and to facilitate paperless processes. In furtherance of this goal, the Contracting Officer may apply their digital signature to procurement documents in the Portable Document Format (PDF) through the use of their government issued Personal Identity Verification (PIV) Card with a valid public key certificate. A digital signature made with these certificates is evidence that a specific individual signed the electronic record and that it was not altered. The recipient of a signed document can rely on the digital signature as evidence for a third party that the signature was generated by the claimed signer.

(b) For procurement documents that require a signature from a representative of the Contractor, the Contractor may utilize manual or electronic signature. Should the Contractor utilize an electronic signature, by returning the document with an electronic symbol affixed to the appropriate signature block, the Contractor representative signing on behalf of the Contractor certifies that:

(1) Electronic Form of Signature: The Contractor representative has knowingly adopted, applied or affixed an electronic symbol to the document.

(2) Intent to Sign: The Contractor representative has applied an electronic symbol with the intent to legally bind the

Contractor.

(3) Association of Signature to Record: The Contractor representative’s signature is attached to the electronic record being signed.

(4) Identification and Authentication of Signer: The Contractor has a means to identify and authenticate a particular person as the signer; and

(5) Integrity of Signed Record: The Contractor can attest to the integrity of the signed record between the time of signature and the returned record to the government.

(c) This clause applies to this document and any subsequent documents (e.g., modifications, task/delivery orders) associated with this action.

52.203-17 Contractor Employee Whistleblower Rights and Requirement To Inform Employees of Whistleblower Rights (Jun 2020)

(a) This contract and employees working on this contract will be subject to the whistleblower rights and remedies in the pilot program on Contractor employee whistleblower protections established at 41 U.S.C. 4712 by section 828 of the National Defense Authorization Act for Fiscal Year 2013 (Pub. L. 112-239) and Federal Acquisition Regulation

(FAR) 3.908.

(b) The Contractor shall inform its employees in writing, in the predominant language of the workforce, of employee whistleblower rights and protections under 41 U.S.C. 4712, as described in FAR 3.908.

(c) The Contractor shall insert the substance of this clause, including this paragraph (c), in all subcontracts over the simplified acquisition threshold, as defined in FAR 2.101 on the date of subcontract award. (End of clause)

Within 30 days of contract award, the contractor and its subcontractors must distribute the “Whistleblower Information for Employees of DOJ Contractors, Subcontractors, Grantees, or Sub-Grantees or Personal Services Contractors” (“Whistleblower Information”) document to their employees performing work in support of the products and services delivered under this contract (https://oig.justice.gov/sites/default/files/2020-04/NDAA-brochure.pdf). By agreeing to the terms and conditions of this contract, the prime contractor acknowledges receipt of this requirement, in accordance with 41 U.S.C. § 4712 and FAR 3.908 & 52.203-17 and commits to distribution.

Within 45 days of award, the contractor must provide confirmation to the contracting officer verifying that it has distributed the whistleblower information as required. (End of Clause)

(d) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph

(d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, as defined in FAR 2.101, on the date of award of this contract, and does not contain the clause at 52.215-2, Audit and Records-Negotiation.

(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor’s directly pertinent records involving transactions related to this contract.

(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.

This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.
