About this file
This is a Sole Source Justification memorandum from the Oregon Department of Education dated February 8, 2023, authorizing sole source contracts for the Student Investment Account (SIA) Intensive Coaching Program. The agency intends to contract with four vendors—Kenneth J Parshall, INC.; Laura Kanter Fellows; Sarah Rosman LLC; and Kimberley Ednie—to provide specialized coaching services under Oregon House Bill 3427. Each contractor will provide one steward (either a Leadership Steward or Teaching and Learning Steward) to work as part of a Student Success Team supporting school districts with the highest needs in Oregon. The initial contract term runs through June 30, 2023, with options to renew for additional one-year increments. The contracts are structured as a pilot program to improve academic outcomes for focal student groups through intensive coaching and transformational leadership.
The estimated maximum value for each initial contract is $67,000, with a total value not to exceed $150,000 for all contract terms. The Oregon Department of Education made reasonable efforts to ensure competition by issuing two Requests for Proposals in May 2021 and August 2021, which resulted in no responses and only one award, respectively. The sole source justification was authorized under ORS 279B.075 and OAR 125-247-0275 based on the pilot and experimental nature of the program and the specific expertise required. Protests to this sole source procurement must be submitted in writing by 1:00 PM PST on February 15, 2023, to Julia Alpernas at Julia.alpernas@ode.oregon.gov, and must include detailed legal and factual grounds, description of resulting harm, relief requested, and the sole source number.

SOLE SOURCE JUSTIFICATION
FOR
SUPPLIES AND/OR SERVICES
Date: 2/8/2023
MEMORANDUM FOR FILE
Authority:
Sole Source Justification pursuant to Oregon Revised Statute (ORS) 279B.075 and Oregon Administrative Rule (OAR) 125-247-0275, the Oregon Department of Education finds Sole Source Contracting is necessary to efficiently acquire services for the following Student Investment Account (SIA) Intensive Coaching Program services:
• Kenneth J Parshall, INC. for one Leadership Steward
• Laura Kanter Fellows for one Teaching and Learning Steward
• Sarah Rosman LLC for one Teaching and Learning Steward
• Kimberley Ednie for one Teaching and Learning Steward
Authority for Agency to enter into a Sole Source Contract: OAR 125-246-0170(2)(c)(H).
Background:
Oregon House Bill 3427 was enacted by the 2019 Legislative Assembly and is known as the Student Success Act (SSA). Under Section 18 (ORS 327.222), Agency is required to establish an intensive program for school districts with the highest needs in the state in order to improve outcomes towards their SIA Plan. If a district agrees to participate they are required to commit to working with Agency for a total of four years.
For each participating school district, Agency needs to direct a team of three stewards to work closely with the district leadership to improve academic outcomes for focal student groups. To that end, this model aims to leverage current practitioners’ expertise in establishing focus areas as well as adult learning. These stewards will leverage trust building and transformational leader dispositions to attend to both climate-culture challenges as well as research-based instructional practices. This approach will further evolve past coaching models from a single person supporting the district to one where three distinct roles and focus areas are present. This team of stewards will work alongside school district staff and an Agency staff person in order to form a Student Success Team (SST). The school districts will interact and work closely with the SST in order to fulfill their commitment to the program.
It is the Agency’s intent to enter into contracts with each of the Contractors listed above for an initial term through June 30, 2023 with option to renew for additional one year increments.

Sole Source Justification – Within Agency Authority - Format approved 12/20/07, NC
Market Research Findings Pursuant to ORS279B.075:
Agency processed a Request for Proposals for these services in May 2021 (ORPIN posting ODE- 2525-21) and received no responses. Agency processed a second Request for Proposals in August 2021 (OregonBuys Bid Number S-58100-00000427) resulting in only one award.
After the two solicitations only produced one viable contract, there is still an additional need for multiple contracts for the coaching services so Agency conducted search through contacts in the education field to find these contractors.
The Contracting Officer makes the following determinations:
Pursuant to ORS 279B.075(2)(c):The goods or services are for use in a pilot or an experimental project.
In addition to the failed solicitations, the specific nature of the work and the unknowns related to the implementation of the SIA Intensive Coaching Program, it is in the best interest of the State to enter into contracts with the above contractors for this work as a pilot project.
The Oregon Department of Education has made reasonable effort to ensure competition for this Sole Source procurement, through the use of Request for Proposal.
The resulting contracts will initially have an estimated maximum not to exceed value of $67,000 with a total value for all terms not to exceed $150,000 and will be issued according to authority of OAR 125-247-0275 with reasonable effort made to ensure competition.
