About this file
This is a Sole Source Justification document prepared by the State of Colorado for the ARPA Compliance Monitoring and Oversight contract opportunity. The document outlines the state's rationale for procuring services through a sole source method rather than competitive bidding. The justification addresses the specific compliance and oversight requirements mandated under the American Rescue Plan Act (ARPA), detailing the unique qualifications and capabilities required to monitor ARPA fund utilization, ensure regulatory compliance, and oversee grant management across state agencies and local recipients. The document establishes the necessity for specialized expertise in federal ARPA regulations, grant administration, and compliance monitoring to effectively manage the distribution and use of substantial federal recovery funds allocated to Colorado.
The sole source justification emphasizes the critical nature of ARPA compliance work and identifies the specific reasons why competitive procurement is not feasible or practical for this engagement. The document likely specifies the selected vendor's unique qualifications, experience with ARPA requirements, and demonstrated capacity to perform complex compliance monitoring across multiple state and local entities. Key considerations include the time-sensitive nature of ARPA compliance obligations, the specialized knowledge required to navigate federal requirements, and the need for continuity in monitoring and oversight activities to ensure proper stewardship of federal recovery funds and maintain compliance with all applicable regulations and reporting requirements.

Sole Source Justification
This Sole Source shall only to cover the period of January 27, 2027 through April 30, 2027 for closeout activities.
Services To Be Provided
The KPMG contract will reach the 5-year threshold on January 26, 2027. Approval of the sole source would allow DPA to continue working with KPMG from January 27, 2027-April 30, 2027 when the ARPA funding ends.
During this 3-month period, KPMG will:
• Complete Cluster 3 closeout readiness assessments for 100+ ARPA SLFRF projects that end in December 2026 (using the same methodology as Clusters 1 and 2 completed in 2026),
• Complete department closeout readiness attestation forms based on results of the 3 clusters of closeout readiness activities,
• Deliver the final round of department fraud risk assessment workshops,
• Complete a “look-back assessment” on SLFRF beneficiary programs based on new US Treasury data demands,
• Conduct ad hoc fraud investigations at the direction of the OSC and Governor’s Office, and
• Perform general close out activities for the contract.
Due to timing (i.e. end date of ARPA SLFRF of 4/30/2027), and to prevent a lapse in critical work, the Department believes KPMG is the only vendor capable of maintaining uninterrupted services during this short period. Retaining KPMG to complete its work is in the best interest of the State given the constrained three-month window spanning January 27, 2027 to April 30, 2027. Introducing an alternative vendor is logistically impractical. The administrative lead time required to execute a competitive procurement - specifically bidding, selection, contracting, and onboarding - would entirely consume the remaining schedule, leaving insufficient time for actual project execution and endangering critical deliverables. Continuing KPMG’s contract for an additional 3 months will not only ensure continuity but provides the State of Colorado the clearest pathway to completing all ARPA SLFRF monitoring and oversight activities without delay, interruption, or loss of historical knowledge.
