About this file
This Noncompetition Justification and Approval (J&A) document covers a 6-month short-term contract for a Community-Based Outpatient Clinic (CBOC) in Pierre, South Dakota, managed by VISN 23 VA Black Hills Health Care System. The existing contract with vendor STGI expires on 12/31/2025, and a ten-year replacement contract (RFP# 36C26324R0005) is being finalized as an SDVOSB set-aside. The short-term noncompetitive award is necessary to provide time for the long-term contract decision and potential facility build-out.
The justification highlights that no alternative source can provide CBOC services in Pierre without a 6-month or longer facility build-out. STGI is identified as the only vendor capable of providing these services during the interim period. The contract is valued under $750,000, and the incumbent's pricing has been historically deemed fair and reasonable. The document includes certifications from the Contracting Officer (Matthew Rose) and the Acting Branch Chief (Angela Stewart), approving the noncompetitive procurement under the statutory authority permitting other than full and open competition.

Noncompetition Justification and Approval (J&A) Black Hills Pierre CBOC 6 Month Contract | RFQ 36C26326Q0155
1. Contracting Activity: VISN 23 VA Black Hills Health Care System (VABHHCS).
2. Nature and/or Description of the Action Being Processed: VABHHCS maintains a contracted Community-Based Outpatient Clinic (CBOC) in Pierre, South Dakota. The existing contract (36C26325D0025) with vendor STGI expires on 12/31/2025. A ten-year replacement contract under RFP# 36C26324R0005 is currently being worked toward final award. Therefore, a short-term (6 month) noncompetitive award to the incumbent Pierre CBOC contract vendor is needed to provide time to make the long term award decision, and to provide build-out time in the event that is needed also.
3. Description of Supplies/Services Required to Meet the Agency’s Needs: Operating a CBOC in Pierre, SD.
4. Statutory Authority Permitting Other than Full and Open Competition:
(X) (1) Only One Responsible Source and No Other Supplies or Services Will Satisfy
Agency Requirements per 41 USC §3304(a)(1) as implemented by FAR 6.302-1;
5. Demonstration that the Contractor’s Unique Qualifications or Nature of the Acquisition Requires the Use of the Authority Cited Above (applicability of authority): Any alternate source would first need to complete a build-out of a new facility, which can take 6 months or more to accomplish. In this case, VA is finalizing a long term replacement contract that was competed as an SDVOSB set-aside under RFP 36C26324R0005. STGI is the only vendor capable of providing CBOC services in Pierre, SD between now and when any potential new vendor under 36C26324R0005 could complete a new CBOC build-out. This sole source will be used only to provide for award of the new contract and build out time as applicable.
6. Description of Efforts Made to ensure that offers are solicited from as many potential sources as deemed practicable: Full and thorough market research was conducted for long term replacement RFP# 36C26324R0005, which eventually led to an SDVOSB set-aside. Competition for this short-term contract is not possible due to this short term contract not lasting longer than would be needed for a build out.
7. Determination by the CO that the Anticipated Cost to the Government will be Fair and Reasonable:
Incumbent pricing is fair and reasonable and has historically been consistently found so. I therefore anticipate the cost will be fair and reasonable.
8. Description of the Market Research Conducted and the Results, or a Statement of the Reasons Market Research Was Not Conducted: No additional market research conducted for this short-term.
Market research for the new long-term requirement already indicates that no other source in Pierre can provide CBOC services without a build-out of a new facility.
9. Listing of Sources that Expressed, in Writing, an Interest in the Acquisition: None.
10. A Statement of the Actions, if any, the Agency May Take to Remove or Overcome any Barriers to Competition before Making subsequent acquisitions for the supplies or services required: Agency is already addressing this by working through the competed long-term replacement requirement.
