About this file
This sole source justification document was issued by the Securities and Exchange Commission to award a contract to Refinitiv US LLC for a subscription to merger and acquisitions data. The SEC requires comprehensive M&A data that can be easily ingested into its internal applications, including initial rumor and disclosure dates, deal size, identifiers for involved companies, and advisers. Market research found Refinitiv's data to be the most complete and properly formatted to meet the SEC's needs. As the only known source that satisfies all requirements, Refinitiv US LLC was determined to be the sole source for this subscription. The base period is 12 months with four 12-month option periods, and the Contracting Officer deemed the anticipated price to be fair and reasonable. The contract was awarded to Refinitiv US LLC as sole source contract 50310224P0013 on January 24, 2024 for an unknown amount.

4. An Identification of the statutory Authority for Other Than Full and Open Competition:
FAR Part 13.5 in accordance with 41 U.S.C. 1901, only one responsible source and no other supplies or services will satisfy agency requirements.
5. A demonstration that the proposed contractor’s unique qualifications or the nature of the acquisition requires use of the authority cited:
Refinitiv US LLC is the only known source that has a subscription product that meets all of the SEC’s data requirements in the format required by the SEC, including a mechanism that allows for easy ingestion of the data into internal SEC applications. Refinitiv’s data has also been found to be the most comprehensive compared to other sources reviewed. Therefore, Refinitiv US LLC is determined the only source capable of fully meeting the SEC’s requirements.
