5. A demonstration that the proposed contractor’s unique qualifications or the nature of the acquisition requires use of the authority cited:
Sayari Analytics, LLC is the only source identified capable of meeting all of the SEC’s requirements including scope of public records covered and form of data visualization to show the relationships between searched individuals and entities. There were other sources identified that can provide international public records but none offer the scope of public records provided by Sayari. Specifically, Sayari provides international public records such as driver’s license, business records and court judgements that are not currently available through other sources.
Additionally, Sayari is the only source identified that can fully meet the SEC’s requirement for users to create customizable forms of data visualizations which are needed by SEC staff to investigate connections that may cover multiple jurisdictions.
6. A description of efforts made to ensure that offers are solicited from as many potential sources as is practicable, including whether a notice was or will be publicized as required by Subpart 5.2 and, if not, which exception under 5.202 applies.
The SEC issued a Sources Sought Notice (50310222Q0133) on September 29, 2022 on SAM.gov - see Section 8 for details.
After reviewing responses to the Sources Sought Notice and considering other market research, the SEC determined that Sayari Analytics LLC is the only source capable of meeting the SEC’s requirement. Therefore, SEC Office of Acquisitions (OA) posted a Synopsis on December 8, 2022 in accordance with FAR 5.201 that provided notification of the SEC’s intent to award a sole source procurement to Sayari Analytics, LLC.
7. A determination by the contracting officer that the anticipated cost to the Government will be fair and reasonable.
The Contracting Officer has determined that the anticipated price will be fair and reasonable based on review of market research price estimates.
8. A description of the market research conducted (see part 10) and the results or a statement of the reason market research was not conducted.
The SEC conducted extensive market research for this requirement. The SEC posted Sources Sought Notice # 50310222Q0133 on September 29, 2022 to assist with market research efforts. The Sources Sought notice included a questionnaire in which interested sources were asked to indicate whether they met each requirement and provide supporting description. The SEC carefully reviewed and considered each response received. Additionally, the SEC considered other subscription products that provide public records currently under contract at the SEC, and reviewed capabilities of other known subscription products used within the industry.
The SEC concluded that Sayari Analytics LLC is the only source that meets all of the SEC’s requirements for this procurement.
9. Any other facts supporting the use of other than full and open competition:
None.
10. A listing of the sources, if any that expressed, in writing an interest in the acquisition:
A listing of any sources that express interest in this acquisition will be maintained in the contract file.
11. A statement of the actions, if any, the agency may take to remove or overcome any barriers to competition before any subsequent acquisition for the supplies or services required:
The SEC will perform market research for future acquisitions for the purpose of verifying the sole source nature of this requirement.
