Q&A for solicitation SOL-169-16-000009 FTIF Amendment #03
1. Do public faculties that are legally organized under Serbian laws and have Serbia as their principal place of operations fulfill, from USAID's standpoint, criteria (3) and (4) from the USAID's definition of local organizations?"
A local organization is defined as an individual, a corporation, a nonprofit organization, or another body of persons that:
(1) Is legally organized under the laws of;
(2) Has as its principal place of business or operations in;
(3) Is majority owned by individuals who are citizens or lawful permanent residents of; and
(4) Is managed by a governing body the majority of who are citizens or lawful permanent residents of the country in which this contract will be primarily performed.
R. USAID would need more information about the specifics of the organization to make a definitive determination. However, the information provided implies that this is a parastatal organization, and would thus be subject to further requirements.
2. Please confirm if we have understood well: The classical consortia partnership is not allowed, unless the consortium is registered as legal entity?
R. The consortia must be registered as a new legal entity.
3. The only form of „consortia“ is to have one offeror that will than subcontract the others?
R. That is not a consortia. That is a prime with subcontractors, but you might also register the consortia as a new entity.
4. Do we have to list the subcontractors in the proposal and where?
R. You have to list the subcontractors within your technical application and cost proposal.
5. We understand that: “By submission of an offer and execution of a contract, the Offeror/Contractor agrees that in performance of the contract for (1) Services (except construction), at least 50 percent of the cost of contract performance incurred for personnel must be expended for employees of the prime/local entity”. In case the subcontractors are local organizations, does the 50% rule is still valid? Is it possible to engage few different local subcontractors and subcontract more than 50%?
R. Yes, but the subcontractors must meet the definition of local entity and the clause must flow down.
6. Do we have to provide the Performance Monitoring Plan within the proposal or after, in case we are awarded?
R. A performance monitoring plan, with indicators corresponding with desired results must be developed by the contractor and approved by USAID, following award.
7. Regarding the stuffing plan is it mandatory for personnel to be full time employee of the offeror? If not
– in case the consultants are engaged through an agency, do you see it as subcontracting?
R. The proposed personnel do not have to be the full time employee of the offeror. If consultants will be engaged through an agency, this type of relationship represents a subcontract.
8. In case we have the subcontractors – do we have to submit the staffing plan regarding their staff to be involved in the project?
R. The offeror must provide a staffing plan by listing team members and positions for the entirety of the contract which is applicable to subcontracts as well.
9. Do we have to present the qualifications/experience of the staff in the staffing plan?(as we understand that CVs are not supposed to be submitted with the application but only the list of team members and their position for each component separately).
R. CV’s are not required. Offeror must provide a list of team members and their positions as part of staffing plan.
10. We understand that we have to provide the system technical specifications for the web registry, with the proposal (offer). How detailed system technical specifications should be?
R. See #11.
11. We understand that system technical specifications should be such that would allow for further more detailed specification and detailed ToR during the project implementation and based on the findings during the project initial phases?
R. Offerors must provide system technical specifications of the web-based registry planned to be implemented in case of award. We expect the proposal to entail as many specification details as possible and logical to provide enough elements for understanding viability of the proposed solution.
12. In case we have to develop or purchase the software solution for the web register, do we have to have a tender within the project (if awarded) or we could/should name the subcontractor for this activity within the proposal (offer)?
R. Competitive procurement procedures do not exclude subcontracting relationship within your technical and cost proposal. USAID promote competition to the maximum extent practicable.
13. When we provide the total price and breakdown to show a total individual price for each of the three activities should we express the price in the offer with or without VAT included?
R. See #14.
14. Are we to be exempted from VAT within the context of subcontracts to be concluded with subcontractors?
R. USAID will provide VAT exemption to its partner and their subcontractors for all costs usually taxed with VAT under USAID funded contract.
15. Payment schedule: Does contractor have to wait for finalization and acceptance of the three deliverables/activities for submitting invoices for payments, or contractor can submit invoices and receive compensation as it incurs costs on the project, for example on monthly or quarterly basis, or per additionally defined and agreed milestones under every of the three activities?
R. See #16.
16. Payment schedule: Is contractor eligible for advances or any other partial or full compensation of direct project costs before final acceptance of the three deliverables?
R: The contractor is eligible to invoice after each deliverable has been completed and accepted by USAID. No advance payment will be approved.
17. Budget: Are bidders expected to submit detailed budget, and would that detailed budget be counted within ten pages of the technical proposal limit?
R. Yes, please see Solicitation document, C.2.2 PRICE PROPOSAL and it is not counted within ten pages of the technical proposal limit.
18. Budget: Is contractor allowed to charge indirect costs for the project, what is indirect cost limit, and what would be the basis for calculating indirect costs?
R. Offerors are free to price their proposals as they see fit, but this is a firm fixed-price contract, so the cost risk is born by the contractor.
19. References: Do we need to submit organization registration documents, MOUs/agreements between project partners, VAT and tax certificates etc. with the technical proposal?
R. Please provide only documents requested in Solicitation
20. In case we have a lead organization with partners where every organization is local entity, applying for the contract, does 50% of services/subcontracts expended has to be expended by a lead organization?
R. See #5.
21. In case we are applying as a consortium of local organizations do we need to have a single account registered on consortium?
R. Yes
22. In order for a consortium to be eligible as an offeror, please specify whether a consortium has to be established and registered as a new legal entity or an agreement on consortium between project partners would suffice?
R. Yes, to be eligible as an offeror, consortium must be established and registered as a new legal entity.
