SECTION C - Description/Specifications
Performance Work Statement (PWS) Washers, Bedding Dispensers, and Sterilizers Maintenance and Repairs
1.0 General: This is a non-personnel services contract to provide routine preventative maintenance inspections, repairs/adjustments during inspections, call-back repair services and special repair services for all Washers, Bedding Dispensers, and Sterilizers listed in this Performance Work Statement (PWS). The Government shall not exercise any supervision or control over the contractor employees performing the services herein. Such employees shall be accountable solely to the Contractor who, in turn is responsible to

1.1 Description of Services/Introduction: The contractor shall provide all trained and experienced personnel, labor, supervision, materials, equipment & tools, parts, supplies, facilities, transportation, and other items necessary to perform the work described in this Performance Work Statement.
1.2 Background: The Washers, Bedding Dispensers, and Sterilizers were installed prior to 1985 through 1997, and has been maintained by a service contractor. The location of the Washers and Bedding Dispensers are within the Animal Facility and Glassware Washer Department. The Sterilizers are in Modules D, E, and F.
1.3 Objectives: The Contractor shall provide routine preventative maintenance inspections, repairs/adjustments during inspections, call-back repair services and special repair services for all Washers, Bedding Dispensers, and Sterilizer equipment listed in this Performance Work Statement.
1.4 Scope: The Contractor shall provide all labor and material necessary to perform cleaning maintenance, inspections, repairs, and replacements to Washer, Bedding Dispensers, and Sterilizers and accessories; including electrical wiring and components, pumps, valves, strainers, steam traps, belts, shafts, motors, damper controls and all other accessory equipment, where included as part of the Washers, Bedding Dispensers, and Sterilizers installation at the time the offer for this work is submitted. Services include all maintenance and repair for all equipment within the Part 3 Inventory List. The Contractor shall accomplish work during normal Government working hours of 7:00 am to 5:00 pm. Any variation shall be requested to and approved by the COR.
1.5 Period of Performance: The period of performance shall be for one (1) Base Year of 12 months and four (4) 12-month option years. The Period of Performance shall be as follows:
Base Year: 08/01/2022 - 07/31/2023 Option Year I: 08/01/2023 - 07/31/2024 Option Year II : 08/01/2024 - 07/31/2025 Option Year III: 08/01/2025 - 07/31/2026 Option Year IV: 08/01/2026 - 07/31/2027
1.6 Quality Control: The Contractor shall develop and maintain an effective quality control program to ensure services are performed in accordance with this PWS. The Contractor shall develop and implement procedures to identify, prevent, and ensure non-recurrence of any defective services. The Contractor's quality control program is how he assures himself that his work complies with the requirement of the contract. The quality control plan shall be submitted with the contractors proposal for evaluation by the CO. After acceptance of the quality control plan the Contractor shall receive the Contracting Officer's acceptance in writing of any proposed change to his QC system.
1.7 Quality Assurance: The government shall evaluate the Contractor's performance under this contract in accordance with the Quality Assurance Surveillance Plan contained in Exhibit 1. This plan is primarily focused on what the Government must do to ensure that the Contractor has performed in accordance with the performance standards. It defines how the performance standards will be applied, the frequency of surveillance, and the minimum acceptable defect rate(s).
1.8 Recognized Holidays: Government holidays are excluded from normal working hours (see below). However, in emergency situations, the Contractor shall be required, at the discretion of the COR to perform emergency services at other times.

1.9 Hours of Operation: All work shall be performed during regular Government working hours of between 7:00 am to 5:00 pm, Monday through Friday except Federal holidays or when the Government facility is closed due to local or national emergencies, administrative closings, or similar Government directed facility closings. For other than firm fixed price contracts, the contractor will not be reimbursed when the government facility is closed for the above reasons. The Contractor must always maintain an adequate workforce for the uninterrupted performance of all tasks defined within this PWS when the Government facility is not closed for the above reasons.
1.10 Place of Performance: The work to be performed under this contract will be performed at:

1.11 Type of Contract: The government will award a Firm Fixed Price contract.
1.12 Security Requirements:
1.12.1 Contractor personnel performing work under this contract must have a valid federal or state issued identification card.
1.12.2 Contractor personnel shall be required to undergo the NIH Badge process to obtain access to the site. This process will be conducted by the Government at no cost to the contractor.
1.12.3 Contractor personnel shall check-in with the NIEHS security staff, at the Main Campus, before beginning any work and check-out after the completion of the work. Parking for the Contractor's employees shall be in accordance with the NIEHS security policies.
1.12.4 Physical Security: The Contractor shall be responsible for safeguarding all government equipment, information and property provided for Contractor use. At the close of each work period, government facilities, equipment, and materials shall be secured.
1.12.5 Key Control: The Contractor shall establish and implement methods of making sure all keys/key cards issued to the Contractor by the Government are kept securely and are not used by unauthorized persons. NOTE: All references to keys include key cards. No keys issued to the Contractor by the Government shall be duplicated. The Contractor shall develop procedures covering key control that shall be included in the Quality Control Plan. Such procedures shall include turn-in of any issued keys by personnel who no longer require access to locked areas. The Contractor shall immediately report any occurrences of lost or duplicate keys/key cards to the Contracting Officer.
In the event keys, other than master keys, are lost or duplicated, the Contractor shall, upon direction of the Contracting Officer, re-key or replace the affected lock or locks at their expense. However, the Government, at its option, may replace the affected lock or locks or perform re-keying. When the replacement of locks or re-keying is performed by the Government, the total cost of re-keying or the replacement of the lock or locks shall be deducted from the monthly payment due the Contractor. In the event a master key is lost or duplicated, all locks and keys for that system shall be replaced by the Government and the total cost deducted from the monthly payment due the Contractor.
The Contractor shall prohibit the use of Government issued keys/key cards by any persons other than the Contractor¿s employees. The Contractor shall prohibit the opening of locked areas by Contractor employees to permit entrance of persons other than Contractor employees engaged in the performance of assigned work in those areas, or personnel authorized entrance by the Contracting Officer Representative
(COR).
1.12.6 Lock Combinations: N/A.
1.13 Special Qualifications:
1.13.1 The Contractor shall provide qualified/trained personnel with experience in the repair and maintenance of the equipment types listed in Part 3 Inventory List. Personnel must be qualified to perform the required preventive maintenance services and repairs for all listed equipment.
1.13.2 The contractor shall submit personnel certifications for performing work on this type of equipment and resumes of the Contractor's personnel performing under this Contract.
1.13.3 All workmanship performed by the Contractor shall be of acceptable industry standard quality.
1.13.4 Contractor personnel shall be required to undergo an NIH Badge process to obtain access to the site. This process will be conducted by the Government at no cost to the contractor.
1.13.5 Contractor personnel shall check-in with the NIEHS security staff, at the Main Campus, before beginning any work and check-out after the completion of the work. Parking for the Contractor¿s employees shall be in accordance with the NIEHS policies.
1.14 Post Award Conference/Periodic Progress Meetings: The Contractor agrees to attend any post award conference convened by the contracting activity or contract administration office in accordance with Federal Acquisition Regulation Subpart 42.5. The Contracting Officer, Contracting Officers Representative (COR), and other Government personnel, as appropriate, may meet periodically with the Contractor to review the Contractor's performance. At these meetings the Contracting Officer will apprise the Contractor of how the government views the Contractor's performance and the contractor will apprise the Government of problems, if any, being experienced. Appropriate action shall be taken to resolve outstanding issues.
These meetings shall be at no additional cost to the government.
1.15 Contracting Officer Representative (COR): The (COR) will be identified by separate letter.
The COR monitors all technical aspects of the contract and assists in contract administration. The COR is authorized to perform the following functions: assure that the Contractor performs the technical requirements of the contract: perform inspections necessary in connection with contract performance:
maintain written and oral communications with the Contractor concerning technical aspects of the contract:
issue written interpretations of technical requirements, including Government drawings, designs and specifications: monitor Contractor's performance and notifies both the Contracting Officer and Contractor of any deficiencies; coordinate availability of government furnished property, and provide site entry of Contractor personnel. A letter of designation issued to the COR, a copy of which is sent to the Contractor, states the responsibilities and limitations of the COR, especially regarding changes in cost or price, estimates or changes in delivery dates. The COR is not authorized to change any of the terms and conditions of the resulting order.
1.16 Key Personnel: The following personnel are considered key personnel by the government:
Supervisor, Technicians, and Contract Manager. The Contractor shall provide a contract manager who shall be responsible for the performance of the work. The name of this person and an alternate who shall act for the contractor when the manager is absent shall be designated in writing to the contracting officer.
The contract manager or alternate shall have full authority to act for the contractor on all contract matters relating to daily operation of this contract. The contract manager or alternate shall be available between 7:00 am to 5:00 pm, Monday thru Friday except Federal holidays or when the government facility is closed for administrative reasons. Qualifications for all key personnel are listed below:
Technicians: shall have a minimum of two years of experience with equipment of the type covered by this performance work statement.
Supervisors: shall have a minimum of four years of experience with equipment of the type covered by this performance work statement.
1.17 Identification of Contractor Employees: Each Contractor employee working at the NIEHS Campus shall wear a name badge, easily readable, prominently displayed, which shall include the person's name and Contractor's name.
1.18 Organizational Conflict of Interest: Contractor and subcontractor personnel performing work under this contract may receive, have access to or participate in the development of proprietary or source selection information (e.g., cost or pricing information, budget information or analyses, specifications, or work statements, etc.) or perform evaluation services which may create a current or subsequent Organizational Conflict of Interests (OCI) as defined in FAR Subpart 9.5. The Contractor shall notify the Contracting Officer immediately whenever it becomes aware that such access or participation may result in any actual or potential OCI and shall promptly submit a plan to the Contracting Officer to avoid or mitigate any such OCI. The Contractor's mitigation plan will be determined to be acceptable solely at the discretion of the Contracting Officer and in the event the Contracting Officer unilaterally determines that any such OCI cannot be satisfactorily avoided or mitigated, the Contracting Officer may affect other remedies as he or she deems necessary, including prohibiting the Contractor from participation in subsequent contracted requirements which may be affected by the OCI.
1.19 PHASE IN /PHASE OUT PERIOD: In the event that the current Contractor is not awarded the new contract, the new contractor shall provide a phase in /phase out plan in the proposal. The purpose of the phase in/ phase out period is to minimize any decreases in productivity and to prevent possible negative impacts on additional services. The phase in/ phase out period shall be thirty (30) days before the end of the contract. The incumbent Contractor shall complete all final repairs and the new Contractor will have personnel familiarize with the PWS and Inventory List.
Part 2 Definitions and Acronyms
2.0 DEFINITIONS and ACRONYMS:
2.1 DEFINITIONS
2.1.1 CONTRACTOR. A supplier or vendor awarded a contract to provide specific supplies or service to the government. The term used in this contract refers to the prime.
2.1.2 CONTRACTING OFFICER. A person with authority to enter into, administer, and or terminate contracts, and make related determinations and findings on behalf of the government. Note: The only individual who can legally bind the government.
2.1.3 CONTRACTING OFFICER'S REPRESENTATIVE (COR). An employee of the U.S.
Government appointed by the contracting officer to administer the contract. Such appointment shall be in writing and shall state the scope of authority and limitations. This individual has authority to provide technical direction to the Contractor as long as that direction is within the scope of the contract, does not constitute a change, and has no funding implications. This individual does NOT have authority to change the terms and conditions of the contract.
2.1.4 DELIVERABLE. Anything that can be physically delivered but may include non-manufactured things such as meeting minutes or reports.
2.1.5 KEY PERSONNEL. Contractor personnel that are evaluated in a source selection process and that may be required to be used in the performance of a contract by the Key Personnel listed in the PWS.
When key personnel are used as an evaluation factor in best value procurement, an offer can be rejected if it does not have a firm commitment from the persons that are listed in the proposal.
2.1.6 PHYSICAL SECURITY. Actions that prevent the loss or damage of Government property.
2.1.7 QUALITY ASSURANCE. The government procedures to verify that services being performed by the Contractor are performed according to acceptable standards.
2.1.8 QUALITY ASSURANCE Surveillance Plan (QASP). An organized written document specifying the surveillance methodology to be used for surveillance of contractor performance.
2.1.9 QUALITY CONTROL. All necessary measures taken by the Contractor to assure that the quality of an end product or service shall meet contract requirements.
2.1.10 SUBCONTRACTOR. One that enters into a contract with a prime contractor. The Government does not have privity of contract with the subcontractor.
2.1.11 WORKDAY. The number of hours per day the Contractor provides services in accordance with the contract.
2.1.12 WORK WEEK. Monday through Friday, unless specified otherwise.

PART 4
CONTRACTOR FURNISHED ITEMS AND SERVICES
4.0 CONTRACTOR FURNISHED ITEMS AND RESPONSIBILITIES:
4.1 General: The Contractor shall furnish all supplies, equipment, facilities, and services required to perform work under this contract that are not listed under Part 3 Inventory List of this PWS.
4.2 Secret Facility Clearance: Not used.
4.3 Materials: The Contractor shall provide all material necessary to perform cleaning maintenance, inspections, repairs, and replacements to washers, bedding dispensers, and sterilizers and accessories:
including electrical wiring and components, steam regulators, piping, piping insulation, gauges, all steam components, pumps, valves, strainers, steam traps, belts, shafts, motors, damper controls and all other accessory equipment, where included as part of the Washers, Bedding Dispensers, and Sterilizers equipment necessary to meet the requirements under this PWS.
4.4 Equipment: The Contractor shall provide all tools and equipment necessary to meet the requirements under this PWS.
PART 5: SPECIFIC TASKS
5.0 Specific Tasks:
Task 1
5.1 Basic Services: The Contractor shall provide maintenance and repair for all Washers, Bedding Dispensers, and Sterilizers listed under this PWS.
5.2 Preventative Maintenance: for the Washers, Bedding Dispensers, and Sterilizers shall be performed in accordance with the Original Equipment Manufacturers (OEM) literature. The Contractor shall implement a Preventive Maintenance Inspection (PMI) program as specified by OEM literature to prevent and correct deficiencies with equipment items, minimizing breakdowns and service interruptions, extending components service life, and maximizing operating efficiency.
5.3 PMI: shall be performed during normal business hours Monday through Friday (excluding Federal holidays). The Contractor shall schedule each inspection at least three (3) working days in advance with the COR. The first preventive maintenance shall be performed within thirty (30) days after the award of this contract on each piece of equipment. The Contractor shall provide a written report to the COR within five (5) working days of the inspection.
5.4 Call-back Repair Services:
5.4.1 In between scheduled inspections, if repairs are needed for the Washer, Bedding Dispenser, and Sterilizer equipment, the Contractor shall provide call-back repair services for all equipment listed in Part 3 Inventory List. At the time of contract award, the Contractor shall furnish the COR with the name(s) and telephone number(s) of person(s) to call when call-back service is needed.
5.4.2 The Contractor shall begin working within 24 hours (excluding Federal holidays and weekends) of initial notification by the COR or his/her Alternate. The COR or his/her Alternate shall provide the Contractor with a description of the problem, location, and type of cage washer and/or sterilizer equipment when calling for service. The Contractor shall prearrange with the COR or his/her Alternate for building access for work that shall be performed after normal working hours. All repairs shall be completed within five (5) business days. After the completion of the repair service, the Contractor shall provide the COR or his/her Alternate the following documents:
5.4.3 A field service report signed by the authorized person which shall be completed with one (1) copy to be sent to the COR within one business day.
5.5 Repair Parts:
5.5.1 Washers, Bedding Dispenser, and Sterilizer repair parts provided and used by the Contractor shall be specified by the original equipment manufacturer or Government approved items of equal or better quality.
5.5.2 Standard or routine repairs are single repairs whose estimated parts cost does not exceed $4000.00. This category of repair shall be covered under the base contract and shall be made at no additional cost to the Government. Labor hour costs are also covered under the base contract. Repair parts used by the Contractor shall be warranted for one year.
5.5.3 Non-Standard repairs are repairs whose estimated parts cost are greater than the $4000.00 threshold. When a repair is determined by the Government to be Non-Standard, a contract modification will be issued under task 2 to cover the estimated cost minus $4000.00. (For example: a parts repair estimate of $6,000.00 would require a $2,000.00 modification to the contract).
5.5.4 All equipment listed under this PWS shall be maintained to manufacturer's specifications and technical updates unless authorized, in writing, by the COR.
5.6 The Contractor shall maintain all items including electrical wiring and components from the load side or the disconnecting means to the Washers, Bedding Dispensers, and Sterilizers.
Task 2
5.7 Sterilizer and Washer System Large Repairs, Projects, And New Installation:
(This is not to be included in the proposed firm fixed price. This will be a task on an as needed basis not to exceed $50,000 annually.)
Maintenance/ repair/ replacement, emergency maintenance/ repair/ replacement, projects and new installation of all sterilizer and washer equipment.

6.0 Applicable Publications (Current Editions)
6.1 The Contractor shall abide by all NEC, NFPA, ASME and OSHA safety procedures, codes, security rules and regulations.

TECHNICAL EXHIBIT LISTING
7.0 Technical Exhibit List:
Performance Requirements Summary The contractor service requirements are summarized into performance objectives that relate directly to mission essential items. The performance threshold briefly describes the minimum acceptable levels of service required for each requirement. These thresholds are critical to mission success.
Quality Assurance Surveillance Plan Definitions Five methods of quality assurance evaluation will be used. One or any combination of methods may be used to evaluate the Contractor's performance for any given service requirement.
The five methods are:
Random Sampling:
Surveillance based on random sampling is designed to evaluate some part, but not all, of the contract requirement being monitored. This method, based on statistical theory, estimates the Contractor's overall level of performance for a given contract requirement. Using random sampling, any occurrence of a contract requirement is as likely to be evaluated as any other occurrence.
Planned Sampling:
Evaluation by planned sampling, like evaluation by random sampling, is designed to inspect some part but not all contract requirements being monitored. Occurrences of contract requirements that are to be monitored are selected for evaluation prior to their scheduled accomplishment.
100% Inspection:
One hundred percent inspection is that evaluation method that requires total, or 100%, inspection of a contract requirement.
Validated Complaints:
This method is based on customer awareness. Customers monitor the service provided by the Contractor.
When there is a case of poor or non-performance, the CO or the COR is notified. Upon notification, the COR or designee will investigate the report and, if it is found to be valid, will document it.
Unscheduled Inspection:
Unscheduled inspection is, as the name implies, impromptu and unannounced on-site evaluation of contract performance by authorized Government personnel as designated by the PO/COR.

352.232-71 Electronic submission of payment requests
(a) Definitions. As used in this clause-
Payment request means a bill, voucher, invoice, or request for contract financing payment with associated supporting documentation. The payment request must comply with the requirements identified in FAR 32.905(b), "Content of Invoices" and the applicable Payment clause included in this contract.
(b) Except as provided in paragraph (c) of this clause, the Contractor shall submit payment requests electronically using the Department of Treasury Invoice Processing Platform (IPP) or successor system. Information regarding IPP, including IPP Customer Support contact information, is available at www.ipp.gov or any successor site.
(c) The Contractor may submit payment requests using other than IPP only when the Contracting Officer authorizes alternate procedures in writing in accordance with HHS procedures.
(d) If alternate payment procedures are authorized, the Contractor shall include a copy of the Contracting Officer's written authorization with each payment request.

(d) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, as defined in FAR 2.101, on the date of award of this contract, and does not contain the clause at 52.215-2, Audit and Records - Negotiation.
(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor's directly pertinent records involving transactions related to this contract.
(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR Subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.
(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.
(e)(1) Notwithstanding the requirements of the clauses in paragraphs (a), (b), (c), and (d) of this clause, the Contractor is not required to flow down any FAR clause, other than those in this paragraph (e)(1) of this paragraph in a subcontract for commercial products or commercial services.
