Description
This is a combined synopsis/solicitation for commercial items prepared in accordance with the format in Federal Acquisition Regulation (FAR) subpart 12.6, “Streamlined Procedures for Evaluation and Solicitation for Commercial Items,” as supplemented with additional information included in this notice. This announcement constitutes the only solicitation; quotations are being requested, and a written solicitation document will not be issued.
This solicitation is a Request for Quotations (RFQ). The solicitation document and incorporated provisions and clauses are those in effect through Federal Acquisition Circular 2005-95.
The associated North American Industrial Classification System (NAICS) code for this procurement is 561110, with a small business size standard of $12.5 million.

Travel
Any air travel must adhere to ALL Federal guidelines.
Any per diem must adhere to the U.S. General Services Administration (GSA) rates:

Travel shall not exceed $20,000.00 per year of the contract.
All travel must be requested, in writing, and provided to the Contracting Officer (CO). Only when the Contracting Officer has provided written authorization shall anything relating to travel be approved.
Requests must contain the minimum:
• Date of request;
• Dates of travel;
• Breakdown of rates required for travel;
• Name of event;
• Reason for travel; and
• Name(s) of personnel traveling
All approved expenses will be reimbursed. For reimbursement of expenses, the Contractor must submit a separate invoice that contains the expenses and receipts.
Services shall be provided after receipt of order/award of contract. Delivery terms—FOB destination—and must be coordinated with facility Point-of-Contact (POC), prior to delivery.
The contractor shall provide all services as stated within this solicitation.
Award shall be made to the quoter whose quotation offers the best value to the government, considering technical capability, past performance, and price. The government will evaluate information based on the following evaluation criteria: "(1) technical capability, (2) past performance, and (3) price "meeting or exceeding the requirement.” When combined, technical capability and past performance outweighs cost or price when making a determination.

Submission of Questions
Questions regarding this solicitation shall be received no later than Wednesday, February 7, 2024, at 12:00 P.M. Eastern Standard Time (EST). Questions received after this time may not be considered for review. Questions shall be submitted to Daniel Johnson – Contracting Officer at daniel.johnson5@nih.gov. Prospective quoters are asked to submit their questions grouped by solicitation section and referring to the paragraph in that section. The Subject Line for questions shall state ‘NIH SEED Innovator Support/Entrepreneurs in Residence (EiR) Support – Questions’.
Responses to all inquiries/questions will be returned via amendment to posted solicitation, for those vendors solicited giving due regard to the proper protection of proprietary information.
Quoters shall be responsible for monitoring their email for the agency’s responses. No information concerning this solicitation shall be provided in response to telephone calls.
Prospective Quoters are warned against contacting any National Institutes of Health (NIH) personnel other than the Contracting Officer prior to award of a contract resulting from this solicitation. If such contact occurs and is found to be prejudicial to competing Quoters, the Quoters making such contact may be excluded from award consideration.
Submission of Quotes
This solicitation is being issued as a Small Business (SB) set-aside in the Open Market. Quotations shall be received no later than Friday, February 16, 2024, at 12:00 P.M. EST. Quotations received after this time may not be considered for award. All quotes shall be emailed to Daniel Johnson – Contracting Officer at Daniel.johnson5@nih.gov. The Subject Line for email submissions shall state ‘NIH SEED Innovator Support/Entrepreneurs in Residence (EiR) Support – Quote’.
Quote Content and Submission Instructions
Vendors should review Request for Quote (RFQ) and are ultimately responsible for ensuring that their quotes fully comply with submission requirements for this RFQ. Each quote shall clearly demonstrate that the Vendor understands both the general and specific technical requirements of the Scope of Work (SOW). Failure to explain Vendor’s ability to meet all requirements may result in the Vendor's quote not being considered. Along with their quote and documentation of understanding the vendor must submit the documentation of certification to work on the subject services. Clarity and completeness of quotes are of the utmost importance. Therefore, quotes must be organized in a practical, clear and concise manner. The submission shall not be any more than 13 pages. This number count is to include a cover page and at least three (3) relevant past performances. Relevant means the effort was comparable in size regarding total dollar value and comparable in complexity.
For a response to this solicitation to be considered complete, quotes must comply with the following requirements:
The Quoter shall provide all services relating to the support of NIH SEED Innovator Support/Entrepreneurs in Residence (EiR). The Quoter is required to have the technical skills to support the requirement listed in the Statement of Work. The Quoter is requested to provide a Base Year plus one (1) Option Year price.
Evaluation Criteria
In evaluating the offers, the Government will place greater emphasis on the technical capability of the services offered to meet the Government requirement and the offeror's past performance. These factors, when combined, are significantly more important than the cost or price of the service offered. While cost or price will be a consideration in the evaluation process, it will not be the primary determinant in the award decision. The Government is seeking the best value, which may not necessarily be the lowest price.
To be Technically Acceptable the quoter must be capable of providing the services listed within the SOW. A review will be conducted. The NICHD will award the quoter proposing the best value to the Government, price and other factors considered.
The evaluation matrix is as follows but not limited to:
1. Detailed written document or brochure of the technical details of the provided product and support.
2. Past Performance – CPARs will be reviewed with relevant examples in similar dollar value and comparable in complexity
3. Staff Experience - Resumes provided demonstrate the qualifications, experience, and availability of all proposed personnel, including any consultants and/or subcontractors, and evidence of relevant past work. The relevant experience of all proposed personnel demonstrates satisfactory performance under projects and tasks similar in size, scope, and complexity to the SEED Office Innovator Support / Entrepreneurs in Residence (EiR) support, including associated activities and requirements.
Resumes of proposed labor meet or exceed experience requirements as stated in the RFQ instructions.
4. Understanding of the Requirements:
Demonstrated an understanding of the Requirements as follows:
a. Contractor demonstrated an understanding of NIH SEED’s overall mission, objectives, and requirements and its ability to manage all aspects of the contract in an efficient, effective, and optimized manner.
b. Contractor demonstrated an understanding of the Innovators
Support Teams overall mission, objectives, programmatic elements, and requirements.
c. Contractor has provided a structure of the proposed organization and its ability to respond to the contractual performance issues and conditions, including the method by which issues will be evaluated and addressed and the implementation of risk mitigation strategies to maintain contract performance, quality, schedule, cost, and mission requirements.
d. Contractor has demonstrated a proposed integrated approach to managing team members, joint ventures, and subcontractors. The contractor has provided a project management approach, including the ability to contain costs through the effective use of labor categories and skill sets to accomplish tasks, minimizing overhead costs, minimizing management costs, and minimizing staff turnover.
e. Contractor provided comprehensive performance metrics and incentives/disincentives directly related to meeting or exceeding mission critical performance requirements.
5. Staffing Plan:
The Government will assess the contractor’s proposed staffing and personnel matrix. The contractor’s staffing plan, which shall include qualifications, experience, roles assigned, etc., demonstrated the degree to which it is appropriate for the requirements of the solicitation, including level of effort and labor mix as well as the experience, skills, and qualifications of personnel proposed. The contractor has demonstrated a plan for, and the ability to staff to the levels proposed to successfully complete the requirements in the SOW.
The contractor demonstrated the qualifications, experience, and availability of all proposed personnel, including any consultants and/or subcontractors, and evidence of relevant past work. The relevant experience of all proposed personnel should have been performed under projects and tasks similar in size, scope, and complexity to the SEED Office Innovator Support / Entrepreneurs in Residence (EiR) support, including associated activities and requirements.
The NICHD will evaluate quotes for award purposes by adding the total price of all Base and Option amounts for each category listed within this solicitation. Evaluation of options will not obligate the NICHD to exercise the option(s).
All optional services must be priced for the proposal to be evaluated.
The NICHD may reject a quote as non-responsive if it is materially unbalanced as to price for the base year requirement in relationship to the option year. A quote is unbalanced when it is based on prices significantly less for some work and significantly overstated for other work, or the prices do not reflect market value.

The Government may require continued performance of any services within the limits and at the rates specified in the contract. These rates may be adjusted only as a result of revisions to prevailing labor rates provided by the Secretary of Labor. The option provision may be exercised more than once, but the total extension of performance hereunder shall not exceed 6 months. The Contracting Officer may exercise the option by written notice to the Contractor within 60.

(a) The Government may extend the term of this contract by written notice to the Contractor within 90 calendar days; provided that the Government gives the Contractor a preliminary written notice of its intent to extend at least 60 days before the contract expires. The preliminary notice does not commit the Government to an extension.
(b) If the Government exercises this option, the extended contract shall be considered to include this option clause.
(c) The total duration of this contract, including the exercise of any options under this clause, shall not exceed 24 months.

This is a combined synopsis/solicitation for NIH SEED Innovator Support/Entrepreneurs in Residence (EiR) Support as defined herein, set-aside for Small Disadvantages Businesses. The government intends to award a purchase order because of this combined synopsis/solicitation that will include the terms and conditions set forth herein. To facilitate the award process, all quotes MUST include a statement regarding the terms and conditions herein as follows:

STATEMENT OF WORK
NIH SEED Innovator Support / Entrepreneurs in Residence (EiR)
Support
Program: National Institutes of Health (NIH), Office of Extramural Research (OER), Small business Education and Entrepreneurial Development (SEED) Office
1 PURPOSE and BACKGROUND
The Small Business Education and Entrepreneurial Development (SEED) office supports the NIH innovator community in their efforts to validate the potential health impacts of promising scientific discoveries and advance them into healthcare products that improve patient care and enhance health. Developing products across the biomedical spectrum requires NIH’s collaboration with universities and research institutions, small businesses, trade associations and societies, angel investors, venture capitalists, and strategic partners. SEED leads initiatives that develop these relationships and build opportunities for NIH innovators to further their product development efforts.
SEED’s core business objectives are to provide services that enable investigators to convert scientific discoveries into impactful healthcare solutions, coordinate early-stage product development activities across the NIH, inspire and support a diverse entrepreneurial workforce, and demonstrate NIH’s role in improving patient care and driving economic growth.
NIH/OER/SEED has a variety of programs and resources help NIH awardees at various stages of product development bring their innovations to life. SEEDs commercialization programs connect awardees with expertise in multiple specialized knowledge areas, these activities are overseen by the SEED Innovator Support Team (SEED IST). The SEED IST helps NIH awardees build a business and explore their life science innovation's potential by providing business, intellectual property, regulatory, and reimbursement strategy development consultations.
The SEED IST includes business development, intellectual property, regulatory, and reimbursement experts that meet (in-person and virtually) with innovators focused on topics including:
• Optimizing formulation or manufacturing operations
• Establishing advisory boards
• Layering intellectual property protection
• Understanding and preparing for regulatory interactions
• Gathering evidence to support reimbursement value
• Engaging with investors or strategic partners
SEED IST members who provide this guidance are referred to as Entrepreneurs in Residence (EiRs).
Activities supported by SEED IST EiRs include:
• preparing innovators to engage in conversations and collaborations with:
o the US Food and Drug Administration and other regulatory health authorities or regulatory bodies, o product or service end users and payers (research facilities, clinical providers, clinical sites, payers, etc.)
o product development partners (contract organizations, strategic partners, larger pharma, biotech, diagnostic, and device companies) o investors (angels, foundations, family offices, venture capital firms, etc.)
• engaging with the NIH innovator community in virtual and in-person events to develop and deliver educational materials to illuminate the strategy and practical aspects of life science product and service commercialization activities.
• supporting NIH programing led by individual or consortia of Institutes and Centers focused on emerging needs and solutions in the healthcare ecosystem.
2 SCOPE
The scope of this contract is to support the SEED office mission of optimizing the growth and business acumen of NIH program staff and funded innovators by:
• Providing EiRs possessing professional expertise in business and product development activities and
• Providing analytical staff to support functions of the SEED office related to entrepreneurial education, investor/partner engagement, and outreach activities
• (Optional Task) Upon request, developing contractual agreements with specific life science event organizers to enable the connection of NIH innovators to the investors and strategic partners required for their continued product and service development.
3 MANAGEMENT
The contractor shall:
• Provide for the overall management and coordination of all contract activities, including the management and coordination of activities carried out under any subcontracts.
Specific details as it relates to contract activities are listed under Section 4 Technical Requirements.
• Provide a technical and administrative infrastructure to ensure the efficient planning, initiation, implementation, and timely completion of all tasks carried out under this contract for in-person, virtual, or hybrid events and effective communications with the SEED Technical Monitor (TM), COR and CO.
• Work with SEED to identify knowledge gaps and propose highly qualified EiR and business analyst candidates as needed.
• Submit electronically, a summary on May 15th and December 15th of each year enumerating EiR and analyst activities that might impact the impartiality of any given EiR (Conflict of Interest summary) to the Director of the SEED Office and SEED IST.
4 TECHNICAL REQUIREMENTS
Independently and not as an agent of the government, the contractor shall be required to furnish all the necessary services, qualified personnel, material, resources, equipment, and facilities, not otherwise provided by the government, as needed to perform this Statement of Work (SOW).
4.1 Entrepreneur in Residence (EiR) Support
Entrepreneur in Residence activities
The vendor shall provide/propose EiRs who are individually and collectively capable of guiding NIH awardees and program staff in understanding and acting upon the following knowledge areas:
• Business development
• Developing product development partnerships
• Delivering effective pitch presentations
• Networking skills
• Understanding and investigating their competitive landscape
• Commercialization strategy development
• Other general or specific business advice as needed
Among the team of EiRs (up to 4.5 FTE in increments of 0.5FTE), overlap in experience (e.g., small molecules, diagnostics, endocrinology, mental health, orphan product development, research tools) is required to provide a robust and well-rounded set of expertise for the benefit of the NIH innovator community.
EiRs shall also possess a strong network of investors and strategic partners whom they are willing to introduce to NIH funded companies at appropriate stages of development. Upon request of NIH SEED, EiRs are expected to attend NIH Company Showcase program events and provide on-site support to NIH staff and company representatives and contribute to the overall NIH presence as requested. Also, upon request of NIH SEED, concise written summaries of events attended by EiRs shall be due to the SEED TM by the 3rd business day after the conclusion of the event. Written summaries shall be submitted electronically to the SEED TM.
The Contractor shall work with OER/SEED to ensure the format and quality of information is clear, concise, and easy to understand without further explanation.
The selected vendor shall also provide business analysis staff skilled in the identification and analysis of product development and business-related data from relevant databases to support the activities of the SEED office and the EiRs. Typical tasks for an analyst will include but are not limited to:
• Preparation of background documentation describing company attributes and challenges to support pitch coaching and EiR consult activities,
• Supporting activities of additional SEED innovator support programs (company showcase matching process, Technical and Business Assistance Programs, iCorps at NIH, etc.)
• Tracking and reporting on commercialization activities of NIH companies (acquisitions, partnerships, investments, regulatory progress, etc.)
• Performing various analyses using NIH databases and external databases available either freely available online, through NIH, or through the selected vendor.
4.2 Technical and Logistical Support
Contractor shall obtain CO authorization prior to funding any effort for Travel or Life Science Event Organizer contracts. The Contractor shall provide the applicable receipts for travel and any life science event(s) delivered as a result of effort under authorized Other Direct Costs (ODCs).
Results of efforts from authorized ODCs must be provided with the monthly report and as invoice backup documentation.
Travel
As part of their responsibilities, EiRs are expected to support (in-person) company at least one investor or partnering event per year where NIH SEED is supporting registration for a minimum of 10 companies. EiRs may also be requested to attend additional events organized by NIH or SEED. Travel for any specific EiR shall be less than 5%. The Government shall reimburse Contractor travel in accordance with Joint Travel Regulations.
Deliverables:
The Contractor shall provide complete deliverables that are accurate, error-free, completed within budget, and submitted in accordance with the delivery schedule as specified. All deliverables shall be in acceptable electronic file format (pdf or Word) and submitted as attachments via email.
• Bi-monthly Status Report – due by the 15th calendar day of the following month.
Submit electronically a bi-monthly status report to OER/SEED and CO/COR. The Contractor shall work with OER/SEED to ensure the format and quality of information is clear, concise, and easy to understand without further explanation. The bi-monthly status report shall at a minimum include the following:
o Description of any problems that may have incurred during the analysis and report preparation process.
o Recommended solutions for resolving any issues that may have occurred during the reporting period.
o Any scheduling concerns or if the contractor anticipates any delays, an explanation for anticipated delays shall be provided.
o (Optional Task) Life Science Event Organizers in development, including innovator name, event(s), number of company slots, cost, and estimated time to completion.
• Semi-annual Conflict of Interest summary for all EiR and Analyst employees - due May
15th and December 15th The Contractor shall work with OER/SEED to ensure the format and quality of information is clear, concise, and easy to understand without further explanation.
o A potential or actual conflict of interest exists when commitments and obligations are likely to be compromised by the EiR/Business Analyst other material interests, or relationships (especially economic), particularly if those interests or commitments are not disclosed.
• This Conflict-of-Interest Summary should indicate whether the EiR/Business Analyst has an economic interest in, or acts as a board member or a director of, any outside entity whose financial interests would reasonably appear to be affected by the participation in the SEED commercialization programs.
• The EiR/Business Analyst should also disclose any personal, business, or volunteer affiliations that may give rise to a real or apparent conflict of interest.
• Relevant Federally and organizationally established regulations and guidelines in financial conflicts must be abided by.
• Concise written summaries of events attended by EiRs upon request of the SEED office – due to the SEED TM by the 3rd business day after the conclusion of the event.
The written summaries shall at a minimum include the following:
• Event attended.
• Name of EiR that attended.
• Collaboration between NIH attendees and companies.
• Support provided by the event organizer.
• Dedicated booth space for companies (if provided), details such as:
o Traffic at the booth.
o Location of the booth.
o Appearance of the booth.
• Companies pitch (if provided), details such as:
o Average attendance during each pitch.
o Audience type & fit during each pitch.
o How the NIH-coached companies pitch compared to the other companies’ pitch.
• If any introductions (including those made by the event organizer) were made, details such as company, person, & connections made.
• Which companies made the best use of event and which companies didn’t make the best use of event.
• Thoughts about how useful the event was to the NIH attendees and companies.
• List of NIH funded companies not sent by SEED and if connections were made with any of them.
• Thoughts about whether SEED is supporting a reasonable number of companies at the event.
• Additional tools or information that would be useful to help EiRs support NIH companies’ connections and value from the event.
Optional quantities:
1. At NIH’s discretion, EiR or analyst support levels may be increased or decreased in increments (or multiple increments) of 0.5 FTE. EiRs may be engaged through this contract and assigned to work with specific Institutes or Centers at NIH either for the full duration of this contract or for a shorter duration.
2. At NIH’s discretion, developing contractual agreements with specific life science event organizers to enable the connection of NIH innovators to the investors and strategic partners required for their continued product and service development.
Optional Task - Contract execution with life science event organizers)
The selected vendor shall provide for the development and execution of subcontracts with event organizers (event organizers shall be dependent on the pool of innovator applicants selected in any given year), to enable innovators from the NIH portfolio to attend, present, and engage investors and strategic partners. Details about these subcontracts shall be developed collaboratively between the event organizers, SEED leadership, and the selected vendor due to the various uncertainties from year to year as it relates to the number of innovator applicants and areas of expertise needed from the innovator applicants. The main driver for identifying and developing subcontract agreements with the various life science organizers is the pool of innovator applicants selected in any given year and the type of expertise they require.
Historic subcontracts have been executed to support innovator registrations and (occasionally) exhibit space for NIH with the following organizations:
AdvaMed (the MedTech Conference), Angel Capital Association (Annual Sumit of Investing), BIO International (Annual Meeting), Biotech Showcase, Center for Biotechnology (Life Science Summit), HLTH (ViVE, hlth), Landmark Angel Forum (event series), Life Science Nation (RESI conference event series), Life Science Women’s Conference, MedCity Invest, MedTech Color (Annual Pitch Competition)
NIH shall provide contact information for all organizations with which a relationship has already been established. NIH may request information about and connection with additional event organizers from the selected vendor to meet emerging trends or currently unaddressed market space. NIH may choose to continue or discontinue relationships with any of these event organizers, this list is intended to be illustrative to support the development of a robust response to this solicitation.
