(d) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph

(d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, as defined in FAR 2.101, on the date of award of this contract, and does not contain the clause at 52.215-2, Audit and Records - Negotiation.

(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor's directly pertinent records involving transactions related to this contract.

(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR Subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.

(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.

(e)(1) Notwithstanding the requirements of the clauses in paragraphs (a), (b), (c), and (d) of this clause, the Contractor is not required to flow down any FAR clause, other than those in this paragraph (e)(1) of this paragraph

(a) The Contracting Officer is the only individual authorized to enter into or terminate this contract, modify any term or condition of this contract, waive any requirement of this contract, or accept nonconforming work.

(b) The Contracting Officer will designate a Contracting Officer's Representative (COR) at time of award. The COR will be responsible for technical monitoring of the contractor's performance and deliveries. The COR will be appointed in writing, and a copy of the appointment will be furnished to the Contractor. Changes to this delegation will be made by written changes to the existing appointment or by issuance of a new appointment.

(c) The COR is not authorized to perform, formally or informally, any of the following actions:

(1) Promise, award, agree to award, or execute any contract, contract modification, or notice of intent that changes or may change this contract;

(2) Waive or agree to modification of the delivery schedule;

(3) Make any final decision on any contract matter subject to the Disputes Clause;

(e) The Contracting Officer shall respond in writing within 30 days to any notice made under paragraph (d) of this clause. A failure of the parties to agree upon the nature of a direction, or upon the contract action to be taken with respect thereto, shall be subject to the provisions of the Disputes clause of this contract.

(f) The Contractor shall provide copies of all correspondence to the Contracting Officer and the COR.

(g) Any action(s) taken by the Contractor, in response to any direction given by any person acting on behalf of the Government or any Government official other than the Contracting Officer or the COR acting within their appointment, shall be at the Contractor's risk.

Statement of Work NPS Residence Tree Removal Project

Talkeetna, Alaska

TASK: The contractor shall provide all personnel, equipment, tools, supervision, permits, and other items as necessary to fell all trees larger than 4” diameter at breast height (DBH) located on the Alaska railroad right of way between the buildings and the railroad track in Talkeetna. See photo and legal description to reference the area.

All trunks greater than 8 inches in diameter will be cut into lengths of 15 to 25 feet and laid among the trunks parallel with the railroad tracks. Trunks will be left no taller than 12 inches from the ground, or as low as snow cover allows. All material smaller than 8 inches in diameter will be chipped and broadcast over the same terrain where the stumps remain.

Contractor is responsible for coordinating with Alaska Railroad (ARR) on permit, timing, and flagger availability.

PERIOD OF PERFORMANCE:

Work to be completed as soon as feasible after contract award, but not later than May 1, 2023.

PERMITS AND RESPONSIBILITIES:

The contractor shall, without additional expense to the Government, be responsible for obtaining and renewing all necessary licenses and permits.

ON-SITE SUPERVISOR:

1. All work shall be under the on-site direction and supervision of a Certified Arborist who possesses verifiable experience and technical competence in tree physiology, identification, diagnosis of disorders, and current tree care and safety practices in accordance with accepted industry standards.

2. The Certified Arborist must have not less than three (3) years of experience as a direct supervisor of a tree maintenance operation that has included large tree removal, tree pruning, and stump grinding/removal in industrial, commercial, or public sites and must be certified by International Society of Arboriculture.

3. The Arborist shall be the primary contact with the Government’s COR on site and shall be responsible for directing work in the field, controlling the quality of work, and inspecting all completed work to ensure that contract performance requirements are met.

4. All workers shall, through verifiable related training and on the job experience, be familiar with the technical aspects and hazards of tree removal and stump grinding and the use of equipment used in such operations. All workers shall abide by any code of ethics of professional conduct established by the Tree Care Industry Association and the International Society of Arboriculture

5. The onsite supervisor shall be available for phone calls during all working hours.

SITE MAINTENANCE:

1. The contractor shall maintain the work site in a safe, neat, and orderly manner. All supplies and equipment on the project site shall be stored to preclude any damage.

2. Limited space may be provided for the storage of materials, which shall be stored in a clean and neat condition as approved by the NPS.

3. All mud, dirt, debris, foreign objects, or spills of any kind from the contractor’s operations shall be cleaned up daily or as requested by the NPS.

4. All contractor generated refuse and waste shall be hauled from the work site daily. Refuse and waste material shall be hauled in trucks with tight fitting covers to prevent spillage on roadways.

5. It shall be the contractor’s responsibility to take whatever measures are necessary to assure the protection of the Government assets and to perform the work so as to cause minimal disruption of ongoing activities near occupied areas.

ENVIRONMENTAL CONCERNS AND SAFETY STANDARDS:

1. The contractor and employees shall work in compliance with all applicable OSHA, Federal, State and local safety laws and regulations

2. The contractor shall take all necessary precautions for safety and shall provide reasonable protection to prevent damage, injury or loss to persons, properties, equipment and vehicles.

3. The contractor shall not leave any tools, parts and/or supplies unattended in the public area at any time while performing work.

4. The contractor shall report public safety hazards noted during the performance of normal duty of care to the NPS.

5. In the event of an emergency, the contractor should first call 911 and then immediately call the NPS 24-hour dispatch emergency number – 1-907-683-9555. The dispatch will immediately send out information to all on-call ranger in Talkeetna.

QUALITY ASSURANCE:

When the contractor considers work is acceptable to the Government and complete, the contractor shall inform the COR that the work is complete and ready for inspection. The NPS will inspect the work on-site. The close-out inspection shall be documented in writing and must clearly convey any deficiencies and remedial action required. In the event that the work is not acceptable, the contractor shall record a list of items noted by the Government to be corrected. A subsequent inspection may take place in order to review the corrected items.

BUSINESS HOURS

The contractor is responsible for conducting routine services, between the hours of 8:00 a.m. – 5:00 p.m. AST Monday thru Friday.

The Offeror shall not complete the representation at paragraph (d)(1) of this provision if the Offeror has represented that it "does not provide covered telecommunications equipment or services as a part of its offered products or services to the Government in the performance of any contract, subcontract, or other contractual instrument" in paragraph (c)(1) in the provision at 52.204-26, Covered Telecommunications Equipment or Services-Representation, or in paragraph (v)(2)(i) of the provision at 52.212-3, Offeror Representations and Certifications-Commercial Products and Commercial Services. (ii) Cover telecommunications equipment that cannot route or redirect user data traffic or cannot permit visibility into any user data or packets that such equipment transmits or otherwise handles.

(2) Section 889(a)(1)(B) of the John S. McCain National Defense Authorization Act for Fiscal Year 2019 (Pub. L. 115-232) prohibits the head of an executive agency on or after August 13, 2020, from entering into a contract or extending or renewing a contract with an entity that uses any equipment, system, or service that uses covered telecommunications equipment or services as a substantial or essential component of any system, or as critical technology as part of any system. The Offeror shall complete only paragraph (b) of this provision if the Offeror has completed the annual representations and certification electronically in the System for Award Management (SAM) accessed through https://www.sam.gov. If the Offeror has not completed the annual representations and certifications electronically, the Offeror shall complete only paragraphs (c) through (v) of this provision.

(a) Definitions. As used in this provision—

“Covered telecommunications equipment or services” has the meaning provided in the clause 52.204-25, Prohibition on Contracting for Certain Telecommunications and Video Surveillance Services or Equipment.

Economically disadvantaged women-owned small business (EDWOSB) concern means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States and who are economically disadvantaged in accordance with 13 CFR part 127. It automatically qualifies as a women-owned small business eligible under the WOSB Program.

Forced or indentured child labor means all work or service—

(1) Exacted from any person under the age of 18 under the menace of any penalty for its nonperformance and for which the worker does not offer himself voluntarily; or
