(a) The performance required herein shall be subject to the technical direction of the Technical Liaison (TL) as identified below. As used herein, "technical direction" is defined as direction to the contractor that fills in details, suggests possible lines of approach, or otherwise supplements the scope of the work set forth herein and shall not constitute a new assignment, and does not supersede or modify any article or clause of this contract.
(b) The Technical Liaison is not authorized to perform, formally or informally, any of the following actions:
(1) Promise, award, agree to award, or execute any contract, contract modification, or notice of intent that changes or may change this contract;
(2) Waive or agree to modification of the delivery schedule;
(3) Make any final decision on any contract matter subject to the Disputes Clause;
(4) Terminate, for any reason, the contractor's right to proceed;
(5) Obligate in any way, the payment of money by the Government. Only a warranted Contracting Officer is authorized to obligate funds on this or any other contract action.
(c) The contractor shall immediately notify the Contracting Officer in writing if the Technical Liaison has taken an action (or fails to take action) or issues direction (written or oral) that the contractor considers to exceed the above limitations.

(d) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph
(d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, as defined in FAR 2.101, on the date of award of this contract, and does not contain the clause at 52.215-2, Audit and Records-Negotiation.
(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor’s directly pertinent records involving transactions related to this contract.
(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.

(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.
(e)(1) Notwithstanding the requirements of the clauses in paragraphs (a), (b), (c), and (d) of this clause, the Contractor is not required to flow down any FAR clause, other than those in this paragraph (e)(1) in a subcontract for commercial products or commercial services. Unless otherwise indicated below, the extent of the flow down shall be as required by the clause-

(b) Prohibition.

L. 115-232) prohibits the head of an executive agency on or after August 13, 2019, from procuring or obtaining, or extending or renewing a contract to procure or obtain, any equipment, system, or service that uses covered telecommunications equipment or services as a substantial or essential component of any system, or as critical technology as part of any system. Nothing in the prohibition shall be construed to—
(i) Prohibit the head of an executive agency from procuring with an entity to provide a service that connects to the facilities of a third-party, such as backhaul, roaming, or interconnection arrangements; or
(ii) Cover telecommunications equipment that cannot route or redirect user data traffic or cannot permit visibility into any user data or packets that such equipment transmits or otherwise handles.
(2) Section 889(a)(1)(B) of the John S. McCain National Defense Authorization Act for Fiscal Year 2019 (Pub. L. 115-232) prohibits the head of an executive agency on or after August 13, 2020, from entering into a contract or extending or renewing a contract with an entity that uses any equipment, system, or service that uses covered telecommunications equipment or services as a substantial or essential component of any system, or as critical technology as part of any system. This prohibition applies to the use of covered telecommunications equipment or services, regardless of whether that use is in performance of work under a Federal contract. (a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered.
The following factors shall be used to evaluate offers:
● Capability, including technical capability, capacity to perform in the required time, and capability to provide potential future Preventative Maintenance Services
● Past performance
● Price
In evaluating capability, we will review your work plan and consider such things as availability of equipment and personnel, availability to work and to meet the overall project timeline, contingency planning, etc. Also required is the ability to provide future Preventative Maintenance Services to include response of 24 hours or less in case of emergency.
Past performance is the measure of how well you have performed similar work before. Recent and relevant past performance is preferred. Submit at least two references with contact information.
It is the prospective contractor’s responsibility to submit sufficient information to allow a meaningful evaluation in each of these areas. Failure to do so will negatively impact our evaluation of your quotation.
We will select for award the prospective contractor whose quotation conforming to this solicitation will be most advantageous to the USGS.
(b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).
(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer’s specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

A STATEMENT OF WORK JUNE 2022
I GENERAL INFORMATION
A. Introduction The Western Fisheries Research Center (WFRC) located in Seattle, Washington. The WFRC carries out research and provide technical assistance to support the best possible stewardship of the Nation's natural resources, emphasizing fish populations and aquatic ecosystems of the West. The WFRC has a 50-year history of excellence in fisheries disciplines and are leaders in the field of molecular and microbiology within the U.S. Geological Survey (USGS). The WFRC addresses the unique issues of large western river systems such as the Columbia, and the challenges faced by desert aquatic systems and their threatened or endangered fish species.
The WFRC's Seattle headquarters laboratory is located at Sand Point on the shores of Lake Washington.
The wet laboratory draws large quantities (approximately 500,000 gallon a day) of fresh water from the lake for aquatic experiments. This laboratory, completed in 1994 at a cost of 10 million dollars, replaced a World War II era U.S. Navy building in which the WFRC had conducted fishery research for nearly three decades.
The new laboratory provides WFRC scientists with a world-class resource unique in the USGS, and the research community.
The WFRC is approximately 60,000 square foot facility of which approximately 10,000 square feet are dedicated to the wet laboratory. At any given time, the wet laboratory hosts 20 to 30 long and short term live fish experiments all of which rely on high quality process water.
B. Background The WFRC - Seattle Laboratory relies on the Ultra-Violet lighting, chlorination and dechlorination systems to treat process water effluent. It is critical that all systems work properly due to the types of aquatic experiments and the fact that the effluent water returns to Lake Washington. The Seattle Laboratory draws a large quantity of water (up to 400 gpm) from Lake Washington. This water is UV treated and sent through the Wet Lab for aquatic experiments. Once the water is sent to drain the on-site chlorination system treats the water in the underground holding tank and then is dechlorinated using the SO2 treatment system. Without proper operation of these systems the Center could inadequately treat water to the USGS aquatic experiments or send untreated water back to a wetland near Lake Washington potentially impacting native species.
Treating the effluent water is a key component to the process of providing high quality lake water to all live fish experiments in the wet laboratory.
Ultra-Violet (UV) lighting and effluent treatment are a key component to providing high quality lake water to all live fish experiments in the wet laboratory. The existing on-site hypochlorite generation system has become obsolete and is need of replacement to ensure proper treatment of effluent and for optimal operations.

The contractor will work directly with scientist at the WFRC to ensure downtime is kept to a minimum and performed during the minimal potential impact to experiments. This may require waiting to begin until experiments are complete or to work in a window of opportunity to keep the impact aquatic experiments to a minimum. The service provider will need to provide all engineering services, labor, and work directly with the USGS maintenance staff.
