1 BPA TERMS AND CONDITIONS
The terms and conditions included in this Blanket Purchase Agreement (BPA) apply to all purchases made pursuant to it. In the event of an inconsistency between the provisions of this BPA and the Vendor's invoice, the provisions of this BPA will take precedence. The BPA ceiling is $150,000.00.
NOTE: The BPA is not a contract, the Government is not obligated to place any orders, and the vendor is not obligated to accept any orders. The BPA can be canceled by either party at any time. A BPA is not enforceable against either party. An enforceable contract exists only when the Government places a BPA call via Delivery Order or Purchase Card against the BPA and the vendor accepts that call.
This solicitation is a small business set-aside under NAICS code 334516 Analytical Laboratory Instrument
Manufacturing, 1,000.
This solicitation will utilize the policies contained in the Federal Acquisition Regulations (FAR) Part
12 in conjunction with the policies and procedures for solicitation evaluation and award prescribed in FAR Part 13, Simplified Acquisition Procedures, as appropriate for this acquisition.

Specifications:
In situ phosphate analyzers have been installed or are soon to be installed at monitoring locations on the
Clinton River, River Rouge, and Detroit River. These analyzers conduct on-demand, wet chemistry analysis using colorimetry methods. In order to conduct these analysis, specific reagents and standards are used. These reagents consist of packs of molybdic acid and ascorbic acid; and the standard pack contains concentrated phosphate. To achieve our monitoring goals, we anticipate the need to be replace these packs every 4 to 6 weeks; this usage is variable based on the density of readings conducted by the instrumentation, since each reading consumes a set quantity of reagent and standard. These reagents and standards cannot be purchased in bulk and in advance due to a relatively short shelf life; the ascorbic acid pack is also susceptible to contamination if exposed to sunlight, so care must be taken in the storage and transportation and handling of this reagent.. Specifically, the consumables must comply with the following:
1. Each kit shall include 1L of 0.200 mg-P/L phosphate standard, 250 mL molybdic acid, and 250 mL ascorbic acid.
2. Reagents and standard shall be delivered in receptacles that are consistent with the NuLab single-channel phosphate monitoring equipment being used. Intravenous solution bags are required, and are hung in a gravity-driven flow configuration with exit ports that are compatible with 1/8” tubing that fit onto pegs fitted to the side of the analyzer.
3. The Ascorbic Acid IV bag must be made of mylar or have some other means for obscuring light from contaminating the contents.
4. Volumes of reagents and standard shall meet our consumable expectations without exceeding their appropriate storage shelf-life exceeding 45 days under field conditions (temperature ranges of
40°-120°F).
5. Reagents and standards shall be delivered within 10 business days of a request.
1.1. Contractor’s Rates:
The period of performance under this BPA may extend from the date of award for five years. The rates, terms, and conditions established in this BPA are based on current market conditions at the time of contract award. In the event that the Contractor's rates, terms, or conditions change, the Contractor shall be required to provide the Government with a minimum of 30 days’ notice. A revision to existing rates, terms, and conditions are subject to negotiations. Once the Government has been notified, the
Government shall review the proposed changes, and following discussions with the contractor, shall modify this agreement accordingly. No changes shall be recognized unless they have been incorporated via a bilateral modification to this BPA.
The Government is obligated only to the extent of authorized purchases actually made under this BPA.
Individual purchases under this agreement shall not exceed the dollar thresholds established in the following paragraph.

1.3. INSTRUCTIONS FOR PLACING CALLS: The authorized caller shall contact the BPA contractor by telephone or in person and place the order. The following information is given to the contractor by the authorized caller:
a. Authorized caller's name, phone number, and mail code;
b. BPA number and the call number assigned by the authorized caller;
c. The location of where the supplies will be delivered.
d. Authorized callers are required to ask the contractor to state any offered discounts for their supply or service on their monthly summary invoice.
e. Authorized callers shall inform the contractor that the BPA number and call number is to appear on their monthly summary invoice.
1.4. RECEIVING, BILLING, AND PAYMENT: A summary invoice shall be submitted monthly, or more frequently if required by a documented vendor hardship, or upon expiration of this BPA, whichever occurs first, for all supplies or services provided during a billing period, identifying the orders covered therein, stating their total dollar value, and supported by receipted copies of the orders.
If the BPA call is placed under the Government Purchase Card limit < $10,000.00 the invoice shall be sent to the authorized Government Purchase Card holder for payment. If the BPA call is placed under a
Delivery Order > $10,001.00, and invoice shall be submitted through IPP.gov.
All orders placed under this agreement shall be accompanied by invoices in accordance to FAR 52.212-04

2 BASIS OF AWARD
The award of this requirement shall be made using the policies in the Federal Acquisition Regulations
(FAR) Part 12, Acquisition of Commercial Items, in conjunction with the policies and procedures for solicitation, evaluation, and award prescribed in Part 13, Simplified Acquisition Procedures, as appropriate for this acquisition. Award will be made to the lowest priced, technically acceptable offeror. The quote with the lowest price will be reviewed first and if that quote is found to be technically unacceptable, the next lowest quote will be reviewed, etc.. In order to be considered technically acceptable, offeror shall provide technical brochures or specifications. These technical brochures or specifications must demonstrate the proposed equipment meets or exceeds all of the minimum characteristics listed above. All vendors must quote Authentic, Manufacturer certified/warranted products in original, intact manufacturer's packaging, no
"Gray Market", counterfeit, or resale items shall be considered.
3 QUOTATION PREPARATION
Vendor’s quotation package shall consist of, but is not limited to: price quotation, pages 1-2 of this solicitation (completed as necessary), acknowledgement of any amendments (if applicable), and any information requested in the basis of award (if applicable). Vendor shall provide their Dun & Bradstreet
(DUNS) number. Failure to provide this may result in the rejection of the vendor’s quotation.
The vendor is cautioned to study the Basis of Award stated above. It is the vendor’s responsibility to include the appropriate documentation in its quotation package to allow a complete technical/price evaluation. Failure to submit the appropriate documentation may result in the rejection of the vendor’s quotation.
Question Cutoff
Questions relating to this Solicitation shall be presented by e-mail to tbeals@usgs.gov not later than close of business 03:00 P.M. ET on August 18, 2021. Questions should be worded to avoid disclosing bid strategies or proprietary solutions. The Government will evaluate the questions, and if needed, an
Amendment will be issued with the questions received and their associated answers. If further questions arise following the outcome of answers provided to initial questions, the Contracting Officer has sole discretion to determine if a new question closing date will be required. If a new question closing date is approved, an amendment will be posted.
Quotation Submission
The Government intends to award a firm-fixed-price type order resulting from this solicitation. Quotes are required to be received in the contracting office no later than 3:00 P.M. ET on August 20, 2021. Quotes are required to be submitted electronically via email to tbeals@usgs.gov. Do not mail your quote;
only electronic quotes will be accepted.

(d) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, as defined in FAR 2.101, on the date of award of this contract, and does not contain the clause at 52.215-2, Audit and Records-Negotiation.
(1) The Comptroller General of the United States, or an authorized representative of the Comptroller
General, shall have access to and right to examine any of the Contractor’s directly pertinent records involving transactions related to this contract.
(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement.
Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.
(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.

GS 1131 Unilateral De-obligation of Unexpended Funds (May 2013)
The contractor shall submit all invoices under the award no later than 90 calendar days after the period of performance has expired, unless a request for extension has been submitted to the Contracting Officer.
After 120 days has passed since the expiration of the performance period, the government reserves the right to issue a unilateral modification de-obligating any unexpended funds, and to initiate closeout procedures.
