About this file
This is a contract clauses document containing federal acquisition requirements applicable to commercial products and commercial services. The document outlines mandatory FAR (Federal Acquisition Regulation) clauses and alternate provisions that must be incorporated into subcontracts, with specific flowdown requirements.
The primary clause is 52.212-5, Contract Terms and Conditions Required to Implement Statutes or Executive Orders - Commercial Products and Commercial Services, Alternate II (January 2025), which establishes audit and access rights for the Comptroller General and Inspector General to examine contractor and subcontractor records relating to contract transactions. The clause restricts flowdown obligations, prohibiting contractors from requiring subcontractors to comply with most FAR clauses except for paragraph (d) regarding audit rights and a specified list of mandatory clauses. The mandatory flowdown clauses address business ethics (52.203-13), whistleblower protections (52.203-15, 52.203-17), prohibitions on Kaspersky Lab and ByteDance products (52.204-23, 52.204-27), telecommunications and surveillance equipment restrictions (52.204-25), supply chain security (52.204-30), small business utilization (52.219-8), employment and labor standards (52.222-35 through 52.222-62), privacy training (52.224-3), private security functions (52.225-26), food donation promotion (52.226-6), accelerated payments to small business subcontractors (52.232-40), unmanned aircraft system restrictions (52.240-1), and vessel preference requirements (52.247-64). The document also references 52.212-3 regarding offeror representations and certifications and 52.213-4 for simplified acquisitions. This document serves as a template establishing compliance frameworks rather than soliciting specific products or services.
