INSTRUCTIONS TO OFFERORS

The Department of the Interior (DOI)/Interior Business Center (IBC), Acquisition Services Directorate (AQD) on behalf of the Appraisal and Valuation Services Office (AVSO) and the U.S. Fish and Wildlife Service (FWS), is issuing a request for quotation for market valuation and appraisal services for AVIS Case Name: Depauw Tract (44,a); AVIS Case Number: F240085; Agency Case Number: 00217935.

SOLICITATION/AWARD PROCEDURES

This Request for Quote (RFQ) is issued in accordance with the Federal Acquisition Regulation (FAR) Part 12, the acquisition of commercial items and FAR Part 13 Simplified Acquisition Procedures.

DELIVERY/PERIOD OF PERFORMANCE

The target period of performance is 234 calendar days from the date of the Purchase Order (PO) award. The initial appraisal target date is 90 calendar days from the date of award. If the target delivery dates are not achievable, then the contractor may provide justification (workload, etc.) and propose an alternative delivery date. See section 6 “PERFORMANCE / DELIVERABLE REQUIREMENTS” of the SOW.

GENERAL REQUIREMENTS

TECHNICAL QUALIFICATION FOR REQUIREMENT

The quotation shall include all the following information:

FACTOR 1 - STATE CERTIFICATION

a. State Certification - The contractor must hold a current Certified General Appraiser license in the

State of California or have the ability to obtain a temporary practice permit from the State of California. Please acknowledge the certification status in your quote (it will be confirmed on government websites). If the appraiser is licensed in another state and applying for a license in the subject jurisdiction, he/she must provide a reference to the state and certification status.

FACTOR 2 – TECHNICAL ACCEPTABILITY

a. Experience for Assignment - Both geographical competency and technical competency will be considered. The contractor shall provide a standard Appraiser's Statement of Qualifications and a signed offer letter that describes and attests to the following:

i. The appraiser is required to provide verifiable evidence of general and technical appraisal experience within his/her statement of qualifications, resume, and/or curriculum vitae. The appraiser must identify experience appraising similar property as well as recent experience working with the federal government regarding acquisitions, dispositions and commercial services.

ii. The appraiser’s resume or statement of qualifications should show geographical competency. If the appraiser has experience with these property characteristics but not in the market local to the subject property, then the appraiser must state this fact and demonstrate his/her experience in other areas as well as the actions proposed that will allow him/her to complete the assignment competently.

iii. A designation from a recognized professional appraisal organization will be considered but is not required. If the appraiser is a member of a professional organization, this should be identified in the statement of qualifications or resume with the name of the organization, and the level, type, or category of such membership.

b. Qualifications of Associate Appraisers - The qualifications of any identified associate who may also be signing the appraisal report must be included with the offer. No other associates may work on the project without prior written authorization from the AVSO review appraiser. The appraisal report must detail the specific contribution(s) of all individuals other than the signer(s) of the appraisal. If the contractor does not list anyone else as providing assistance, it is expected that the quote is submitted as though the individual contractor is doing 100 percent of the research, verifications, property inspections, valuation analyses and appraisal writing. Subcontracting of this assignment is not permissible.

FACTOR 3 – PAST PERFORMANCE

a. The appraiser must submit a list of similar USPAP/UASFLA projects that the appraiser has performed in the last five years including property type, general location, agency, contact information, etc.

b. The appraiser must provide a redacted sample appraisal report or the AVIS/IVIS case number of prior appraisal(s) for AVSO.

c. If the appraiser has not previously contracted with AVSO within the past five years, the appraiser must provide at least one reference (name, position, origination and contact information) who can verify the appraiser’s experience.

FACTOR 4 – DELIVERY/INSPECTION DATE

The date of value, being the last field inspection of the subject property, must be within 30 calendar days of delivery of the appraisal report. The initial submission of the appraisal report is due within the contracted time frame. The appraisal is needed as soon as possible, and the target is 90 days from contract award date. If the appraiser cannot meet the target date, an alternative time frame must be provided.

FACTOR 5 – PRICE QUOTE

a. The appraiser must provide a firm, fixed-price quote that includes the referenced case with any and all discounts applied for all of the work to complete the assignment described in the Statement of Work.

b. Price quotes will be evaluated for completeness and reasonableness.

EVALUATION OF QUOTATIONS

FAR 52.212-2 Evaluation-Commercial Products and Commercial Services (Nov 2021)

a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered.

Award of this Purchase Order will be made on a Best Value/Trade Off basis.

• The following factors shall be used to evaluate offers:

1. State Certification

2. Technical Acceptability

3. Past Performance

4. Delivery/Inspection Date

5. Price Quote

State Certification, Technical Acceptability, Past Performance, and Delivery/Inspection Date when combined, are more important than Price.

(b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).

(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer’s specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

Further past performance determinations in federal contracting shall be made through a review of relevant information listed within the System of Award Management (SAM) and the Contractor Performance Assessment Reporting System (CPARS).

SECTION 1: CASE PROPERTIES

SECTION 2: SUBJECT OF THE APPRAISAL

Proposed Acquisition: The U.S. Fish and Wildlife Service proposes to acquire two tracts of vacant land totaling 254.52-acres. Tract 44 is comprised of two contiguous parcels, defined by county property ID’s, 057-001-003 and 048-031-004. Tract 44a is comprised of two contiguous parcels, defined by county property ID’s, 049-003-010, 011.

Both Tracts are located along the San Joaquin River approximately 7.5 miles east of Interstate 5 and 7.0 miles southwest of Turlock near the intersection of S.

Carpenter Road and Crows landing Road in Stanislaus County, California.

Legal Description of Proposed Acquisition:

Tract 44: Acquisition of 213.22 acres from Parcel One, Lot 638 of Patterson Colony Sub-tract No.2, as per map filed January 9, 1911 in Vol. 5 of Maps, page 23, Stanislaus County Records AND Parcel Two, Swamp and Overflow Surveys together with Lot 3 and that portion of Lot 2 lying Westerly of the San Joaquin River in Section 6, Township 6 South, Range 9 East, said Lots being shown on the official township plat of said township and range.

Tract 44a: Acquisition of 41.3 acres from Parcels One and Two, Portions of Edward Stanley Tract No. 2 in the Orestimba Rancho.

A full legal description with lengthy metes and bounds descriptions may be found within the Title Report prepared by First American Title Insurance

Company, dated January 17, 2024, which will be provided to the contracted appraiser upon award.

Property Rights Appraised: Fee simple estate, subject to existing exclusions, encumbrances, and exceptions as described in the Title Report prepared by First American Title Company, dated January 17, 2024.

Access: The subject has physical and legal access. Tract 44a has access from Crows Landing Road. Tract 44 has access by a dirt road and has numerous dirt roads throughout the property.

It is the appraiser’s responsibility to make a determination of legal and physical access. The information above is for informational purposes only and was not confirmed by the review appraiser.

The access characteristics of the subject property must be thoroughly researched and analyzed by the appraiser, including market reaction thereto.

SECTION 3: APPRAISAL PROBLEM IDENTIFICATION

Intended Use: To assist the client agency in its determination of the amount to be paid as just compensation for the property rights acquired or conveyed.1

Type of Value: Market Value

Definition of Market Value: Market value is the amount in cash, or on terms reasonably equivalent to cash, for which in all probability the property would have sold on the effective date of value, after a reasonable exposure time on the open competitive market, from a willing and reasonably knowledgeable seller to a willing and reasonably knowledgeable buyer, with neither acting under any compulsion to buy or sell, giving due consideration to all available economic uses of the property.2

Effective Date: The latter of:

a) The date of the last property inspection, or

b) The date upon which the appraiser has concluded his market research and analysis

SECTION 4: ASSIGNMENT CONDITIONS

Applicable Standards: USPAP, 2024 Edition

UASFLA 6th Edition

Extraordinary Assumptions: None.

If the appraiser determines that any extraordinary assumption is required, he/she must contact the AVSO Review Appraiser.

Legal Instructions: None.

Hypothetical Conditions: None.

If the appraiser determines that any hypothetical conditions are required, he/she must contact the AVSO Review Appraiser to request legal instruction.

Jurisdictional Exceptions: A jurisdictional exception to USPAP Standards Rule 1-2(c) is required for appraisals for federal acquisitions—i.e., appraisals applying the federal definition of market value—to ensure the opinion of value can be used as a reliable measure of just compensation under the Fifth Amendment to the U.S. Constitution. Therefore, the appraiser must include the following statement:

• The appraisal was developed, and the appraisal report prepared in conformance with the Appraisal Standards Board’s Uniform Standards of Professional Appraisal Practice and complies with USPAP’s Jurisdictional Exception Rule when invoked by Section 1.2. 7.2 of the Uniform Appraisal Standards for Federal Land Acquisitions.

Pre-Work Meeting: A pre-work meeting, scheduled by the Review Appraiser at a mutually acceptable time and place, must precede the appraiser’s scope of work determination.

This meeting should include the agency, the private property owner, and/or other stakeholders, to provide transparency with respect to the process, to exchange vital information, and to assign tasks as necessary.

Property Inspection: In compliance with applicable standards.

The appraiser will schedule the property inspection as soon as practicable, providing the review appraiser adequate notice of the date of the inspection to allow the review appraiser and U.S. FWS representative to attend the inspection.

Contacting Landowners: Under the Uniform Act, the owner or the owner’s designated representative must be given an opportunity to accompany the acquiring agency’s appraiser during the appraiser’s inspection of the property (UASFLA 1.2.6.4).

Larger Parcel: The appraiser must make a larger parcel determination in every appraisal developed under these Standards (UASFLA 1.4.6 at page 24).

Special Instructions: None.

SECTION 5: ADDITIONAL ASSIGNMENT CONDITIONS

1. The AVSO Statement of Work (SOW), and other assignment instructions must be included in the addenda to the appraisal report.

2. The appraisal development must substantially conform to the process described in Section 1 of the Uniform Appraisal Standards for Federal Land Acquisitions 6th Edition.

3. The appraisal report should substantially conform to the sequence and content described in Section 2 of the Uniform Appraisal Standards for Federal Land Acquisitions 6th Edition.

4. The appraisal must include color photographs of all comparable sales from a terrestrial point of view, unless granted a waiver by the AVSO Review Appraiser in writing to use aerial photographs or satellite imagery, in which case the appraiser should cite the source and date of the aerial photographs.

5. All comparable sales must be confirmed by the buyer, seller, broker, or other person having knowledge of the price, terms, and conditions of sale. 3 The appraisal should include contact information for the party or parties relied upon to verify each sale (i.e. telephone number, email, etc.), along with maps clearly showing the location of the subject relative to the comparable property. It is important that the locations of the comparable sales and the subject property are shown on the same map so that a reader of the report who may not be familiar with the area can understand the relative proximity of the properties and locate them in the field. 4

6. The appraisal report will be reviewed for compliance with the Uniform Standards of Professional Appraisal Practice, the Uniform Appraisal Standards for Federal Land Acquisitions 6th Edition, and the terms of this Statement of Work. The appraiser must provide explanation, clarification, and/or modification, for any inadequacies identified by the review appraiser, before AVSO will accept an appraisal report.

7. While the public is not an intended user of the appraisal report, the Freedom of Information Act (FOIA) and Agency policy may result in the release of all or part of the appraisal report to others.

8. If the appraiser encounters any intractable questions of fact, law, or appraisal methodology requiring resolution, the appraiser must contact the Review Appraiser for direction.

Appraisal Consultation: Before determining an opinion of value, the appraiser must reach concurrence with the Review Appraiser regarding the Highest and Best Use and Larger Parcel determinations.

Draft Appraisal Report Due: Please provide a realistic date or number of days to delivery of the initial appraisal report to the AVSO Review Appraiser (ex. 90 days). Expedited delivery is preferrable. The quote may include alternatives for either standard or expedited delivery.

Review & Comments Provided:

Any request for revisions or corrections will be provided within 14 calendar days of receipt of the initial appraisal report.

Final Appraisal Edits Provided:

The necessary revisions or corrections must be provided within 10 calendar days of receipt of the requests for revisions.

Deliverables: The appraiser will deliver a final PDF Digital Report5 and no signed paper copies to the AVSO review appraiser.

The AVSO review appraiser will inform the appraiser when the review process is complete.

FAR 52.204-30 Federal Acquisition Supply Chain Security Act Orders—Prohibition (Dec 2023)

(a) Definitions. As used in this clause—

Covered article, as defined in 41 U.S.C. 4713(k), means—

(1) Information technology, as defined in 40 U.S.C. 11101, including cloud computing services of all types;

(2) Telecommunications equipment or telecommunications service, as those terms are defined in section 3 of the Communications Act of 1934 ( 47 U.S.C. 153);

(3) The processing of information on a Federal or non-Federal information system, subject to the requirements of the Controlled Unclassified Information program (see 32 CFR part 2002); or

(4) Hardware, systems, devices, software, or services that include embedded or incidental information technology.

FASCSA order means any of the following orders issued under the Federal Acquisition Supply Chain Security

Act (FASCSA) requiring the removal of covered articles from executive agency information systems or the exclusion of one or more named sources or named covered articles from executive agency procurement actions, as described in 41 CFR 201–1.303(d) and (e):

(1) The Secretary of Homeland Security may issue FASCSA orders applicable to civilian agencies, to the extent not covered by paragraph (2) or (3) of this definition. This type of FASCSA order may be referred to as a Department of Homeland Security (DHS) FASCSA order.

(2) The Secretary of Defense may issue FASCSA orders applicable to the Department of Defense (DoD) and national security systems other than sensitive compartmented information systems. This type of FASCSA order may be referred to as a DoD FASCSA order.

(3) The Director of National Intelligence (DNI) may issue FASCSA orders applicable to the intelligence community and sensitive compartmented information systems, to the extent not covered by paragraph (2) of this definition. This type of FASCSA order may be referred to as a DNI FASCSA order.

Intelligence community, as defined by 50 U.S.C. 3003(4), means the following—

(1) The Office of the Director of National Intelligence;

(2) The Central Intelligence Agency;

(3) The National Security Agency;

(4) The Defense Intelligence Agency;

(5) The National Geospatial-Intelligence Agency;

(6) The National Reconnaissance Office;

(7) Other offices within the Department of Defense for the collection of specialized national intelligence through reconnaissance programs;

(8) The intelligence elements of the Army, the Navy, the Air Force, the Marine Corps, the Coast Guard, the Federal Bureau of Investigation, the Drug Enforcement Administration, and the Department of Energy;

(10) The Office of Intelligence and Analysis of the Department of the Treasury;

(11) The Office of Intelligence and Analysis of the Department of Homeland Security; or

(12) Such other elements of any department or agency as may be designated by the President, or designated jointly by the Director of National Intelligence and the head of the department or agency concerned, as an element of the intelligence community.

National security system, as defined in 44 U.S.C. 3552, means any information system (including any telecommunications system) used or operated by an agency or by a contractor of an agency, or other organization on behalf of an agency—

(1) The function, operation, or use of which involves intelligence activities; involves cryptologic activities related to national security; involves command and control of military forces; involves equipment that is an integral part of a weapon or weapons system; or is critical to the direct fulfillment of military or intelligence missions, but does not include a system that is to be used for routine administrative and business applications (including payroll, finance, logistics, and personnel management applications); or

(2) Is protected at all times by procedures established for information that have been specifically authorized under criteria established by an Executive order or an Act of Congress to be kept classified in the interest of national defense or foreign policy.

Reasonable inquiry means an inquiry designed to uncover any information in the entity's possession about the identity of any covered articles, or any products or services produced or provided by a source. This applies when the covered article or the source is subject to an applicable FASCSA order. A reasonable inquiry excludes the need to include an internal or third-party audit.

Sensitive compartmented information means classified information concerning or derived from intelligence sources, methods, or analytical processes, which is required to be handled within formal access control systems established by the Director of National Intelligence.

Sensitive compartmented information system means a national security system authorized to process or store sensitive compartmented information.

Source means a non-Federal supplier, or potential supplier, of products or services, at any tier.

(b) Prohibition.

(1) Unless an applicable waiver has been issued by the issuing official, Contractors shall not provide or use as part of the performance of the contract any covered article, or any products or services produced or provided by a source, if the covered article or the source is prohibited by an applicable FASCSA orders as follows:

(i) For solicitations and contracts awarded by a Department of Defense contracting office, DoD FASCSA orders apply.

(ii) For all other solicitations and contracts DHS FASCSA orders apply.

(2) The Contractor shall search for the phrase “FASCSA order” in the System for Award Management

(SAM) at https://www.sam.gov to locate applicable FASCSA orders identified in paragraph (b)(1).

(3) The Government may identify in the solicitation additional FASCSA orders that are not in SAM, which are effective and apply to the solicitation and resultant contract.

(4) A FASCSA order issued after the date of solicitation applies to this contract only if added by an amendment to the solicitation or modification to the contract (see FAR 4.2304(c)). However, see paragraph (c) of this clause.

(5)

(i) If the contractor wishes to ask for a waiver of the requirements of a new FASCSA order being applied through modification, then the Contractor shall disclose the following:

(A) Name of the product or service provided to the Government;

(B) Name of the covered article or source subject to a FASCSA order;

(C) If applicable, name of the vendor, including the Commercial and Government Entity code and unique entity identifier (if known), that supplied or supplies the covered article or the product or service to the Offeror;

(D) Brand;

(E) Model number (original equipment manufacturer number, manufacturer part number, or wholesaler number);

(F) Item description;

(G) Reason why the applicable covered article or the product or service is being provided or used;

(ii) Executive agency review of disclosures. The contracting officer will review disclosures provided in paragraph (b)(5)(i) to determine if any waiver is warranted. A contracting officer may choose not to pursue a waiver for covered articles or sources otherwise covered by a FASCSA order and to instead pursue other appropriate action.

(c) Notice and reporting requirement.

(1) During contract performance, the Contractor shall review SAM.gov at least once every three months, or as advised by the Contracting Officer, to check for covered articles subject to FASCSA order(s), or for products or services produced by a source subject to FASCSA order(s) not currently identified under paragraph (b) of this clause.

(2) If the Contractor identifies a new FASCSA order(s) that could impact their supply chain, then the Contractor shall conduct a reasonable inquiry to identify whether a covered article or product or service produced or provided by a source subject to the FASCSA order(s) was provided to the Government or used during contract performance.

(3)

(i) The Contractor shall submit a report to the contracting office as identified in paragraph (c)(3)(ii) of this clause, if the Contractor identifies, including through any notification by a subcontractor at any tier, that a covered article or product or service produced or provided by a source was provided to the Government or used during contract performance and is subject to a FASCSA order(s) identified in paragraph (b) of this clause, or a new FASCSA order identified in paragraph (c)(2) of this clause. For indefinite delivery contracts, the Contractor shall report to both the contracting office for the indefinite delivery contract and the contracting office for any affected order.

(ii) If a report is required to be submitted to a contracting office under (c)(3)(i) of this clause, the Contractor shall submit the report as follows:

(A) If a Department of Defense contracting office, the Contractor shall report to the website at https://dibnet.dod.mil.

(B) For all other contracting offices, the Contractor shall report to the Contracting Officer.

(4) The Contractor shall report the following information for each covered article or each product or service produced or provided by a source, where the covered article or source is subject to a FASCSA order, pursuant to paragraph (c)(3)(i) of this clause:

(i) Within 3 business days from the date of such identification or notification:

(A) Contract number;

(B) Order number(s), if applicable;

(C) Name of the product or service provided to the Government or used during performance of the contract;

(D) Name of the covered article or source subject to a FASCSA order;

(E) If applicable, name of the vendor, including the Commercial and Government Entity code and unique entity identifier (if known), that supplied the covered article or the product or service to the Contractor;

(F) Brand;

(G) Model number (original equipment manufacturer number, manufacturer part number, or wholesaler number);

(H) Item description; and

(I) Any readily available information about mitigation actions undertaken or recommended.

(ii) Within 10 business days of submitting the information in paragraph (c)(4)(i) of this clause:

(A) Any further available information about mitigation actions undertaken or recommended.

(B) In addition, the Contractor shall describe the efforts it undertook to prevent submission or use of the covered article or the product or service produced or provided by a source subject to an applicable FASCSA order, and any additional efforts that will be incorporated to prevent future submission or use of the covered article or the product or service produced or provided by a source that is subject to an applicable FASCSA order.

(d) Removal. For Federal Supply Schedules, Governmentwide acquisition contracts, multi-agency contracts or any other procurement instrument intended for use by multiple agencies, upon notification from the Contracting Officer, during the performance of the contract, the Contractor shall promptly make any necessary changes or modifications to remove any product or service produced or provided by a source that is subject to an applicable FASCSA order.

(e) Subcontracts.

(1) The Contractor shall insert the substance of this clause, including this paragraph (e) and excluding paragraph (c)(1) of this clause, in all subcontracts and other contractual instruments, including subcontracts for the acquisition of commercial products and commercial services.

(2) The Government may identify in the solicitation additional FASCSA orders that are not in SAM, which are effective and apply to the contract and any subcontracts and other contractual instruments under the contract. The Contractor or higher-tier subcontractor shall notify their subcontractors, and suppliers under other contractual instruments, that the FASCSA orders in the solicitation that are not in SAM apply to the contract and all subcontracts.
