Location Map

Property Description

The property is in the San Joaquin Valley at the southwest corner of Madera County. It is on the north side of the San Joaquin River between Lone Willow Slough/Chowchilla Canal and Fresno Slough. The acquisition area is six miles southeast of Firebaugh. It is irregularly shaped and consists of irrigated farmland developed to almond orchards and a portion is river bottom. The orchards within the acquisition area consists of various blocks of almond varietals including Nonpareil, Monterey and Wood Colony which were planted in 2009 and 2010. This information must be investigated and confirmed by the appraiser with the property owner during the appraisal process. Aside from the wells and existing irrigation system that would have to be severed/redesigned to maintain the orchard on the remainder (see exhibit D - Wonderful Irrigation Landowners), there do not appear to be any permanent buildings in the proposed acquisition area. However, within the roughly 14,000 acres owned by Wonderful there are significant structures including farmstead/maintenance areas, staging areas, irrigation ponds, and a processing center.

Items to be excluded from the proposed acquisition:

The subject owner, owns and manages two pumps (known as Big and Little Bertha). These two pumps transfer flood water (when there is excess water available) from the San Joaquin River into the Columbia Canal. The Columbia Canal then conveys this excess surface water to other Wonderful lands within the Columbia Canal District (outside of the proposed acquisition area). Although the two Bertha pumps are within the footprint of the proposed acquisition area, the right to pump these flows, when present and available within the river, are not to be appraised as the surface water rights are not being acquired. The pumps themselves will remain in the ownership of Wonderful and the underlying land, in the after, will be owned by the United States and licensed back to Wonderful for their operations of the pumps. A copy of the draft license, identified as “Wonderful Draft Bertha Pump License 2023”, is attached as an exhibit to this SOW. Impacts associated with the future encumbrance that Reclamation proposes on the use of these two pumps placed upon the land being acquired must be investigated and analyzed as part of the appraiser’s due diligence and per UASFLA requirements for valuation.

The property to be acquired is planned for use as part of the San Joaquin River Restoration Program Mendota Pool Bypass and Reach 2B Improvements Project. A complete description of this portion of the program can be found at:

http://www.restoresjr.net/projects/restoration/2b- and-mendota-reach-bypass/.

http://www.restoresjr.net/projects/restoration/2b-%20and-mendota-reach-bypass/

Assessor Parcel Maps

The acquisition area is the entirety of APN: 042-231-013 and portions of the other two Madera County Assessor’s Parcels as follows:

APN APN Acres Fee Acq. Acres 042-231- 013 95.50 95.50 042-260-007 703.50 316.02

042-280-002 190.01 84.19 Total 495.71

The proposed client agency action is to acquire the subject land for purposes of facilities development. Their goal is to acquire the 495.71-acres of land (identified below). The client is requesting effectively a “before and after” or partial acquisition valuation, with the client requesting market values for 1) the fee simple estate (subject to reservations of record), of the larger parcel (“before” condition) and 2) the “after” condition, the property interest is the same, with the removal of the 495.71 acres.

Scenario 042-231-013 042-260-007 042-280-002

Fee Acquisition (All Areas) 95.50 316.02 84.19

Wonderful Exceptions Map

The SOW lacks a detailed description of property use. Uses within the proposed acquisition area, as well as the larger parcel, are expected to be investigated and reported as part of the appraisal process. Required report contents are identified in the “Report Outline Format”, a copy of which is included in this SOW as an exhibit attachment.

Water rights are a significant influence on use and value in the area. There appear to be multiple irrigation sources at the subject property including the Columbia Canal Company surface water district, Alicio Water District (which is solely ground water pumpers) and deep wells throughout the property. According to USBR, shares in the Columbia Canal Company (CCC) that are associated with the proposed fee acquisition area were moved prior to the solicitation of this appraisal and although they exist as part of the overall Wonderful property, there are currently no CCC water shares associated with the proposed fee acquisition area. Thus, USBR reports that the only irrigation within the proposed acquisition area includes the Alicio Water District (which is solely ground water pumpers) and several deep wells. Therefore, surface water rights are not being acquired by Reclamation and only groundwater rights are included as part of the proposed acquisition. Water rights will require confirmation by the appraiser during the appraisal process with the property owner and water right entities.

Items to be excluded from the proposed acquisition:

As noted previously, the subject owner, owns and manages two pumps (known as Big and Little Bertha). These two pumps transfer flood water (when there is excess water available) from the San Joaquin River into the Columbia Canal. The Columbia Canal then conveys this excess surface water to other Wonderful lands within the Columbia Canal District (outside of the proposed acquisition area).

Although the two Bertha pumps are within the footprint of the proposed acquisition area, the right to pump these flows, when present and available within the river, are not to be appraised as the water rights are not being acquired.

The property is not identified to participate in a settlement contract facilitating the pumping of groundwater to the Central Valley Project for use in another area.

Confirmation of this fact in the appraisal is requested since, groundwater pumping for transfer occurs in the neighborhood and can impact how property is viewed in the market.

Improvements

No permanent buildings are reported to be within the proposed acquisition area.

Farmstead/equipment shop sites and a hulling/processing plant site are noted within the Wonderful owned acreage on Google Earth maps shown below.

However, several irrigation wells and distribution equipment are within the proposed acquisition area and a map reflecting their locations is included in the map identified as “Wonderful Irrigation Landowners” which is attached as an exhibit to this SOW. USBR reported that the wells provide sufficient water for the existing orchards. However, the wells may have an integrated use with the surrounding properties, the majority of which are under the same ownership. These factors should be examined, and any value impacts should be addressed in the appraisal report.

According to the Realty Specialist with US Bureau of Reclamation, Pamela Benn, two of the wells (3921-92 and 3921-93) are monitoring wells, reportedly nonfunctioning, owned by Wonderful and their status as in use or nonfunctioning will need to be determined by the appraiser. The four wells that are reportedly still functioning, and that are within the proposed acquisition area, that will need to be evaluated (along with the conveyance infrastructure associated with these wells) for possible damage and/or cost to cure the remainder are wells 3730-62, 3730-65, 3730-74, and 3730-78. It is noted that well 3730-78 has historically been shown to be located within the proposed acquisition area, however, is not listed in the well inventory or shown on the map. It may be capped and no longer in use, but the appraiser needs to investigate whether it

Processing

Farmstead, Shop/Storage

Shop/Storag exists, whether it is still in use, or if it is capped. Additionally, there are three other wells that are near the boundary of the proposed acquisition area and are undeterminable (based on the map) if they are within the proposed acquisition area or not. If inside the proposed acquisition area, wells 3730- 73, 3730-77, and 3921-62 will also need to be evaluated for possible damage and/or cost to cure the remainder. Any other wells discovered inside the proposed acquisition area during the appraisal process need to be identified and analyzed for damages to the remainder and/or cost to cure needs to be determined.

As noted, the purpose of this appraisal assignment is to provide an opinion of the compensation due for the acquisition of rights along the acreage in the vicinity of the San Joaquin River. They represent a fee interest of the property and appraisals for fee interest acquisitions are covered in the Uniform Appraisal Standards for Federal Land Acquisitions (UASFLA). The review appraiser will not dictate to the contract appraiser the scope of work necessary to achieve credible appraisal assignment results in the context of the intended use and users, other than the requirements outlined in this SOW.

However, the appraiser is advised that the goal of any acquisition by the USA is to impartially protect the interests of all concerned (the property owner and the USA) and that the compensation paid will leave the property owner (monetarily) in the after condition the same as he was in the before condition.

As noted, the acquisition area of 495.71 acres is a portion of three parcels. See the legal descriptions and maps regarding the 495.71-acre portions of Madera APNs: 042-231- 013, 042- 260-007 and 042-280-002.

The complete acquisition description is included in the grant deed document that is an exhibit attachment to this SOW.

The acquisition will limit use of the property and the difference between the before and after appraisals will establish the just compensation to the landowner for the impact to the larger parcel and allow the SJRRP to use the property as required. Well improvements and irrigation infrastructure will be impacted by the proposed acquisition.

There do not appear to be any building improvements in the acquisition area. Per UASFLA 1.3, all the information concerning the characteristics of both land and improvements that influence the value of the subject property must be collected by the appraiser during the process of property inspection and market research.

USBR is requesting a line-item list of the improvements (including descriptions per UASFLA 1.3.1.2, 2.3.2.3.2 and 2.3.2.3.3).

Legal Description

A full legal description for each parcel is provided in the Preliminary Title Report, as an attachment to this Statement of Work.

Larger Parcel

The proposed acquisition is within three Madera County Assessor’s Parcels identified as 042- 231-013, 042-260-007, and 042-280-002. There appear to be 53 contiguous Madera County Assessor’s Parcels with the same, or related ownerships.

The owned acreage extends approximately 11 miles northwest of the San Joaquin

River and ranges in width up to 4 miles from Fresno Slough. The noted Madera County Assessor’s Parcels include:

041-141-002 042-110-026 042-181-007 042-241-001 041-142-003 042-110-027 042-191-001 042-241-002 041-201-012 042-122-003 042-192-003 042-252-003 041-202-003 042-122-004 042-192-004 042-260-005 041-202-004 042-131-003 042-211-001 042-260-006 041-211-003 042-161-004 042-211-002 042-260-007 041-211-004 042-161-005 042-220-012 042-280-002 041-212-004 042-162-003 042-220-013 042-300-002 042-071-001 042-171-003 042-231-009 042-300-008 042-081-005 042-171-005 042-231-010 042-310-002 042-082-005 042-172-004 042-231-011 042-310-003 042-110-010 042-172-005 042-231-013 042-310-006 042-110-022 042-181-002 042-232-002 042-310-007 042-110-024

A copy of a preliminary title report, dated April 1, 2022, regarding the three assessor’s parcels encompassing the acquisition area is included as exhibit A attached to this SOW.

The appraiser must conduct all research necessary for a well-supported larger parcel conclusion consistent with UASFLA sections 1.2.7.3.1, 1.4.6, and 2.3.3.1.2. Upon completion of the highest and best use and the larger parcel analysis sections of the report, the appraiser will notify the AVSO review appraiser and forward those sections for discussion prior to finalizing the rest of the appraisal. As noted, the property appears to include a processing facility. The relationship of the subject larger parcel and the acquisition area must be identified and explored as part of the appraisal process.

Property Interest

The acquisition area is the entirety of APN: 042-231-013 and portions of the other two Madera County Assessor’s Parcels.

Scenario 042-231-013 042-260-007 042-260-002

Fee Acquisition (All Areas) 95.50 316.02 84.19

The proposed agency action is to acquire the subject land for purposes of facilities development. Their goal is to acquire the 495.71 acres of land (identified above). The valuation must comply with UASFLA for partial acquisitions by completing two appraisals: 1) the fee simple estate (subject to reservations of record), of the larger parcel before acquisition, and 2) the same property interest but excluding the 495.71-acre acquisition area in the after condition.

According to USBR, Shares in the Columbia Canal Company (CCC) exist as part of the overall Wonderful property, however, there are no CCC water shares associated with the proposed fee acquisition area. Also, USBR reported that the proposed acquisition area is part of the Alicio Water District which is solely ground water pumpers. This information must be investigated and confirmed by the appraiser.

The unit rule restricts components of a property from being individually valued and combined to a total. If individual areas are considered, the values estimated must reflect their contributory value to the overall property, rather than a rate as if independently saleable.

The appraiser must immediately notify the AVSO review appraiser of any indications of rights contrary to these described. This may result in amended instructions.

Outstanding Rights: A preliminary title report for Madera County Assessor’s Parcels 042- 231-13, 042-260-007, and 042-280-002 is included as an exhibit attachment to this SOW.

Any recorded or unrecorded documents, conditions, agreements, easements and/or encumbrances discovered, regarding the appraised property, must be identified and considered in the appraisal report in relation to their impact on value. In addition, the appraiser is expected to investigate for additional or incorrect encumbrances on the property. The provided title report has hyper-links to the exception and exclusion documents for downloading to help in your analysis. If you have difficulty obtaining the documents through the hyper-links, please contact the review appraiser and they will be provided directly.

The AVSO Division of Minerals Evaluation has prepared a document to address the status of any viable minerals that may be present on the acquisition property. The report, included as an exhibit attachment and identified as “EXAT 05 MP_CA_R20068_Wond_Nut_orchards_FINAL 2020-05- 29” to this SOW, does not find evidence of potential for mineral development on the property. Sand and gravel extraction have occurred along the San Joaquin River in the area and the appraiser should investigate the history of mineral extraction and identify the extent of valuation process necessary to reflect the market considerations. If the appraiser discovers this mineral consideration requires significant emphasis in the appraisal, the AVSO review appraiser is to be notified so the scope of the work can be appropriately expanded.

If any of the property considered in this appraisal assignment is under a Williamson Act contract, a statement must be included in the appraisal document indicating what impact, if any, the contract has on the values presented in the report.

Reservations: The current property owner is reserving the underlying land containing the bertha pumps (known as Big and Little Bertha) and the ability to operate the pumps, via a license agreement. Reclamation will issue the owner/operator a long-term license for use and occupancy of the lands proposed to be acquired of which the pumps occupy.

A copy of the draft license, identified as “Wonderful Draft Bertha Pump License 2023”, is attached as an exhibit to this SOW.

Personal Property: No personal property is included in this appraisal assignment.

Property Access

Physical: The property is accessed physically via easement off Chowchilla Canal Road which extends five miles south along the west side of Chowchilla Canal from Avenue 7. Eastside Drive intersects Chowchilla Canal Road one-quarter mile north of the acquisition area. Both appear to be marginally paved roads in the vicinity. It is highly probable that public access along the south Columbia Canal levee road was created through the vaguely worded grants of the Miller Lux Company. This should be confirmed as part of the appraisal process.

Legal: The property is reported to have legal access. However, the title report Item 34 identifies a lack of right of access to and from the land. Based on the street frontage legal access is apparent, but the right should be confirmed as part of the appraisal process.

Environmental Conditions

There are no known detrimental environmental conditions. Per the Phase 1 ESA done in 12/21 no Recognized Environmental Conditions (RECs) were noted indicating the presence of hazardous materials on the subject property due to releases to the environment. A copy of the Phase I ESA will be provided upon award and is identified as Wonderful Final 040422 (6).

Property Owner

The title report identifies Wonderful Nut Orchards LLC as the vested owner. Some documents regarding vesting were provided and are included in the SOW as exhibit attachments; however, they do not include the most recent market transaction which is required to be analyzed per UASFLA standards. The owner’s name was amended in 2015 and in some public record historic ownership names remain including Paramount Land, Paramount Farms, and Paramount Pomegranate Orchards. Prior transfers include (but are not limited to):

APN 042-231-013 – 2/9/2011

APN 042-260-007 – 2/9/2011

APN 042-280-002 – 12/1/2005, 6/14/2007 and 2/9/2011

The appraiser is expected to perform all the necessary research and confirmation to meet UASFLA sale history requirements.

Occupant/Tenant

The property is not reported to be leased or have rental history.

SECTION 2 – Appraisal Requirements & Instructions Appraisal Standards The appraisal must conform to the following appraisal standards:

• Uniform Standards of Professional Appraisal Practice (USPAP), 2020- 2021 edition extended to December 31, 2023

• Uniform Appraisal Standards for Federal Land Acquisitions (UASFLA), 6th Edition

Applicable Law, Regulation, and Policy

The appraisal must conform to the following laws, regulations, and policies:

• Uniform Relocation Assistance and Real Property Acquisition Policies Act of 1970 (PL 91-646) as amended

• Federal Regulations 49 CFR, Part 24

The appraisal report must comply with those portions of the Uniform Relocation Assistance and Real Property Acquisition Policies Act of 1970, as amended, which pertain to Appraisal. In addition to the above, the appraisal shall be prepared in accordance with the Statement of Work (SOW).

The appraisal report must be addressed to the appraiser’s client, the U.S. Department of Interior (DOI), Appraisal and Valuations Services Office (AVSO) ℅ the designated Review Appraiser.

Documentation of all comparable sales, rents/leases and other comparable market data utilized in the appraisal must comply with reporting requirements of UASFLA and be reported in detail. All comparable market data must be verbally verified by the appraiser with a party involved in the transaction. A detailed summary of the data for each sale/rent comparable must include comments about the verification, name and contact information for the party verifying the transaction details and details about the comparable property and the transaction. The comparable analysis must include an adjustment grid using either quantitate or qualitative or some combination of both quantitative and qualitative adjustments and support for those adjustments must be provided.

In addition to a comparable analysis of each competitive property sale, the appraiser should research, analyze and consider any and all known listings of competitive real estate available for sale within proximity to the subject property. Analyses of competitive sales, listings and contracts can provide an excellent reflection of the supply and demand for the property being appraised. Comments from buyers, sellers and active real estate brokers all assist in clarifying prevailing market forces affecting the competitive market for the subject property.

This is to be a real estate only appraisal and any personal property, business or going concern value that may exist is not to be included as part of the real property value.

Market Value Definition

Market value is the amount in cash, or on terms reasonably equivalent to cash, for which in all probability the property would have sold on the effective date of value, after a reasonable exposure time on the open competitive market, from a willing and reasonably knowledgeable seller to a willing and reasonably knowledgeable buyer, with neither acting under any compulsion to buy or sell, giving due consideration to all available economic uses of the property. [Uniform Appraisal Standards for Federal Land Acquisitions, 6th edition, Section 1.2.4, page 10.]

Date of Value

The date of value is the date of the last property inspection, which must be within 30 calendar days prior to the submission of the completed appraisal report, unless the AVSO review appraiser approves in advance other conditions in writing. This may mean that the appraiser will need to make more than one inspection of the subject and should be planned for accordingly.

Extraordinary Assumptions

None. The subject property is to be appraised based on the existing rights at the date of value.

Hypothetical Conditions

None. The subject property is to be appraised based on the existing rights at the date of value and the appraisal is not to assume that SJRRP construction at the property has been completed, only that USBR has acquired the rights delineated in the deeds and purchase contract documents.

Regarding the Columbia Canal Company shares held by the owner and exist as part of the overall Wonderful property. As previously noted, USBR has reported that there are no CCC shares associated with the proposed fee acquisition area. Thus, they will not be acquired by USBR and their rights should be considered to remain with the property owner. These rights all currently exist so they are not hypothetical.

If the appraiser determines that a hypothetical condition is necessary for the completion of the assignment, the appraiser must contact the AVSO review appraiser for prior written approval. If a subsequent use of a hypothetical condition is approved, the appraisal must note that it may have affected assignment results.

Jurisdictional Exceptions

The definition of value describes exposure time as “reasonable.” UASFLA 4.2.1.2 states, “… appraisers should not link opinions of market value for federal acquisitions to a specific exposure time.” This deviates from exposure time requirements in USPAP 1-2(c) and AO 35; therefore, the appraiser should invoke USPAP’s Jurisdictional Exception Rule to comply with the UASFLA.

If the appraiser determines that other jurisdictional exceptions are necessary for the completion of the assignment, the appraiser must contact the AVSO review appraiser for prior written approval.

Legal Instructions

None.

Placement in Report

The appraiser must clearly identify all extraordinary assumptions, hypothetical conditions, and jurisdictional exceptions wherever the final value conclusion is stated, including the letter of transmittal and the summary of salient facts. These must also be communicated with any general assumptions and limiting conditions.

Property Inspection

The primary appraiser must inspect the subject property and the market properties used in the analysis, unless the AVSO review appraiser has approved other conditions in writing.

The appraiser must give the property owner, or the owner’s designated representative, an opportunity to accompany the appraiser during the property inspection, and the results of such offer must be stated in the appraisal report certification. [Uniform Relocation Assistance & Real Property Acquisition Policies Act of 1970 (PL 91-646) as amended and the Uniform Appraisal Standards for Federal Land Acquisitions, 6th Ed. (Section 2.3.1.4, pages 58)] Prior to the property inspection, the appraiser must notify the USBR realty specialist and AVSO review appraiser of the time, as they may wish to accompany the appraiser on the inspection. In this instance the AVSO review appraiser expects to accompany the appraiser on the initial property inspection.

Pre-Appraisal Meeting

The appraiser will be required to attend a pre-work meeting with the assigned AVSO review appraiser, the USBR realty specialist or other bureau representative, and other interested parties. The AVSO review appraiser will coordinate the date and time of the pre-appraisal meeting. At the discretion of the AVSO review appraiser, the pre-appraisal meeting may be conducted telephonically or at the subject property in conjunction with the property inspection.

If any significant items of concern are observed during the property inspection, from aerial photographs, or from other materials researched during the appraisal process that were not discussed in the pre-appraisal meeting, the appraiser must contact the AVSO review appraiser before continuing with the appraisal assignment.

Controversies/Issues

Columbia Canal Company Shares: According to USBR, Shares in the Columbia Canal Company (CCC) exist as part of the overall Wonderful property, however, there are none associated with the proposed fee acquisition area. Thus, no CCC water shares will be acquired by USBR. This information must be investigated and confirmed by the appraiser.

California Sustainable Groundwater Management Act: The management of groundwater basins is expected to be specifically identified and considered in the description, discussion, and analysis of the subject property and comparable sales irrigation sources.

Larger Parcel:

The property owner holdings in the subject vicinity exceed 14,000 acres. The larger parcel analysis must consider the appropriate tests and a greater than average level of research and consideration of this portion of the appraisal may be required.

The potential for owned processing facilities to be an integrated use should be addressed and the impact on overall value considered if applicable.

Improvements:

Per UASFLA 1.3, all the information concerning the characteristics of both land and improvements that influence the value of the subject property must be collected by the appraiser during the process of property inspection and market research. USBR is requesting a line-item list of the improvements (including descriptions per UASFLA 1.3.1.2, 2.3.2.3.2 and 2.3.2.3.3).

Surface Water Rights and Pumps:

The subject owner, owns and manages two pumps (known as Big and Little Bertha).

These two pumps transfer flood water (when there is excess water available) from the San Joaquin River into the Columbia Canal. The Columbia Canal then conveys this excess surface water to other Wonderful lands within the Columbia Canal District (outside of the proposed acquisition area). Although the two Bertha pumps are within the footprint of the proposed acquisition area, the right to pump these flows, when present and available within the river, are not to be appraised as the water rights are not being acquired.
