SECTION 1 - REQUEST FOR QUOTE (RFQ)

1.1 General

The Office of Natural Resources Revenue (ONRR) Litigation Support/Bankruptcy group requires daily notification services of new business bankruptcy case filings for all companies and all chapter types for six

(6) users. The service must include on-line research capabilities.

This is a combined synopsis/solicitation for commercial subscription services prepared in accordance with the format in Federal Acquisition Regulations (FAR) subpart 12.3 as supplemented with additional information in this notice. This Request for Quote (RFQ) is conducted under the authority of FAR 13 Simplified Acquisitions with a North American Industrial Classification System (NAICS) Code: 519130 - Internet Publishing and Broadcasting and Web Search Portals. The Product or Service Code (PSC) is DA10

- IT and Telecom - Business Application/Application Development Software As A Service.

1.2 Set-Aside Information

This RFQ is a Total Small Business Set Aside.

1.3 Anticipated Award Type

As a result of this RFQ, the Government anticipates awarding one (1) Firm-Fixed-Price (FFP) Purchase Order.

The anticipated period of performance consists of a base year and four (4) 12-month Options.

STATEMENT OF WORK

1. PURPOSE

The Office of Natural Resources Revenue (ONRR) Litigation Support/Bankruptcy group has a continuing requirement for the daily receipt of new business bankruptcy case filings for all companies and all chapter types.

2. BACKGROUND

The Office of Natural Resources Revenue (ONRR) is entrusted with a fiduciary role, managing an average of $10 billion in annual revenues from energy and mineral leases and other monies owed for the use of public natural resources on the Outer Continental Shelf and onshore Federal and American Indian lands.

Revenue sources include royalties, rents, and bonuses generated throughout the life of the lease.

In support of ONRR’s mission, Enforcement & Litigation Support is responsible for fulfilling fiduciary responsibilities and fulfilling trust responsibilities. To do this, they monitor relevant bankruptcy case filings and gather data from all departments within the ONRR, the Bureau of Land Management (BLM), Bureau of Ocean Energy Management (BOEM, the Bureau of Safety and Environmental Enforcement (BSEE), and the Bureau of Indian Affairs (BIA), to assemble a Proof of Claim (POC) to be filed in the Federal Bankruptcy District(s) Courts.

3. OBJECTIVE

The purpose of this solicitation is to procure a daily bankruptcy email notification service and online research capabilities that includes customer support services as necessary.

4. TYPE OF CONTRACT

Firm-Fixed-Price Purchase Order

5. PERIOD OF PERFORMANCE

One-year base period and four (4) one-year option periods.

6. SCOPE OF WORK

The awardee will provide unlimited bankruptcy email notification and on-line research capabilities for a total of six (6) Department of the Interior users to include:

a. Mandatory System Capabilities o Full text search and retrieval functions appropriate for accessing online databases.

o Public Access to Court Electronic Records (PACER) integration

RFQ 140D0423Q0053 ONRR – Bankruptcy Notification Services o A menu selection process that enables users to access databases by name or through retrieval of previously selected databases.

o Search capabilities including Boolean and proximity search operators, natural language searching, wildcard characters, the ability to restrict searches within a specific segment/field, search request histories, and automated search capabilities.

o Standard Industrial Classification (SIC) code and associated industry description for sorting requirements o Download and print capabilities of retrieved documents at no additional cost, including available Excel and PDF Formats.

o 24/7 system availability under normal circumstances, except when provided at least 48 hours advance notice and not occurring during weekday business hours (8 a.m. to 10 p.m.

Eastern Time.

o Accuracy and maintenance of all database files made available to users at the same time they are made available to commercial users.

b. Required Databases for all users o Bankruptcy case filings for all companies and all chapter types, to include key data points like Employer Identification Number (EIN), Industry, SIC Code, Assets, Liabilities, Court District, and Link to filing Petition.

o Distressed Company Reports o Bankruptcy Trends Reports o Priority Case Details o Bankruptcy Calendar o Business and journal databases to include databases from the following categories:

o News and newspapers; wire services and transcripts; trade and professional newsletters and directories; and legal news, newsletters, and magazines pertaining to the legal profession.

c. Support services as follows:

o A general training program equivalent to that ordinarily offered to commercial customers to instruct users on all automated research services offered under this contract, to include appropriate course material.

o Training for new users as mutually agreed upon by the Contracting Officer Representative (COR) and the Contractor.

o Telephone technical and legal research support services, at no additional cost, by toll-free telephone on a continuous basis during system availability hours.

RFQ 140D0423Q0053 ONRR – Bankruptcy Notification Services o A mechanism for maintaining user IDs. Requests to add and delete users will be made by the COR or designee in writing, via phone, or via limited-access website, and changes will be made within one business day of receipt of request.

7. SPECIFIC TASKS

Establish system passwords, provide end-user training at the users’ office locations or remotely, provide technical support to ensure connectivity, supply user documentation and training manuals and track usage of online service. The Contractor is responsible for executing and facilitating transition-in and transition-out for each task.

Provide any additional services and features that the Contractor customarily provides its commercial customers for the types of services described in this performance statement of work. This includes, but is not limited to, printed instruction materials, periodic service function update notices and performance warranties.

In fulfillment of this effort, the contractor shall provide the following deliverables.

o Daily email notifications to users, available in Excel format, that includes Company Name, Case Number, Chapter, EIN, Industry, SIC Code, Assets, Liabilities, Court District, and Link to filing Petition o Bankruptcy Filing query capabilities, ability to export to Excel and/or print o Unlimited use of all Databases o Distressed Company Alerts o Company Specific Alert emails as identified by user o Company Profile Lookup Capabilities o Priority Case Filing Alerts and Outcome Notification o Report Queries o Unlimited use of all Standard Databases o Unlimited use of Combination Databases o Unlimited use of any News Databases o Unlimited use of ability to query and/or key in a question in plain English o Unlimited use of Terms and Connectors Searches and/or use of Boolean search method o Unlimited use of all types of Searches o Unlimited Images o Unlimited Alert or Notification Services

8. AVAILABILITY

The service must be available 365 days per year, 24 hours per day, 7 days a week.

9. FUNCTIONAL REQUIREMENTS/DELIVERABLE FORMAT

The service shall be browser-based and must be available over the Internet. There must be a single log-in for systems access to all databases. Users will have the capability to search for sources using Boolean logic and natural language searches. Further users must be able to search multiple databases at once.

Users will have the capability to download and store resulting documents to a server or local drive, email and print such documents from the screen. The Contractor will present legal, news, business, and public records information.

10. DISCLOSURE OF INFORMATION

Information made available to the contractor by the Government for the performance or administration of this effort will be used only for those purposes and will not be used in any other way without the written agreement of the Contracting Officer (CO).

Any/all electronic and information technology (EIT) procured through this effort must meet the applicable accessibility standards at 36 CFR 1194. 36 CFR 1194 implements Section 508 of the Rehabilitation Act of 1973, as amended, and is viewable at http://www.section508.gov.

SECTION 5 – QUOTATION PREPARATION & SUBMISSION INSTRUCTIONS

The following instructions to quoters are included in lieu of Federal Acquisition Regulation (FAR) provision 52.212-1. All Quoters intending to reply to this request shall respond as follows.

5.1 Quotation Preparation Instructions

To be considered for award, a Quotation shall contain the following Offeror information:

Quoters are required to be registered in the System for Award Management (SAM) at www.sam.gov as of the date the quotation is submitted. The quoter’s SAM registration shall be in “active” status.

Questions shall be submitted no later than 3:00 PM Eastern Time on November 7, 2022.

5.3 Submission of Quotations

Quotations shall be submitted via EMAIL no later than the date and time specified. It is the quoter’s responsibility to ensure/verify that the Government receives its submission on or before this date and time. Quotations received later than this date and time will not be considered.

Assumptions, Conditions, and/or Exceptions Quoters must submit, under separate cover, all (if any) assumptions, conditions, or exceptions with any of the terms and conditions of this RFQ. If not noted in this section of your quote, it will be assumed that the quoter proposes no assumptions for award and agrees to comply with all of the terms and conditions as set forth herein. It is not the responsibility of the Government to seek out and identify assumptions, conditions, or exceptions buried within the quoter’s quote.

Other General Information The Government reserves the right to contact a Quoter regarding their quote including to request additional discounts.

5.4 Quotation Submission Deadline

SECTION 6 – EVALUATION FACTORS FOR AWARD

The following evaluation factor information is provided in lieu of the FAR provision 52.212-2:

The Government will award a Purchase Order resulting from the Request for Quote (RFQ) to the responsible quote provider whose quotation conforms to the RFQ and will be most advantageous to the Government. The Government has determined the Lowest Priced Technically Acceptable (LPTA) quotation will be the most advantageous.

The Government will evaluate technical acceptability on a pass or fail basis. To meet the minimum technical acceptability standards, the quotation must:

1) Be From a Small Business concern.

2) Meet the Specifications detailed in Section 2.1. via a technical proposal.

3) Be from a business that affirmatively demonstrates its responsibility as reported in the Federal Awardee Performance and Integrity Information System (FAPIIS) records.

4) Indicate the Quoter’s ability to attain the anticipated Period of Performance.

The Government will evaluate quotes for award purposes by adding the total price for all options to the total price for the basic requirement (base period). The Government may determine that a quote is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).

The Government intends to make a single award for the requirement. Submission of a quote implies the Contractor agrees to the terms and conditions in this document. A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful quoter within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. (d) Comptroller General Examination of Record. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement.

Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.

(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.

INVOICING INSTRUCTIONS – DEPARTMENT OF THE INTERIOR LOCAL CLAUSE

Payment requests must be submitted electronically through the U. S. Department of the Treasury's Invoice Processing Platform System (IPP).

"Payment request" means any request for contract financing payment or invoice payment by the Contractor. To constitute a proper invoice, the payment request must comply with the requirements identified in the applicable Prompt Payment clause included in the contract, or the clause 52.212-4 Contract Terms and Conditions - Commercial Items included in commercial item contracts. The IPP website address is: https://www.ipp.gov.

Under this contract, the following documents are required to be submitted as an attachment to the IPP invoice: an electronic copy of the proper invoice with the contents outlined in 32.905(b).

The Contractor must use the IPP website to register access and use IPP for submitting requests for payment. The Contractor Government Business Point of Contact (as listed in SAM) will receive enrollment instructions via email from the Federal Reserve Bank of Boston (FRBB) within 3 – 5 business days of the contract award date. If the Contractor is unable to comply with the requirement to use IPP for submitting invoices for payment, the Contractor must submit a waiver request in writing to the Contracting Officer with its proposal or quotation.

1452.201-70 - Authorities and Delegations (SEP 2011)

(a) The Contracting Officer is the only individual authorized to enter into or terminate this contract, modify any term or condition of this contract, waive any requirement of this contract, or accept nonconforming work.

(b) The Contracting Officer will designate a Contracting Officer's Representative (COR) at time of award.

The COR will be responsible for technical monitoring of the contractor's performance and deliveries. The COR will be appointed in writing, and a copy of the appointment will be furnished to the Contractor.

Changes to this delegation will be made by written changes to the existing appointment or by issuance of a new appointment.

(c) The COR is not authorized to perform, formally or informally, any of the following actions:

(1) Promise, award, agree to award, or execute any contract, contract modification, or notice of intent that changes or may change this contract;

(2) Waive or agree to modification of the delivery schedule;

(3) Make any final decision on any contract matter subject to the Disputes Clause;

(4) Terminate, for any reason, the Contractor's right to proceed;

(5) Obligate in any way, the payment of money by the Government.

(d) The Contractor shall comply with the written or oral direction of the Contracting Officer or authorized representative(s) acting within the scope and authority of the appointment memorandum. The Contractor need not proceed with direction that it considers to have been issued without proper authority. The Contractor shall notify the Contracting Officer in writing, with as much detail as possible, when the COR has taken an action or has issued direction (written or oral) that the Contractor considers to exceed the

COR's appointment, within 3 days of the occurrence. Unless otherwise provided in this contract, the Contractor assumes all costs, risks, liabilities, and consequences of performing any work it is directed to perform that falls within any of the categories defined in paragraph (c) prior to receipt of the Contracting Officer's response issued under paragraph (e) of this clause.

(e) The Contracting Officer shall respond in writing within 30 days to any notice made under paragraph

(d) of this clause. A failure of the parties to agree upon the nature of a direction, or upon the contract action to be taken with respect thereto, shall be subject to the provisions of the Disputes clause of this contract.

(f) The Contractor shall provide copies of all correspondence to the Contracting Officer and the COR.

(g) Any action(s) taken by the Contractor, in response to any direction given by any person acting on behalf of the Government or any Government official other than the Contracting Officer or the COR acting within his or her appointment, shall be at the Contractor's risk.

The Offeror shall not complete the representation at paragraph (d)(1) of this provision if the Offeror has represented that it "does not provide covered telecommunications equipment or services as a part of its offered products or services to the Government in the performance of any contract, subcontract, or other contractual instrument" in paragraph (c)(1) in the provision at 52.204-26, Covered Telecommunications Equipment or Services—Representation, or in paragraph (v)(2)(i) of the provision at 52.212-3, Offeror Representations and Certifications-Commercial Products or Commercial Services. The Offeror shall not complete the representation in paragraph (d)(2) of this provision if the Offeror has represented that it "does not use covered telecommunications equipment or services, or any equipment, system, or service that uses covered telecommunications equipment or services" in paragraph (c)(2) of the provision at 52.204-26, or in paragraph (v)(2)(ii) of the provision at 52.212-3.
