Cover letter no more than 1 page that includes:

Tax Identification Number (TIN) Dun & Bradstreet Number (DUNS) Complete Business Mailing Address

Contact Name Contact Phone Contact Email Address Quotation Date Quotation Expiration date (60 days)

TECHNICAL QUALIFICATION FOR REQUIREMENT

The quotation shall include all of the following information:

1. State Certification

a. State Certification - The contractor must hold a current Certified General Appraiser license in the State of Arizona or have the ability to obtain a temporary practice permit for the State of Arizona. Please acknowledge the certification status in your proposal (it will be confirmed on government websites). If the appraiser is licensed in another state and applying for a license in the subject jurisdiction, he/she must provide a reference to the state and certification status.

2. Technical Acceptability

a. Experience for Assignment – Both geographical competency and technical competency will be considered. In addition, experience with similar mineral resources as present on the subject property is preferred. The contractor shall provide a standard Appraiser's Statement of Qualifications and a signed proposal letter that describes and attests to the following:

i. The appraiser is required to provide verifiable evidence of general and technical appraisal experience within his/her statement of qualifications, a resume, and/or curriculum vitae. Please identify experience appraising similar, non-developed mineral properties, as well as year of experience working with the federal government regarding acquisitions of both land and mineral estates, dispositions, and commercial services.

ii. The appraiser’s resume or statement of qualifications should show geographical competency. If the appraiser has experience with these property characteristics, but not in the market local to the subject property, then they must so-state this fact and demonstrate his/her experience in other areas as well as the actions proposed that will allow them to complete the assignment competently.

iii. The appraiser’s resume or statement of qualifications should show competency in the valuation of the types of mineral resources found on the subject property. If the mineral valuation expert/appraiser has experience with similar, but not the specific mineral resources found on the subject property, then they must so-state this fact and explain his/her relevant experience and the actions and/or knowledge that will allow them to complete the assignment competently.

iv. A designation from a recognized professional appraisal organization will be considered but is not required. If the appraiser is a member of a professional organization, this should be identified in the statement of qualifications or resume with the name of the organization, and the level, type, or category of such membership.

b. Qualifications of Associate Appraisers: The qualifications of any identified associate who may also be signing the appraisal report must be included with the offer. No other associates may work on the project without prior written authorization from the AVSO Review Appraiser. The appraisal report must detail the specific contribution(s) of all individuals, other than the signer(s) of the appraisal. If the contractor does not list anyone else as providing assistance, it is expected that the proposal is submitted as though the individual contractor is doing 100 percent of the research, verifications, property inspections, valuation analyses and appraisal writing. Sub-contracting of this assignment is not permissible.

3 Past Performance – Primary Appraiser

a. Submit a list of similar USPAP/UASFLA, projects that you have performed in the last ten (10) years. Include property type, general location, agency, contact information, etc.

b. Provide comparable land sale write up sheets for two similar properties that demonstrate typical reporting levels for you work.

c. Provide one redacted mineral valuation you have performed (for a federal entity preferred but not required) that demonstrates typical reporting levels for your work. While this example valuation is not required to conform with UASFLA or be a non-developed mineral property, this type of example is highly preferable.

d. If you have not previously contracted with AVSO within the past 5 years, please provide one reference (name, position, origination, contact information) who can verify your experience.

4. Delivery / Inspection Date The appraiser’s proposal must provide the delivery date of the initial appraisal.

The date of value, being the last field inspection of the subject property, must be within 30 calendar days of delivery of the appraisal report. If an alternative date is proposed, it must be submitted with the proposal. If an additional date is proposed, the appraiser must the provide additional documentation regarding market conditions to verify that the subject’s value conclusion remains contemporaneous with the report date (i.e., there have been no measurable changes in market conditions that would suggest an alternative value conclusion).

5. Price Quote

a. The appraiser must provide a firm-fixed price quote with any and all discounts applied for all the work to complete the assignment described in the Statement of Work (SOW).

b. Price quotes will be evaluated for completeness and reasonableness.

EVALUATION OF QUOTATIONS:

52.212-2 Evaluation—Commercial Products and Commercial Services (Nov 2021)

(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. Award of this Contract will be made on the Trade Off basis. The following factors shall be used to evaluate offers: Technical, Past Experience/Performance, and Price.

Technical and past performance, when combined, are more important than cost or price.

(b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).

(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer’s specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

(End of provision)

Further past performance determinations in federal contracting shall be made through a review of relevant information listed within the System of Award Management (SAM) and the Contractor Performance Assessment Reporting System CPARS).

STATEMENT OF WORK

Agency Case ID: 00160558

AVIS Number: P210093

SECTION 1 – Subject Identification & General Information

Identification Case Name Twin Buttes Ranch –PEFO 01-107, 02-118, 02-120

Location Petrified Forest National Park

Acreage 28,307.88 acres

Property Type Vacant Land w/Minerals (Mining Potential)

Case Type Proposed Acquisition

Client U.S. Department of Interior, Appraisal and Valuation Services Office (AVSO)

Intended User National Park Service

Intended Use The appraisal report will be used in the proposed acquisition of the identified property rights. It is not intended for any other use.

Property Description The subject is a 28,307.88-acre property that is located within the boundaries of the Petrified Forest National Park. The property is located approximately 10 air miles east of Holbrook, Arizona (latitude, longitude: 34.927046°, -109.890286°). Access to most of the property is provided via Highway 180.

That said, the subject is composed of multiple corner contiguous tracts that have no legal access. Physical access to some of these tracts appears to be provided via two-track dirt roads. Notwithstanding the twin buttes, and some washes/slides that are interspersed throughout the property, the majority of the acreage appears to have a generally level/slightly undulating topography. Information regarding the subject’s water rights have been attached as an exhibit to this statement of work. Note that the subject is improved with a double wide mobile home, but the age, quality, and condition of this improvement is unknown.

Please see the Controversies/Issues section for further discussion regarding the appropriate treatment of the improvements.

Historical Context The subject property, located in the Holbrook Basin, is recognized as being part of an extensive salt deposit, covering over 3,500 square miles (Rauzi, 2000). Potash deposits, interbedded within these salts, have been targeted by numerous exploration and mining companies throughout time. To date there has been no commercial production of potash within the basin, and industry interest in development has increased or decreased depending on potash market outlooks.

The Arizona Geologic Survey has published an overview of identified potash resources in the Holbrook Basin, which describes general geology and briefly describes mineral development opportunities (Rauzi, 2008).

Mineral Resources From a mineral development perspective, the subject property is considered an exploration property. The property is undeveloped, no prior production has taken place. The most recent exploration appears to have occurred in 2009-2012, by Passport Potash Inc. with the intent to collect enough exploration data to create a pre-feasibility study which encompassed land from the Twin Buttes Ranch (subject property), the adjacent Fitzgerald Trust Property, federal lands administered by the Bureau of Land Management, and lands controlled by the State of Arizona.

A technical report issued for Passport Potash by ERCOSPLAN in 2012, and subsequently updated in 2013, provides the best source of known mineral resource information on the subject property

(ERCOSPLAN, 2012; 2012).

Landowner contacts requesting information related to prior mineral leasing, mineral exploration, and mineral development has not resulted in additional information over what is publicly available via internet searches.

For additional background on the mineral resources on subject property, the following references are recommended to be reviewed, however accuracy is unknown. Any information contained should be independently verified:

Rauzi, S.L., 2000, Permian salt in the Holbrook Basin, Arizona: Arizona Geological Survey Open-File Report 00-03.

Rauzi, S.L., 2008, Arizona has Potash, Arizona Geology, vol. 38 no. 2, 6 pages.

Mineral Valuation With respect to valuing the mineral resources, it is recommended the appraisal focus on valuation approaches appropriate for an inactive exploration-type property. For example, a market approach comparing executed option or lease agreement terms (closed sales), or an analysis that considers adjustments made for reasonable past exploration expenditures along with adjustments for future costs (appraised value method) or similar. An income approach maybe be appropriate but would likely be a check of reasonableness of other valuation approaches more suitable for an undeveloped, exploration-type property.

Legal Description

See attached Exhibits A, B, & C.

Property Interest

Fee simple estate subject to the exceptions and reservations. See Outstanding Rights section below.

The subject’s mineral estate (or remaining mineral estate) is required to be included in the appraisal and the property is mostly vacant land and it is not being leased so there are no leases or tenancies encumbering the subject.

The appraiser must immediately notify the AVSO review appraiser of any indications of rights contrary to these described. This may result in amended instructions.

Outstanding Rights

A preliminary title report has been provided as an attachment to this statement of work. Any recorded or unrecorded documents, conditions, agreements, easements and/or encumbrances discovered must be identified and discussed in the appraisal report in relation to their impact on value.

Note that there are a number of exceptions to the subject’s title. These exceptions include previous mineral reservations (that include the right to entry, prospect, mine, and extract), utility easements, and one exception that notes the lack of legal access to several of the subject’s tracts (mostly resulting from being corner contiguous).

The appraiser must investigate for and promptly report additional or inaccurate encumbrances on the property to AVSO review appraiser.

Reservations

The current property owner is reserving the following rights: None

Personal Property

None

Property Access

Legal and physical access is provided via Highway 180. Note that no legal and/or physical access is available to portions of the subject property.

Larger Parcel

The Agency request covers 28,307.88 acre(s). The total known acreage owned is 28,307.88 acre(s).

The appraiser must conduct all research necessary for a well-supported larger parcel(s) conclusion presented in the appraisal. UASFLA 1.2.7.3.1, 1.4.3-1.4.7, 2.3.3.1, & 4.3.

The appraiser must make this determination independent of review appraiser. Nevertheless, communication between the review appraiser and the appraiser is essential since the appraiser’s larger parcel conclusion may require a modification of the appraisal assignment, if it varies from the reviewer’s concept when he/she wrote the statement of work. Thus, following the completion of the appraisals highest and best use and larger parcel analysis, the contract appraiser must contact the review appraiser to discuss the appraiser’s highest and best use and larger parcel conclusions.

Ownership/Occupant

SECTION 2 – Appraisal Requirements & Instructions

Appraisal Standards

1. Uniform Standards of Professional Appraisal Practice (USPAP)

2. Uniform Appraisal Standards for Federal Land Acquisitions (UASFLA)

Applicable Laws, Regulations, or Policy

1. Uniform Relocation Assistance and Real Property Acquisition Policies Act of 1970 (PL 91-646) as amended; Federal Regulations 49 CFR, Part 24”.

Mineral Valuation Standards

1. Society for Mining, Metallurgy & Exploration, Standard and Guidelines for Valuation of Mineral Properties.

2. International Valuation Standards (IVS), applicable General Standards and Asset Standards.

Should a mineral valuation standard conflict with an appraisal standard listed above, the applicable appraisal standard should be used. Regardless, the mineral evaluation expert should contact the AVSO review appraiser to obtain specific guidance.

Market Value

The amount in cash or on terms reasonably equivalent to cash, for which in all probability the property would have sold on the effective date of value, after a reasonable exposure time on the open competitive market, from a willing and reasonably knowledgeable seller to a willing and reasonably knowledgeable buyer, with neither acting under any compulsion to buy or sell, giving due consideration to all available economic uses of the property. [Uniform Appraisal Standards for Federal Land Acquisitions, 6th edition, 1.2.4.]

Date of Value

The date of value is the date of the last property inspection, which must be no later than 30 calendar days prior to the submission of the completed appraisal report, unless the AVSO review appraiser approves in advance other conditions in writing. If the 30-day time is extended, the extended timing must be factored with the appraiser’s opinion to determine if market conditions between the date of inspection and the date of the report remain the same.

Extraordinary Assumptions The following extraordinary assumption has been approved.

There are no additional regulations / requirements associated with the development of subject’s mining operation that result from the subject property being located within the boundaries of the National Park.

If the appraiser determines that any additional extraordinary assumptions are necessary for the completion of the assignment, he/she must contact the AVSO review appraiser for prior written approval.

Hypothetical Conditions

None. If the appraiser determines that hypothetical conditions are necessary, he/she must contact the AVSO review appraiser for prior written approval.

Jurisdictional Exceptions

The appraiser may use a jurisdictional exception for the USPAP requirement of an exposure period estimate that is in conflict with UASFLA. If the appraiser decides to invoke any other jurisdictional exceptions, he/she must contact the AVSO review appraiser in advance to obtain prior written approval.

Placement in Report

The appraiser must clearly identify all extraordinary assumptions, hypothetical conditions, and jurisdictional exceptions wherever the final value conclusion is stated, including the Letter of Transmittal and the Summary of Salient Facts. These must also be communicated with any General Assumptions and Limiting Conditions.

Property Inspection

The appraiser must inspect the subject property and all of the market properties used in the analysis, unless the AVSO review appraiser has approved other conditions in writing.

For appraisals with an intended use of acquisition or exchange, the appraiser must certify in the report that he/she extended an offer to the property owner (or the owner’s representative) to accompany him/her during the property inspection. [Uniform Relocation Assistance & Real Property Acquisition Policies Act of 1970 (PL 91-646) as amended and the Uniform Appraisal Standards for Federal Land Acquisitions, 6th Ed. (Section 2.3.1.4, pages 58)]

Permission to enter upon and appraise the property has been granted. The permission document will be provided to the contract appraiser upon award.

You must notify in advance the AVSO review appraiser and the NPS realty specialist when the property inspection will occur.

Pre-Work Meeting

The appraiser will be required to attend an initial pre-work meeting (via telephone) with the assigned AVSO review appraiser, AVSO DME expert, the agency realty specialist and/or other agency representative, and other interested parties. The AVSO review appraiser will coordinate the date, time & place of the meeting.

Controversies/Issues

The appraisal report must provide a detailed valuation for each estate that is sufficient to meet the reporting requirements of USPAP and UASFLA. Further, the comparable market data used in both valuations must be provided with sufficient detail to meet the reporting requirements of UASFLA. The mineral valuation must include a detailed discussion of future mining operations (exploration or otherwise) and how they may consume/occupy the surface estate, and how much additional acreage (beyond what has the potential for mineral extraction) may be required for exploration, processing, material storage, transportation, etc.

The appraiser is responsible for reconciling the surface estate value with the sub-surface (mineral) value in regard to the value of the larger parcel(s).

The subject is improved with a double wide mobile home, but the age, quality, and condition of the improvement is unknown. Further details regarding the associated site improvements are unknown. The appraiser must determine if this improvement is real property or personal property. If the mobile home, and accompanying site improvements (if any), are determined to be real property, then the contributory value of these improvements must be considered in the appraisal. Further, the appraisal must provide a value allocation to these improvements. If the mobile home is considered personal property, then the contributory value cannot be included. That said, the contributory value of the subject’s site improvements (if any) must still be considered.

Should appraiser identify controversies or issues during the course of assignment, he/she must immediately notify the AVSO review appraiser.

Legal Instructions

None.

Special Appraisal Instructions

1. The property is encumbered with a grazing lease, but no details have been provided. The appraiser must attempt obtain the lease details from the property owner while researching the property details.

2. Even though communication is encouraged with the property owner and the client agency, only the assigned AVSO review appraiser can modify appraisal instructions (in writing).

3. The appraiser may not communicate assignment results to any party except AVSO until authorized to do so in writing by AVSO.

4. Any communication (verbal or written) with the agency realty contact shall include the assigned AVSO review appraiser.

5. All deliverables will be provided to the AVSO review appraiser in an unlocked PDF format.

6. This statement of work (SOW) has been prepared during the COVID-19 pandemic. Market impacts may vary by property type, but potential exists for significant changes to real property values. For this reason, the appraisal must include a thorough market analysis available at the effective date in support of market condition adjustments or no adjustments if warranted. As applicable, this analysis can include interviews with real estate market participants (such as brokers, lenders, buyers, sellers), economic trends in the market sector and location, listing and sales activity or non-activity, commodity pricing, and changes in the financial markets.

General Appraisal Requirements & Instructions
