1. CONTRACT TYPE
The Department of the Interior (DOI), Bureau of Indian Education (BIE), Division of Acquisitions anticipates awarding a single Firm Fixed Priced Type Purchase Order for WEAVE Web-based accreditation and planning software in support of Haskell University because of this opportunity.
2. PERIOD OF PERFORMANCE (POP)
Base Year TBD/2022-2023 Option year One: TBD2023-2024 Option Year Two: TBD2024-2025 Option Year Three: TBD2025-2026 Option Year Four: TBD2026-2027
PRICING SUMMARY
The rate is an all-inclusive rate to include all mandatory Federal, State, and other applicable local government taxes. These rates are in effect during the term of this contract unless amended and approved by the Contracting Officer. The Contractor is solely responsible for payment of all gross receipt and other applicable taxes. The Government (BIE) will not be responsible for the payment of the Contractors taxes.
Upon delivery and acceptance, the services described in the SOW and the based on the Market basket rates and identified in the schedule of charges below, the Government shall pay to the Contractor the total prices set forth below and will be paid from the following Contract Line-Item Numbers (CLINs) accordingly:

Unless the Government exercises its option, pursuant to the option clause referenced in the Contract Clauses section, this contract consists only of the Base Period specified in this contract.
Pursuant to either the FAR Clause 52.217-8, Option to Extend Services or the FAR Clause 52.217-9, Option to Extend the Term of the Contract, Contract Clauses, of this contract, the Government may submit a unilateral contract modification, require the Contractor to perform the Option Period(s) as defined in the SOW of this contract. A notice that the Government intends to exercise any of the options will happen prior to the contract’s expiration date. Specific information regarding the timeframe for this notice is set forth in the OPTION PROVISION of this order. When exercising an option period, the fixed price rate of this contract is set forth below.
Upon the delivery and acceptance of the Option Services described in the SOW based on the quoted prices and rates of the contract and identified in the schedule of charges below, the Government shall pay the Contractor the rate(s) set forth below and will be paid from the following Contract Line-Item Numbers (CLINs) accordingly.

Haskell Indian Nations University Weave Education
Statement of Work Background
To carry out the mission framework of Haskell Indian Nations University, the Haskell Center for Institutional Effectiveness (CIE) requires assessment software that can be used to store, analyze, and disseminate assessment information and reporting to the internal customers and external stakeholders of the University. In addition to assessment activities, this software must also assist with program reviews and strategic planning. The website must require an organized method of providing access to relevant factsheets, reports, and other documents that showcase Haskell's progress toward specified objectives/goals and successes/accomplishments.
The University has contracted with Weave Education to use a proprietary software program called Weave (formerly WEAVE online) that is used as the institutional effectiveness resource for Haskell Weave is utilized by 500+ institutions to streamline their accreditation, assessment and credentialing processes and maintain a quality assessment experience. It has a decade-long proven track-record of assisting Haskell in its institutional effectiveness efforts, and so the University requests that it continue to use this software, The University relies on this proprietary software for day-to-day, short-term, and longer-term operations and strategic initiatives; it would be the most cost advantageous to the Government and our stakeholders to keep this software in place to maintain university functionality.
Objectives:
The Weave Education annual maintenance services contract includes but is not limited to the following areas of services:
• User Support
• Trainings, including Webinars
• Troubleshooting

• Maintenance Environment
These services provide the University with a reassurance that this needed proprietary software is as needed to carry out our mission.
Scope
This SOW covers the annual maintenance services contract for Weave.
Tasks Weave assigns a staff member, "Customer Engagement Manager,” as a benefit of entering a partnership with Weave Education. The goal is to maintain open lines of communication and ensure that questions or concerns are addressed This Manager serves as Haskell's CIE direct connection to Weave Education. Some of the tasks that this Manager will perform may include, but are not limited to the following:
• Coordinate implementation of Weave
• Communicate regularly with Haskell’s Weave administrators (generally, CIE staff members)
• Answer questions and deescalate software issues
• Ongoing review of open helpdesk tickets
• Coordinate training and support as needed
• Review account status and Weave user experience. The Manager will communicate with Haskell's Weave administrators via telephone, email, and online systems (e.g., Zoom). it is the responsibility of both the Weave administrators and the Custom Engagement Manager to be responsive to each other’s communication efforts.
• Provides software updates, online help, and assistance. and community resources that include trainings webinars eBooks, guides, articles, and case studies (all at no extra cost or at a customer discount) and user guides/tutorials for learning and troubleshooting the software package.
Weave will provide technical support as needed to Haskell through their helpdesk system.
Delivery:
Weave Education will provide application support and updates for Weave- System updates are provided on a periodic and/or as-needed basis. These updates include enhanced functionality, updated/additional reports and reporting processes, additional system features, and application fixes.
There are three primary areas of support that are provided:
• Onboarding and implementation — setup onboarding, and training
• Ongoing support in-app, phone, and email support.
• Unlimited users and data storage.
Weave’s support services for technical issues are provided during "support hours" (M-F, 8:30 AM - 5:00 PM EST). Weave Education is responsible for ensuring ail confidential information (e.g., "Family- Educational Rights and Privacy Act" and other regulatory privacy acts) on its system remains safeguarded.
Security:

(d) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, as defined in FAR 2.101, on the date of award of this contract, and does not contain the clause at 52.215-2, Audit and Records-Negotiation.
(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor’s directly pertinent records involving transactions related to this contract.
(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.
(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.

Labor. The option provision may be exercised more than once, but the total extension of performance hereunder shall not exceed 6 months. The Contracting Officer may exercise the option by written notice to the Contractor within 30 Days.

52.217-9 Option to Extend the Term of the Contract (Mar 2000)
(a) The Government may extend the term of this contract by written notice to the Contractor within 30 Days; provided that the Government gives the Contractor a preliminary written notice of its intent to extend at least 60 days before the contract expires. The preliminary notice does not commit the Government to an extension.
(b) If the Government exercises this option, the extended contract shall be considered to include this option clause.
(c) The total duration of this contract, including the exercise of any options under this clause, shall not exceed 5 (years).

2. DEPARTMENT OF THE INTERIOR ACQUISTION REGULUATION (DIAR) CLAUSES
DIAR 1452.201-70 - Authorities and Delegations (Sep 2011)
1. The Contracting Officer is the only individual authorized to enter or terminate this contract, modify any term or condition of this contract, waive any requirement of this contract, or accept nonconforming work.
2. The CO will designate a POC at time of award. The POC will be responsible for technical monitoring of the Vendor's performance and deliveries. The POC will be appointed in writing, and a copy of the appointment will be furnished to the Contractor. Changes to this delegation will be made by written changes to the existing appointment or by issuance of a new appointment. The POC for this contract will be:

3. The POC is not authorized to perform, formally or informally, any of the following actions:
i. Promise, award, agree to award, or execute any contract, contract modification, or notice of intent that changes or may change this contract.
ii. Waive or agree to modification of the delivery schedule.
iii. Make any final decision on any contract matter subject to the Disputes Clause; iv. Terminate, for any reason, the Contractor's right to proceed. v. Obligate in any way, the payment of money by the Government.
4. The Contractor shall comply with the written or oral direction of the Contracting Officer or authorized representative(s) acting within the scope and authority of the appointment memorandum. The Contractor need not proceed with direction that it considers having been issued without proper authority.
The Contractor shall notify the Contracting Officer in writing, with as much detail as possible; when the POC has taken an action or has issued direction (written or oral) that the Contractor considers exceeding the POC's appointment, within 3 days of the occurrence. Unless otherwise provided in this contract, the Contractor assumes all costs, risks, liabilities, and consequences of performing any work it is directed to perform that falls within any of the categories defined in paragraph (c) prior to receipt of the Contracting Officer's response issued under paragraph (e) of this clause.

5. The Contracting Officer shall respond in writing within 30 days to any notice made under paragraph
(d) of this clause. A failure of the parties to agree upon the nature of a direction, or upon the contract action to be taken with respect thereto, shall be subject to the provisions of the Disputes clause of this contract.
6. The Contractor shall provide copies of all correspondence to the Contracting Officer and the POC.
7. Any action(s) taken by the Contractor, in response to any direction given by any person acting on behalf of the Government or any Government official other than the Contracting Officer or the POC acting within his or her appointment, shall be at the Contractor's risk.

Payment requests must be submitted electronically through the U. S. Department of the Treasury's Internet Payment Platform System (IPP).
"Payment request" means any request for contract financing payment or invoice payment by the Contractor.
