SECTION 1 INTRODUCTION
1.1 GENERAL
This is a combined synopsis/solicitation for commercial items prepared in accordance with the format in Federal Acquisition Regulation (FAR) Subpart 12.6 - Streamlined Procedures for Evaluation and Solicitation for Commercial Products and Commercial Services, as supplemented with additional information included in this notice. This announcement constitutes the only solicitation; proposals are being requested and a written solicitation will not be issued.
This solicitation document and incorporated provisions and clauses are those in effect through Federal Acquisition Circular (FAC) 2025-02 effective January 3, 2025.

The Government contemplates awarding a Firm-Fixed-Price (FFP) Purchase Order.

(d) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, as defined in FAR 2.101, on the date of award of this contract, and does not contain the clause at 52.215-2, Audit and Records-Negotiation.
(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor’s directly pertinent records involving transactions related to this contract.
(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.
(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.
(e) (1) Notwithstanding the requirements of the clauses in paragraphs (a), (b), (c), and (d) of this clause, the Contractor is not required to flow down any FAR clause, other than those in this paragraph (e)(1), in a subcontract for commercial products or commercial services. FAR 52.217-8 Option to Extend Services (Nov 1999) The Government may require continued performance of any services within the limits and at the rates specified in the contract. These rates may be adjusted only as a result of revisions to prevailing labor rates provided by the Secretary of Labor. The option provision may be exercised more than once, but the total extension of performance hereunder shall not exceed 6 months. FAR 52.217-9 Option to Extend the Term of the Contract (Mar 2000)

Electronic Invoicing and Payment Requirements - Invoice Processing Platform (IPP) (February 2021)
Payment requests must be submitted electronically through the U. S. Department of the Treasury's Invoice Processing Platform System (IPP).
"Payment request" means any request for contract financing payment or invoice payment by the Contractor. To constitute a proper invoice, the payment request must comply with the requirements identified in the applicable Prompt Payment clause included in the contract, or the clause 52.212- 4 Contract Terms and Conditions - Commercial Items included in commercial item contracts. The contractor is responsible for ensuring invoices submitted are accurate, complete and match the line items, amounts, rates etc. listed on the award.
Final Invoice Within sixty calendar days of product acceptance and/or completion of services:
a. The contractor shall submit a final invoice, designated as such by a clear statement of “FINAL INVOICE” on the face of the invoice document.
b. The contractor shall provide a certificate of completion which certifies all goods and service have been provided as required by this award.
The Contractor must use the IPP website to register access and use IPP for submitting requests for payment. The Contractor Government Business Point of Contact (as listed in SAM) will receive enrollment instructions via email from the Federal Reserve Bank of St. Louis (FRBSTL) within 3 - 5 business days of the contract award date. Contractor assistance with enrollment can be obtained by contacting the IPP Production Helpdesk via email IPPCustomerSupport@fiscal.treasury.gov or phone (866) 973-3131.
If the Contractor is unable to comply with the requirement to use IPP for submitting invoices for payment, the Contractor must submit a waiver request in writing to the Contracting Officer with its quotation.

Notice Regarding Late Delivery/Delayed Performance
The contractor will immediately notify the Contracting Officer in writing in the event the contractor encounters difficulty in performance by giving pertinent details, including the date by which it expects to complete performance or make delivery. However, the notification will be informal only in character and will not be construed as a waiver by the Government of any contractual delivery schedule or date, or any rights or remedies provided by law or under this effort.

Non-Personal Services Order
This is a “non-personal services Order, it is therefore, understood and agreed that the Offeror and/or the Offeror’s employees shall: (1) perform the services specified herein as independent contractors, not as employees of the Government; (2) be responsible for their own management and administration of the work required and bear sole responsibility for complying with any and all technical, schedule, or financial requirements or constrains attendant to the performance of this Order; (3) be free from supervision or control by any Government employee with respect to the manner or method of performance of the services specified; and (4) pursuant to the Government’s right and obligation to inspect, accept or reject the work, comply with such general direction of the Contracting Officer, or the duly authorized representative as is necessary to ensure accomplishment of the Order objectives. The Offeror shall include this clause in all subcontracts for contractor support services under this Order.

Specification Terms
Contracting Officer (CO) – The term refers to the Bureau of Indian Affairs (BIA or Bureau) employee who signs the Contract on behalf of the Federal Government. The Contracting Officer (CO) has the overall responsibility for the administration of this contract. The BIA Technical Rep is a person specifically designated to represent the CO regarding all technical matters. The BIA Technical Rep will monitor all progress during the performance period and is responsible for ensuring acceptable performance of work under this contract. In no event, however, will any understanding, agreement, modification, change order, or other matter deviating from the terms of this contract be effective or binding upon the Government unless formalized by proper contractual documents executed by the CO prior to completion of the contract.
Inspection And Acceptance of Work
The BIA Technical Rep will monitor all phases of Contractor’s operations for the acceptability of work, submittals and progress on a regular basis. Satisfactory works shall be determined by the reviews of submittals conducted by the BIA Technical Rep. Contractor will be informed in writing, of any unacceptable work, submittals, or progress in a timely manner, so the unacceptable condition can be rectified.
Unsatisfactory Work Notice
If, at any time, any measure for work falls outside the standards set forth in the Contract, the BIA Technical Rep will immediately notify the CO and Contractor in writing so the work quality issue can be brought within Contract specifications. If the quality of prior and current work, is not brought within the minimum acceptable standard within two workdays after receipt of notice, the Contractor’s right to proceed may be stopped and the Contractor considered in breach of Contract.
Repeated failures to perform work at or above the acceptable standard shall be considered sufficient reason for default action including attachment of payment or Contract termination.
Payment for Unauthorized Work
No payments will be made for any unauthorized supplies services, or for any unauthorized changes to the work specified herein. This includes any services performed by the Contractor of their own volition or at the request of an individual other than a duly appointed Contracting Officer. Only a duly appointed Contracting Officer is authorized to change the specifications, terms, and conditions under this effort.
Release of News Information
No news release (including photographs and films, public announcements, denial or confirmation of same) on any part of the subject matter of this effort or any phase of any program hereunder shall be made without the prior written approval of the Contracting Officer.
